FAIRPORT HARBOR YACHT CLUB, INC.

ARTICLE I - NAME AND PURPOSE

Section 1:

The name of this Club shall be Fairport Harbor Yacht Club, Inc.

Section 2:

The purpose of this Club is to serve the interest of boat owners, to defend such owners against discriminatory legislation and burdensome taxation, to prevent pollution of neighboring recreational waters, to stimulate a greater interest in boating among all the citizens in the area served by the Club, to develop a fraternal spirit among local outdoor enthusiasts, to provide a medium for the exchange of boating information, to own or lease property for the uses of the Club, to develop more adequate boat storage and dock facilities, and to do all other things which will tend to serve present owners of boating equipment and to further interest in boating generally.

ARTICLE II - MEMBERSHIP

Section 1:

Membership in the Club shall be open to individuals in Lake and surrounding counties. Membership may be closed, at the discretion of the members, by a majority vote at any regular or special meeting of the Club, provided there be a quorum present. Membership includes the spouse of the member. Memberships shall be classified as an “A” membership, meaning the specific individual to whom membership was extended, and a “B” membership, meaning the person to whom membership privileges are extended by virtue of their status as spouse of the “A” member. Nothing herein precludes spouses from both applying for, and being extended to each, an “A” membership. [4-17]

Section 2a: "New applicant for Associate Membership" All applicants for Associate Membership shall first receive a current copy of the bylaws, submit an application to the membership chairman for consideration and approval. Application for new membership in the Club, in approved form, shall contain an agreement to abide by the Club Bylaws and Rules and Regulations. If approved by the membership committee, the application shall be voted on by the membership at the next [1-15] general membership meeting attended by the applicant, provided there be a quorum present. An approving vote of two-thirds of the eligible members present shall be required to elect an applicant to Associate Membership (effective upon payment of the required dues and fees). All approved new members will be on probation for one year and may be voted out by a simple majority (51%) vote at any meeting, provided there be a quorum present. [1-15]

Section 2b: "Change of class of membership*"

An existing Full member shall indicate his/her intention to change class of membership, by mail, at least five days before the February meeting. Postmark will set the time. An Associate and/or Privileged Associate Member wishing to become a Full Member shall indicate his/her intention, in writing, to the membership chairman at least 28 days prior to the next scheduled general membership meeting [1/03]. All changes shall follow seniority rules set forth in Article II, Section 4c. An Associate Member wishing to change to Full Membership must be approved by vote at a general membership meeting with a minimum of an 86% affirmative vote, provided a quorum be present. A "no" vote of 15% or more will defeat the change in membership. All percentages will be rounded to the next largest whole number. Example: 15% of 75 is 11.25 or 12 votes. Any Associate Member turned down by the membership for Full Membership shall immediately be terminated as an Associate Member and shall surrender his/her gate card and key and shall receive a refund of any and all moneys paid to FHYC for the current boating season. Section 3: "There will be Six Classes of Club Membership"

Section 3a: "Full Member"

Wherein the member (i) holds waterfront privileges in the Club, (ii) voting privileges (voting privileges are held only by “A” members, however, the respective “B” member may vote in the absence of the “A” member), (iii) in the conduct of Club business, (iv) the right to hold office in the Club, (either the “A” or “B” member may hold office, but not both at any given time), and (v) use of the Club property. Upon acceptance into full membership, an “A” member may designate a “B” member. The Club reserves the right to request information to verify the status of the proposed “B” member for compliance with these By-Laws. Full Member seniority number will be assigned. The number will be the highest on the Full Membership list. In the event of divorce / separation, the membership privileges extended to the “B” member shall immediately terminate. [4-17]

All Full Members must attend and be registered at a minimum of three (3) general membership meetings and up to forty (40) work party hours per year; a minimum of twenty (20) hours work party time, sixteen (16) of which must be under the direction of the Fleet Captain, is required to maintain membership. [5-12] Work Party Hours can be achieved through “Fleet Captain” projects; including Club House Cleanup/Night Watch, “Program Chairman” events, and/or “Auxiliary“ events. Only the Fleet Captain, Program Chairman, and Auxiliary President may authorize hours in their respective areas, and are responsible for allocating reasonable hours for each activity. [1-19] The number of hours for the year, and prorated hours to be set by the Board of Directors. [7/04] Any hours remaining will be subject to fines at the current rate. [5/97] All Full Members will have club house cleanup and night watch. Failure to comply results in a fine. A schedule will be distributed and posted in the club house. All members will be reminded by the Fleet Captain, the Rear Commodore, or designated officer of their date(s).

Requests for exemption to these requirements must be submitted in writing to the Board of Directors by October 1 (November 15 for night watch/club house cleanup) [2-04] of the current fiscal year. The Board of Directors will review and approve or deny the request.

Work party time and meeting requirements will be prorated for new Full Members coming into the Club from Associate and/or Privileged Associate [1/03] Membership status after April on a five (5) hour per month schedule, and only 2 meetings required; after August, 1 meeting required. [7-19]

All new Full Members are required to attend a Club “Orientation” meeting in the first year of their membership. Orientation meetings will be conducted by the Board minimally twice per year. Attendance is mandatory to maintain membership. [1-19]

3a.1: "Surviving Membership"

If an original “A” Full Member dies, the dock automatically stays in the member’s name for the remainder of the boating season. The respective “B” member, if any, has the option to renew the membership, retaining all privileges, and thereafter become an “A” Full Member, the member or his/her children under the age of 18 operate the boat, and shall fulfill all work party requirements as described in 3a above. If the “B” member does not wish to hold the dock, he/she automatically reverts to an Honorary Membership for life.

Surviving Membership privileges extend only once. In the event a former “B” member becomes an “A” Full Member by virtue of this section, while their spouse will be extended “B” member privileges in accordance with section 3a of these By-Laws, there shall be no right of Surviving Membership extended to them in the event of the death of the “A” Full Member and their “B” membership shall thereupon terminate. Section 3b: "Associate Member"

The Associate, after achieving membership, shall be assigned a seniority number which he/she shall retain for the duration of his/her associate membership with the following rights:

1. Access to Club grounds, main club house, island club house, gate card and club key.

2. Club house rental according to existing rules.

3. Attendance at meetings and functions.

4. Use of designated picnic areas.

5. Dock Rental subject to existing seniority rules and dock availability, by submission of a written request per Section 2b above and provided Full Membership has not been refused. [6/99] (i.e.: request for "Class" change to "Associate(Rental)"

6. Winter boat storage at the prevailing rate. [1/95]

7. Weekend dock usage according to existing rules. [5/92]

8. Ramp use once-in and once-out each year.

9. Ramping privileges provided that: [6/96]

a. a letter of request is sent to the Vice Commodore for approval.

b. Full Membership or dock rental has not been passed up.

c. upon approval, the members name will be on a roster approved list and posted on the Fleet Captain's board.

d. Tow vehicle and/or trailer must be parked in the southeast section at a 450 angle in area "A" and overnight parking is not permitted.

All Associate Members must attend and be registered at a minimum of three (3) general membership meetings and twenty-four (24) work party hours per year, ten (10) of which must be under the direction of the Fleet Captain, to retain membership. [1/97] Work Party Hours can be achieved through “Fleet Captain” projects; including Club House Cleanup/Night Watch, “Program Chairman” events, and/or “Auxiliary“ events. Only the Fleet Captain, Program Chairman, and Auxiliary President may authorize hours in their respective areas, and are responsible for allocating reasonable hours for each activity. [1-19] All Associate Members will have club house cleanup and night watch. Failure to comply results in a fine. A schedule will be distributed and posted in the club house. All members will be reminded by the Fleet Captain, the Rear Commodore, or designated officer of their date(s). [5-12]

Requests for exemption to these requirements must be submitted in writing to the Board of Directors by October 1 (November 15 for night watch/club house cleanup) [4-02] of the current fiscal year. The Board of Directors will review and approve or deny the request.

Work party time and meeting requirements will be prorated for new Associate Members coming into the Club after April on a three (3) hour per month schedule, and only 2 meetings required; after August, 1 meeting required. [7-19]

Section 3c: "Associate Member (RENTAL)"

Associate Member (RENTAL), wherein said member has waterfront privileges, renewable yearly according to the roster of Associate Members, on a seniority basis. Associate Members, in seniority order, shall have the opportunity to rent a Full Member's dock, provided written permission has been provided to the Club by the Full Member. The Associate Member will be notified of the available dock(s) and the senior Associate Member shall be given the opportunity to become an Associate Member (RENTAL) for one season by paying the current fee as fixed by the membership, and depositing with the Treasurer a repair bond, as identified in the fee schedule. [4-16] Such deposit to be returned at the end of the boating season, but no later than December 31 of the same year if not forfeited. Should the senior Associate Member decline this opportunity, the next Associate Member in seniority shall be notified and so on until the dock is rented. The above described member shall have all the rights and privileges of an Associate Member plus waterfront privileges for the season contracted, but never past December 31 of the same calendar year. The Associate Member (RENTAL) shall forfeit his/her right of rental if he/she refuses to become a Full Member when a Full Membership has been made available to him/her.

Section 3c-ALT.: Associate Members, in seniority order, may be able to rent any available dock for one year (one time only) June 1 to October 15 at the Seasonal Dock Rental rate plus a repair bond, as identified in the fee schedule, [4-16] by written request to the Vice Commodore. However, an Associate Member Rental-ALT. must become a Full Member in the next boating season if Full Membership is available, or forfeit all future waterfront privileges until becoming a Full Member. [6-03]

Section 3d: "Privileged Associate Member"

Wherein the Full Member “A” may voluntarily revert back to Associate Member by written application; wherein the Full Member “A” signs over all his/her waterfront and storage privileges to the Club for reissue. The Privileged Associate Member’s A/B shall then have the following rights:

1. Access to Club grounds, main clubhouse, island screen house, gate card and club key.

2. Club house rental according to existing rules.

3. Attendance at meetings and functions.

4. Use of designated picnic areas.

5. Winter boat storage, if available, at the prevailing rate, except those Privileged Associates boating out of other clubs, marinas, or private docks, for any reason or any period of time, may not store boats at FHYC for the following winter. [7-19]

Privileged Associate Members are exempt from work parties, ClubHouse cleanup and night watch. Said Full Member changing to Privileged Associate Member shall have his/her name placed at the bottom of a Privileged Associate Member roster. Seniority on this roster shall only be used to determine precedence among Privileged Associate Members reapplying for Full Membership. Privileged Associate Members shall take precedence over Associate Members in changing to Full Members on a dock space available basis without claim on any particular dock. Any Privileged Associate Member with a minimum of ten years as a Full Member will have launch ramp privileges, but no other waterfront privileges. A Privileged Associate Member who became a P.A. after 2006 [01/07] must pay the initiation fee difference between when he/she changed to Privileged Associate and the current initiation fee when changing to Full Membership. [1/95]

Section 3e: "Social Member"

Social Membership shall be available to Full Members, Privileged Associate Members, and past Full Members who wish to receive communications from and visit the Club, but not be an active member.

If they choose to again become a Full Member, they must start over as an Associate Member with no seniority and pay all fees involved. No keys or cards will be issued.

Section 3f: "Honorary Member" [6/94]

This membership will be for a surviving spouse who has given up his/her dock. It may also be given to individuals who have done a great service for the community, the area or for this Club. Such Honorary Members shall be restricted from holding Club office, voting and waterfront privileges. Honorary Members have no work party requirements. The status of Honorary Membership will be reviewed annually by the Board of Directors.

Section 4: "General Membership Rights, Responsibilities and Remedies"

Section 4a: "Special work party Exemption" [5/94]

Current members of the Board of Directors and past Commodores (or surviving spouses [12-05]) are exempt from work parties provided they have served at least four (4) years in a Flag Officer's position. Each three (3) years on the Board of Directors in a non-Flag position will substitute for one (1) year as a Flag Officer. Such service may be prior to or subsequent to their year as Commodore. Active Board members and past Commodores, while they are serving as Trustees, are exempt club house cleanup and night watch. However, each Board member will be assigned a week(s) of patrol to inspect and confirm that duties were performed.

Section 4b: "Family Member Work Hours" [2/96]

Family member(s) over the age of eighteen (18) may participate at work parties and/or functions for the Full or Associate Member. Hours can be earned concurrently by the member and the family member(s).

Section 4c: "Seniority Sequence Revision"

A complete revision of the sequence of seniority numbers; i.e., moving up of the numbers on the Full, Associate, and Privileged Associate lists due to dropouts, resignations, etc., will be made at one year intervals or at the discretion of the Board of Directors, and shall be effective as of the March meeting.

Section 4d: "Termination for Just Cause"

Membership of any member may be terminated for just cause by a three-quarters vote of all the voting members of the Club present at any general or special meeting, provided that charges have been filed against the said members and thirty days have elapsed from the filing date of such charges. Filing of charges shall consist of notifying the accused and the Board of Directors in writing.

Section 4e: "Termination for Financial Reasons"

ANY MEMBER'S FINANCIAL OBLIGATIONS NOT RECEIVED BY THE START OF THE ANNUAL [04-05] MEETING SHALL RESULT IN TERMINATION OF MEMBERSHIP WITHOUT RECOURSE. The Treasurer, or his/her appointee, shall notify the Secretary within 10 days of the number of vacancies that is to be filled. The Secretary shall notify the membership by special mailing that such vacancies exist. [5/97]

Section 4f: "Member Rule Violation Remedies"

Any member violating established Rules and Regulations of the Club not carrying a specified penalty [01-09] will be:

1. warned in writing of such violation.

2. reprimanded for the second offense.

3. fined per the Financial Schedule “other fines” section. [6-14] for the third offense. Failure to pay the fine warrants forfeiture of membership.

4. immediately terminated from membership for a fourth offense.

Such warnings, in writing, shall come from the Board of Directors.

Section 4g: "Member Bylaw Violation Remedies" [5/97]

Any member violating a Club bylaw not carrying a specified penalty will be:

1. warned in writing of the violation and any required remedy by the Board of Directors.

2. a second offense of the same violation will constitute forfeiture of membership.

Section 4h: "Membership Forfeiture Appeal"

Any member who wishes to appeal his/her forfeiture of membership may submit a written request to the Board of Directors. Notice will then be sent to all Full Members advising them of a special meeting to be held within thirty days upon receipt of the written request. This Bylaw does not apply to Article “XIV-Miscellaneous”, Section 6. [12-16]

Section 4i: "Member Water Craft Liability Insurance"

Every member must provide proof of at least $100,000 water craft liability insurance (for all motorized watercraft) to the Vice Commodore for any and/or all time periods he/she has (a motorized watercraft)

[5-13] on Club property (including docking). Proof of insurance may be a copy of the policy in force or a certificate of insurance of the current policy. For the specific penalty for violating this bylaw refer to: “other fines” in the Financial Schedule. [6-14]

Section 4j: "Member Resignation"

Any member may resign from the Club at any time upon notice in writing and addressed to the Secretary.

Section 4k:

FHYC’s policy concerning any past member, whose membership has been terminated by the Club or who resigned prior to being terminated, is that they shall not be eligible for future membership, nor allowed to return to Club property at any time after said termination or resignation.[12-16]

ARTICLE III - MANAGEMENT

Section 1:

The general management of the Club shall be carried on by a Board of Directors.

Section 2:

The Board of Directors shall consist of the elected officers of the Club, excluding the Trustees, and shall hold office for one year, or until their successors are duly elected and qualified, as written in Article IV section 2.

Section 3:

Regular meetings of the Board of Directors shall be held at least quarterly at a time and place designated by the presiding officer. Special meetings of the Board of Directors may be called by the presiding officer whenever necessary, provided that notice of such meeting be given in sufficient time to permit the members of the Board of Directors to be present. Five members present shall constitute a quorum at any meeting of the Board of Directors.

Section 4:

The Board of Directors may employ whatever personnel it deems necessary, and for which funds are available, to aid in the management of the Club.

Section 5:

The FHYC Auxiliary exists, with its own bylaws, Board of Directors, and officers, as a separate supporting organization within and for FHYC to stimulate a greater interest in boating and fellowship among FHYC members, their families, and the community. [8-18]

ARTICLE IV - OFFICERS

Section 1:

The elected officers of this Club shall be as follows: Commodore, Vice Commodore, Rear Commodore, Fleet Captain, Assistant Fleet Captain, Secretary, Treasurer, Chairmen of the Membership, Program, Attendance, Publicity, Planning[5-20] and Ways-and-Means Committees, one member of the Board of Trustees, and the elected members of the Bylaws Review Committee and the Planning Committee.[5-20] The Commodore, Vice Commodore, Rear Commodore, Fleet Captain, Secretary, Treasurer shall be designated as Flag Officers.

Section 2:

Officers shall be elected at the December general membership meeting of the Club by secret ballot. Officers, except members of the Board of Trustees, Bylaws Review Committee, and Planning Committee, shall hold office for a term of one year or until their successors assume office after having been elected according to these Bylaws except for the Commodore who shall not serve more than one year consecutively. Vacancies in any elective office shall be filled by a secret ballot election at any regular or special meeting, provided there be a quorum present.

Section 3a:

The Trustees shall each hold office for a period of three years and shall be responsible to the general membership of the Club, with one new member being elected each year. The senior member of the Board of Trustees shall assume chairmanship of the Board. The senior member of the Board of Trustees shall retain one key to the safety deposit box and be a registered owner of the safety deposit box. [7-09]

Section 3b:

The Board of Trustees shall provide for all required insurance's and an insurance bond on the Treasurer, handle all legal documents, including permits, acquisition of and/or disposition of property, financial instruments and controversial issues passed on from the Board of Directors. The Board of Trustees shall meet whenever it has business to carry on at the discretion of its chairman, but in no case shall it meet less than quarterly.

Section 3c:

The Board of Trustees shall advise and guide the Club in such a manner that the purpose of the organization as set forth in Article I, Section 2 of the Bylaws shall be adhered to insofar as it is possible.

Section 3d:

The Trustees shall annually notify the Secretary of State of the correct name and address of each member of the Board, and file any other documents necessary to insure the legal status of the Club as a nonprofit corporation. (Nonprofit Corporation No. 216167).

Section 4:

The Commodore shall preside at all meetings of the Club and the Board of Directors. He or she shall appoint all committees, except those whose chairmen are elected according to these Bylaws, and shall be a member, ex officio, of all committees, and shall carry on any other responsibilities given him or her by these Bylaws or the membership. The Commodore shall appoint a Parliamentarian and a Dock master. He or she shall also appoint representatives to the Interlake Yacht Association and the Greater Cleveland Boating Association, with the approval of the Board of Directors.

Section 5:

The Vice Commodore shall assume all the duties, authority, and responsibility of the Commodore during his absence, death or incapacity. He or she shall have as his or her responsibility the following committees: Publicity, Property, Dock Rental, Dock Assignment, Dock master, Rules, Regulations, Bylaws, Disciplinary, Ways and Means, Safety, and Legislative.

Section 6:

The Rear Commodore is responsible for the following committees: Membership, Programs and Attendance, representatives to USPS, and U.S.C.G., Cruise Committees, Harbor Rules and Regulations, Hospitality and Education, Keys and Locks, Clubhouse Cleanup, Night Watch, winter, summer boat storage and giving directions to all travel lift operators, and shall serve as a member of the Bylaws Committee.

Section 7:

The Secretary shall keep all records of all business proceedings and activities of the Club and of the Board of Directors, and shall make these records available to all Club members. He or she shall handle all Club correspondence, and prepare a roster; prepare and mail meeting notices; and send notices to the members within ten days after the annual meeting of dock vacancies and associate member openings.

Section 8a:

The Treasurer shall keep all accounts of this Club and have charge of its funds. He or she shall keep all records in such banks and accounts approved by the Trustees and in the name of the Club, subject to withdrawal in such a manner as may from time to time be determined by the Board of Trustees. He or she shall prepare and submit a budget covering the total anticipated expenditures for the new year, to the members at the annual meeting of the Club. He or she shall submit the records to an auditing committee as soon as possible and/or practical after the closing of the Club's fiscal year. He or she shall make all Club billings and be responsible for the safety deposit box and the mail box.

Section 8b:

The Treasurer will require that the Program Committee chairperson, Fleet Captain, and any committee in power to receive or spend money, will each keep a ledger that must show the following: 1) cash advances, 2) transactions and receipts, and 3) A monthly balance, and 4) report all transactions of the preceding month at the monthly Board of Directors meeting. The Treasurer shall file such account and make it available to the Auditing committee at the end of each calendar year.

Section 8c:

The Treasurer may select whomever he or she desires to aid him or her in preparation of the budget.

Section 8d:

Any change in office of the Treasurer shall be subject to an immediate audit.

Section 9:

The Fleet Captain, or in his or her absence, the Assistant Fleet Captain shall be responsible for the following committees: Clubhouse, Dock Construction, Grounds, New Construction and Repairs, Signs, Water Supply, Equipment, Flags and Burgees, and make an annual inventory of the Club property. He or she shall direct all work parties not covered by any other committee. He or she shall limit equipment replacement expenditures to $400.00 without membership approval.

Section 10:

The Membership Committee shall be responsible for the solicitation of new members, and shall provide an application and a copy of these Bylaws to all prospects at their first meeting, and shall approve or disapprove all membership applications before such applications are submitted for election to the members at a regular or special meeting. The committee shall also take under consideration all questions concerning membership of prospective members.

Section 11:

The Program Committee shall be responsible for all entertainment and social functions.

Section 12:

The Attendance Committee shall be responsible for recording attendance of members at all Club meetings and maintaining records of the work party hours for each member.

Section 13:

The Publicity Committee shall be responsible for bringing the activities of the Club to the attention of the public and membership in a favorable light.

Section 14:

The Planning Committee shall be responsible for plans for the future physical development of the Club and Club property and report directly to the Board of Directors at regular intervals. There shall be three Planning Committee members. Each member shall hold office for three years with one being elected each year. The Senior Member shall assume chairmanship of the committee.

Section 15a: [6/94]

The Bylaws Review Committee shall consist of seven members to include the Vice Commodore as chairperson, Rear Commodore, junior Trustee, and four Full members elected from the general membership. The four elected members shall serve staggered two-year terms (two new members elected annually).

Section 15b:

The Bylaws Review Committee will maintain Bylaws on an ongoing basis, keeping the wording and intent accurate and current.

Section 15c:

The Bylaws Review Committee will review all proposed Bylaw amendments that have been properly referred to the committee as specified in Article X, Section 2a. At the general membership meeting at which a proposed amendment is accepted for consideration, the Bylaws Review Committee Chairperson shall obtain a written copy of the proposal from the Secretary and set a date for a review meeting. The member who initiated the proposal should be encouraged to attend the meeting in which his or her proposal is to be reviewed.

Section 15d:

The Bylaws Review Committee will review, clarify, and address any discrepancy between existing bylaw wording and a proposed amendment and edit where necessary for proper insertion of the proposed amendment into the bylaws. The committee should, to the best of their ability, use proper grammar and keep the bylaws simple and understandable. Above all, they must maintain the intent of the original proposed amendment.

Section 15e:The Bylaws Review Committee's findings, proposed wording, and insertion into the bylaws should be presented as a report at the next general membership meeting following the review meeting at which a majority of the committee reaches agreement and completes it's report.

Section 16:

The Ways and Means Committee shall be responsible for generating funds for the organization. Fund raisers shall include monthly, annual and additional fund raisers recommended and approved by the membership. [12/93]

ARTICLE V - FISCAL YEAR

Section 1:

The fiscal year of the Club shall commence on the first day of January and end on the thirty-first of December.

ARTICLE VI - BUDGET

Section 1:

A budget covering the total anticipated expenditures for the fiscal year shall be prepared and submitted to the members at the annual meeting by the Treasurer. The budget shall be considered and approved, with or without revisions by the membership. It may be reviewed and revised at any regular meeting of the members thereafter. No official, or group of officials, nor any paid officials nor any paid employee of the Club, shall obligate the Club in excess of the approved budget, or otherwise than according to the approved budget. Copies of the proposed budget will be available at the regular January meeting. . The treasurer has the authority to spend appropriately, from January 1st of each year until a budget is authorized, to meet the financial obligations of the Club. This authorization will be limited to the average monthly expenditures of the previous 12 months. [3-15]

ARTICLE VII - DUES, FEES, AND FINANCIAL OBLIGATIONS

Section 1:

The amount of the dues of each member shall be determined at the annual meeting by the voting membership. Dues for the forthcoming year, as established at the previous annual meeting, and any other monetary obligations of the members of the Club shall be payable at the beginning of the fiscal year, and must be paid by the start of the annual meeting. There shall be allowed no delinquency in payment of dues.

Section 2:

The amount of the Initiation Fee for each new Full Member shall be determined at the annual meeting by the voting membership. "10%" of the total Initiation Fee will be billed and paid in each of the first "10" years of membership. The remaining balance owed may be paid any time in the first 10 years of membership. [01/07]

Section 3: [2/96]

The associate member dues remain non-refundable. Upon election to Full Member status, the new full member will be billed and will pay the amount of the initiation Fee according to "Section 2" above. [01/07]

ARTICLE VIII - MEETINGS

Section 1: [6/96]

General membership meetings of the Club shall be held on the first Tuesday of each month, at 7:30 P.M. at a place designated by the Commodore.

Section 2:

Special meetings shall be held at a time and place designated by the Commodore provided there be given three days written notice stating place, date, hour and purpose of such meeting.

Section 3:

The annual business meeting of the Club shall be held on the first Tuesday in February after the general membership meeting at a place designated by the Commodore.

Section 4:

Any action taken at any business meeting shall require a majority vote of the full members attending such meeting provided there be a quorum present, except for specific action provided for in these Bylaws.

Section 5a:

The following order of business shall be followed at all business meetings:

1). Roll Call (annual meeting, if required)

2). Reading of minutes of the preceding meeting

3). Receipt of communications, bills, notices, etc.

4). Report of officers and standing committees

5). Report of special committees

6). Old business

7). New business

8). Good of the organization

9). Adjournment

Section 5b:

Business meetings shall be conducted according to generally accepted Parliamentary procedure.

Section 6a:

No business shall be transacted at any business meeting of the Club, or at any meeting of the Board of Directors at which a quorum is not present.

Section 6b:

A quorum for any general membership or special meeting of the Club shall consist of 25% of full membership, including at least one Flag officer.

Section 6c:

A quorum for any meeting of the Board of Directors shall consist of any five members of the Board including at least one Flag officer.

Section 6d:

A quorum for any committee meeting shall consist of a majority of the members of said committee.

Section 6e:

Before any real property owned by FHYC can be leased, sold, or in any manner conveyed, said lease, sale, or other conveyance must be approved by an 85% majority of all full members, either at a general membership meeting or a special meeting called for the purpose of securing said approval. All full members shall be sent a written copy of the proposal for lease, sale, or other conveyance, at least thirty (30) days in advance of said meeting, and the meeting date and time shall be specified, in said written copy of the proposal. This bylaw shall require an 85% affirmative vote of all full members to be revised, repealed or otherwise modified.

Section 6f:

Only official addresses in the Club roster will be used for mailings in Section 6 e above.

ARTICLE IX - ELECTIONS

Section 1:

Election of officers shall take place at the Club's December meeting as provided for in these bylaws.

Section 2a:

A nominating committee consisting of three members shall be elected by those present at the Annual Meeting, provided there be a quorum present. This committee shall nominate no member of the committee for any office, but shall nominate one or more members of the general body for each of the several offices. The outgoing Commodore shall be one of the nominees for the office of Trustee. This slate of nominees shall be presented to the Club at the November general membership meeting; at this time nominations shall be accepted from the floor. If any nominations from the floor, or the nominating committee, create contested positions, each nominee for that office shall have, but will not be required to use, five minutes, at the end of the balloting to explain why he/she should be elected. [10/10] Ballots shall be prepared, with names of all the nominees for each office appearing on the ballots and distributed by mail to the membership in advance of the December general membership meeting. The marked ballots shall be placed in a ballot box at the December general membership meeting and shall be counted and

tallied during a short recess called during "Old Business." After the meeting is again called to order, the complete results of the voting shall be announced, and the new officers shall take office at the January general membership meeting.

Section 2b:

There shall be no balloting by proxy.

Section 2c:

Signed absentee ballots must be received by the Secretary prior to the election. They shall be accepted and counted, and the effect of these votes recognized.

ARTICLE X - PARLIAMENTARY AUTHORITY AND AMENDMENTS

Section 1:

Final Parliamentary authority in case of disputes shall be ROBERT'S RULES OF ORDER, REVISED.

Section 2a:

Except for a special provision stated in Article VIII, Section 6e [1/93], these bylaws may be amended as follows:

1. At any general membership meeting having a quorum (Article VIII, Section 6a and 6b), a member in good standing may submit (by motion) a proposed amendment to the bylaws. The proposed amendment is to be submitted, in writing, to the Secretary. Upon a majority approval by the membership in attendance, the proposed amendment is referred to the Bylaws Review Committee. Bylaws Review Committee responsibilities are specified in Article IV, Section 15.

2. The Bylaws Review Committee shall meet and review the proposed amendment and, if possible, prepare a report to be given at the next general membership meeting. A majority of the committee must be in attendance at this review.

3. At the next general membership meeting immediately following the committee meeting at which the review is completed, the review committee chairperson or designee shall give the committee's report on the proposed amendment . Any discussion or actions taken should be directed at the committee's findings, not on the merits of the proposed amendment. Members are to vote either to accept the report or return to committee for further review. If the proposed amendment is returned to committee, the board should give the committee direction or by some manned indicate the area of needed work.

4. If and when the membership votes to accept the report of the Bylaws Committee relating to a proposed amendment, the proposed bylaw amendment, as presented by the committee, is to be published to the general membership prior to the next general membership meeting.

5. At the next general membership meeting immediately following the meeting at which the members accepted the committee's report, the proposed amendment is brought on the floor for a final vote. If the proposed amendment receives the required two-thirds affirmative vote, it goes into effect immediately unless the amendment, itself, dictates otherwise.

Section 2b:

This section (Article X, Section 2) does not apply in the case of Article VIII, Section 5a Order of Business. The Order of Business may be changed or set aside by a simple majority vote without previous notice.

ARTICLE XI - INDEMNIFICATION

Section 1:

The Club shall indemnify any member, officer, trustee, employee, or agent from any and all liability or expenses incurred by said member, officer, trustee, employee, or agent arising out of any cause of action, suit, or other proceeding whether civil, criminal, administrative, or investigative in accordance with the Ohio Revised Code, Section 1702.12 (E), to the fullest extent allowable by said code section provided said indemnification is not specifically excluded therein.

Section 2:

F.H.Y.C., it’s officers, trustees, board, or any authorized agent bear no liability for any privately owned “recreational” motor vehicle operated on Club grounds, nor shall they use any such vehicle for Club business. Only licensed drivers are authorized to operate any motor vehicle on Club property. This includes, but is not limited to: golf carts, mini-bikes, motorcycles, ATV’s, and scooters. [3-09]

ARTICLE XII – RESTRICTIONS

All member’s boats shall fall within the maximum allowable specifications (Stated measurements do not include "pulpits", outdrives, swim platforms, etc.).

Actual boat measurements taken at area of maximum breadth and length to exclude bow pulpit and swim platform shall be submitted to the FHYC Board of Directors by a licensed professional Surveyor. (Not a marine surveyor).

*LARGER Docks: Members at LARGER docks, AND USING an AMPERAGE DRAW OF MORE THAN 30AMPS, shall pay AN ADDITIONAL ANNUAL FEE [10-15] as specified in the financial schedule.

All docks requiring any up-grades or modifications will come at the expense of the dock member, and no cost will be incurred by FHYC. All up-grades must be approved by the FHYC Board Of Directors prior to installation. [8-13]

LARGER dock members must note: that if your vessel is over 12’6” the FHYC boat ramp/well cannot accommodate your vessel. If your vessel is over 22,500 lbs., the travel lift cannot lift your vessel. If your vessel’s total length exceeds our storage yard current vessel storage layout, the Rear Commodore shall have the authority to deny you storage. [8-13]

Section 2:

All docks shall comply to the following specifications: a) 24 inches minimum width, b) 24 feet minimum length, and c) 33 feet maximum length in the slip area at docks 46 thru 75, 36’ maximum at docks 76 thru 85, and docks 93 thru 98. All docks shall conform to all applicable local, state and federal ordinances. [8-13]

Section 3:

Any devise or structure, such as a boat lift, boat float, etc., to be used or installed in a member's docking area must first be approved by the Board of Directors and shall not occupy more than the member's share of available waterspace minus two (2) inches. The dividing line of adjoining water spaces is located 1/2 the distance between the centerlines of adjacent docks. Any approved device or structure must be properly secured to insure it cannot intrude into adjoining water space, and must not extend lengthwise past the end of the dock.

Section 4: [3/94]

All boats for winter storage must conform to the maximum size limitations as prescribed in Section 1 above.

Section 5:

No member shall use Club property for profit motivated purposes.

ARTICLE XIII - DOCK ADMINISTRATION [6/94]

Section 1:

Dock assignments: All permanent dock assignments are made by the Vice Commodore on Dock Day. All dock assignments thereafter will be temporarily assigned by the Vice Commodore for the remainder of that year only and will be reassigned permanently by seniority for the following year.

Section 2:

The administration of rental docks shall be the responsibility of the Vice Commodore.

ANY FULL MEMBER WHO ALLOWS HIS OR HER DOCK TO BE RENTED SHALL BE EXEMPT FROM ALL WORK HOUR REQUIREMENTS, INCLUDING NIGHT WATCH AND CLUBHOUSE CLEANUP FOR THE PERIOD OF TIME THAT HIS OR HER DOCK IS RENTED. Written notice of the member's intent to give up his or her dock for rental must be received by the Vice Commodore within seven days after "Dock Day" each year for this exemption to apply. [4/91]

Full Member Dock Day will be held at 2:00 P.M. EST the first Sunday following the March general membership meeting every year. Dock Rental Day will be adopted as a regular requirement to assign and bid on rental docks. It shall be open to full and associate members. This Dock Rental Day shall be held two (2) weeks after Full Member Dock Day on Sunday at 2:00 P.M. EST. Proxy shall be the same rule as Member Dock Day. Dock upgrading shall end on Dock Rental Day. All docks that come up for rental

after this date shall be rented to associates that have rental requests in writing submitted to the Vice Commodore, in accordance with Article II, Section 3c.

There shall be no dock swapping permitted by anyone in this club without the written consent of the Board of Directors. Any such approval shall be for the current boating season only.

Section 3:

The Dock Master shall assist and properly register guests who are docking at the Club. If a fee is to be charged, he will collect the fee as listed in the financial schedule, and turn it in to the Treasurer.

ARTICLE XIV - MISCELLANEOUS [6/94]

Section 1:

One owner of any boat docked at the Club property shall be a Full Member. Any other owner, or owners other than a “Family membership, [4-17] of the boat in question must be an Associate Member.

Section 2: [12/91]

All members A/B and individuals [4-17] shall have proper identification, by membership card, and shall show such identification upon request from any other Full Members. All boat cradles and boat trailers must have member's names on them and only members are allowed to store a boat, a cradle or boat trailer on FHYC property. Any exception to this policy must have the written approval of the Board.

Section 3:

All guests of members must be properly identified when visiting the Club property, when not accompanied by the member. Identification shall consist of a guest card furnished by the Club and distributed by the Rear Commodore.

Section 4:

Only the Full Member, his or her spouse, and those children as defined as dependent by the Internal Revenue Code may operate a boat out of the Club, except as noted in Article II, Section 3c.

Section 5:

The representative to the Interlake Yacht Association and the Greater Cleveland Boating Association shall be exempt from twenty four (24) hours of work party time if he or she attends two-thirds of the scheduled meetings. Assigned representatives must submit a verbal report at the regular Club meetings, or submit a written report in advance of the meeting.

Section 6:

FHYC’s policy on any and all illegal drugs and/or any other banned substances is one of “ZERO TOLERANCE”. No member shall possess, use, buy or sell illegal drugs and/or any banned substance on Club property which includes all boats and/or vehicles while docked or parked at FHYC, nor shall any member knowingly allow guests to do so. The penalty for violation of this Bylaw is termination of membership without recourse. This Bylaw is not subject to Article II, Section 4h.[12-16]

RULES AND REGULATIONS

1. The "Golden Rule" applies to everybody, and every member shall conduct himself as a gentleman ashore and afloat. Members are responsible for the conduct and actions of their guests.

2. It is unlawful for any member to sell any type of intoxicating beverage or controlled substance on the Club property. [3/95]

3. Every member shall abide by local harbor regulations and will avail himself of the knowledge supplied by the Coast Guard Auxiliary and the Painesville Power Squadron.

4. Each dock owner shall share one-half the cost and responsibility of his dock with his dock partner. All docks will be in a safe operating condition by the date set each year by the Fleet Captain. Failure to comply will result in a fine as identified in the fee schedule. [2-16] If the Club should replace or rebuild the owner's dock, he/they will be charged for materials and labor in addition to the above fine. All riverfront docks, and all posts, must be removed by the date set by the Fleet Captain each year.

5. Provided previous exemption has not been granted, members who dock on the riverfront will be fined as identified in the fee schedule [2-16] if a work party removes their dock and neither dock owner is present to assist.

6. Each member shall maintain his dockfront area and facilities (picnic table, chair, water hose, grass, etc.). Members shall keep the grass cut, and shall keep their dock level and shipshape.

6a. Each member shall maintain their storage area yearly. Cradle, Styrofoam blocks, jack stands, and blockage for boat storage, cutting weeds, mowing, disposing of shrink-wrap, and miscellaneous debris. Boat and trailer storage only in storage areas. Boat trailer owner responsible for same in cradle storage area. Ditch area must be kept clean of debris at all times. Failure to comply with rule 6 and 6a will result in a fine, as identified in the fee schedule, [2-16] per incident for member or members involved, at the discretion of the Vice Commodore, Rear Commodore, or Fleet Captain. [8-08]

7. No member or his guest shall exceed the posted speed limit on Club property, or on the drives leading to the Club from the main highway.

8. Upon unloading his equipment, each member shall park his vehicle (or vehicle and trailer) in the designated parking areas.

9. Members having large parties shall use the area EAST of the main drive so as not to disturb other members enjoying their boat or dock.

10. Members shall not use a private picnic table without the owners’ permission.

11. There shall be no open fires on Club property without the written permission of the Fairport Harbor Fire Department. No one shall dump hot charcoal on open ground.

12. We are a member of the Interlake Yachting Association (ILYA) and the Greater Cleveland Boating Association (GCBA). We welcome boats flying either burgee. Guests MUST register with the dockmaster, or pay any fees, and post a copy of the guest pass on the dock side of their boat. Guests may use the clubhouse facilities in accidence with the rules listed on the guest pass.

DOCKMASTER DUTIES [1/95]

a. Make a check on guest docking in the morning and at least twice during the evening.

b. Assist guests in getting acquainted with the Club grounds and facilities3

c. Fill out guest pass and point out rules on back of hard copy. Leave hard copy with guest to place in dock side boat window.

d. Collect appropriate fee: First night is free for ILYA members only.

` Each additional night is $15.00 (Fee charged may be conditional upon any in-kind written agreement we have made with another club)

13. Be sure to lock clubhouse and gate if you are the last to leave the Club property. A car parked on the grounds is no indication that the owner is present.

14. Minors, under the age of 18, must not be left unattended on the Club grounds, and in no case will the Club be held responsible.

15. A charge shall be made for lost keys or gate cards.

16. Club members shall abide by all local, state, and federal laws; i.e., NO swimming in the Club area waters; NO open fires without permit, etc.

17. Life jackets MUST be worn by children under the age of 8 when within 50 feet of any water front (including the pond).

18. Clubhouse facilities are for your use. Each member is responsible for cleaning the clubhouse after using it for personal or social reasons, and on designated clubhouse cleanup days. Failure to comply will be a violation of Club rules.

19. Any change of rules or bylaws will be posted in the clubhouse following such approval.

20. No smoking will be permitted at any scheduled meeting held in any building on Club grounds. Smoking is not allowed in the main clubhouse at any time. [10-14]

21. Pets are not allowed in Club buildings and must be leashed when on Club grounds. In addition, dogs are not allowed in the island screen house and all members must clean up after their own pets. No pets are to be left unattended on the grounds or in/on any boat or motor vehicle for any period of time. [7/99]

22. Members of other clubs may not store a road vehicle on Club grounds.

23. Visitors shall confine their belongings to the immediate area of which they are a guest.

24. Visitors offending FHYC bylaws or rules will be reprimanded in writing and a copy sent to their club.

25. STORAGE AND WET WELL RULES ARE AS FOLLOWS:

I. STORAGE:

All storage spaces will be numbered by the Rear Commodore. This numbering system is to remain constant each year.

II. WINTER STORAGE:

A. The northern end of area "A" will be used for power boats stored on cradles or jack stands.

B. The southern area of area "A" will be used for sailboats stored on cradles or jack stands. [Reasons for IIA and IIB are potential flooding]

C. Sailboats using cradle/trailer beds and power boats on trailers that cannot make the turn to the island may also use area "A" with Rear Commodore's agreement and approval.

D. Full Members with the type of storage bed stated in IIA, IIB and IIC will have preference over other Full Members and all Associate Members.

E. The placement of the cradle centerline must be near the center line of the stake; however, regardless of the stakes, there must be a minimum of nine (9) feet between these cradles. See the Rear Commodore if there are conflicting specifications.

F. Other areas on the island will be used for additional storage. These areas will be indicated with stakes. Please use stakes as center lines for the parking/storage of your boat.

G. In addition, there will be storage in the middle of area "A" similar to IIA and IIB.

H. The rule for boats stored in the middle of area A: is "LAST IN, FIRST OUT". These boats must be ready for launching when the first spring launching date is scheduled. This was your decision; therefore, you are expected to live up to your decision thereby not creating problems with your fellow members.

III. SUMMER STORAGE

A. All cradles, jack stands and cradle/trailers in rows 1and 3 may be stored in their winter storage position in area "A".

B. Items stored in the middle of area "A" for winter storage MUST be removed. See posted layout.

C. All boat trailers will be stored at F.H.Y.C. in accordance with the posted layout. Any

exceptions must have the Rear Commodore's approval.

D. Individuals who may need usage of boat their trailers during the summer should park their trailers in rows 1 or 2. See layout.

E. All boat trailers must be removed from area "A" between the last weekend of September and the first weekend of October.

F. An annual summer storage fee, as identified in the fee schedule, [2-16] shall be charged for

any member storing a boat more than two (2) years without being launched a minimum of

thirty (30) days. This rule is retroactive. No transfer of ownership shall override this rule. If

the boat in question is not launched by July 4th of the third year, the member will be charged

this fee.[07/2000]

G. Members shall be charged for summer storage if the member's boat(s) is/are continuously

stored in area "A" from July 4th to Labor Day in September of that year.

IV. BOATING-RELATED TRAILERS

All “boating-related” trailers, other than a member’s primary boat trailer, left on Club property in the winter will be charged the current storage fee for that period. These may include, but are not limited to: PWC, Dinghy, Inflatable, Canoe, and utility trailers. The Board is the lone authority in determining if a trailer qualifies as a “boating related” trailer. These trailers can only be stored in designated areas of the boat yard, in the winter and/or summer, and only with the Rear Commodore’s direction and approval. [3-08]

V. LIFT OUT/IN SCHEDULE

A. A large calendar will be posted in the clubhouse for do-it-yourself scheduling.

B. List your name on the day you wish with the appropriate code behind your name to indicate usage and storage requirements as follows:

"L&A" means travel lift and area "A".

"L&I" means travel lift and island.

"R&A" means ramp and area "A".

"R&I" means ramp and island.

Print clearly and do not list more than six names per day for travel lift usage. Ramp usage will not be scheduled; however, we do need your storage information.

C. The Rear Commodore will review all requests and try to schedule lift operators and spotters on days requested.

D. It is the member's responsibility to watch the schedule for any potential changes. All changes on the schedule will be done by DRAWING ONE LINE ONLY through the name and

printing same in another date space. This schedule change can be done by the Rear

Commodore or boat owner.

E. All lift outs/ins start at 0800 hours that day and you or a previously assigned person must be there.

F. The travel lift will only take boats to storage area "A" when it is not feasible to bring the storage bed to the wet well.

G. A storage bidding day will be held on the first Sunday after Labor Day at 2:00 p.m. At this time all open storage spots will be given by seniority bid according to storage rules by area. Members with two boats are only allowed one assigned spot and must store second boat in a spot designated by the Rear Commodore if available. [10/99]

VI. GENERAL

A. A list of qualified operators, spotters and policy will be posted adjacent to the schedule calendar. These items will be posted on August 1st with a final sign up date of September 1st in the Fall and on March 1st with a final sign up date of April 1st in the Spring. Reason: The time required for scheduling workers, planning and notification of members when and if there is a shortage of spaces.

B. Only qualified operators will have a key for the travel lift and they are the only ones allowed to operate the travel lift. This is an insurance requirement.

C. Anyone wishing to be trained on travel lift operation must turn in a written request to Rear Commodore before the Board meeting of that particular month. Such request will then be reviewed by Board, and voted upon to accept or deny. [11/02]

D. Only qualified travel lift instructors that are listed as qualified travel lift instructors shall instruct/train, or try to instruct/train another member in the operation of the travel lift. [11/02]

E. ALL TRAVEL LIFT INSTRUCTION will be assigned by the Rear Commodore and is to take place during mid summer months only.

VII. MAINTENANCE

A. Twice a year, early Spring and early Fall, a complete maintenance must be done. This includes lubrication, safety check and anything else necessary.

B. Oil and gas should be checked before each usage and filled as required.

C. The Rear Commodore is authorized to spend up to $5,000 from the “travel lift allocation

fund” without prior membership approval, for any needed repairs or maintenance to the travel lift. [10/08]

26. The following rules govern use of the lift in emergency situations: [11/94]

A. No charge will be made to any member who has his/her boat lifted by the travel lift due to an emergency situation.

B. An emergency is defined as a situation where there is imminent danger to occupants of a boat or serious threat of loss of property.

C. Members will have unlimited free lift outs when a boat problem requires immediate attention to rectify the problem. This will be effective as of the 2001 boating season.

D. No charge will be made to any non-member who has his/her boat lifted by the travel lift due to an emergency situation.

E. The following lift rules apply to any use of the travel lift:

1. No chemicals are to be used while a boat is in the slings.

2. A qualified travel lift operator must be present while a boat is in the slings.

3. A boat MUST be removed from the slings within two (2) hours.

27. Construction and/or placement of decks, dock boxes, fences, pavilions, TV antennas or connections to any Club services including water, electrical or sewer must be approved first by the board of directors. [5/99] Dock boxes are “not to exceed” 4x8x8 with 6” for trim and a maximum 30” overhang. [7-11]

28. The hours of duty for night watch and club house clean up are from 7:00 pm to 9:00 pm. [3-17]

29. All sailboat masts will be stored on the sailboat itself or on the Club provided “mast rack” any/all times they are not rigged and in use on the sailboat. [3-07]

30. All old “second” docks on Club property will be disposed of and no old (“other”, “second”, etc.) docks will be stored on Club property. [3-07]

31. Boats in the storage yard shall not be plugged into electricity without the boat owner or responsible person age 18 or older being present. Extension cords shall be unplugged at the storage yard outlets when not in use. [02-09]

32. Member shall not be permitted to rent the club house Friday through Monday Memorial Day, Fourth of July or Labor Day weekends. If the Fourth of July should fall on a Tuesday, Wednesday, or Thursday, this rule applies to the weekends both before and after. [02-09]

32A) The Clubhouse is not available for rentals on Sundays during the NFL Football season. The Club is available to the membership for the purpose of watching the games and socializing. [1-12]

32B) The Clubhouse is available for rental by all members for a fee. The rental is for the member, his or her spouse, and immediate family only. Any member who rents the club for any other purpose or person will pay an additional charge for the rental. The fees will be established at the annual membership meeting in February. [1-12]

32C) The Clubhouse rental is a reserved private event by the member. Although that member may invite other FHYC members, the Clubhouse rental fees still apply. [1-12]

32D) There will be no charge for the use of the Clubhouse for any member or spouse’s immediate family bereavement gathering. [1-12]

32E) A member who rents the Clubhouse must be present for the entire event.

32F) A member must rent the Clubhouse for all functions regardless of the day of the week. [1-12]

33. A Lull usage charge, as identified in the fee schedule, will be assessed per side per season, for dock

lift in and removal. A separate Lull usage charge, as identified in the fee schedule, will be assessed [2-16] per season for dock box placement and removal. These charges will appear on your annual invoice [4-09]

34. All sinks are required to collect all waste water and be properly disposed of in the sanitary sewer system. To discourage mosquitoes, no collection equipment is permitted to allow standing water to be left in the collection container. Dock owners violating this rule will be made to remove their sinks if a violation is noted. This rule is by order of the Lake County Health Department. [12-10]

35. No dock owner is permitted to dispose of fish carcasses or waste on Club grounds or waters. Fish waste should be properly disposed of or composted. Fish waste is considered solid waste and must disposed of in a proper solid waste container (dumpster or garbage can with a lid). This rule is by order of the Lake County Health Department. [12-10]

36. All spontaneous Member proposals (not to include planned Board recommendations), during General Membership meetings, to spend Club funds for ANY project or “item” which exceeds $500.00 will be forwarded to the planning committee if approved by a vote of the membership to do so. Planning will then assess the proposal, get quotes if necessary to determine realistic costs and project viability, and work with the treasurer to determine availability and source of funds. At the next General Membership Meeting the Planning Committee will report their findings and the membership will vote on the proposal. [4-12]

37. Full and Associate members may opt to buy ALL of their required work party hours (40 for

full and 24 for associate members) at the beginning of each year by submitting the needed

amount (#hrs. x work party buyout/fine $/hr.) with their annual dues and fees by the annual

meeting deadline. If this option is not selected and paid for as stated above, ALL conditions

of Bylaws Article II, sections 3A and 3B remain applicable. Night watch and meeting

requirements are not eliminated with this option, only the annual work party hours are being

bought. [12-11]

38. Full Members are allowed to “rent” a second dock by-the-month or for a full season, at the rates

shown in the financial schedule, after “dock-Rental Day” if any are available. [2-13]

39. New applicants for Associate Membership in FHYC will be interviewed by a membership committee

consisting of at least 3 Flag Officers and the Membership Chairman to decide if the applicant may

temporarily join as an associate member and rent a dock, at the seasonal dock rental rate, pending a

membership vote at the next general membership meeting. If the applicant is voted in by the

membership, his paid associate dues and dock rental charges will be applied to full membership. If the

membership votes the applicant down all dues and dockage fees will be returned. [2-15]

40. No Member will alter, repair or modify a FHYC owned or provided utility, including but not limited

to,  electrical and water systems, particularly dockside power pods and components, dock box GFI

breakers, dockside water spigots, boat yard electric service and water spigots, without the advance

approval from and under the direct supervision of the Fleet Captain or his/her designated ‘person in

charge’.   The first violation of this rule will result in an immediate fine as identified in the fee

schedule, which must be paid by the next general membership meeting.  Additional offenses will

subject the member to termination.  The ONLY exception would be an emergency which must be

reported to the Fleet Captain immediately.[4-17]

41. There shall be no vehicle parking, boat storage, or storage of anything at the north end of the shower

house. [Mar. 18]

42. For security reasons the board will require the newly elected incoming Rear Commodore to select and

Implement new security measures pertaining to passwords for the Club. These are to include Internet WiFi, access to FHYC website, gate access and main club house. [9-20]

USE OF THE CLUBHOUSE FOR SOCIAL FUNCTIONS

The clubhouse and club facilities will be restricted to groups sponsored and attended by at least one Club member who will be responsible for the conduct of his guests and the condition of the Club. This applies to all functions not sponsored by FHYC.

Donations required for this type of Club facility use shall be as follows:

All groups will be required to make a $150.00 [2-16] refundable security deposit along with their appropriate donation. The security deposit will be refunded when it has been determined that the Club was left in satisfactory condition.

All requests for the use of the Club will be in writing and will be delivered to the Fleet Captain in time for the Board meeting of the month prior to the date the use of the Club is requested. Moneys collected will be turned over to the Treasurer. The Fleet Captain or his assistant will decide if the request for the use of the Club facilities is appropriate. If the Fleet Captain is in doubt, he can present the request to the Board.

The Fleet Captain or his assistant shall check the condition of the Club facilities following the non-Club function to insure the return of the security deposit at the earliest opportunity.
