Wholesale Distributor Cover Letter

Thank you for your interest in becoming an Innersource Wholesale Distributor.

On the following pages, please see the Distributor/Wholesale Agreement for your completion and signature. Please fax or email it to the above number when it is completed. Or you can mail it to us at the above address.

We ask that the first order be paid with a credit card (Visa, MasterCard, American Express, or Discover). Please enter your credit card number and 3-digit security code on the agreement form. If after your first order you wish to set up net credit terms with us, please be sure to complete the reference section of the agreement. If you have an existing account with Innersource, you need not complete question #10 on the Wholesale Agreement.

Your wholesale discount can be used for the items listed on the Wholesale Price List. You may notice there are some items for sale on the website (package discounts, advanced DVD sets, etc.) that are available at retail prices only, because they are already discounted, or otherwise not eligible for discounting. A list of eligible products with wholesale pricing is attached. When ordering, please contact me at the warehouse directly. (Currently wholesale discounts cannot be applied to orders through the website.)

Case quantities are listed on the price list for your information only. You do not have to order full cases. While most wholesalers find that having product on-site and putting it in the customer’s hand is the best way to increase sales, you can also arrange to sell products you don’t stock, or happen to sell out. Contact the warehouse manager for details about how to have us ship directly to your customer.

Wholesale Distributor Agreement

This agreement is made between Innersource and ________________________________ (the “Distributor”).

The Distributor desires to purchase from Innersource books, audio CDs, and DVDs for resale to consumers.

The Parties Agree as Follows:

1. Innersource appoints the Distributor as a non-exclusive distributor of books, CDs, and DVDs produced or represented by Innersource. Distributor recognizes that Innersource appoints other distributors to sell its programs directly to consumers. Distributor may establish sub-distributors, dealerships, and/or retail outlet contracts.

2. Distributor may purchase eligible products at a discount of 40% off retail price. Intermediate DVDs, Advanced DVDs, Packages, and some specialty items are excluded from the discount. There is a $50 minimum for all wholesale purchases.

3. Distributor pays the shipping costs. Actual shipping costs will be calculated for each order. For U.S. orders, unless otherwise requested, shipping methods available are UPS Ground (3 – 6 days) and UPS Air (2 days).

4. Distributor shall promptly and thoroughly inspect all units received and notify Innersource within 10 days of any shortages or obvious defects. Distributor will retrieve for Innersource’s inspection any defective unit claimed by a consumer to be defective. Innersource will promptly replace that unit to the Distributor or its customer.

5. Payment for items must be received by check, money order, or credit card in US Dollars.

6. Innersource authorizes Distributor to use the marks that appear on its literature and products in connection with, and only in connection with, the promotion, advertising, merchandising, selling, and distribution of Innersource products. Distributor acknowledges the sole and exclusive right and title of Innersource to its Trademarks, Copyrights, and products.

7. Items you choose to return must be in saleable condition. Returns must be pre-authorized and include a copy of the original invoice. Refunds or credits to be applied to the original invoice will not include shipping costs.

8. Innersource is not liable to the Distributor, any of its customers, or any other entity, for the Distributor’s failure or refusal to fill any order, or for its handling of any order.

9. If there is a dispute regarding the terms of performance under this Agreement and legal action is necessary to enforce its terms, the prevailing party is entitled to collect costs and reasonable legal fees, in addition to any other relief to which that party is entitled. This Agreement shall be governed exclusively by the laws of the State of Oregon. Any dispute related to this Agreement shall be submitted to binding arbitration before a single arbitrator in Jackson County, Oregon.

10. If you do not have an existing account with Innersource and wish to establish a 30-day payment option (net 30), please provide three companies with which you have existing credit. (Name, Address, and Phone):
