THE CONSTITUTION OF THE ACCOUNTING

ASSOCIATION OF KING’S COLLEGE

PREAMBLE:

In recognition of the benefits to be derived from the study of Accounting and in realization of the importance of an organization acting as a stimulus to the discussion and promotion of Accounting is basic to the understanding of the business world, we, the members of the Accounting Association of King’s College, agree to form this organization and for its government to adopt the following Constitution.

ARTICLE I: NAME

This organization shall be known as the Accounting Association of King’s College.

ARTICLE II: PURPOSES AND AIMS

Section 1: This Organization has been formed in order that all members might be given an opportunity to broaden their knowledge and to expand their areas of interest in the field of Accounting, and to have greater appreciation of the Art of Accounting.

Section 2: This Organization also seeks to provide an avenue for the dissemination of information relating to employment career and graduate school opportunities specifically in the field of Accounting.

ARTICLE III: MEMBERSHIP

Section 1: Membership in the Accounting Association shall be open to any duly registered student of King’s College majoring or minoring in Accounting and to all Freshman who have a potential interest in Accounting.

Section 2: In order to maintain membership, an individual must pay dues at the time specified, and must participate actively in the activities of the Organization.

ARTICLE IV: ELECTIONS

Elections shall be conducted at the time and in the manner specified in Article IV of the By-Laws.

ARTICLE V: OFFICES

Section 1: The Officers of the Organization shall be the President, the Vice-President, the Secretary, and the Treasurer.

Section 2: The Officers shall be elected in the manner prescribed in Article IV of the By-Laws.

Section 3: The Duties and Powers of Officers shall be those prescribed in Article II of the By-Laws.

Section 4: Officers shall assume their positions immediately following their election and retain those positions until the next general election.

Section 5: Should any Officer except the President become unable to complete his term of office, the vacancy shall be filled by an individual who is not already an elected Officer, and who is appointed to fill the vacancy by the President of the Organization, with the concurrence of the other two remaining elected Officers. The vacancy of the Presidency shall be filled by the Vice-President.

ARTICLE VI: MEETINGS

Section 1: Regular meetings of the Organization shall be held every third week during the academic year.

Section 2: The President shall have the Power to call a special meeting of the Organization whenever necessary. Notice of special meeting must be posted forty-eight (48) hours prior to said meeting.

Section 3: Any motion introduced at any meeting must receive the positive vote of a majority of the members present at that meeting before the motion will be considered “passed” and adopted by the Organization.

ARTICLE VII: AMENDMENTS

Section1: Proposed Amendments to this constitution must receive the positive votes of two-thirds of the members present at the meeting during which the proposed, Amendment(s) is (are) introduced and voted upon before said Ammendment(s) shall be considered “passed” and added to this constitution.

Section 2: Proposed Amendments must be presented at one meeting, in writing, to be voted upon at the Special Meeting to be called by the President one week after introduction of the Amendment(s).

Section 3: All proposed Amendments shall be considered individually and voted upon separately.

BY LAWS

ARTICLE I: DUES

Section 1: Dues will be set by the officers prior to the first meeting of each academic year.

Section 2: Dues shall be paid by the close of the third function or meeting of each semester, with extensions to be granted by the President, only for a just cause.

Section 3: Should any member fail to pay dues by the specified time, the name shall be removed from the rolls of this Organization. A period extending to the next meeting will be allowed to pay late dues. Failure to pay dues at the end of the period will result in permanent exclusion from the Organization for the semester.

ARTICLE II: DUTIES AND POWERS OF OFFICERS

Section 1: The President shall preside at all meetings and have the power to call special meetings, shall have general supervision of the Activities of the Organization, and shall have the power to appoint: the chairman of all committees.

Section 2: The Vice-President: shall assume the Powers and Duties of the Presidency should the President become absent from that office, either temporarily or permanently; the Vice-President: shall assist the President and perform any duties assigned to by the President.

Section 3: The Secretary shall keep a written record of all meetings; shall carry on all correspondence for the Organization and keep a file of such correspondence; shall be directly responsible for notification of all meetings.

Section 4: The Treasurer shall collect all dues and pay all bills (in accordance with Student Government regulations), keeping a written record of all such transactions, shall keep an account of the financial status of the Organization, which will report at every meeting, and shall keep the official roll of the members.

ARTICLE III: COMMITTEES

Section 1: Committees may be instituted by the President as the need arises.

Section 2: Committee chairperson will, at the call of the President, be responsible for a report to the entire Organization.

ARTICLE IV: ELECTION

Section 1: Elections will be held during the second to the last meeting of the academic year

Section 2: Nominations will be made at the regular meeting immediately preceding the last meeting of the academic year.

Section 3: All nominees must be active members in good standing who have attended at least four semester functions prior to the meeting at which they are nominated.

Section 4: If an individual is absent during the nomination session, he/she will not be considered for nomination, exceptions being made only if that individual has been excused by the President or the Moderator of the Organization.

Section 5: A nominee for a particular office must receive a majority of the votes of the members present for that office before shall be declared elected to that office.

ARTICLE V: AMENDMENTS

These By-Laws may be amended as seen fit by the members of this Organization Proposed Amendments to the By-Laws must be presented and will be considered in the same manner as proposed Amendments to the Constitution of this Organization.

ACCOUNTING ASSOCIATION – AMENDMENTS

1. Amendment – Concerning Article V of By-Laws.

Eligibility for the offices of the Accounting Association shall be restricted as follows:

a) President – only Seniors are eligible.

b) Vice-President – only a Senior or Junior is eligible

c) Treasurer – eligibility is open to all members.

d) Secretary – eligibility is open to all members.

2. Amendment - Curriculum Committee is to be made a standing committee – Approved 4/23/69 voted on.

3. Amendment - To Amendment 1 and Article 5, Section 1 – new office of Corresponding Secretary is created eligibility is open to all members. Approved 4/23/69 voted on.

4. Amendment - Senior members of the Accounting Association shall have the right to vote in elections for officers for the following year. Approved 4/23/69 voted on.

THE FOLLOWING AMENDMENTS WERE REMOVED AS OF 4/90:

Amendment 2: Curriculum Committee is to be made a standing committee – Approved 4/23/69 voted on.

Amendment 3: To Amendment 1 and Article 5, Section 1 – new office of Corresponding Secretary is created eligibility is open to all members. Approved 4/23/69.
