Program Period January 8, 2013 ? July 8, 2013

Program Summary Designed to provide competitive vehicle pricing for

official Suppliers of Audi of America. Customer must present a valid Audi Supplier Program

Certificate, proof of identification (government issued) and proof of employment (pay stub) to be eligible to receive Audi Supplier Price. Dealer must maintain copies in the customer file/deal jacket. Dealer agrees to sell eligible vehicles at MSRP less 6.0% and any current and eligible retail incentives (see sample calculation). Dealer may claim reimbursement of:

2.0% of MSRP for all cash, all AFS financed/leased vehicles and all third-party financed/leased vehicles.

Submit claims at: , under "Supplier Purchase Program", then "Electronic Funds Transfer".

Sales Reporting All MY13 vehicles must be new, untitled, and unreported. Vehicles must be sold and reported to an individual

consumer, not a business entity, and as a retail Kind of Sale (KOS 0, 2, 3).

Program Notes Program IS NOT COMPATIBLE with National Fleet

Incentive (NFI), Audi Customer Mobility Programs (ML, DEML, MPP, CDP) European Delivery, Contract Employee Purchase Program, Friends & Family Program, Dealer Employee Purchase Program, VIP, or Diplomat Sales Programs. All other national and regional retail incentives (including AFS Special Lease, Premier Purchase and APR rates) can be applied unless otherwise stated in a future program announcement from Audi of America. Sales under this program count and qualify for all new vehicle margin and bonus programs unless otherwise specified.

Eligible Vehicles All new, untitled, and unreported MY13 Audi vehicles

are eligible with the exception of RS5 Coupe, A8 W12, TTRS and R8.

Eligible Customers

Current and active employees of enrolled suppliers to

Volkswagen AG, Audi AG, Volkswagen Group of America

and Audi of America.

The supplier employee must be the primary applicant or if

the purchase is made by a household member then proof

of common residence must be presented and retained with

the deal jacket.

Limit one certificate per supplier employee household per
