GENERAL TERMS & CONDITIONS OF AUCTION SALE

Note: ‘Company' means Bajaj Auto Ltd., Chakan, Pune 431136

‘Auctioneers' means Gandhi Auctioneers Pvt. Ltd., Mumbai 400 053.

1. ENTRY:

NO ENTRY in Auction Room without advance payment of Refundable CMD,

2. INSPECTION:

For inspection of materials lying at Bajaj Auto Ltd. Chakan, please fix appointment in advance with Mr Vikas Yashwante as mentioned on cover page.

NOTE: Due to coronavirus (COVID-19) problem, submit your Government hospital medical certificate and self-declaration certificate attached herewith for gate entry permission. Please carry said hospital certificate and self-declaration certificate at the time of inspection.

3. PAYMENT TERMS:

3.1 Successful purchasers will pay EMD as mentioned on cover page.

3.2 ALL payments will be accepted in advance by RTGS only as mentioned hereinabove.

3.3 If the bidder fails to pay the EMD within scheduled time, amount paid against CMD will be forfeited by the Company and the said bidder will not be allowed to participate in any future auction.

3.4 FOR ARISING LOTS:

As soon as one truck load of material is available, purchaser will pay the sale value as instructed by BAL with taxes and lift the material immediately.

FOR ONE TIME LOT:

Balance with taxes to be paid within 10 working days following the date of declaration of result. . Material must be taken within 30 days following the date of declaration of result.. .

3.5 In the event of the failure of the purchaser to pay the Balance sale value of the bid within prescribed time as mentioned in clause (3.4) above, the contract will automatically stand terminated and the EMD will stand forfeited for the breach of contract by the Purchaser. The lot in question shall be resold by the Company without any further reference to the Purchaser.

3.6 CMD, Earnest Money Deposit-cum-Security Deposit shall bear no interest.

3.7 “In case of the transfer of the lot, BAL will charge 7.50% + GST extra on the bid value of lot” which the transferee or transfer can pay at the time of invoicing”

4. Description of Materials and Quality and Quantity:

1 The materials shall be disposed off in "AS-IS-WHERE-IS & NO COMPLAINT" basis and in "WET, DRY OR RUSTY" conditions. also no segregation will be allowed.

2 THE RATES QUOTED SHOULD BE EXCLUSIVE OF GST AND ANY OTHER STATUTORY LEVIES ANY TAXES OR DUTIES THAT MAY BE LEVIED BY CENTRAL OR STATE GOVERNMENT FROM TIME TO TIME SHALL BE ADDITIONALLY RECOVERED FROM THE SUCCESSFUL PURCHASER AT THE PREVAILING RATES APPLICABLE TO EACH CATEGORY OF MATERIAL LOT.

3 Numbers, quantities or tonnage or nature of materials given in the catalogue are approximate and the materials will be sold without any regard or consideration of these numbers / tonnage or nature of materials and no Warranty or guarantee shall be implied. The quantity of arising may vary considerably, that is, it may be much more than the approximate quantity indicated in the catalogue or much less. The purchaser must lift the entire quantity within prescribed time.

4 Description given in our enclosed list is in brief. Offers by the bidders will be deemed to have been made on the clear understanding that intending bidder / bidders have satisfied themselves fully in regards to the nature, condition, quality of goods upon inspection or otherwise. No error, omission or mis-statement or mis-description, whatsoever and howsoever made or published whether in advertisement or list or otherwise and no defects or faults in the goods shall invalidate the contract or be subject matter of any claim on the part of the bidder whether in compensation or otherwise howsoever nor will any such claim be entertained by the Company.

5 The Company shall be under no obligation to put the lots singly or serially or in any other particular manner and the Co. reserves the right at its discretion to withdraw any lot at any time during the auction without assigning any reason thereof. The Company may refuse to accept any bid from any person/persons without assigning any reason for such refusal.

6 If any non-ferrous metal is found in any of the ferrous lot while effecting delivery, the same shall be treated as Co.'s property except where such non-ferrous metals are specifically mentioned. The purchaser shall not lift from the lots any such pieces containing non-ferrous metal and shall have no claim to the same or ask for any compensation on account thereof.

7 In case where the Co. proposes to auction any particular item or items of stores by weight or number and not on lot basis, announcement to that effect shall be made before such stores are put to auction. The bid in such cases shall be for each number or unit of weight.

5. Removal of Materials:

1 In order to facilitate the Company to complete the transaction before 4.00 p.m. the material should be collected before 3.30 p.m. on any working day with prior appointment with the concerned Department within the stipulated delivery days.

2 SEGRIGATION OF THE MATERIAL IN COMPANY’S PREMISES IS NOT ALLOWED.

3 Purchaser/s shall comply with all statutory requirements concerning the employment of labourer’s safety regulation ESIS etc. He/they shall, through an agreement, indemnify the Company for any default committed by him in connection with the same.The purchaser/s should deploy only male labourers who have having valid medical certificate for coronavirus (covid-19)

4 Should the original purchaser wish to take delivery of the scrap material through a representative, he must authorize the latter by a letter of authority or continuing authority which shall be presented to the officer concerned. The officer concerned may in his entire discretion decline to act on any such authority and it shall be for the purchaser to satisfy the officer concerned that the authority is genuine. Delivery to such person shall be sole responsibility of the purchaser & no claim shall lie against the Co. on any account whatsoever, if delivery is offered to a wrong person.

5 The Company reserves the right to unload the vehicles for inspection purpose. If it is suspected at any time that the purchaser has loaded the material / materials for which he is not purchaser or if the purchaser is found to carry excess scrap than that mentioned in the documents, the Co. will be within its right to detain the truck, unload the goods at the cost & expenses of the purchaser & terminate the contract forthwith and forfeit the S.D. & claim such further losses and damages that may be caused to the Company.

6 It shall be the responsibility of the purchaser to see that he or his servants or agents collect and load only that quality and kind of scrap that is covered by the contract and in the event of his servants or agents finding any other quality of or kind or scrap mixed with the scrap allotted to him he should forthwith bring it to the notice of the yard master and lift scrap only after segregation.

7 Normally, no oxycutting / cutting of the materials will be allowed. However, in case where it is found that without such facility the removal of the materials is not possible, such oxycutting / cutting may be considered on specific request depending upon the merit of the case, at the sole discretion of the company.

8 During the course of the removal of the scrap material if any damage is caused to the Company's premises, installations or instruments, the buyer will be entirely held responsible to make good such losses. Till such period, the damage is repaired or compensated to the Company, no delivery of any lot/s purchased by the said bidder will be allowed.

9 Lots sold must be removed by the purchaser within 30 days following the date of auction sale. No extension will be given for delivery.

10 Loading / Unloading will be carried out by the purchaser at his own costs. Fork lifts / Crane, if available will be provided to the purchaser/s at charges fixed by the Company from time to time. If company’s fork lifts/cranes are not available, the purchaser/s shall have to arrange the same from outside. Non-availability of the fork lifts/crane/labour will not be considered as a ground for ‘Late-Lifting’ of materials.

6. Penalty for delay in collection / balance payment:

1 In case if the purchaser fails to remove complete delivery of the goods sold or part thereof, he/they shall be liable to pay godown rent at 1% of the sale value per week. Notwithstanding the facilities given above, the Company reserves the right to forfeit the amount paid by the purchaser without any further notice and goods will be resold as deemed fit to the Company.

2 In case if purchaser fails to pay the balance payment within scheduled time, the company may at its description extend the period by levying 2% interest per month for such delayed period.

3 Notwithstanding the facilities given at 6.1 and 6.2 above, the company may refuse to extend the period and cancel the sale at its sole discretion.

7. Decision In case of disputes:

1 In case of any dispute regarding the contract, the decision of the Company shall be final and binding.

2 Only the appropriate Court in Pant Nagar, Uttarakhand will have jurisdiction to deal with any disputes arising out of this contract.

8. Right of Acceptance / Rejection of offer:

1 The Company reserves the right to withdraw wholly or partially any or all the items set for sale at any time during the period of contract without assigning any reasons.

2 The Auctioneer / Company also reserves the right to accept any bid on the basis of "Subject to approval" by the Company. In case the bid is accepted on "Subject to approval" basis, the Company's final decision will be informed to the purchaser within a week.

3 The Company is not bound to accept the highest offer, also the Company reserves the right to reject any CONDITIONAL offers.

4 The goods are sold subject to the reserve price fixed by the Company. If there is any dispute as to the last or highest bid, the goods shall be put up for the sale again at the test undisputed bid and resold or the disputes will be determined by the company and their decision shall be final and binding to all.

9. Forfeiture of Earnest Money Deposit:

1 In case the buyer is awarded more than one item and if the buyer fails to lift any one of the items, the Company reserves the right to forfeit entire deposit amount paid against all the items awarded to buyer.

2 In case of failure to comply with the conditions at 3.4, 6.1 & 6.2 the Company may at its discretion, terminate the contract and forfeit the Security Deposit/Purchase Price, as the case may be, and sell the materials to any other buyer at defaulting buyer’s risk and recover the deficit if any, from the defaulting buyer.

10. Termination of Contract:

The Company reserves the right to terminate the contract at any time by giving three days notice on the following ground.

1 Unsatisfactory execution or performance of the contract by the purchaser.

2 For improper behavior of the purchaser or breach of the terms and conditions of the contract.

3 Decision of the Company to terminate the contract shall be final and binding and no claim for damages and compensation shall lie. Provided always that in the event of the purchaser or his agent or servant committing or attempting to commit theft, fraud, dishonesty or gross misbehavior in connection with the subject matter of this contract or in any other -connection whatsoever concerning the business of the Co., the Company will be entitled to terminate the contract - forthwith and forfeit the Security Deposit at its sole discretion.

11. Passing of Property In the goods:

1 It is expressly made clear that the property in the goods whether sold by units, weights or lots, whether arranged or otherwise, will remain that of the Company and will pass on to the purchaser only when material is taken out by the Purchaser from the factory Premises after getting valid dispatch documents.

12. General:

1 GST or any other taxes applicable under the Maharashtra Sales Tax Act will be charged extra at the rate prevailing at the time of delivery and the rate offered shall be exclusive of all taxes.GST will be charged extra at rates prevailing at the time collection. TCS will be charged extra as applicable.

2 All trucks, handcarts, carrying such materials outside our premises are subject to inspection by our Security Dept. at the gate. If required, the buyer will have to unload the vehicle if Security Officer Demands for a surprise check.

3 Any person employed or engaged by the buyer for the purpose of the execution of the contract shall be required to observe the rules and regulations that are prevailing in our Company. The movement of his persons shall be restricted only to the place of work assigned to them. Each person engaged by the buyer shall be required to obtain a Pass from our Security Department for entering and leaving our Factory premises. All the labour engaged by the buyer shall be subjected to inspection by our Security Dept.

4 All notices, letters sent to the purchaser shall be deemed to have been received by him/them on expiry of 24 hours from the time of posting if the same are sent at the address given by the purchaser.

5 If any person/s bid at the auction on behalf of the undisclosed principal, he / they shall immediately after the bid at the time of payment of EMD, disclose the name of his / their principal who is the actual purchaser and the receipt for the caution money and/or earnest money would be issued in the name of the principal.

6 Resale will not be recognized and release order will be made out in the name of actual successful purchasers only.

7 The purchaser shall not be entitled to resell any lot or part of a lot while the goods are still lying within the premises of the Company and no delivery would be affected by the Company to any person other than the purchaser whose names are mentioned in the delivery order.

8 All purchasers of the lots before collecting purchased materials from inside the works should contact the Company's authorised officer to get themselves fully acquainted with safety rules and regulations. Purchasers will be allowed to start collecting materials only when they have confirmed in writing that they are agreeable to follow the various safety rules and plant regulations.

9 The Company will in no way be responsible for any accident, damage or injury to the contractor's workmen or equipment while on factory premises.

10 If the successful purchaser at any stage either neglects or refuses or is unable to take delivery of the materials for any reasons whatsoever or the performance of the purchaser is unsatisfactory, the Company will have the right to terminate the contract, forfeit his EMD/security deposit and claim such further losses and damages that may be caused to the Company to determine and declare at its sole discretion.

11 In the event of the purchaser failing to remove the materials and to pay price thereof, the Company shall be free to sell the goods to any person or persons and to recover from the original purchaser the amount by which the price at which the scrap material is actually sold, falls short of the price agreed by the original purchaser. This does not in any way effect the right of the Company to forfeit EMD as provided herein.

12 The successful purchaser is also required to sign an agreement to complete the sale according to the conditions hereof and subscribe his signature to the Bid-sheet against the lot or lots knocked down to him. In the event of the purchaser failing to sign the agreement or Bid-sheet, the goods may, if the Auctioneers / Company think fit, be put up for sale again immediately and resold on account and at the risk of the defaulting purchaser who shall be responsible for any deficit, but he shall not be entitled to any increase arising from such resale.

13 All purchasers of the lots before collecting purchased materials from inside the works should contact the Company’s authorized officer to get themselves fully acquainted with safety rules and regulations. Workers employed for dismantling job should be covered under ESI & P.F. Act for the period working in Bajaj Auto Ltd.’ Premises. Purchasers will be allowed to start dismantling materials only when they have confirmed in writing that they are agreeable to follow the various safety rules and plant regulations.

14 IF A BIDDER BIDS FOR THE LOT WHERE MPCB LICENSE (CONSENT) IS REQUIRED EVEN BY MISTAKE AND FAILS TO PRODUCE THE LICENSE IN HIS/THEIR NAME, CMD OF SUCH BIDDER WILL BE FORFIETED AND LOTS WHERE THEY ARE H1 BIDDER WILL ALSO STAND CANCELLED.

15 Special Conditions of sale or Additional Conditions of sale, if any, will be announced at the time of auction.
