- LISTING AGREEMENT -

FOR AND IN CONSIDERATION of Owner(s) and Broker's agreement to place this listing in the Multiple Listing Service (MLS) and of the agreement to have Broker provide its services, receipt and sufficiency of which valuable consideration is hereby acknowledged, the parties agree to be bound as follows:

1. Property. The Real Property to which this Agreement applies is generally known as and is located in (hereinafter referred to as the "Property").

2. Listing Price. The initial listing price of the Property as requested by the Owner(s) shall be $ . The price and terms of any sale shall be those set out on the attached MLS Input Form or such price and terms as may be agreed upon by Owner(s) from time to time.

3. Commission. Owner(s) agree to pay Broker a commission of __________% of the selling price, or such other amount as any be agreed to between Owner(s) and Broker, such arrangement conforming to statute and Real Estate Law. There is no required rate of commission. Owner(s) agree to pay to Broker the full commission at the time of closing, if sold or at the time of contracting, if optioned. The proceeds at closing shall be charged with payment of the commission prior to disbursement. .Owner(s) further agree to authorize Broker, XXXXXXXX, from commissions payable under this agreement, to further compensate XXXXXXXXXXXXor licensees who may be working under Buyer Agency, Designated Buyer Agency of Facilitator capacity.

4. Term. The expiration date of this Agreement is . The carry over period is defined as days after the termination of this Agreement and any extensions thereof. Should the Owner(s) contract to sell, or exchange, or contract to lease with option to buy, the property within the carryover period to any Buyer who has been introduced to the Property, directly or indirectly, during the term hereof, as extended, the Owner(s) agree to pay the commission as set forth above. This paragraph shall not apply if the Property is listed with another licensed Real Estate Broker at the time of such contract.

5. MLS and PROPERTY CONDITION INFORMATION. Owner(s) understand that the Broker, and others will be relying upon the information set forth in the MLS Input Form and the Tennessee Residential Property Condition Disclosure Form. Such information may be disclosed in the MLS and otherwise. Owner warrant that the information in the MLS Input Form and the Tennessee Residential Condition Disclosure Form is accurate to the best of their knowledge.

6. Lead-Based Paint. The property [ ] was built prior to 1978 and requires Lead Based Paint Addendum or [ ] was not built prior to 1978.

7. Exclusive Right to Sell. Except as otherwise specified in the remarks section in the MLS Input Form, Owner(s) hereby grants to Broker the Right to Sell the Property through and including the expiration date.

8. Basis of Commission. The commission will be paid upon the gross sales price if sold, or agreed to be paid upon exercise, if optioned. Regardless of date of closing, the commission shall be paid provided the property is sold, exchanged, optioned, contracted to be sold or exchanged, or leased with option to buy, by anyone during the term of this Agreement or any extension thereof, or should the Broker or anyone procure a willing, ready, and able Buyer to purchase the Property on the price and terms described in paragraph 2 above.

9. Signs and Showing. The broker is hereby given permission to advertise the Property, to place a "For Sale" sign on the Property, to remove other "For Sale" signs, if any, to photograph the Property, and to use the photographs in promoting this sale. The Owner(s) agree to allow the Broker to show the Property at all reasonable hours and to otherwise cooperate with the Broker.

10. Agency and Cooperation. Owner(s) hereby authorize Broker to appoint the sales associate listed below as its "Designated Agent for the Seller", which constitutes exclusive representation under the Agency Laws of the State of Tennessee. In the event that Owner(s) “Designated Agent” brings a purchaser to owner(s) property shall “Designated Agent” then be deemed to be a “Facilitator”, and owner hereby agrees to authorize, in writing, such status change prior to the presentation of an offer to purchase from said purchaser. If another licensee of Broker, Inc. shows this listing, that licensee may represent the buyer exclusively. A Designated Agent for the Seller can advocate Seller's interests in a transaction. As a Facilitator, the agent represents neither the interest of the Seller nor the interest of the Buyer, but can assist the parties and provide information without advising either party. Owner(s) further acknowledge that the placing of this listing in the Regional Multiple Listing Service constitutes a unilateral offer of cooperation to all members of the MLS and hereby grant such cooperation. As such, other members may be acting in the capacity of "Buyer Agent", "Designated Buyer Agent" or "Facilitator", which are allowable under Tennessee Real Estate Agency Law.

11.Title Insurance and Deed. Owner(s) agree to furnish Buyer a Title Insurance Policy in usual form showing good title, an acceptable termite letter, and execute and deliver a Warranty Deed.

12. Earnest Money. The Broker is authorized to accept earnest money or escrow deposits pursuant to proposed contracts on the Property.

13. Lock Box. As check below, Owner(s) hereby request and authorize Broker to install a Common Lock Box containing Owner(s) door key, on the Property. Common Lock Box . No Lock Box . . Common Lock Box should house become vacant prior to sale

14. Legal Document. THIS IS AN IMPORTANT LEGAL DOCUMENT CREATING VALUABLE RIGHTS AND OBLIGATIONS. IF YOU HAVE QUESTIONS ABOUT IT, YOU SHOULD REVIEW IT WITH YOUR ATTORNEY, NEITHER THE BROKER, NOR ANY AGENT, IS AUTHORIZED, OR QUALIFIED, TO GIVE YOU ANY ADVICE ABOUT THE ADVISABILITY, OR LEGAL EFFECT, OF ITS PROVISIONS. BY SIGNING THIS DOCUMENT, YOU ARE CERTIFYING THAT YOU HAVE READ AND ACCEPT THESE TERMS AND YOU DO THEREBY ACKNOWLEDGE RECEIPT OF A COPY OF THIS AGREEMENT.
