CALL TO ORDER AND PLEDGE:At 3:00pm Chair Scott Hughes called the Port of Ridgefield Commission meeting to order and led the Pledge of Alliance.2. APPROVAL OF THE MINUTES:April 10, 2019 Minutes: Commissioner Joe Melroy made a motion to approve the minutes. Commissioner Bruce Wiseman seconded the motion. The motion was carried.The Cowlitz Tribe Presentation was moved up on the agenda.3. COWLITZ TRIBE PRESENTATION: Phil Harju stated when the Cowlitz Indian Reservation was taken into trust in 2010, local governments lost part of their tax base. The Cowlitz Indian Tribe made commitments to local governments promising payments to offset its impacts of taxes. He stated the Tribe is ready to make good on its promises. The Port received from the Tribe a check of $13,861.92 in payments for the last six years.The Port Commission and Staff thanked the Cowlitz Tribe for keeping their word to give back to the Ridgefield Community and being good partners to the Port and the City.4. CALENDAR:Corps of Engineers Workshop – The workshop is Friday, April 26, 2019 at 10am and will be held at the Fort Vancouver Regional Library. Commissioner Wiseman will attend.Ridgefield Coalition Meeting – The annual meeting with the Port, City Council and School District is Tuesday, April 30, 2019. Nelson Holmberg, Commissioner Wiseman, Commissioner Melroy and Brent Grening will attend.Ridgefield Junction Neighborhood Association Meeting – The annual meeting is Monday, May 13, 2019 and will be held at the Dollar Tree Warehouse in Ridgefield. Commissioners Melroy and Hughes and Brent Grening will attend.Washington Public Ports Association Spring Meeting – The annual meeting is May 15 – 17, 2019 and will be held at the Davenport Hotel in Spokane.WPPA Directors Seminar – The seminar is July 11 – 12, 2019 and will be held at the Skamania Lodge in Stevenson.2019 Commissioners Seminar – The seminar is July 22 – 24, 2019 and will be held at the Suncadia Resort in Cle Elum.5. THOUGHT LEADERSHIP SERIES PRESENTATION:Ron Arp talked about the vision, mission and 10-year plan for Identity Clark County. He explained the importance of strong shared leadership and partnership to strengthen the communities for Clark County. Ron also explained how the key initiatives such as the Clark County Transportation Alliance (CCTA) and the SW Washington Freight and Commerce Task Force (SW FACT) help shape Clark County, Washington to be one of the most attractive regions in the Pacific West. Ron thanked the Port for their leadership and partnership to help in this missioner Melroy stated that the Port continues find to ways to attract more businesses and bring jobs to the Ridgefield community. The Port is hopeful that broadband will be available in Ridgefield soon.Brent Grening thanked Ron for being a true thought leader and a great partner to work with. 6. PUBLIC COMMENT:Michael Jennings mentioned the email he sent to the Port regarding updated technology and how the Ridgefield community can benefit from broadband.7. FINANCE:Cash Graph – Matt Rosenberger stated the cash graph and the following reports are in the Commissioner’s dropbox: March 2019 Financial Dashboard; March 2019 Budget vs. Actual. He stated the current budget is on the Port’s website.8. REPORTS & BUSINESS:ExecutiveReal Estate Updates – Brent Grening presented updates on the following Port properties:Discovery Ridge – Phase 3: The Port owns tax lots 17, 18 and 19. Lots 17 and 19 have been declared surplus by the Port Commission. The Port is considering whether to keep Lot 19 to develop for Port purposes. The Commission has indicated an interest in selling approximately one acre of Phase 3 which is the parcel set aside for the Fuel Station and Coffee Kiosk. The Port is preparing to have Phase 3 divided into nine legal lots; this will accommodate the sale and/or development of Phase 3 which includes the sale of a lot for the fuel station and a lot for the coffee kiosk.Brent made a recommendation that the Commission begin marketing two parcels of Discovery Ridge Phase 3 for sale. Specifically, the recommendation was to sell the parcel set aside for a Coffee Kiosk and a second parcel set aside for the Rosauers Fuel Station.PUBLIC HEARING: At 3:56pm Commissioner Hughes suspended the regular meeting and entered a public hearing to take testimony regarding the proposed sale of the Discovery Ridge Phase 3 parcels programmed for development of a Coffee Kiosk and Fuel Station.Bob Bloom asked if it was the Port’s intention to sell off all the parcels in Discovery Ridge or just the two parcels in Phase 3. Brent Grening stated that the Commission has not made such a decision.At 4:03pm the Commissioner Hughes closed the hearing and reconvened the regular meeting to take action on the above-mentioned property.Regular Meeting ReconvenedCommissioner Wiseman made a motion to authorize the CEO to market and negotiate the sale of both the proposed Fuel Station and proposed Coffee Kiosk parcels. Commissioner Hughes seconded the motion. The motion was carried.Purchase and Sale Agreement for 5.3 Acres - Brent stated that the Port purchased a 5.2 acre wetland parcel that was formerly owned by Mr. Gary Lahti and purchased by the port in 2018. Discovery Ridge LLC has made an offer to purchase this parcel. Tax Lot 18 has not been incorporated into the Port’s Comprehensive Scheme of Harbor Improvements. Brent recommended to sell the property to Discovery Ridge LLC for $200,missioner Melroy made a motion to authorize the CEO to execute a Purchase and Sale Agreement of Tax Lot 18 with Discovery Ridge LLC once the CEO and Port counsel have reviewed and accepted the final contract language. Commissioner Wiseman seconded the motion. The motion was carried.Wisdom Ridge – Brent stated Panattoni has requested a 30-day extension for the purchase of the Port’s 7-acre parcel in Wisdom Ridge to complete the permit process for their purpose for the property. Brent stated Panattoni is still interested in the property and has agreed to pay a non-refundable $10,000 closing extension fee. With the extension the new closing date is May 24, 2019. Brent made a recommendation to grant Panattoni’s request. Commissioner Hughes expressed concern with granting an additional extension and recommended that if an additional extension request was made, he would recommend reevaluation of the sale of the subject property. Commissioner Melroy made a motion to grant a 30-day extension to Panattoni. Commissioner Wiseman seconded the motion. The motion was carried unanimously.Royle Road Improvements Update – Brent Grening presented an update of the road improvements for the Port. The total cost for the road improvements is $240,000, the Port may be responsible for approximately half of the cost. Brent believes doing the improvements now is in the interest of the Port’s continued development of Discovery Ridge. It was mentioned the City of Ridgefield had previously agreed to pay for the road improvements with a Transportation Improvement Board Grant, unfortunately the City did not receive the grant and has not contributed funds toward road improvements along Royle Road adjacent to Discovery Ridge.Notice of Claim – The Port has provided Enduris with a Notice of Claim regarding the pending Travelers Insurance v. Port of Ridgefield lawsuit. The Port’s claim may relate to the Port’s errors and omissions policy.InnovationLegislative Updates – Nelson Holmberg distributed a legislative handout that included updates of the following:Wisdom Ridge Capital Request CERB BroadbandState Broadband OfficeBuilding Business Ecosystems Act CommissionCommissioner Melroy stated the annual Ridgefield Big Paddle event is Saturday, June 1, missioner Hughes suggested sending a thank-you letter to the Cowlitz Tribe for their generosity.9. PUBLIC AGENCY COMMENT:Ridgefield City Council – Councilmember Lee Wells mentioned the following topics will be discussed at the City Council meeting tomorrow: Ordinance #1290 – Ridgefield Municipal Code Updates and the Ridgefield School District final short plat. Ridgefield Planning Commission – Rob Aichele attended the pre-application conference for the Seven Eleven project. He also showcased a PowerPoint for the new Ridgefield High School construction project.10. PUBLIC COMMENT:Rob Aichele asked if there are any updates regarding the Ridgefield Railroad Overpass Project. Laurie Olin stated the Port is still waiting for BNSF to make the changes to the agreement.11.ADJOURNMENT:The meeting adjourned at 4:50pm with no further comments or business. The next regular Commission meeting is Wednesday, May 8, 2019 at 3:00pm.
