TXTA Board Motion
i. MOTION: To approve the recommendation of the executive and finance committees to move up to $250,000 from the original cash investment of $1 million from the TXTA operations accounts to Luther King Capital Management back to TXTA operating account for the purpose of shoring up cashflow shortfalls of FY2020. Welcome/Call to Order Chairman Jonathan Kennemer calls meeting to order at 9:03 a.m.
Prayer/Pledge of Allegiance Bob McDowell leads the Pledge of Allegiance and a prayer.
Approval of Minutes Chairman Jonathan Kennemer calls for approval of the previous meeting's minutes. Mark Roesler makes the first motion. Greg Price seconds the motion. The minutes are approved.
Treasurer's Report Jonathan Kennemer asks TXTA CFO, Jesse Dominguez, CPA, to give the Treasurer's Report. Jesse reported that TXTA finished the 2020 fiscal year with a net operating loss of $225,496 which exceeded the budgeted net operating loss of $151,010 by $74,486. Considering that TXTA did not hold the annual conference which negatively impacted the budget by $169,509 and cancelled many educational seminars which negatively impacted the budget by $86,452, the net loss was minimal. Factoring in net investment earnings of $838,955, TXTA ended fiscal year 2020 with overall net earnings of $424,390. Jesse also reported on the FY2021 TXTA budget which is slated to produce a loss before depreciation of $79,810 and an overall budgeted net loss of $392,510 as no investment earnings are budgeted since these earnings are subject to market fluctuations.

Approval of New and Reinstated Members
Jonathan Kennemer calls for approval of new and reinstated members. John Prewitt makes the first motion. Dave Musgraves seconds the motion. The report is approved without discussion.
Legislative/Regulatory Report John Esparza delivers the legislative/regulatory report and discusses legislative and communications strategies for the legislative session. John Esparza introduces Ryan Gravatt with Raconteur to discuss the strategic messaging strategy for social media. Raconteur was hired by TXTA to help with social media and strategic messaging during the legislative session. John Esparza notified the board TXTA will be using voter voice during the legislative session for a letter writing campaign and encouraged everyone to participate when it is launched. He also discusses the Keep Texas Trucking Coalition videos that have been produced. In addition to lawsuit abuse, John discusses other topics that will be of interest during the legislative session: vehicle miles traveled study, constables, misclassification and CDL issues.

Membership/Affinity Report Mark Roesler delivers the membership/affinity report. We are currently at 452 carrier members and 235 allied members for a total of 687 members (12 new members since November). There will be no chapter meetings until at least April. The Safety Management Conference will take place in March with limited attendance. Mark encourages members to pay their dues online and to contact Ann Quass if they need assistance with login credentials. New member inquiries are increasing on the new TXTA website and the committee will launch a new member welcome phone call two times a year. Ann is continuing to update the membership database and identify members by certain categories (for hire, private, allied, carrier, etc...). The long-term goal for carrier members is 525. Driver Shortage Report Ernesto Gaytan, Jr. Delivers the driver shortage report. The committee is looking at outreach tools including the Trucking Movers America Forward campaign, social media and the ELC children's book to increase awareness. National Truck Driver Appreciation Week is a great opportunity to create more campaigns and awareness. The committee will utilize ATA's Share the Road program to come to Texas with Road Team Captains, hopefully this summer. The committee is looking into events a schools and career days. They would like to get a stimulator to some of these events but will be looking for donations because it is pricey. The committee is also looking at the new administration and what it means for driver shortage issues. Jonathan Kennemer calls for approval of the report. Marcia Faschingbauer makes the first motion. Martin Garsee seconds the motion. The report is approved without discussion.
Education Report John Greene delivers the Education Committee report. The committee is continuing to build TXTA U's presence. They are looking to continue offering webinars for free to members and
