LITWHA 2017 amendedArticle 1 – Name, Purpose, LocationSection 1 - The name of the corporation shall be Lost in the Woods Homeschool Association, LITWHA.Section 2 - This corporation is a Public Benefit Corporation.Section 3 - The period of duration of the corporation is Perpetual.Section 4 - The name and street address of the Registered Agent and Registered Office in Missouri is: President: Deanna Parsons, 112 Cadwell Ct, Ft. Leonard Wood, MO 65473.Section 5 - The names and addresses of incorporators are: President: Deanna Parsons, 112 Cadwell Ct, Ft. Leonard Wood, MO 65473Treasure: Darcy Harris, 115 Summit Pass, Waynesville, MO 65583Secretary: Carol Reid, PO Box 520, Laquey, MO 65534Section 6 - The Corporation will have membersArticle 2 - MembershipSection 1 - The qualifications for membership in this organization are: Participant must be an active homeschooler under Missouri laws. Participation of children under the age of seven will be at the discretion of the Board of Directors. Section 2 - Membership to the organization is fee-based, requiring annual dues.Section 3 - Members of the organization shall have the right to one vote per family on matters submitted to a vote of the membership including election of officers.Article 3 - MeetingsSection 1 - The date of the regular annual meeting shall occur in the first week of April and shall be determined by the Board of Directors who will also set the time and place. Section 2 - Regular meetings of the Board may be held at such place and time as shall be designated by the standing resolution of the Board.Section 3 - The President or Vice President may call special meetings.Section 4 - Notice of all annual meetings shall be provided to each voting member, via social media (Facebook Event), at least 2 weeks prior to the meeting. Notice of special meetings will be given 2 weeks prior to the meeting. Notice of emergency meetings will be given 3 days prior to the meeting when possible.Article 4 – Board of DirectorsSection 1 - A Board of Directors comprised of 5 and no fewer than 3 Board members shall manage the business of the organization. The Board is responsible for maintaining the overall policy and direction of the organization. The Board shall delegate responsibility of day-to-day operations to the appropriate committees. Board members shall receive no compensation (other than reasonable expenses) for their service on the Board.Section 2- The Board shall meet at least 6 times per year at an agreed upon time and location. Board members shall not miss more than 2 meetings per year. Section 3 - All Board members shall serve for 2-year terms. A Board member cannot serve in the same office more than 4 years without a break in service of at least one year. Section 4 - Any Board Member may resign at any time by giving written two weeks’ notice to the organization.Section 5 – Elections will be held at the annual meeting. A Board position whose 2-year term is set to expire or a position filled by appointment will be subject to an election. Members who wish to be considered as a candidate for a Board position must notify the Board in writing or by email at least 3 weeks prior to the election. A Candidate may run for only 1 position per election. Candidates will be given 5 minutes to speak in front of members before members vote. Elections will be conducted by secret ballot and counted by Board members not subject to reelection. In the event that all Board positions are subject to election, three current members will be appointed to count ballots. The newly elected Board members shall take office 60 days after election.Section 6 - A quorum must be attended by at least 60% [3 of 5] of the Board members before business can be transacted or motions made or passed. Article 5 - OfficersSection 1 - The officers of the organization shall be President, Vice President/Learning Day Coordinator, Treasurer, Secretary, and Community Relations Director.Section 2 – In the event of a vacancy, the Board of Directors shall appoint officers for the remainder of the term of the appointed position.Section 3 - Any officer may be removed from office with reasonable cause by the vote of the majority of the Board at any meeting of the Board. Reasonable cause shall include dereliction of duty, unethical conduct, or contentious behavior toward any member of LITWHA.Section 4 - Officers of the Board will not be compensated via salary for their service as an officer of the Board. Section 5 - Board PresidentThe President shall convene regularly scheduled Board meetings and shall preside or arrange for other Directors to preside at each meeting in the following order: President, Vice President/LDC, Treasurer, Secretary, Community Relations Director. The Board President appoints Committee Chairs. The Board President assists with promoting the association within the community. The Board President operates and maintains the public LITWHA website, flwhomeschoolcoop.. The Board President solicits donations through appropriate organizations by the writing of grants and submitting appropriate documents. The Board President enforces policies and by-laws as needed within the association and leads conflict resolution meetings when necessary. The Board President shall preside over the annual meeting.Section 6 - Vice President/ Learning Day CoordinatorThe Vice President/LDC shall solicit, collect, and organize class descriptions, volunteer teachers, and volunteer assistants. The VP/LDC shall coordinate the learning day enrollment process and create learning day classroom schedules and student rosters by collecting learning day enrollment forms. The VP/LDC shall also oversee the creation of and coordinate a volunteer chore chart for learning days, assist the President as needed as well as support and promote the association.Section 7 – Secretary:The Board Secretary shall be responsible for keeping records of Board actions to include recording board meeting minutes, announcements of board meetings. The Board Secretary shall create the board meeting agenda and distribute to each Board member prior to board meetings. The Secretary shall be responsible for keeping of membership roster, class registration documentation, membership applications, and paperwork compliance with current policies (i.e. teacher policy) for all members. The Secretary shall also be responsible for the registration of members and class announcements on Facebook as needed. The Secretary shall be available for registration days and assist the VP/LDC as neededSection 8 - Community Relations Director:The CRD shall oversee and maintain policies on the official LITWHA social media sites to include Facebook. The CRD shall maintain historical information for promotion of LITWHA on social media and websites. The CRD shall organize and promote service day opportunities throughout the year. The CDR shall liaise with the community to promote and publicize LITWHA. The CDR shall organize and promote educational field trips. Section 9 - Treasurer The Treasurer shall make a report at each Board meeting. The Treasurer shall assist in the preparation of the budget, help develop fund raising plans, and make financial information available to Board members and the public. The Treasurer maintains all corporate records with the state of Missouri and the Internal Revenue Service.Article 6 - CommitteesSection 1 - The Board may create committees as needed. The Board President shall appoint all committee chairs.Section 2 - The committees shall only be able to fulfill assigned duties as described by the Board. Article 7 – IRC 501(c)(3) Tax Exemption Provisions Section 1 - Upon the dissolution of the corporation, the Board of Directors shall, after paying or making provisions for the payment of all the liabilities of Lost in the Woods Co-op, dispose of all the assets of Lost in the Woods Co-op exclusively for the purpose of Lost in the Woods Co-op, in such manner, or the such organization or organizations and the time qualify as an exempt organization or organizations under Section 501(c)(3) of the Internal Revenue Code of 1954 (or the corresponding provision of any future United States Internal Revenue Law), as the Board of Directors shall determine.Any such assets not so disposed of shall be disposed of by the Circuit Court of the county in which the principal office of Lost in the Woods Co-op is then located, exclusively for such purposes or to such organization or organizations, as said court shall determine, which are organized and operated exclusively for such purposes.Section 2 - Lost in the Woods Homeschool Co-op is organized exclusively for educational purposes within the meaning of Section 501(c) (3) of the Internal Revenue Code. Lost in the Woods Homeschool Co-op exists to provide education and support to the diverse group of homeschool families surrounding the Fort Leonard Wood military base.Section 3 - Notwithstanding any other provisions of these articles, Lost in the Woods Co-op shall not carry on any other activities not permitted to be carried on (a) by a corporation exempt from Federal Income tax under section 501(c)(3) of the Internal Revenue Code of 1954 (or the corresponding provision of any future Unites States Internal Revenue Law) or (b) by a corporation, contributions to which are deductible under Section 170(c)(2) of the Internal Revenue Code of 1954 (or the corresponding provision of any future United States Internal Revenue Law).Section 4 - No substantial part of the of the activities of Lost in the Woods Co-op shall be the carrying on of propaganda or otherwise attempting to influence legislation and the incorporation shall not participate in or intervene (including the publishing or distribution of statements) in any political campaign on behalf of any candidate for public office.Section 5 - No part of the net earnings of Lost in the Woods Co-op shall inure to the benefit of, or be distributable to, its members, directors, officers or other private persons except that the corporation shall be authorized and empowered to pay reasonable compensation for services rendered.Article 8 – AmendmentsSection 1 – These Bylaws may be amended when deemed necessary by an 80% majority vote of the membership at the annual meeting. Proposed amendments must be submitted to the President or Vice Presidents 14 days before the annual meeting. A 50% vote by the Board is necessary to send the proposed amendment to be presented before the membership. The membership will be notified of the proposed amendment along with the annual board meeting notice. ................
