Lender certifies to Freddie Mac (either in its own capacity or through its Single Counsel for this Loan) that the following is true:

On or about the date set forth above, Lender has made or intends to make a loan to Borrower, secured by the Property (“Loan”). Title Insurance Company or its authorized agent has been requested to issue a lender’s title insurance policy for the Loan (“Title Policy”). Lender intends to sell the Loan to the Federal Home Loan Mortgage Corporation (“Freddie Mac”).

In order to provide assurance to Freddie Mac that the Title Policy is or will be satisfactory, it being acknowledged that Freddie Mac may purchase the Loan prior to receipt and/or review of the Title Policy in reliance on this Certification, the undersigned hereby certifies to Freddie Mac the following:

(a) Title Insurance Company has either

i) issued a final executed Title Policy in the form attached to or otherwise required by the Lender’s and Freddie Mac’s joint counsel’s (“Single Counsel”) escrow closing instruction letter (“Instruction Letter”), or

ii) irrevocably committed to issue a final executed Title Policy in the form attached to or otherwise required by the Instruction Letter, as evidenced by the Title Insurance Company’s countersignature of the Instruction Letter as well as its receipt and acceptance of due consideration.

(b) The form of the Title Policy which has either been received or which has been required under the Instruction Letter, as applicable, has been approved by Single Counsel and is in compliance with the requirements of the Freddie Mac Multifamily Seller/Servicer Guide.
