Article I. Name

1. This Society shall be known as the Kitsap County Rose Society, hereinafter referred to as The Society, and shall be incorporated as a non-profit educational organization.

2. The Society is affiliated with and shall conform, except as otherwise provide in these bylaws, with the precepts, rules, and regulations of the American Rose Society

Article II. Object

The Society is to operate for educational purposes and to contribute to the knowledge of all aspects of roses and the science of their culture. The Society will expand the knowledge of roses within the community through community service projects.

Article III. Members

1. Membership shall be open to any individual(s) interested in cultivation of the Rose.

2. Membership is granted on an annual basis upon payment of dues for that calendar year.

3. Dues shall be established by a vote of 60% of voting members present.

4. Dues shall be assessed annually and payment shall be due on January 1 of the Calendar year.

5. A Family Membership shall include all adult members of a single household.

6. A member of the Society whose dues are current is entitled to one vote on matters brought before the Society.

Article IV: Officers

1. The elected officers of the Society shall be the President, 1st Vice-President, 2nd Vice- President, Secretary, Treasurer and (3) three Trustees.

2. The Immediate Past President shall serve as a Trustee for one year after leaving office.

3. All elected officers of the Society shall serve for a term of one year, taking office on January 1 of the calendar year for which they were elected.

4. Duties of Officers:

a. President: The President shall be responsible for operation of the Society, preside at all meetings, and be ex-officio member of all committees, except Nominations Committee. The President shall designate any temporary committees as deemed appropriate for the good of the Society. The President shall be a signature authorized individual on the Society Checking account.

b. First Vice-President: The First Vice President shall assist the President in all areas, preside at meetings in absence of President and serve as Chairperson of Rose Exhibit committee.

c. Second Vice President: The Second Vice-President shall complete the duties of the First Vice President in the absence that officer, serve as the Membership Committee Chair and serve as Chairman of the Publicity Committee.

d. Secretary: Shall keep minutes of all meetings and report them to membership.

e. Treasurer:

(1) Shall collect annual membership dues and maintain a record of all current members.

(2) Shall take and deposit all monies of the Society and report status of same at regular meetings.

(3)The treasurer shall maintain the accounting records of all society funds in a condition ready for audit and shall pay all bills and accounts payable as authorized by the Society.

(4) The Treasurer shall be a signature authorized individual on the Society Checking account.

(5)The President shall appoint an Audit Committee comprised of three members of the Society, prior to or during the November meeting, to conduct an audit of the Society accounting records and report the results of audit to the membership at the February meeting. The Treasurer will assist in the audit process but will not serve as a member of the Audit Committee

f. Trustees: provide assistance and guidance to the other officers and the Executive Board on the operations of the Society in order to meet the purpose and objectives of the Society. Trustees are members of the Executive Board of the Society.

5. Nominations and Elections:

a. The President shall appoint a Nominations committee, comprised of at least three members of the Society, prior to or during the October meeting. The Nominations committee shall recommend a slate of Candidates at the November meeting.

b. To be eligible for nomination for the office of President, First Vice President, Second Vice President, Secretary,Treasurer or Trustee the individual shall have been a current member of the Society for at least 12 months prior to the date that they take office.

c. Election of Officers shall take place during the November meeting.

d. Nominations from the floor for any elected office will be taken during the November meeting election process.

6. Vacancies. Any vacancy of an elected office shall be filled by normal progression of elected officers and/or appointment by the President with the concurrence of the Executive Board.

Article V Meetings

1. The Society shall meet every month of the year except December and January on a date and at a time and location determined by the membership.

2. The November meeting shall be the annual meeting of the Society membership during which meeting, election of officers shall take place.

3. A Special Meeting may be called by the president with the concurrence of at least three other members of the Executive Board or by the request of not fewer than 12 members. The date time and place of any special meeting shall be published to the membership at least 7 calendar days in advance of the meeting.

4. A number of members present, equal to or greater than 25% of current voting members, constitute a quorum for purposes of conduct of official business of the Society and for voting on matters brought before the Society.

Article VI. Executive Board

1. The elected officers shall serve as the Executive Board, chaired by the President, and shall conduct the day to day business of the Society.

2. The Executive Board shall meet at the call of the President or at the request of not fewer than three members of the Executive Board.

Article VII. Committees

1. The society shall have standing committees as follows:

a. Membership

b. Rose Exhibit

c. Publicity

2. Other committees, as may be appropriate for the proper functioning of the Society, may be established at the discretion of the President. The following committees have been found useful in the past:

a. Newsletter

b. Refreshments

c. Door prizes and Raffle

d. Program

e. Bylaws

f. Community Service

Article VIII Parliamentary Authority

1. The business of the Society shall be conducted in accordance with Robert’s Rules of Order (current edition) with consideration of the Society as a small organization for application of those rules.

2. The rules of the organization shall not be used to deprive or otherwise curtail the right of any member for equitable participation in the business of the Society.

Article IX Amendments

1. Amendments may be proposed by any member at any time, must be in writing and must include a statement of support of the proposed change.

2. A proposal for amendment must be presented to the members of the Society at a regular meeting.

3. Action to adopt an amendment shall be addressed at the next regular meeting following the meeting at which the proposed amendment was presented to the members.

4. Adoption of an amendment to these by laws shall require a vote of approval of not less than two thirds of the members present at the meeting at which the adoption action was previously scheduled.

5. Amendments shall be effective on adoption and the Secretary shall be responsible to present a copy of the amended Bylaws to the membership at the next regular meeting.

Article X Dissolution

In case of dissolution of the Society, any and all remaining funds shall be donated to the American Rose Society.
