INSTRUCTIONS TO THE e- AUCTION PARTICIPANTS

For bidding at our e-Auction, the intending participants are requested to log on to our website Prior to the final auction all bidders are requested to read and familiarize themselves with the BIDDING PROCEDURE & INSTRUCTIONS as per Annexure C, which should also be signed and stamped and sent along with Annexure A,G and EMD.

All those who wish to participate in the e-Auction, should deposit their EARNEST Money Deposit (EMD) by DD favoring Bharat Petroleum Corporation Ltd., payable at Kolkata along with Annexure “A”,“C”,”E”, “F” and “G”, duly signed and stamped, to reach e-procurement Technologies Office, Ahmedabad before 4.00 P.M. on 02.06.2009 . Please do not mention your Password in your letter. Forms received after last date of registration i.e. 03.06.09, latest will be rejected out right and such bidders will not be allowed to participate at the e-Auction and their DD will be returned to them through Courier at their risks. Hence, in your own interest, you are requested to complete all the formalities to become Registered Participant in advance and well in time.

EMD exemption is applicable only for those NSIC / SSI units who fulfill

following conditions.

A) SSI units should be registered with National Small Scale Industrial Corporation. (NSIC).

B) The units should be registered for the item tendered for e-auction.

C) The monetary limit indicated in NSIC registration certificate should cover the value of items ordered.

D) Registration certificate should be valid as on date of order.

E) Photostat copy of valid NSIC registration certificate should be submitted as support.

Registration with DGS&D will not entitle a tenderer to claim exemption from security deposit EMD.

Only parties satisfying all the above points will be considered eligible for EMD exemption and any offer not satisfying any one of the above criteria and seeking EMD exemption shall be summarily rejected.

Any party claiming exemption from payment of EMD, shall submit the copy of the currently valid NSIC certificate, duly attested by a notary along with the tender documents. Such parties should submit the certificates to either e-procurement Technologies offices or BPCL office at Kolkata at least two days prior to the auction. For the current tender, the tender documents of parties claiming EMD exemption on grounds of small scale industry, as detailed above, shall be submitted by 02.06.09.

On EMD receipt, we will provide your User ID & Password by email, which is confidential and you have to confirm the receipt by return email, and then only will be activated. This User ID & Password should not be disclosed to any other person.

BIDDERS CAN BID ONLY FOR LOT/LOTS FOR WHICH THEY HAVE PAID EMD.

Any misuse of your User ID & Password without your knowledge will be at your risk and cost for which BPCL / e-procurement Technologies pvt ltd is not responsible.

Terms & Conditions for all Participants / Bidders to the Online Auction, organized by e-procurement Technologies pvt ltd. on behalf of M/S.Bharat Petroleum Corporation Ltd., Kolkata.

1. The Auction will be organized only through Online Auction.

2. Sale is on “AS IS WHERE IS BASIS” and “NO COMPLAINT BASIS”. No complaint regarding quality, quantity, or composition of the material will be entertained.

3. Rights of participation will be for people who after inspecting the material, pre qualify themselves by paying the EMD and who have not been previously blacklisted by BPCL. Final decision regarding participation will be with BPCL.

4. The quantity indicated in the list of Scrap Items is only an approximate quantity and the Bidder has nothing to do with Quantities to scrap that may be available.

5. Your bids must be only for Basic price. Taxes will be extra as applicable.

6. Successful Bidder has to deposit 100% of the value of the materials for the respective lots by way of Demand Draft drawn in favour of BHARAT PETROLEUM CORPORATION LTD. within 15 days of the issue of Letter of Acceptance.

7. The Bidders cannot retract from their offers. If done so, the EMD will be forfeited.

8. The EMD is payable by DD favouring BHARAT PETROLEUM CORPORATION LTD, payable at Kolkata.

9. All EMDs / other payments will not carry any interest.

10. BPCL reserves the right to withdraw wholly or partially any or all the items set for sale at any time during the period of contract without assigning any reasons.

11. Sale confirmation, Sale Order, Invoices, DC etc. will be released only in the name of the Company that has initially registered and participated in the Auction. There will not be any changes between the registration and completion of transaction.

12. If any Non-Ferrous material is found in any of the Ferrous Lot while effecting delivery, the Buyer shall not lift from the Lots any such pieces containing Non-ferrous material and shall have no claim for the same and ask for any compensation on account thereof.

13. The rates offered by the highest bidder will remain firm throughout the contract.

14. The Buyer shall arrange for all tools and tackles, forklifts or hoists or cranes or labours at their own expenses. The buyer also confirms to have read all the general rules as laid by BPCL with regard to employment of labour for the removal of scrap.

15. While taking delivery of the material, damage is done to the premises or other machinery lying nearby, the Company shall recover all such costs required to reinstate the damage into the original position and stop delivery of the material till all the costs are paid.

16. EMD shall be forfeited once due auctioned rate is accepted by BPCL, and buyer is not ready to lift the entire lot allotted.

17. Material lifting shall be as per due guideline of BPCL only. Buyer shall have no rights to choose / pick the material out of due total lot.

18. All other terms and conditions as specified from time to time by BPCL and e-procurement Technologies pvt ltd will apply.

Disclaimer

19. e-Procurement Technologies runs its business on the basis of a robust Web Site. However e-Procurement Technologies is outsourcing server space from a third party hosting company and hence shall ensure the smooth running in all good faith and intention. However e-Procurement Technologies will not be held responsible for any failure of power, Network, server, hosting server, internet connectivity, ISP or otherwise at Bidder's end or at e-Procurement Technologies directly or indirectly effecting online method of Bidding.

20. e-Procurement Technologies Pvt. Ltd. takes no responsibility of the quality, quantity, documentation details of buyers/sellers. Both the buyers & sellers agree to defend indemnity and hold harmless. e-Procurement Technologies Pvt. Ltd from any loss, damage, cost and expenses caused by any reason during this transaction. In no event shall e-Procurement Technologies be liable for any loss for the transactions by business, revenues, profit, costs direct and incidental, consequential or punitive damages of any claim. Both the parties agree to have discussed all the related matter regarding this transaction and have understood in full that e-Procurement Technologies has provided a source of supply and has nothing to do any further especially with regards to quality, warranty, guarantees, delivery schedules, payments, rejections, transportation, legal laws and regulations to be followed from time to time etc. Since e-Procurement Technologies does not possess knowledge base of the commodities under transaction both the parties agree that the matter contained in the materials as a part or as a whole does not violate any applicable law.

Removal of Materials :

1. It will be successful purchaser’s responsibility to weigh the empty truck at the weighbridge and produce the necessary weigh certificate so that the weight of the empty truck will be deducted from the weight of the fully loaded truck.

2. In order to facilitate the Company to complete the transaction before 4.00 P.M. The goods should be collected before 4 P.M. on any working day with prior appointment with the concerned Department within the stipulated delivery days.

3. Should the original purchaser wish to take delivery of the scrap material through a representative, he must authorize the latter by a letter of authority or continuing authority which shall be presented to the Officer concerned. The Officer concerned may in his entire discretion decline to act on any such authority and it shall be for the purchaser to satisfy the Officer concerned that the authority is genuine. Delivery to such person shall be sole responsibility of the purchaser and no claim shall lie against the Company on any account whatsoever, if delivery is offered to a wrong person.

4. During the course of the removal of the scrap material if any damage is caused to the Company’s premises, installations or instruments, the buyer will be entirely held responsible to make good such losses. Till such period, the damage is repaired or compensated to the Company, no delivery of any lot/s purchased by the said bidder will be allowed.

5. Lots sold on Accumulated / Arranged basis at the auction must be removed by the purchaser before stipulated time.

6. Once the goods / materials are taken out of the factory gate, purchaser will be solely responsible for all sort of claims like shortage, missing parts, damage, incident, accident, loss of material etc.

7. BPCL will raise all Invoices in the name of the purchaser only.

8. Only representative of the purchaser authorized by the Company will be allowed for the loading / handling of the scrap. However if the need arises for additional person, the same may be allowed only at the discretion of the BPCL Management.

Termination of Contract

The Company reserves the right to terminate the contract at any time by giving three days notice on the following

ground.

1. Unsatisfactory execution or performance of the contract by the Purchaser.

2. For improper behavior of the Purchaser or breach of the terms and conditions of the contract.

3. The Purchaser shall not be entitled to resell any lot or part of a lot while the goods are still lying within the premises of the Company and no delivery would be effected by the Company to any person other than the Purchaser whose names are mentioned in the delivery order.

4. The Company will in no way be responsible for any accident, damage or injury to the contract’s workman or equipment while on BPCL site premises.

Steps for Actual Bidding Procedure

1. Go to

2. When a bidder logs in for the first time for the particular auction, bidder has to accept to the Terms & Conditions. (After accepting to the terms & conditions of the company only you can be able to bid)

3. After accepting the terms you will be taken to the auction-listing page where you will be able to see all the details about the auctions.

4. Click on Auction Room link on the top of this page. This will take you to the Bidding Page. A separate Window opens which is the Bidding room.

5. Now Start Bidding. You can either Bid Manually OR can use Auto-Bid denoting ‘A’ , the computer will bid on your behalf up to that value given by you)

6. In the Manual Bid option, you can give your bid in the blank text box available against each ITEM and submit it every time. A bid confirmation pop up box will appear to confirm the bid to be posted or not. If you confirm, by clicking yes, your bid will be posted. After it accepts, that will appear in “Your bid” column on the right side screen of Bidding Room. Also the highest bid amount will be displayed in “Highest bid” column. If you are the highest bidder at the time, “Your Bid” column will be highlighted with “green” background.

7. For Auto Bid, Click on the “A” icon related to the item you want to bid. It will open a small window where you can place your “auto bid“.

Enter your starting bid amount in “Your Amount” text box, the minimum increment is a optional text box by default it will take the minimum increment amount which is fixed by the company for that product. Enter the maximum amount in the “Maximum Ceiling Amount” text box. Submit your auto bid after filling all the above values.

8. The bid of the highest bidder will also be displayed without the identity.

9. There is an Auto Time Extension at the time of closing time. If a bidder posts his bid in the last 3 minutes of the auction closing time, the auction will be extended automatically for further 3 minutes.

Annexure-D

General Terms & Conditions of Online Auction for Disposal of Scrap Materials

1. All scrap material will be sold on “as in where is condition”. The materials will be available for inspection at the site on production of the tender forms to the Security / Engineering Staff on duty on any working day in the time prescribed in the “Schedule of materials”.

2. Participation in the online auction will mean that the bidder has inspected the facilities (Materials) at site and fully satisfied himself regarding the condition, sizes, accuracy numerically dimensionally etc. of the items available for sale.

3. BIDDER must specifically confirm that they accept the conditions of tenders by signing the undertaking that “I agree to abide by the terms and conditions of the disposal”, Name and address in block letters along with telephone number if any should be given. Tenders without signature are liable to be rejected outright.

4. BPCL reserves the right at the time of issue of sale letter to direct the successful bidder to deposit additional amount equivalent to 10% of the tender quantities to take care of any upward variations at the time of upliftment of materials with mutual consent and agreement. Successful parties are requested to inform immediately after the e-auction whether they are willing to accept 10% additional quantity. In case of downward quantities, the amount paid will be adjusted and returned to party without any interest by cheque. EMD payment retained can not be adjusted against additional quantities at the time of upliftment which may be noted.

5. The cost of removal and transportation of items offered for sale and clearing / leveling the site including removal of debris to the satisfaction of the company’s representative at site will be entirely to the successful ’s account.

6. An Earnest Money Deposit as mentioned in the “Schedule of Materials” must accompany each tender. The required amount must be paid by any Nationalized Bank Demand Draft drawn in favour of “Bharat Petroleum Corporation Limited” payable at Kolkata duly crossed and superscribed “Account Payee only”. Tenders without a Bank Draft as above are liable to be rejected outright. Tenders accompanied by Cheque, as Earnest Money Deposit will not be accepted. No interest is payable for the deposit amount held by BPCL / MATEXNET. The EMD of the highest bidder will be retained by us and will not be adjusted against the sale proceeds. The successful bidder will be advised the outcome of the tender by a “letter of acceptance” and his earnest money will be refunded on completion of the job to the full satisfaction of the company. As per BPCL corporate policy EMD of all other parties will be credited to the company account and will be returned within 45 days of the e-auction, by way of fresh local (Kolkata) cheque issued by BPCL. In case of any undue delay in refund of cheque due to unforeseen reasons at BPCL ends or due to any postal/courier delays, BPCL is not liable for any claims of interest or any disputes arising out of this.

7. TAX COLLECTION AT SOURCE :

i) TAX COLLECTION AT SOURCE: All the parties shall remit TCS @ 1.133% of the gross value, i.e the total value inclusive of basic plus excise duty (if applicable) plus sales tax/VAT.

ii) TCS shall not be applicable to manufacturers, who submit declaration in Form 27 C, copy of which is attached.

8. SALE OF HAZARDOUS WASTE ITEMS :

a) The sale of Hazardous Waste items, namely Waste Oil and specified categories of Non-Ferrous Metal Waste will be governed by the Hazardous Wastes (Management and Handling) Rules, 1989 and its amendments, of the Central Government. Under Rule 7 (sub-rule 6) of the Hazardous Wastes Rules, in case of transport of hazardous wastes to a facility for treatment, storage and disposal existing in a State other than the State where hazardous

wastes are generated, the occupier shall have to obtain ‘No Objection Certificate’ from the State Pollution Control Board or Committee of the concerned State or Union territory Administration where the facility is existing. Notarised copy of such NOC must be submitted before issue of delivery order within the specified time. The lots shall be delivered by the seller / owner to the successful MOEF/CPCB registered buyers for brass after receiving the above NOC and also making necessary endorsement in respect of the quantity transacted in the original letter of MOEF/CPCB registration and photostat copies of the endorsement shall be furnished to their State Pollution Control Board by the seller/owner).

b) If the validity of Bidder’s MOEF/CPCB Certificate expired on the Starting Date of e-Auction, then there is likelihood of his Password being deactivated. Therefore, interested bidder must ensure to produce a valid MOEF/CPCB renewal certificate photocopy to e-procurement technologies Pvt Ltd along with its original for verification and return to get his Password duly activated before the Starting Date of e-Auction. Wherever after the award of the lot, validity of MOEF/CPCB Certificate expired, the bidder must submit copy of such certificate duly renewed by MOEF/CPCB within the stipulated time of payment of Balance sale Value failing which the payment will not be accepted and the EMD/SD paid will stand automatically forfeited.

9. The EMD of the H1 bidder, upon completion of the disposal process in all respects, to the

satisfaction of the company, will be refunded by way of local (Kolkata) cheque only.

10. Sales Tax / Surcharge / Contingent deposit for sales tax, if applicable, as per prevailing Central / State Government Acts / Rules will be entirely borne by the customer and will be exclusive of the quoted sales price.

11. The successful bidder will have to pay the total amount exclusive of earnest Money Deposit, in a single installment, within 15 days of the issue of the "Letter of Acceptance", failing which appropriate action as deemed fit including cancellation of order/ forfeiture of EMD, will be taken against the concern party . The required amount must be paid by any Nationalised Bank DD drawn in favour of "Bharat Petroleum Corporation Ltd," payable at Kolkata duly crossed "A/C Payee only". No part payment is allowed.

12. The items offered for sale will be handed over to the successful bidder by our representative at site on production of our "Letter of Authority" which will be issued after the total sale price including sales tax etc. is paid. The items will have to be removed and site cleared of debris etc., as per the schedule of assets laid down in our "Letter of Authority". In the event the work is not completed within the stipulated date, the company reserves the right to take action against the as deemed fit.

13. The successful bidder or his man working to remove the items will have to observe all safety regulations in force and will not be allowed to carry lighters, matches inside the premises nor will be allowed to smoke. The Bidders should obtain suitable work permits/safety certificates, for excavation hot work etc. from the authorities at site. The work will be allowed to be carried out during working hours only. The work will be commenced only after obtaining necessary permission from the company's representative. The man employed to carry out the work should observe the rules and regulations pertaining to employees working in the location.

14. Any injuries to workers employed by the successful during removal/transport of the items sold to him and any risks/liabilities (including under Workmen's Compensation Act etc.,) arising out of the same will be the liability of the and not of the company. The successful bidder will keep the company indemnified against all damages/claims arising out of the aforesaid. The successful bidder should also indemnify the company against all liabilities/demurrage claims arising out of non-compliance by the bidder of all statutory requirements currently in force or made applicable subsequently.

15. Any damage to company's/Railways or third party's property during removal of the items will have to be made good by the successful bidder at his own cost. The Company reserves the right to claim from the successful bidder any expenses which might have been incurred by it over and above the Earnest Money Deposit by way of restoring damages caused to properties belonging to the company/railways third party by the action of such s or his men.

16. Successful Bidder should not sell, transfer or assign the unremoved /undismantled materials to any other party until the materials are removed from our premises.

17. Bidders are cautioned/warned against the use of pipelines/tanks/pumps etc. for carriage of Drinking Water/Edible Oils/other Products, which have contained leaded gasoline at one time, or other even after vigorous cleaning/sand blasting.

18. Items once sold cannot be taken back or exchanged except when it is in the Company's interest. Should any successful bidder withdraw his bid either prior to our issue of acceptance letter or afterwards, we will be at liberty to resell the items to any person of our choice at the risk and cost of the original successful. Any shortfall in the price received from such a resale, as compared to the original offer will be recovered from the Earnest Money Deposit of the successful bidder. However, if the sale proceeds are more than the successful bidder's offer, he will not be entitled for any increased proceeds realised by the Company.

19. The Company reserves the right to accept/reject any bid or to split the award of items from the tender to suit their convenience without assigning any reasons whatsoever.

20. REFUND OF MONEY TOWARDS SHORTFALL IN QUANTITY DELIVERED:

In case of shortfall in the actual delivered quantity as against the tendered quantity, the excess amount remitted by the party, will be refunded by way of local (Kolkata) cheque.

21. Any party, quoting with “C” Form, shall submit the same along with their payment for the material and if they fail to do so, shall remit the entire sales tax as applicable and mentioned in the tender document.

Annexure - E

SPECIFIC TERMS & CONDITIONS OF e-TENDER

1. In the case of scrap disposal, only one letter of authority/invoice for the entire quantity of the material meant for disposal will be given to the successful bidder.

2. Any party, seeking exemption from payment of EMD, as SSI units, shall comply with all the following conditions to be eligible for exemption:

a) The SSI unit should be registered with National Small Scale Industrial Corporation Ltd.

b) The unit should be registered for the item tendered.

c) The monetary limit indicated in NSIC registration certificate should cover the value of the items tendered.

d) Registration Certificate should be valid as on date.

e) Photostat copy of valid NSIC registration certificate should be submitted in support.

f) Only parties satisfying all the above points will be considered eligible for EMD exemption and any offer not satisfying any one of the above criteria and seeking EMD exemption shall be summarily rejected.

3. All taxes including sales tax or other levies entailing on transaction under any provincial, local or Central statute in force for the time being or enforced hereafter having its impact on the transaction will be to bidder’s account and shall be deposited by them along with the cost of materials.

4. The rate of sales tax/surcharge indicated in the tender documents are the current rates However, whatever rate of excise duty/sales tax/other levies if any be assessed/applicable on the date of actual removal/lifting of materials shall be paid by the buyer(s).

5. The buyer(s) will be responsible to comply with provisions of Central & State Excise/ Sales Tax Act of concerned state and rules framed there under and also by the order or instruction issued on this behalf by the appropriate authority.

6. For interstate transactions, “C” Form is acceptable. However, all the parties quoting based on “C” Form will have to specify the same in the tender documents submitted at the time of registration and shall submit the “C” Forms along with the payment for the material, at our Kolkata office.

7. In the event of any dispute with regard to sales tax/Excise duty and any additional charges, if any, payable as per rules/Act, such duties/charges shall be payable by the buyers. Any penalty imposed by the Sales Tax/Excise authorities for non-compliance of procedure by the buyers shall be borne by them.

8. Your offer should be valid for 45 days from the date of the e-auction.

Product stored: Petroleum Products.

Party has to physically inspect the tanks and assess the estimated steel quantity scope of job for dismantling/removal as per the site conditions.

Time for completion of entire Job: 90 working days maximum.

Only the MS tanks along with the side ladders / ladders will be in the scope of dismantling & disposal. The concrete foundations of the tanks, boundary walls of the tank farm area, any pipeline that may be lying inside or outside the tank farm area etc are not in the scope of the tender.

All the tanks are Sludge and Gas Free. It is the responsibility of the successful bidder also to ascertain the same, before dismantling the tanks. In case any sludge is found inside the tanks the same has to be handed over to the site engineer of M/s. BPCL.

The rate to be quoted by the parties should be on lump sum basis for all the three tanks. The party has to quote the basic rate in the e-auction, taxes / duties etc will have to be paid extra as applicable.

Thicknesses of the shell / top / bottom / side ladders and handrails etc. are on ‘as is where is basis’.

Approximate tonnage of all the items in the scope of disposal have be ascertained directly by the bidders during the inspection.

Other special conditions for disposal of tanks Budge Budge Installation

1. The intending bidder should inspect the Tank and work site prior to submitting the offer and make himself familiar with the site conditions and available facilities .The tank shall be disposed as is where condition is.

2. Bidders along with the offers must give an undertaking that the steel plates of tanks pipelines/structures etc. that have contained leaded gasoline will not be used for edible products like drinking water unless they are rendered completely safe by suitable means.

3. Dismantling / Demolition is an inherently hazardous process and hence every person involved in demolition activity must wear Personal Protective Equipments including Safety harness, helmet, gloves, safety belts, safety footwear etc. as per BPCL guidelines.

4. Dismantling / Demolition must be supervised by persons, having thorough knowledge of demolition process. Qualified supervisor has to be present at all times at the site to oversee the operations of dismantling and take care of safety and security aspects.

5. Successful bidder shall carryout a survey to assess the physical characteristics and design of the facilities to be demolished so as to arrive at a safe demolition method.

Successful party has to submit the Dismantling / Demolition Action Plan/procedure for cutting /sequence of demolition etc all in detail and get it approved by site in charge of BPCL, before starting any demolition.

The demolition plan should include:

• Sequence of Dismantling / Demolition of facilities with time frame.

• Method of Dismantling / Demolition of facilities including drawings, sketches if any.

• How he will further utilize the steel plates obtained from tank.

• Manpower to be deployed.

• Machinery, Equipment to be deployed. No of hydraulic jacks proposed along with its

capacity and Test certificates for the same.

• List of Personal Protective Equipment required and that would be worn by people

involved in the activity.

6. The party has to provide Spot Fire Screen as may be required and insisted by BPCL. The approximate size of Fire Screen has been mentioned above along with tank details. The Installation will provide running water hose and fire engine will be kept ready. Portable fire extinguishers to be provided. Prospective buyer to meet all safety requirement for working at a height, electrical safety requirement. Installation will take care of Gas Safety by using Explosimeter and issue/renew permit on daily basis.

7. The working hours in general shall be 8.30 AM to 5 PM on all working days excluding Sundays/holidays. Please note that this tank is lying in a working location surrounded by various other tanks and therefore night working is not allowed.

8. Security of materials/equipments/tools and tackles are in party scope. Materials once dismantled are to be removed from our premises at the earliest. Dismantled materials can not be stored at any place other than the place earmarked by our location in charge. All disposal materials shall be allowed to be taken to outside from our premises only against proper Gate pass duly, authorized by our location in charge. All incoming and out coming

persons/vehicles/materials /equipments /tools /tackles shall be through gate pass /permits only. In case it is found that party is lifting materials other than the tendered items, party will be penalized and strict legal actions shall be initiated. No female /child labours shall be allowed. Smoking/lighting/Cooking etc inside the premise is strictly prohibited.

9. The party has to take everyday permission from location in charge for both cold and hot working as may be required by a Hot/Cold Working Permit. The party has to comply with all conditions as mentioned in the permit.

10. Due to operational/safety reasons and exigencies of work, BPCL reserves the right to stop giving the permission for disposal of the tanks and stop all disposal activities as may be necessary. In such cases no idle charges or any such claims whatsoever can be entertained.

11. No facility will be provided for night stay inside the Installation premises and contractor can not establish any unit/shed inside our premises for this job.

12. Before dismantling / demolition begins; arrangements must be made to keep the unwanted persons away from the site by necessary barricade.

13. There are fatal and serious accidents caused by persons entering confined spaces without the necessary tests being carried out and correct safety / rescue equipment being provided. It is therefore absolutely essential for the party to ensure that the tank is gas free prior to starting of any hot work.

For safe working, necessary scaffolds, platforms etc. shall be erected and proper access to them shall be provided. The steel plates cut from tank shall be lowered using safe hoisting devices having valid test certificates.

While disposing of the steel plates obtained from product tanks, which contained leaded gasoline, it shall be ensured that they are not further used for storing edible product and / or drinking water, unless they are rendered completely safe. This could be ensured by the following methods.

• By heat treatment of steel plates using flame cleaner.

• By removing all scales etc. by abrasive blast cleaning using grits shots.

If the plates are grit, shot blasted, care shall be taken to collect the grit or shot from operation to prevent spread of lead bearing dust. The used grits, shots must be treated as contaminated and not reused from other operations. It should be disposed off along with the residue thus obtained as per practice followed for leaded sludge. All parties involved in handling the plates should be made aware of their origin and risks involved in view of leaded gasoline.

14. Product Pipelines: The product pipe lines if any are not included in the scope of disposal. However drain pipes etc (if any) can be disposed off after cleaning by sufficient water flushing. The successful vendor shall ensure that these drain pipes etc are not re-used for carrying edible products, drinking water unless they are rendered completely safe. All parties involved in handling the pipes should be made aware of their origin and risks involved.

15. Any damages/Loss to BPCL property Third Party while carrying out the job shall be made good by the party at his cost and risk. After the entire job has been completed, the party has to remove any debris/materials etc in full and make good the site neat and clean and free from all as per the original condition.

16. General Safety regulations/ precautions while carrying out dismantling works.

The objective of these documents is to provide and establish safe-working practices at the work site of Bharat Petroleum Corporation Ltd. These summarized safety requirements are mandatory and should be fully understood both by the successful vendor and their employees. The contractual obligation for safety lies completely with the contractor himself. Further some additional safety requirements also can come up. In such an even, the successful vendor shall follow the more stringent regulation at all times.

The successful vendor shall at his own expense arrange and comply with all safety provisions as stipulated by the Company/ Bureau of Indian Standards/ the Electricity act/ Factory act/ OISD and other acts as applicable in respect of all personnel, directly or indirectly employed for the work. The successful vendor shall ensure that they, their subcontractor and workers employed by them shall comply with all fire/ safety/ heath regulations issued from time to time by the company.

The successful vendor shall also be liable for any pecuniary liability arising on account of any violation by him of the safety requirements. Should any injury to people or loss or damage due to fire or accident to any property or a portion thereof occur as a result of

failure to comply with such regulations, the successful vendor shall be held responsible for the consequences thereof and shall keep the company harmless and indemnified.

Working at Height:

Working at height is one of the most hazardous construction operations. Utmost care is to be taken while working at height.

• Working at height more than 2 Mtrs. Shall be done with suitable guard rails and toe

board. Guard rail and toe board dimensions shall be same as given for scaffoldings.

• While working at height 2 Mtrs and above safety harness must be used. All

openings must be boldly & clearly marked and properly barricaded. If cover is used

it must be capable to bear the weight.

• Proper crawling ladders must be used for sloping roof where tile battens are not

strong enough to take the load.

• For fragile roof, crawling boards or roof ladder shall be used.

• Openings/cut outs on floor/roof must be guarded with barricade/cover having

capacity to withstand human load and clearly marked with colour and notice board.

Using Ladder:

• Only one person shall climb or descent from one ladder at a time.

• It shall be secured at top and bottom and in addition one person should be present at the

ground to hold the ladder as a second check.

• If the ladder is used for carrying material as well, suitable foot holds and handholds

shall be provided on the ladder.

• The slope of the ladder shall not be too steep or flat (the ladder shall be given an

inclination not steeper than 1 to 4 i.e.1 horizontal to 4 vertical) to cause slipping or

falling off and it shall rest on firm surface.

• No portable single ladder shall be over 10 m in lengths, while the width between the

side rails in ring ladder shall in no case be less than 30 cms for ladder upto and

including 3 Mtrs. in length.

• Ladder shall extend at least 1 M above landing place.

• For longer ladders this width should be increased by at least by 6 mm for each

additional 30 cms of length. Uniform step spacing shall not exceed 15 cms. Rung of

the ladder shall not be used for support or to tie, stiles or side members are meant for

this.

• Ladder shall not be hung from its rungs or from one stile as this tends to pull out the

rungs.

• Make sure that footwear is free from mud or grease etc. before climbing a ladder.

16. Ladder used shall be of standard material like wooden / steel and be sufficiently strong conforming to IS: 3696-1991 (Part 2).

Scaffolding

Scaffolding can be defined as a temporary structure supporting one or more platforms and which is used either as a workplace or for storage of materials in the course construction work, including both for maintenance and demolition.

• Scaffolding shall be provided for all works that cannot be safely done from the ground except such short period of work, as can be done safely from ladders.

• Scaffolds shall be erected, altered or dismantled only by competent persons under proper supervision.

• After erection, scaffolds shall be inspected at least once in,a week and a written report on each inspection is kept.

• The height above which scaffolding is mandatory is 2 Mtrs.

• Scaffolding shall be of good quality Bamboo or steel tubular structure conforming to IS: 4014(Part I and II).

• Scaffolds shall be designed for their maximum load and with a safety factor of at least 4 or as prescribed by the site-in-charge.

i) Scaffolds shall be provided with safe means of access, such as stairs, ladders or ramps.

ii) Scaffold shall be tied or anchored to the building or structure at suitable intervals so as to prevent movement.

iii) Joints in the scaffolds shall be tied up and clamped properly to avoid any slippage.

iv) The upright members of the scaffolding shall be placed on firm and level ground and base plates at their feet shall rest on timber sole boards. All the uprights shall be kept equidistant and shall be connected and strengthened by ladders fixed on the inside of the uprights, for strength. Joints in ladders shall be staggered. Transforms shall be set on top of ladders and at right angles to them and building structure. Bracing is essential to stiffen the scaffolds and prevent sideways movement and it should run diagonally from ladder to ladder or upright to upright.

17. Working platforms and gangways should rest squarely and evenly on transforms to

prevent risks. Recommended widths of it are:

a) Not less than 60 cm if used as footing only.

b) Not less than 80 cm if used also for stacking of materials

c) Not less than 1.1 Mtrs. If used for the support of atrestle platform.

• The provision of security guard rails and toe board at every point at which full height is morethan.2 Mtrs. Shall be made. Guard rail height should be between 90cm and 115cm and toe board should raise 15cm above the working platform.

• Suitable protection shall be made by providing debris netting against falling of materials.

• Mobile tower scaffold — wheels should be locked when in use.

• Static tower scaffold should not exceed 12 Mtrs in height when free standing and above this height should tie.

• Height to base width ratio for static tower should not more than 4:1, 3.5:1 and 3:1 for indoor, outdoor and mobile tower respectively.

• Safety harness should be used while working at height more than 2 Mtrs.

• Scaffolding shall be physically checked for load carrying capacity occasionally.

18. For BIS safety codes shall be referred for further safety precautions

a.) IS: 3696-1 987 PART I-Safety of scaffolding

b) IS: 3696-1991 PART Il-Safety code for ladder

c) IS: 4014-PART 2-Code of practice for steel tubular scaffoldings, safety egulations.

Working Platform:

Wherever possible, all works to be done at a height greater than 2 Mtrs, above ground level must be performed from properly constructed and maintained working platform. Safe means of access shall be provided to all working platforms. Working platforms, gangways and stairways shall be so constructed that they shall not sag unduly or unequally. Every opening in a working platform shall be provided with suitable beams to prevent the fall of persons or materials.

The working platform shall be

i) Closely boarded

j) At least 60 cm wide if used only as a footing only, at least 80 cm wide if used also

for stacking material, and at least 1.1 Mtrs. If used for the support of a trestle

platform.

k) Provided with tow-boards of minimum 0.15 Mtrs. In height.

l) Provided with hand rails not greater than 0.85 Mtrs. Above toe- board.

m) Constructed as close to the structure or building as possible.

Working on roof:

People working on roof shall be properly protected by providing temporary railing hand rails safety harness. Workers working underneath shall use helmets. Care shall be taken to prevent falling of material from top to adjoining area in slat roofs more than 10 degree. Safety belts shall be used and belt end fastened properly to a fixed object. Workmen shall not be allowed to work on slippery roofs.

Fragile materials such as wired glass corrugated plastic sheeting and unreinforced insulating slabs etc. shall be identified and necessary precautions taken while working on them. People working on fragile roof shall be properly protected by providing two Crawling Bards or Roof ladders so that one is available to stand on while the other is being moved. Crawling Boards shall have cross batons at least 32 MM thick and not more than 380 MM apart and shall be secured in position.

Gas cutting:

Adherence to relevant codes and employment of qualified workers are two basic requirements for gas cutting process. Hazards such as electricity, heat/ flame, flammable gas etc. are present in this process. Hence following precautions must be followed while carrying these operations.

• All fire precautions as stipulated in lS:3016 (Code of practice for fire precautions in welding and cutting operations) shall be followed while gas cutting operations) shall be followed while gas cutting:

• Fire extinguishers, sand buckets, water and gunny bags shall be provided when hot work is in progress. Gas cylinders to be used for gas cutting.

• Gas cylinders shall be of approved make.

• Gas cylinder valves shall always be checked and shall be closed when not in use.

• Gas cylinder to be stored in a well-ventilated area.

• Gas cylinder to be fitted with safety caps when not in use

• Gas cylinder not to be lifted by nozzle and rolled.

• All gas and oxygen regulators shall be fitted with Flashback arrestors, being non-return valves designed to prevent and explosive mix developing in cylinder.

• Checking for leaks shall be by means of soapy liquid applied to each joint and under no circumstances shall a. naked flame be applied to any part of the cylinder.

19. When working at a height, do not place cylinders directly beneath the Working area, as molten metal may fall in to the hoses, causing leaks and possibly igniting, the gases.

• Proper booth to be made before carrying out gas cutting

• The any person working in close proximity, in order to prevent damage to the eyes must wear suitable eye protection when not in use, electricity to the holder and electrode shall be turned off.

• Hose shall be in good condition, properly clamped as per specifications

• Welding cable shall have proper insulation with minimum number of joints.

• All equipments shall be properly earthed, and cables properly insulated and connected.

• LPG Cylinders, if used, should be stored / kept in a well-ventilated placed and there should be no excavations, drains or basements nearby.

• LPG Cylinders should never be stored below ground level or closer than 3 M to cylinder containing oxygen or materials which are toxic and corrosive.

• Cylinders full or empty should never be stored upright with the valve uppermost.

• The valve of empty LPG cylinders should be kept closed, if they are left open, air will diffuse into the cylinder and may form an explosive mixture.

20. BIS Code 13:3016-I 982 on “code of practice for fire precautions in welding and cutting operations” shall be referred for further safety measures.

Working with Machineries / Material handling equipments:

Many accidents take place while handling materials at site. It is highly hazardous operation. Hence special attention by contractor is required in this respect. Following precautions are recommended.

i) Safe working space for all these equipments must be provided. Proper material stockyard should be made and all material should be staked/ arranged/ kept in orderly manner with proper moving space for handling machinery.

ii) Proper warning boards/ signs shall be provided when machineries like cranes hoists are being operated.

iii) Brakes, clutches of winches shall be checked on regular basis. Chains, ropes belts shall be inspected and repaired/ changed as necessary. All moving parts of the material handling equipment must be provided with suitable guards.

iv) Lifting ropes should be inspected for kinking, loose wires, high strands, corrosion, nicking, lubrication, and change in diameter / cross section.

v) Slings and other lifting materials which are not suitable for use should be promptly withdrawn and destroyed.

vi) Lifting chains should be inspected for bent links, cracks in weld areas or any other section of link, traverse nicks and gauges and corrosion pits. Elongation of the lifting chain link due to over loading be inspected before using it.

vii) For lifting hook, if the throat opening exceeds 15% of the normal opening, it should be replaced. When inspecting the hook, measurement must be made between the shank and narrowest point of the hook opening.

viii) A chain used for lifting should not be spliced by inserting a bolt between two links.

ix) Strain should not be put on a kinked chain.

x) Hammer should not be used to force a hook over a chain link.

xi) A safety hook fitted with a latch to prevent displacement of loads should only be used for material handling/lifting.

21. IS: 7293-1974 (Code of Practice for Working with Construction Machinery) shall be referred for further safety measures.

Cranes:

All works involving the use of crane shall be properly planned in advance and the following shall be ensured.

a) The crane is capable of lifting the load. Safe load capacity should be clearly marked

on jibs, winches, pulleys, slings and ropes. All job cranes should have an automatic

safe load indicator which alerts the operator.

b) The condition of the ground at the crane location is satisfactory to support the crane

and the load.

c) The rotation of the cab and, therefore the boom is not restricted-suitable matting or

plates are available to protect underground services and paving.

d) All slings shackles, hooks etc. are of correct rating and in good condition.

e) Cranes and lifting equipments must be inspected and carry a valid test certificate

issued by an accredited testing agency.

f) Crane hooks etc. are to be fitted with properly functioning safety clips to prevent

displacement of the sling from the hook during the lift.

g) Driver of the crane must be watchful and must ensure before driving the vehicle

either forward or reverse that no one is near the wheel of the vehicle and no one is

trying to climb the vehicle while moving.

h) Crane operators and signalers must be over the age of 18 trained and sufficiently

experienced. There should always to a signalman or a signaling system such as a telephone, if the crane operator cannot see the load throughout the lift. Hand signal shall be clear and distinct and shall follow recognized code or system. Workers must be use safety shoe and helmet. They are also required to wear gloves and other PPE for handling of some special materials.

i) Raising, lowering and braking of jib should not be done abruptly in order to prevent

it from snapping.

j) All vehicles used by the contractor shall be in worthy conditions and in

conformance to the land transport requirements. Cranes should be tested and

examined by a competent person for its wear and tear.

k) No part of the crane or crane load should be closer than 4 mtrs. to live overhead.

l) For movement of crane or other material handling equipment ramp gradient should

not exceed 1 in 10.

m) No person should be allowed to stand or work under lifted load.

22. All drivers shall hold a valid driving license for the class of vehicle to be driven.

Manual Handling

Assistance should be obtained if the load is too heavy or awkward for manual handing.

Clear walkway to the destination and safe stack should be ensured before handling the load manually. Following procedure should be followed while lifting the load manually.

a) Stand close to the load on a firm footing and with feet about 30 am apart.

b) Bend the knees and keep your back as straight as you can. Take a firm grip on a

load.

c) Breathe in and throw the shoulders backwards.

d) Straighten the legs & continue to keep the back as straight as you can.

e) Make sure that your view is not obstructed by load.

f) Keep the load close to the body.

g) Lift slowly and smoothly.

h) When carrying the load, avoid twisting spine to run, move your feet instead.

i) One person should not be allowed to pull more than 63 kg.

j) The best weight unit for lifting by a worker is 18 kg and hence should be fixed

as upper limit of load to be lifted by worker.

k) If two or more workers are lifting, one should give instructions to ensure that

the team works together.

23. Type of clothing is very important in manual handling of material. Clothing should be such that it allows easy movement of arms and will not catch in machinery or on a load.

Notes :

1. For Grounded Tank Lorry [Lot No.1 to 4] – BPCL shall not be liable to provide any upto date tax paid receipt / other documents with regard to RTO formalities.

2. In case of interstate sale wherever parties are submitting “C” Form, concessional rate of sales tax @2%

will be charged.

ANNEXURE - II

ARBITRATION CLAUSE

A. Any dispute or difference of any nature whatsoever any claim, cross-claim, counter-claim or set off of the Corporation against the Contractor or regarding any right, liability, act, omission or account of any of the parties hereto arising out of or in relation to this agreement shall be referred to the Sole arbitration of the Corporation who may be nominated by the Director (Marketing).

The Contractor will not be entitled to raise any objection to any such arbitrator on the ground that the Arbitrator is an Officer of the Corporation or that he has dealt with the matters to which the contract relates or that in the course of his duties as an Officer of the Corporation he had expressed views on all or any other matters in disputes or difference.

In the event of the arbitrator to whom the matter is originally referred being transferred or vacating his office he shall be entitled to continue the arbitration proceedings notwithstanding his transfer or vacating his office unless the Director (Marketing) at the time of such transfer vacation of office or any time thereafter designates another person to act as arbitrator in his place in accordance with their terms of the agreement.

In the event of the arbitrator to whom the matter is originally referred, vacating his office or being unable or refusing to act for any reason the Director (Marketing) at the time of vacation of office or inability of refusal to act shall designate another person to act as an arbitrator in accordance with the terms of the said agreement.

The arbitrator newly appointed shall be entitled to process with the reference from the point at which it was left by his predecessor.

It is also a term of this contract that no person other than the Director (Marketing) or a person nominated by such Director (Marketing) of the Corporation as aforesaid shall act as arbitrator hereunder. The award of the arbitrator so appointed shall be final conclusive and binding on all parties to the agreement subject to the provision of the Arbitrator Act, 1940 or any statutory modification or re-enactment thereof and the rules made thereunder for the time being in force shall apply to the arbitration proceedings under this clause.

B. The award shall be made in writing and published by the arbitrator within two years after entering upon the reference or within such extended time not exceeding further twelve months as the Sole Arbitrator shall be a writing under his own hands appoint. The parties hereto shall be deemed to have irrevocably given their consent to the Arbitrator to make and publish the award within the period referred to herein above and shall not be entitled to raise any objection or protest thereto under any circumstances whatsoever.

C. The arbitrator shall have power to order and direct either of the parties to abide by observe and perform all such directions as the arbitrator may think fit having regard to the matters in difference i.e. dispute before him. The arbitrator shall have all summary powers and may take such evidence oral and/or documentary, as the arbitrator in his absolute discretion thinks fit and shall be entitled to exercise all powers under the Arbitration Act 1940 including admission of any affidavit as evidence concerning the matter in difference i.e. dispute before him.

D. The parties against whom the arbitration proceedings have been initiated that is to say, the Respondents in the proceeding, shall be entitled to prefer a cross-claim, counter-claim or set off before the Arbitrator in respect of any matter an issue arising out of or in relation to the Agreement without seeking a format reference of arbitration to the Director (Marketing) for such counter-claim, cross-claim or set off and the Arbitrator shall be entitled to consider and deal with the same as if the matters arising therefrom has been referred to him originally and deemed to form part of the reference made by the Director (Marketing).

E. The Arbitrator shall be at liberty to appoint, if necessary any accountant or engineer or other technical person to assist him and to act by the opinion so taken.

F. The Arbitrator shall have power to make one or more awards whether interim or otherwise in respect of the dispute and difference and in particular will be entitled to make separate awards in respect of claims or cross-claims of the parties.

G. The arbitrator shall be entitled to direct any one of the parties to pay the costs of the other party in such manner and to such extent as the arbitrator may in his discretion determine and shall also be entitled to require one or both the parties to deposit funds in such proportion to meet the arbitrators expenses whenever called upon to do so.

H. The parties hereby agree that the courts in the city of Calcutta alone shall have jurisdiction to entertain any application or other proceedings in respect of anything arising under this agreement and any award or awards made by the Sole Arbitrator hereunder shall be filled in the concerned courts in the city of Calcutta only.
