North American Reseller Product Accreditation Program

1.0 Summary of Requirements

This Product Accreditation “Program” contains the criteria necessary to meet accreditation standards and obtain access to the Passport* 6400, 7400 and 15000 products for resale. Please refer to later sections of this document for a description of each of the following requirements.

Nortel Networks recommends the Passport 7400 as the product lead into the enterprise market. The Passport 6400 may be used in cases where the customer requires SNA, IPX, or bridging capabilities not supported on the Passport 7400. The Passport 6400 product is included in this Accreditation Program, but since feature development has shifted to the 7400 platform, Resellers are advised to deploy the 7400 platform instead of the 6400 in all cases where that product fits the customers' needs.

2.0 Grace Period

“Grace Period” is defined as the time period in which the product may be sold prior to meeting all of the Program requirements. It is set based on the amount of time in which a Reseller can reasonably complete the training and other requirements. The Grace Period begins as soon as the Reseller receives the approval email from the Nortel Networks Accreditation Manager. That email will contain the start date and end date for the six-month period. During the Grace Period, the Reseller must:

• Complete all of the product accreditation program requirements by the end date specified.

• Subcontract all engineering, installation and post-sales support requirements from Nortel Networks or an accredited third party until specific requirements are completed. Once engineering, installation and post-sales support requirements are met, Reseller internal resources may be used for these services with their end user customers.

• Not fulfill engineering, installation or post-sales support services for third party subcontracts for this product.

If the Reseller has not met all of the accreditation requirements by the end of the grace period, or does not comply with the above restrictions of the Grace Period, then Nortel Networks reserves the right to withdraw the Reseller's access to the product.

3.0 Required Sales Forecast

Reseller must commit to a one-year sales forecast of at least $250K, stated at Net Distributor Price (NDP) and in United States Dollars (USD) that is accepted by their Nortel Networks Sales Director. Nortel Networks reserves the right to withdraw access to the product if the Reseller does not meet this forecasted level of sales.

4.0 Point of Sale (POS) Reports

Reseller is required to provide Point of Sale (POS) reports by end-user customer name. Failure to provide timely and accurate POS reports may result in loss of accreditation status. Please access for more complete information on Nortel Networks POS reporting requirements.

5.0 Training & Certification Information

This Program describes the requirements a Reseller must commit to and then meet in order to place orders for the Passport 6400, 7400 and 15000 products. Accreditation is earned by a Reseller on a particular product by meeting the training/testing objectives set forth for various types of individuals in the Reseller's organization, and by meeting other requirements described in this Program. The core of this Program is a set of training tracks for the Reseller's sales and engineering teams. Having adequately trained sales, sales engineering, installation and service personnel is key to a Reseller’s success with the Passport 6400, 7400 and 15000.

The Nortel Networks accreditation website, () (click path is Partner Information Center/Partner Relationships/Product Accreditation), provides current information about the training courses and supplemental documentation mentioned in this Program. This site is updated regularly to incorporate new information, so occasional reviews of the site are recommended. Updates for the product accreditation programs will also be provided in the Nortel Networks Partner NewsFlash as appropriate.

5.1 Certification Requirements

Certifications are not currently required in this Passport 6400, 7400 and 15000 Accreditation Program, but may be required for new accreditations in the future, under the terms of future releases of this Program. Should certification exams become available during the timeframe of an accreditation program, and certification was not one of the original requirements, accredited Resellers will not be required to pass those exams in order to remain accredited. However, should you take the certification exams which are available for Passport 6400, 7400 and 15000, , you will meet your requirement for the appropriate training track (ex. Field Specialist exam = Installation Engineering Training Track; Support Specialist = Support Engineering Training Track, etc.).

5.2 Training Tracks

Training tracks are organized by job type. Completion of “Core Training” courses is required in this Passport 6400, 7400 and 15000 Accreditation Program. If the student has completed any of these training courses in the past, they are not required to repeat the course for completion of the training track. Training for the Passport 6400, 7400 and 15000 is provided by Nortel Networks Knowledge Services. The information for registering for those courses is listed below.

Lab and Demo Equipment

6.1 Lab Equipment

The Reseller is required to purchase the standard lab equipment configuration described in this section.

This equipment serves the following essential functions:

▪ Enables the reseller to develop their support plan

▪ Enables post-sales engineers to get hands-on experience on non-production Passport 7400 equipment to complement their classroom training.

▪ Enables phone-support specialists to replicate and resolve customer problems.

The Nortel Networks 3D Demo Marketing program may be used to purchase the lab equipment necessary to meet accreditation requirements. The program allows the Reseller to obtain lab equipment at a substantial discount. For more information, go to . 6.2 Demo Equipment

Demonstration equipment is not specifically required for this accreditation Program. Resellers may use their lab system as a demo system. However, a separate demo system is recommended to support customer demonstrations and other sales activities.

7.0 Customer Support Services

7.1 Pre-Sales

Resellers must be able to offer professional services to help customers plan and design Passport networks. These services include defining customer requirements, conducting traffic analysis and capacity planning. They should also include the ability to recommend design solutions to implement reliable, scalable and high-performance Passport networks that will meet customer requirements. These design services apply to new systems, and to existing systems being upgraded or evolved.

2. Implementation

These services include the ability to perform project management, conduct site surveys, perform physical installation of Passport 6400 and 7400 devices, operating system installation and configuration, application software installation & configuration using Preside MDM, stage and configure these devices, audit performance levels and integrate with third-party devices. These implementation services apply to new systems, and to existing systems being upgraded or evolved. If unable to provide these implementation services, then services must be contracted to Nortel Networks. NOTE: All Resellers of Passport 15000 equipment will be required to contract installation services to Nortel Networks.

3. Post-Sales Support

Problem Recovery Services: Resellers must provide 24x7 phone support to customers that have Passport 6400 and 7400 networks for high network-impacting problems only. This includes a maximum 2-hour call response time. Resellers must have remote management capabilities.

Ongoing Maintenance Services: These include post-installation maintenance services of alarm monitoring, moves/adds/changes, system backups, defective hardware replacement and subsequent implementation services to restore the system to a functioning state.

If unable to provide these post-sales services, then services must be contracted to Nortel Networks. NOTE: All Resellers of Passport 15000 equipment will be required to contract post-sales services to Nortel Networks.

Partner Level Required

• Direct Premium Partner (DPP)– participates in Partner Support Plan and has a direct purchasing contract with Nortel Networks. A DPP has forecasted $1 million or more in annual purchases. A DPP is eligible to purchase restricted products once product accreditation criteria have been met.

• Marketing Premium Partner (MPP)– participates in Partner Support Plan and has a marketing agreement with Nortel Networks. A MPP has forecasted $1 million or more in annual purchases. A MPP purchases through 2-tier stocking distributors and is eligible to purchase restricted products sold through 2-tier distribution once product accreditation criteria have been met.

• Global Solutions Partner (GSP) – participates in Partner Support Plan and has forecasted $50M or more in annual sales of Nortel Networks products. A GSP is eligible to purchase restricted products once product accreditation criteria have been met.

9.0 Additional Terms and Conditions

• The Reseller must notify Nortel Networks whenever an employee who was used to meet this Program’s requirements is no longer in its employment. The Reseller will have 90 days, starting from the time that it no longer employed this individual, to return to full compliance with this Program by having another employee trained and/or certified.

• Nortel Networks may approve an Accreditation application from a Reseller without auditing the information submitted by the Reseller at that time. The information may be audited at a later date.

• At its sole discretion and without assuming any liability, Nortel Networks may cancel, suspend, amend, modify, revoke, or terminate this Program, in whole or in part, for any reason, at any time, with reasonable notice to its Resellers.

• Nortel Networks reserves the sole right to interpret any and all terms and conditions of this Program.

• Questions regarding this Program should be directed through their Nortel Networks account team. Any exceptions or modifications granted to the terms and conditions of this Program must be in writing from the Nortel Networks Accreditation Management team.

• Nortel Networks reserves the right to withdraw, suspend or otherwise terminate Reseller's Accreditation status in the event that Nortel Networks determines that Reseller is not providing reasonable and satisfactory end user support as may be evidenced, for example, by end user complaints regarding Reseller's performance.from an individual with the authority to grant such exceptions or modifications. Nortel Networks account teams do not have the authority to modify or interpret the terms and conditions of this Program.

o Description: Discusses the provisioning tools available in Preside Multiservice Data Manager and provides students with the skills and knowledge required to configure and manage the software and configuration data for a Passport network. The Preside MDM provisioning tools allow the student to access and manipulate service data, upload and download view files, distribute software, and perform network activation.

o Objectives: Upon completion of this course, students will be able to: List four types of networking requirements that can be addressed by a Passport network; Identify and describe the hardware components of Passport 7400 or 15000 node; Identify three key features of each of the major access services supported by Passport; List the Passport routing systems and identify the type of traffic each is designed to carry; Describe how a Passport 7400 or 15000 network is managed using Preside MDM.
