As V.P. of Operations for Advanced Safety, Dennis Aulbrook brings professional engineering, electrical and design expertise to our customers and to the safety community. His extensive knowledge in upgrading equipment of all varieties to meet OSHA and ANSI requirements as well as other governmental and industry standards has placed him as an industry forerunner. For 13 years, Dennis was a principal at A.M.R. Inc., a leading electrical integrator located in Michigan. He holds certifications in such areas as Statistical Process Control, Hydraulic and Pneumatic Systems from the Society of Manufacturing Engineers, the Fluid Power Society and other nationally recognized institutions. He became a senior member of SPE in 1994 and currently sits on several ANSI & NFPA safety committees. Dennis holds a Bachelor of Science degree in Electrical Engineering, and is considered an authority in arc flash and electrical safety.

Greg Schrier, National Sales and Technical Support Manager for ASE, brings substantial electrical and safety experience as well as the knowledge that allows him to effectively meet the ever-changing needs of ASE’s customer base and developing several key relationships and strategic alliances. Over the last thirty years, Greg has held engineering and management positions in Fortune 500 companies and small-specialized engineering companies. He has been responsible for the installation of robotic automation lines, innovative sheet metal operations, and turnkey automated factories. Greg holds a Bachelor of Science degree in Industrial engineering and Operations Management.

Jason is a key Project Administrator for ASE and is responsible for overseeing and implementing many field projects. Jason is focused on maximizing technical objectives and customer satisfaction within budget and scheduling goals. His seventeen years of experience have enabled him to utilize personal, organizational and leadership qualities to create and implement projects in both the industrial sector and construction industries. As operations manager of Wither Manufacturing and Custom Manufacturing, Inc., he was responsible for management, administrative, technical and fiscal tasks related to manufacturing and automation systems. Jason has also served as the business manager for C&L Ward, where he was responsible for all aspects of project management related to commercial construction projects. His former successes speak volumes about Jason’s capabilities and skill sets.

More than 14 years of experience in electrical engineering, design and planning has made Scott an integral part of ASE’s electrical team. Scott is a principle electrical systems engineer who has been responsible for numerous projects throughout the world. His discipline has focused on industrial power distribution systems and commercial building power design. His professional duties include transformer selection, load calculations, power factor correction, switchgears, fault current analysis, short circuit analysis, protective device coordination studies, motor control centers, panel boards, power system transients, grounding techniques and more. Scott carries a BS in Electrical Engineering and a Masters degree in Telecommunications Engineering. He also holds a Professional Engineering License in eight states and holds a Top Secret security clearance for the United States Federal Government.

Richard Nelson
Richard Nelson, having a BS in Management and BS in Electrical Engineering, is a Professional Engineer (PE) in the state of Wisconsin and is currently expanding his licenses to include fourteen additional states. His résumé includes ten years’ experience working as a Project Manager for the paper/pulp industry, where he added multiple Allen Bradley and OSHA training courses. Richard is working with ASE in the capacity of Senior Engineer with a focus on electrical distribution systems, electrical safety and risk assessment.

Combining high ethics and standards with innovative thinking, Tredd Morris is ASE’s Electrical Services Project Manager. His responsibilities include the design, engineering and implementation of customer projects. Tredd holds a Master Electrician license and has worked for over 20 years in the electrical and manufacturing fields. By expanding his skills and knowledge of equipment design and electrical systems, Tredd has attained much respect in operational engineering, operations strategy, service operations and business reengineering.

Brian Davis
Brian Davis is a Field Project Coordinator for ASE and is responsible for overseeing and implementing many field projects. Brian’s project management experience provides an efficient and cost effective experience for customers. He has worked for ASE for over three years and has over 10 years of experience as a licensed electrician. He apprenticed with American Builders and Contractors for four years prior to joining ASE. Brian was also the Project Manager for Miars Electric, and his work has allowed him to travel internationally as a trade engineer and electrician.

Shawn is a Master Electrician with over nine years of experience in the commercial, industrial and residential fields. As a Project Field Coordinator, he possesses thorough understanding and skill on the job along with attention to detail. He is a trainer and crew leader, and his responsibilities include on-site evaluations and electrical installations. Shawn possesses the knowledge and skill to diagnose, as well as to train customers to understand electrical distribution systems and their impact on operations, maintenance and safety. Steven is recognized as a leader in the electrical industry with over 31 years’ experience. He is certified as a National Electrical Code Instructor and Sponsor in 30 states. Steve is certified to teach General Contractor and Professional Engineer Continuing Education Classes. He is currently an adjunct professor at Georgia Technical University. Steve has been sponsoring and instructing seminars for Electrical License Exam Preparation. Steve is a certified Master Electrician in 45 states. He is also certified as an Electrical Inspector and is authorized by OSHA to provide 10 and 30-hour voluntary compliance classes for Construction and General Industry. Steve is a principle-voting member of the NFPA NEC 70 committee for Panel #3.

TERMS AND CONDITIONS OF SALE
The following terms and conditions govern all quotations of prices of Advanced Safety & Energy, Inc. (“ASE”) for its products, services, materials, whether made pursuant to our written orders; and shall control all matters and dealings between ASE and the named “BUYER.”
1. TERMS AND CONDITIONS TO GOVERN. The terms and conditions herein contained represent the final and complete agreement of ASE and BUYER and no term(s) or conditions in any way modifying or changing the provisions contained herein shall be binding upon ASE unless made in writing and executed by an officer or other duly authorized person of ASE. No modifications of any of these terms shall be accomplished by ASE’s shipment of goods following receipt of BUYER’s purchase order, shipping request or similar forms containing printed terms and conditions additional to or different from the terms herein. If any term, clause or provision contained herein is declared or held invalid by a court of competent jurisdiction, such declaration or holding shall not affect or dismiss the validity of any other term, clause or provision contained herein.
2. ACCEPTANCE OF ORDERS. All orders of BUYER to ASE are subject to written confirmation by duly authorized ASE personnel. Shipment of goods without written price verification shall not constitute acceptance by ASE of the price contained in the order.
3. PRICE. Quote prices are predicated on receiving total order. Prices (including any transportation charges) are subject to change without notice unless specifically designated as firm for a specific period pursuant to a written quote or written sales acceptance issued or verified by a duly authorized officer or other duly authorized personnel of ASE. A price designated as firm for a specified period of time may be revoked by ASE if the revocation is in writing and is mailed to the BUYER prior to the time a written acceptance of the price is received by ASE from BUYER. All prices and deliveries are F.O.B. ASE’s location in Flint, Michigan.
4. TRANSPORTATION. Unless otherwise provided in writing executed by ASE and BUYER, ASE shall use its judgment in determining carrier and routing. In any case, ASE shall not be liable for any delays or excessive transportation charges resulting from its selection.
5. PACKING. Unless otherwise provided in writing, executed by ASE and BUYER, ASE will comply only with its minimum packing standard for the method of transportation selected. The cost of all special packing, loading or bracing requested by BUYER will be paid for by BUYER.
6. TITLE AND RISK OF LOSS. Delivery to carrier shall constitute delivery to BUYER and thereafter risk of loss or damage shall pass to BUYER. Any claim of BUYER relative to damage during shipping or delivery shall be made directly to the carrier. Any claims of BUYER against ASE for shortage or damage occurring prior to such delivery to carrier, including but not limited to errors in weight and quantity, must be made within ten (10) days after receipt of the goods and accompanied by original transportation bill signed by carrier noting that carrier received the goods from ASE in the condition claimed. ASE may either ship the quantity necessary to make good the deficiency or, at ASE’s option, credit BUYER with the invoice price of the deficiency. Notwithstanding passage of the risk of loss to BUYER, title and right of possession to the goods sold hereunder shall remain with ASE until all payments hereunder, including deferred payments evidenced by notes or otherwise, interest carrying charges and attorney fees, shall have been made.
7. PAYMENT TERMS. Unless otherwise provided in writing executed by ASE and BUYER, payment terms are as QUOTED by ASE to BUYER. Any discount allowed is limited to the amount indicated on the face of the invoice and does not include special materials, packaging, taxes and freight charges. ASE reserves the right to require advance payment or satisfactory security in cases that ASE deems necessary. BUYER shall remain liable for all accounts unpaid to ASE.
8. TAXES. All applicable federal, state or local sales, use, or excise taxes are the responsibility of the BUYER and shall be in addition to the price or prices stated on the front side of this document unless otherwise stated. ASE shall have the right to invoice separately any such tax as may be imposed at a later time. Applicable tax exemption certificates must accompany any order to which the same applied.
9. CANCELLATION.
A) ASE shall have the absolute right to cancel this Agreement upon breach thereof by the BUYER, failure of the BUYER to make any payment required by this Agreement, or the insolvency or bankruptcy of the BUYER.
B) A purchase order or any part thereof which is hereby accepted by ASE may not be cancelled unless and until ASE receives written notice of the cancellation, has determined the additional charge to be made and the same has been accepted and paid by the BUYER. Upon receipt of a notion of cancellation, ASE shall be entitled to take whatever action it deems necessary and advisable to minimize cancellation charges. Such cancellation shall not prejudice ASE’s rights to any amounts then due to ASE.
10. RETURN OF PRODUCTS. All goods returned to ASE without its prior written approval will be refused and returned by the carrier to the BUYER.
11. FORCE MAJEURE. ASE shall not be liable for failure to perform its obligations hereunder (or pursuant order of BUYER accepted by ASE and governed hereby) resulting directly or indirectly from or contributed to by acts of God or the public enemy; acts of BUYER; acts of governmental, civil or military authority, including wage and price controls; fires; war; riot; delays in transportation; lack of or inability to obtain raw materials (including energy sources) or components; labor strikes, slowdowns, lockouts or stoppages; fuel or suppliers, or unusually severe weather or any other circumstances beyond ASE’s reasonable control, whether similar or dissimilar to the foregoing. If certain quantities are affected and other quantities are not, the quantities affected shall be eliminated from the contract without liability, but the contract shall remain unaffected. ASE may during any period of shortage due to any of said causes, allocate its supply of such raw materials among its various users thereof, in any manner which ASE deems fair and reasonable. In no event shall ASE be liable for special or consequential damages for any delay for any cause.
12. ATTORNEY/COLLECTION FEES. In the event suit or other collection proceedings shall be brought for the recovery of the purchase price or any unpaid balance, or the breach by BUYER of any term contained herein, BUYER shall pay ASE, in addition to any damages provided by law, reasonable attorney’s fees and any costs of collection.
13. WARRANTY AND LIMITATIONS OF LIABILITY.
A) ASE warrants each new product manufactured by ASE to be free from defects in material and workmanship under normal usage and service for the period of one year. All new equipment sold by ASE carries the original manufacturer’s warranty. Products manufactured by others are covered only by such warranties as are extended to ASE by its suppliers. ASE warrants engineering and programming of components for the life of the component. This Warranty is not transferable and is applicable only to the original purchaser.
B) ASE does not warrant against failures caused by erosion, corrosion, misuse or improper use, including any operation beyond rated capacity, improper use or application of equipment, operation of equipment not in compliance with service manuals and instructions, substitution of parts not approved by ASE or any alteration or repair by others in such manner as, in ASE’s judgment, to affect the equipment materially or adversely.
C) Components claimed to be defective during their warranty period or for which repair or replacement is desired shall be returned to ASE for inspection at the BUYER’s expense. BUYER may request technical field assistance by providing a purchase order. Field assistance will be billed at our current service and travel rates, which will be available at the time of the request.
D) This Warranty is in lieu of and excludes all other warranties, express or implied, including but not limited to warranties of merchantability and fitness for any particular purpose. The obligation and liability of ASE under this Warranty shall not include any transportation or other charges or the cost of installation or any liability for direct, indirect, incidental or consequential damages or delay resulting from any defect, whether any claim is based upon theories of contract, negligence, or tort, and BUYER hereby waives for itself and its successors and assigns, (a) any and all claim for punitive damages and (b) all claims of negligence or strict liability or both. In no event will ASE’s liability exceed the purchase price which is actually paid.
E) BUYER (a) recognizes that the provisions of this Warranty are a material factor in ASE’s sale at the price specified, and (b) agrees that any accommodation to BUYER by ASE, whether by attempt, effort or promise to repair or replace, and whether for sales policy reasons or otherwise, shall not be taken to establish any liability of ASE or any contract term inconsistent herewith.
14. SUITABILITY OF USE. BUYER acknowledges and represents that the goods sold hereunder are fit for their actual or intended use and the BUYER placed no reliance on ASE’s skill or judgment in selecting suitable goods or materials or in the design of suitable goods and materials. BUYER represents that the use and installation of the goods shall be made in compliance with all applicable government requirements. At BUYER’s request, ASE will provide applicable third party certification documents identifying ratings and limitations of use which apply to goods purchased. This information by itself is not sufficient for a complete determination of suitability of the goods in combination with the end product, machine, system or other application or use.
15. CHOICE OF LAW. This agreement and matters connected with the performance thereof shall be construed in accordance with and governed by the law of the State of Michigan as if it were executed and performed entirely in Oxford, Oakland County, Michigan. Further, it shall be construed to be between merchants.
16. GENERAL. ASE represents that any goods to be delivered hereunder will be produced in compliance with the requirements of the Fair Labor Standards Act of 1938, as amended. Any assignment of this agreement or any obligations there under by the BUYER without the written consent of ASE shall be void. ASE reserves the right to correct all typographical errors that may from time to time be present in prices or specifications. The right and remedies of ASE under these terms and conditions shall be cumulative and the exercise of any of them shall not be exclusive of any other rights or remedies provided herein or allowed by law.
This document contains the entire and exclusive agreement between the parties and is not subject to modifications except by written agreement by ASE and BUYER. The limited warranties contained herein give BUYER specific legal rights and remedies. In addition, BUYER may have other rights and/or remedies that vary from state to state. Time is of the essence of BUYER’s obligation hereunder.
