DISTRICT ONE BYLAWS

(Amended April 10, 2007 based upon District 10 bylaws)

| |

|Article 1 |

|Title, Purposes, and Functions |

|Section 1 |Name |

| |The name of this association shall be District One of the Alabama State Nurses’ Association (ASNA), hereinafter referred|

| |to as ASNA District One (1). Counties included in ASNA District 1 include: Colbert, Cullman, Dekalb, Franklin, Jackson, |

| |Lauderdale, Lawrence, Limestone, Madison, Marion, Marshall, Morgan, and Winston |

|Section 2 |Purposes |

| |The purposes of ASNA District 1 shall be to: |

| |Foster high standards of nursing |

| |Promote the professional and educational advancement of nurses |

| |Promote the welfare of nurses to the end that all people may have better health care |

| |b. These purposes shall be unrestricted by considerations of age, color, creed, disability, lifestyle, nationality, |

| |race, religion, or sexual orientation. |

|Section 3 |Functions |

| |The functions of ASNA District 1 shall be to: |

| |promote through appropriate means the standards of nursing practice, nursing education and nursing services established |

| |by the American Nurses’ Association (ANA) and the ASNA; |

| |ensure adherence to the Code of Ethics for Nurses established by the ANA; |

| |propose and influence local, state, and national health policy, legislation, and governmental programs; |

| |promote and protect the economic and general welfare of nurses; |

| |promote and provide for the continuing professional development of nurses; |

| |represent nurses and serve as their spokesperson with professional and community groups and the public; |

| |promote supportive professional relationship roles among registered nurses; |

| |provide representation in the voting body of the ASNA; |

| |maintain communications with members through official publications; |

| |promote relationships with schools of nursing within ASNA, District One; |

| |promote relationships with the Alabama Association of Nursing Students (AANS) |

| |actively recruit students for nursing; |

| |stimulate and promote research in nursing, disseminate research findings, and promote the protection and advancement of |

| |human rights; |

| |assume an active role as consumer advocate |

| |

|Article II |

|Structural Units |

|Section 1 |Definition |

| |ASNA District 1 is composed of the members of ASNA residing within its geographical boundaries as defined by the ASNA |

| |Board of Directors (BOD). |

| |Registered nurses in each of the counties within ASNA District 1 may organize |

| |as a county nurses’ society. County nurses’ societies which hereafter may be organized, whose constitutions and bylaws |

| |are in harmony with the bylaws of ASNA District One and ASNA, and are approved by a majority vote of the District 1 BOD |

| |shall be recognized as structural units of ASNA District 1. |

|Section 2 |Boundaries |

| |Boundaries of ASNA District 1 shall geographically be as follows: Cullman, DeKalb, Jackson, Limestone, Madison, |

| |Marshall, and Morgan counties. |

| |Requests for changes in boundaries may be submitted to the |

| |ASNA BOD after approval by the membership of ASNA District One. |

|Section 3 |Responsibilities |

| |A Board of Directors that shall be composed of elected officers and representatives of each county within the district |

| |shall govern ASNA District 1. |

| |ASNA District One BOD shall provide for election of the district officers to carry out the necessary functions defined |

| |in these bylaws. The president of ASNA District One will represent the district on the ASNA Board of Directors. |

|Section 4 |Obligations of Structural Units |

| |ASNA District One shall comply with the obligations of district structural units as defined by the ASNA. ASNA District |

| |One shall: |

| |require that all its members have the qualifications specified in Article III, Membership of the ASNA Bylaws; |

| |provide to the executive director of ASNA the names and addresses of all officers and other members of the ASNA District|

| |One BOD immediately following their election or appointment; |

| |adopt and maintain bylaws consistent with the bylaws of the ASNA and provide the ASNA with complete and current copies |

| |of same within one year of any ASNA Bylaws change; |

| |confer with the Committee on Bylaws of ASNA before adopting any proposed amendments to the ASNA District One Bylaws; |

| |nominate qualified individuals for ASNA offices and ASNA House of Delegates and special meetings of the ANA in |

| |conformity Article X, Nominations and Elections of the ASNA Bylaws, and send the names, addresses and other requested |

| |credentials of these nominees to the Committee on Nominations; |

| |comply with the bylaws of the ASNA; |

| |report to the ASNA Board of Directors (BOD) as may be requested in order to comply with all requirements of the ASNA |

| |Bylaws; |

| |submit an annual audit to ASNA by January 31st of each year. |

| |

|Article III |

|Membership |

|Section 1 |Composition |

| |Members of District One of ASNA shall be those persons who comply with the qualifications set forth by these bylaws. |

| |Membership shall be unrestricted by consideration of age, color, creed, disability, gender, health status, lifestyle, |

| |nationality, race, religion, or sexual orientation |

|Section 2 |Qualifications |

| |A member is one who: |

| |has been granted a license to practice as a registered nurse in at least one state, territory, or possession of the |

| |United States and |

| |does not have a license under suspension or revocation in any state, territory, or possession of the United States; or |

| |has completed a nursing education program qualifying the individual to take the state-recognized examination for |

| |registered nurse licensure as a first-time writer. Membership renewal is contingent upon licensure; |

| |is current in payment of ASNA dues. |

| |Honorary recognition is conferred by unanimous vote at the ASNA House of Delegates on Registered Nurses who have |

| |rendered distinguished service or valuable assistance to the nursing profession, the name or names having been submitted|

| |to and approved by the ASNA Board of Directors. |

|Section 3 |Dues |

| |Dues shall be established by the ASNA House of Delegates. |

| |Payment of dues shall be in accordance with ASNA policy. The membership commitment shall be twelve (12) consecutive |

| |months from the time of initial payment of dues regardless of payment plan utilized. |

| |Members shall be notified by writing by ASNA of any proposal to change the amount of dues at least sixty (60) days prior|

| |to the meeting of the ASNA House of Delegates at which the proposal is to be voted. A vote of two-thirds (2/3) of the |

| |delegates present and voting shall be required to change the dues assessment. |

| |Membership with partial dues assessments may be defined by ASNA Bylaws and accepted for full participation in ASNA |

| |District 1. |

| |No monies shall be refunded or additional monies collected when the member’s dues category changes during the membership|

| |year, nor when the member transfers into, or out of, ASNA District One or other structural units of ASNA. |

|Section 4 |Transfer |

| |A member who changes residence to a county outside of ASNA District 1 may request a transfer from the Secretary of ASNA.|

| |A member who changes residence to another state may apply to the Secretary of ASNA for transfer to another state nurses’|

| |association |

| |A member of another state nurses’ association who moves into ASNA District 1 may be accepted into this district |

| |structural unit by transfer through the state association. |

|Section 5 |Membership Rights |

| |The members of ASNA District One shall have the right to: |

| |receive an ASNA/ANA membership card, and the publications of the ANA, the ASNA, and ASNA District One; |

| |be a candidate for district (ASNA District One), state (ASNA) and national (ANA) elective or appointive positions in |

| |accordance with qualifications set forth in the appropriate district, state, or national bylaws; |

| |participate in the election of ASNA delegates to the ANA House of Delegates and the election of ASNA District One and |

| |ASNA state officers; |

| |attend district meetings, and ASNA/ANA House of Delegates, conventions, and other non-restricted activities; |

| |affiliate with ASNA/ANA councils in accordance with the ASNA/ANA Bylaws; |

| |submit proposals for consideration by ASNA; |

| |attend the Congress of the International Council of Nurses; |

| |be accorded with other rights as provided for under common parliamentary or statutory law. |

|Section 6 | Membership Obligations |

| |The member shall have the obligation to: |

| |uphold the bylaws of District One, ASNA and ANA; |

| |abide by the Code of Ethics for Nurses, as adopted by the ANA House of Delegates; |

| |pay dues as required by the ASNA; |

| |fulfill the requirements of an office or committee if elected or appointed. |

|Section 7 |Disciplinary Action and Appeal |

| |Cause for Disciplinary Action: |

| |Cause for disciplinary action against a member shall be limited to failure to fulfill the obligations as cited in these |

| |bylaws; and other actions detrimental to the purposes, goals, and functions of the ASNA District One, ASNA, and ANA. |

| |Disciplinary Proceedings: |

| |Members shall be subject to disciplinary action by a two-thirds (2/3) vote of the Board of Directors which shall have |

| |final disciplinary authority over members. A member shall be served with a written specific charge, given a reasonable |

| |time to prepare any defense and afforded a full and fair hearing before disciplinary action is taken against the member.|

| |Disciplinary Action: |

| |Depending upon the severity of the violation, a member may be reprimanded, censured, suspended from membership, or |

| |permanently expelled from membership. The disciplinary action of ASNA District One shall be certified by this society to|

| |the ASNA and the ANA. |

| |Appeal of Disciplinary Action: |

| |A member may appeal any disciplinary action within thirty (30) days of notification of any such action by requesting the|

| |Board of Directors of the ASNA to review any question of procedure involved therein. |

| |Recognition of Disciplinary Action by Another District: |

| |Any disciplinary action taken by another district against one of its members shall be given full recognition and |

| |enforcement, provided such action was taken in accordance with the bylaws and disciplinary procedures of the |

| |disciplining district. |

| |Reinstatement |

| |Members disciplined under the provisions of this Article shall be eligible for reinstatement upon application to the |

| |Board of Directors, and approval by two-thirds (2/3) vote of the Board. |

|Article IV |

|Meetings |

|Section 1 |Meetings: |

| |This association shall meet at least quarterly, usually February, May, August, and November. |

| |The Board of Directors shall determine the time and place of the meetings. |

| |The annual meeting of this association shall be held in August. |

| |Special meetings of the association may be called by a simple majority vote of the Board of Directors, and shall be |

| |called by the President upon the written request of five (5) members in good standing with this association, giving |

| |fourteen (14) days notice to the membership. |

| |Notices of all meetings of this association shall be provided by mail, by e-mail, by telephone, or by publication in the|

| |ASNA Reporter. |

| |Members of the Alabama Association of Nursing Students and other nursing organizations may attend meetings of ASNA |

| |District One without voting privileges |

|Section 2 |Quorum: |

| |A quorum for the transaction of business of the Association shall consist of four (4) members of the Board of Directors,|

| |one of whom shall be the President or President-elect, and those members present at any meeting. |

|Section 3 |Order of Business: |

| |Order of business shall be according to Robert’s Rules of Order, Revised Addition. Use of Consent Agenda whenever |

| |possible. All reports shall be submitted to the secretary in writing.The suggested order of business at regular meetings|

| |shall include: |

| |Call to order |

| |Presentation of program (if any) |

| |Reading of the minutes |

| |Reports of officers |

| |Reports of county representatives |

| |Reports of standing committees |

| |Reports of special committees |

| |Other business |

| |Adjournment |

| |The order of business for the annual meeting will be the same. All reports shall be included in an annual summary. |

| |Election and installation of officers of the association will take place at the annual meeting. |

| | |

| |

|Article V |

|Board of Directors |

|Section 1 |Composition: |

| |The Board of Directors of ASNA District 1 shall consist of the officers of this district and representatives of each of |

| |the counties within the district. |

| |The officers of this association shall include the president, president-elect, vice-president, secretary, and treasurer.|

|Section 2 |Authority: |

| |The Board of Directors shall: |

| |have the authority delegated to it by the ASNA District One membership, including the duty and power to act for the |

| |membership in urgent issues between general district meetings, and other duties and powers as defined by these bylaws; |

| |not incur any liability in excess of $25.00, above and beyond the approved budget, without the approval of the |

| |membership. |

|Section 3 |Accountability: |

| |The Board of Directors (BOD) shall report and be accountable to he membership of ASNA District One. All actions by the |

| |BOD shall be reported in full at the next general meeting of the membership. |

|Section 4 |Executive Committee: |

| |There shall be an executive committee of the BOD composed of the officers, which shall have all powers of the BOD to |

| |transact business between board meetings. All transactions of the committee shall be reported in full at the next |

| |regularly scheduled meeting of the BOD. |

|Section 5 |Responsibilities: |

| |The Board of Directors shall: |

| |transact the business of ASNA District One in the interim between meetings; |

| |establish administrative policies governing the affairs of the society district and devise measures for the |

| |association’s growth and development |

| | |

| |provide a location or support for the activities of the association, including such work of the BOD and committees as |

| |may be deemed expedient, and provide for the proper care of materials and equipment; |

| |adopt a budget; provide for the proper care of funds of the association, for the payment of legitimate expenses and for |

| |the annual auditing of all treasury records by a qualified accountant or appointed committee of three (3) members; |

| |determine officers and other persons to be bonded; |

| |appoint standing committees and all committees and chairpersons not otherwise provided for in these bylaws; |

| |fill vacancies on the BOD, except those of president and president-elect; |

| |ratify votes of the BOD by referendum; |

| |appoint an official teller who will tabulate the votes for district officers, delegates to the ASNA House of Delegates, |

| |and other special elections. The teller shall not be a member of the District Committee on Nominations; |

| |support the ANA accreditation model to provide for quality continuing education. |

|Section 6 |Term of Office: |

| |All elected officers shall serve a two-year term. The terms of office for all board members shall commence with the |

| |meeting following the ASNA annual meeting and shall continue for one term or until their successors are elected. |

| |No officer shall serve more than two consecutive terms in the same office. The president and president-elect are limited|

| |to one term. An officer or any other member of the BOD who has served more than a half-term shall be deemed to have |

| |served a full term in that office. |

| |No member of the ASNA District One BOD shall be eligible to serve more than eight consecutive years. |

|Section 7 |Qualifications: |

| |To be eligible to serve on the BOD, a person shall: |

| |hold current membership in the ASNA, and |

| |not currently serve as an officer or director of another organization if such participation might result in a conflict |

| |of interest with ASNA District 1 or ASNA. |

| |County representatives must reside in the county they represent. |

|Section 8 |Vacancies: |

| |In the event of a vacancy: |

| |In the office of the president, the president-elect shall succeed to the office of the president. If the unexpired term |

| |is less than one year, this individual shall continue in the office of the president through the following two-year |

| |term. If the unexpired term is more than one year, this individual shall hold the office of the president through the |

| |remainder of the unexpired term, provided this is not in conflict with Article V, Section 6. |

| |In the office of president-elect, the office shall remain vacant until the next annual election, at which time a |

| |president-elect shall be elected. |

| |In the office of both the president and the president-elect, the vice-president shall succeed to the office of the |

| |president and the office of the president-elect shall remain vacant until the next annual election, at which time both a|

| |president and a president-elect shall be elected. |

| |In the office of another officer, the BOD shall fill the vacancy by appointment until the next annual election, when |

| |such a vacancy shall be filled for the unexpired term. |

|Section 9 | Duties of Officers: |

| |The president shall be chairperson of the BOD and the Executive Committee. In addition, the president shall: |

| |preside at all meetings of the association and conduct them by formal order of business; |

| |serve as an ex-officio member of all committees, except the Committee on Nominations; |

| |serve as representative of this district association on the BOD of the ASNA. In case of inability to attend, the |

| |president-elect, or an alternate, shall be appointed by the president; |

| |appoint members to serve on special committees when the need arises in the interim between meetings of the BOD; |

| |serve as a delegate-at-large to the ASNA House of Delegates and special meetings of the ASNA |

|Section 9 |The president-elect shall: |

|(con’t) |act as an assistant to the president. In the absence of the president, the president-elect shall assume the duties of |

| |the president, or if the president is unable to attend committee meetings, the president-elect shall serve as an |

| |ex-officio member of all committees, except the Committee on Nominations; |

| |serve as a delegate-at-large to the ASNA House of Delegates and special meetings of the ASNA; |

| |serve as chairperson of the Committee on Bylaws; |

| |assume such additional duties as assigned in these bylaws, and as assigned; |

| |The vice-president shall: |

| |serve as chairperson of the Committee on Membership |

| |and Public Relations; |

| |assume such duties as assigned in these bylaws, and as |

| |assigned by the BOD; |

| |3. assume the duties of the president in the absence of the |

| | |

| |president-elect |

| |The secretary shall: |

| |serve as chairperson of the Committee on Membership |

| |and Public Relations; |

| |assume such duties as assigned in these bylaws, and as |

| |assigned by the BOD; |

| |assume the duties of the president in the absence of the |

| |president and president-elect. |

| |serve as chairperson of the Committee on Bylaws; |

| |Record minutes from all meetings |

| | |

| |The treasurer shall: |

| |receive all funds of the association, deposit such funds |

| |in a bank designated by the BOD and provide for the expenditure of such funds as approved by the ASNA District One Board|

| |of Directors; |

| |report to the BOD the financial standing of the |

| |association at regular meetings. All reports shall be |

| |given from an itemized account of all receipts and disbursement. A full report of yearly expenditures shall be given at |

| |the annual meeting; |

| |provide a surety bond subject to the approval of the |

| |BOD, and submit all books of account for audit as specified by the BOD; |

| |serve as the chairperson of the Committee on Finance; |

| |maintain an accurate record of the names and addresses of all members in good standing, and on a quarterly basis provide|

| |this information to the secretary and to the chairperson of the Committee on Membership and Public Relations; |

| |deliver within one month of election all money, vouchers, ledgers, and records of the association held in possession, |

| |with a summary report of all transactions for the past year to the newly elected treasurer. |

| |The Nurses Societiescounty representatives shall: |

| |promote the activities of ASNA District One within |

| |their counties; |

| |develop a network of communication within their |

| |counties; |

| |represent the needs and concerns o their respective |

| |counties to the BOD. |

|Section 10 |Transition of Officers: |

| |All officers, except the secretary and treasurer, upon expiration of their terms of office, shall surrender all property|

| |in their respective offices to the newly-installed president |

|Section 11 |Meetings: |

| |The BOD of ASNA District One shall meet at least quarterly |

| |Special meetings of the BOD may be called by the president or by request to the president by two (2) members of the |

| |Board, by providing at least 10 days notice to each member of the BOD by mail, telephone, or personal communication. |

| |Special meetings shall be held at such a time and place to permit a quorum in attendance. |

| |In the interval between regular meetings of the BOD, the president of ASNA District One may refer and submit to the |

| |members of the BOD specific questions relating to the affairs of the association that, in the opinion of the president, |

| |require immediate action on the part of the BOD. The result of such a referendum, which requires a majority vote of the |

| |members of the BOD, shall control the action of ASNA District 1 and it’s BOD, officers and committees. |

| |Business requiring action by the BOD may be conducted by mail or other media that provides access to all board members. |

| |Such action shall be subject to ratification at the next regular meeting of the BOD. |

| |Absence without good cause from two meetings of the BOD shall constitute a resignation. Members of the executive |

| |committee shall be replaced as provided within these bylaws. |

| |Members of the AANS shall be eligible to attend meetings of the BOD of ASNA District 1 without voting privileges. |

| | |

|Section 12 |Quorum |

| |A majority of the BOD, including the president or president-elect, shall constitute a quorum at any meeting of the BOD. |

| | |

| |

|Article VI |

|Standing Committees |

|Section 1 |Definition: |

| |A standing committee is one that is essential to the day to day operation of the association.There shall be standing |

| |committees on Bylaws, Finance, Legislation, Membership and Public Relations, Nominations, and Continuing Education. |

|Section 2 |Appointment: |

| |Each standing committee shall be appointed by the ASNA District 1 Board of Directors except the Committee on |

| |Nominations, which shall be elected in accordance with these bylaws. Chairpersons of standing committees shall be |

| |appointed by the Board of Directors except those chairpersons designated by these bylaws. |

| |Only members of ASNA District 1 may be appointed to committees. |

|Section 3 |Attendance: |

| |Absence without good cause from two meetings of a committee shall constitute a resignation, and the vacancy shall be |

| |filled as provided in these bylaws. |

|Section 4 |Quorum: |

| |A majority of any committee shall constitute a quorum at any committee meeting. |

|Section 5 |Terms of Membership: |

| |Members of standing committees, except the Committee on Nominations, shall be appointed by the BOD following each annual|

| |meeting. These members will serve until the next annual meeting or until their respective successors are appointed. |

| |Members of the Committee on Nominations shall be elected for a term of one (1) year. |

|Section 6 |Functions: |

| |Standing committees shall assume such duties as are specified in these bylaws and such other duties as may be assigned |

| |by the BOD. |

| |The Committee on Bylaws shall consist of no fewer than three (3) members including the president-elect, who shall serve |

| |as the chairperson. The committee shall: |

| |suggest and receive all proposed amendments by the bylaws of ASNA District 1 and any proposed structural units |

| |upon approval of such amendments by the ASNA District 1 BOD, secure an opinion from the ASNA Committee on Bylaws |

| |regarding same amendments and shall recommend proposed action thereon to the BOD of ASNA District 1. Such proposed |

| |amendments shall be submitted for action to the ASNA District 1 membership in accordance with the provisions for |

| |amendments in these bylaws. |

| |review the bylaws of any existing or proposed structural units. The committee shall report its findings to the BOD of |

| |ASNA District 1, whose decision as to the acceptability of any proposed structural unit shall be final. |

| |review the bylaws of each structural unit and advise proposed amendments to their bylaws in order that these may be kept|

| |in harmony with the bylaws of ASNA and ANA. |

| |The Committee on Membership and Public Relations shall consist of more fewer than three members, including the |

| |vice-president of ASNA District 1, who shall serve as chairperson. This committee shall: |

| |devise ways and means which will increase membership and |

| |participation. |

| |compile and distribute publications of ASNA District 1 to assure communication with the membership |

| |prepare materials for publication to inform nurses and the general public regarding activities and purposes of ASNA |

| |District 1 |

| |develop and maintain communication with schools of professional nursing and chapters of AANS in the geographical area of|

| |ASNA District 1. |

| |The Committee on Finance shall consist of no fewer than three members, including the treasurer of ASNA District 1, who |

| |shall serve as chairperson. This committee shall: |

| |prepare the annual budget |

| |propose criteria for financial support of ASNA District 1 members serving as delegates to the ASNA House of Delegates |

| |and the ANA House of Delegates |

| |recommend to the BOD appropriate ways and means to assure fiscal solvency of this association |

| |The Committee on Legislation will consist of no fewer than three members. This committee shall: |

| |maintain communication with the ASNA Committee on Legislation. |

| |develop and maintain communication from elected representatives from ASNA District 1 serving in local, state, and |

| |federal legislative bodies. |

| |assist the BOD to communicate urgent legislative issues to the membership of ASNA District 1 |

| |The Committee on Nominations shall consist of five members. The BOD shall appoint the chairperson from the elected |

| |county representatives. |

| |Each of the counties that constitute ASNA District 1 Shall have 1 representative and 1 alternate |

| |A vacancy on the Committee on Nominations shall consist of five members. The BOD shall appoint the chairperson from the |

| |elected county representatives. |

| |The Committee on Nominations is responsible to the membership of ASNA District 1 and submits reports to the BOD. |

| |The duties of the Committee on Nominations shall be defined in Article 7, Nominations and Elections, of these bylaws |

| |The Committee on Continuing Education shall consist of no fewer than three members. This committee shall: |

| |provide for presentations at district meetings of continuing professional education that qualify for Continuing |

| |Education approval, meeting the standards of ASNA/ANA and the Alabama Board of Nursing. |

| |promote opportunities for the continuing professional |

| |education and development of practitioners of nursing. |

| |

|Article VII |

|Nominations and Elections |

|Section 1 |Nominations: |

| |On or before June 1 of each year, the Committee on Nominations shall inform the membership of ASNA District 1 of the |

| |names of the officers and county representatives currently serving, indicating those whose terms of office will expire |

| |at the next annual meeting, those eligible for re-election, together with the names of the Committee on Nominations. The|

| |committee shall request from the membership the names of potential candidates who are qualified and willing to serve in |

| |the capacity for which their names are submitted. |

| |A personal data sheet provided by the Committee on Nominations must accompany each name submitted. |

| |The Committee on Nominations shall develop a ballot and present it to the BOD. |

| |The membership shall be notified of the slate of candidates, and the date and location of elections at least 2 weeks in |

| |advance. |

| |If the name of a member of the Committee on Nominations is submitted as a suggested candidate for the ballot with the |

| |permission of that member, except as a candidate for the ASNA House of Delegates, said member shall resign from the |

| |committee. |

| |The Committee on Nominations shall encourage and solicit qualified |

| |members for submission to the ASNA Committee on Nominations for |

| |officers and ANA delegates. |

|Section 2 |Elections: |

| |Board of Directors: |

| |The membership of the Committee on Nominations shall be composed of five members. |

| |Delegates and alternates to the ASNA House of Delegates will be nominated and elected at the annual meeting. |

| |Elections shall be conducted by secret ballot with members present voting at the annual meeting. |

| |A second ballot will not be provided to any member for any reason. |

| |Members have the right to vote for any eligible person other than those appearing on the ballot by writing in the |

| |A plurality vote of members present at the election, entitled to vote and voting shall constitute an election. |

| |Any challenge to the election shall be filed in writing with the secretary within 30 days after the results are |

| |announced. |

| |Removal of elected officials: |

| |Any officer elected by the ASNA District 1 membership may be removed by the membership whenever such action is deemed to|

| |be in the interest of the District association or for other just cause. Removal of an elected officer requires a |

| |majority vote of the membership. |

|Article VIII |

|Relationship with the Alabama State Nurses’ Association |

|Section 1 |Membership |

| |ASNA District 1 is a structural unit of the Alabama State Nurses’ Association. Every member of ASNA District 1 is an |

| |individual member of ASNA. ASNA District 1 members have representation in the American Nurses’ Association and the |

| |International Council of Nurses through ASNA. |

|Section 2 |Representation: |

| |House of Delegates – ASNA District 1 will be entitled to one delegate for each twenty (20) members or a fraction over |

| |half. The delegation will be distributed to represent all counties in the district. The President of ASNA District 1 |

| |will be delegate-at-large. |

| |Delegate representation shall be computed on the basis of members in good standing on July 1 preceding the annual |

| |convention of ASNA |

|Article IX |

|Amendments |

|Section 1 |Amendments with Notice: |

| |These bylaws may be amended with 1 months’ prior notice at any regular meeting by a two-thirds vote of the members |

| |present and voting. |

|Section 2 |Amendments without Notice: |

| |These bylaws may be amended without previous notice at any meeting by a 99% vote of all members present and voting. |

|Section 3 |All proposed amendments shall be in possession of the secretary of ASNA District 1 prior to any vote of the membership |

| |to ensure accurate records for the Committee on Bylaws. |

|Robert’s Rules of Order, Newly Revised governs this association in all parliamentary situations that are not provided for in the law or in |

|the charter, bylaws, or adopted rules of ASNA District 1 |
