PENN CENTRAL CONFERENCE

of the

UNITED CHURCH OF CHRIST

The name of the corporation is the PENN CENTRAL CONFERENCE of THE UNITED CHURCH OF CHRIST.

The location and address of its registered office in this Commonwealth is 900 South Arlington Avenue, Harrisburg, Pennsylvania.

The purposes of the corporation are: To promote the spiritual, educational and other interest of the UNITED CHURCH OF CHRIST, including all the charitable, benevolent, and eleemosynary work of the church as an organic member of the UNITED CHURCH OF CHRIST to be governed by the constitutional laws and rules of said church or its successors, to take charge of hold and manage all property, personal and real that may at any time or in any manner come to or vest in this corporation for any purpose whatever, whether by purchase, gift, grant, devise, or otherwise, and to mortgage the same, sell, and otherwise dispose of it as the necessities of the corporation may require.

The term of its existence is perpetual.

That this corporation is organized upon a non-stock basis.

No real property, personal property in the sum of five thousand ($5,000.00) dollars.*

The voting membership of the Conference at any Annual or Special Meeting may adopt bylaws for the management, regulation and control of Conference, not inconsistent with this Certificate of Incorporation or the laws of the Commonwealth of Pennsylvania.

DISSOLUTION:

X. Dissolution. In case of the dissolution of the corporation, assets shall be distributed to the United Church of Christ, or its successor, for one or more exempt purposes within the meaning of §501(c)(3) of the Internal Revenue Code of 1986 (or the corresponding section of any future Internal Revenue Law of the United States), for a public purpose. Any such assets not so disposed of shall be disposed of by a court of competent jurisdiction of the county in which the principal office of Penn Central Conference is then located, exclusively for such purposes or to such organization(s) as said court shall determine, which are organized and operated exclusively for such purposes.
