REFERENCE Board of Public Works approval is requested on behalf of Program Open Space (POS) to accept an Agreement of Sale to purchase a conservation easement on 219.4471 ± unimproved acres which is located west of Flemming Mill Road, with frontage on the East side of Dividing Creek and the Pocomoke River approximately five (5) miles North of Pocomoke City, in Worcester County. The forested bottomlands of the Pocomoke River Watershed support numerous locally and nationally rare species, including the Swainson’s Warbler, Delmarva Fox Squirrel and the American Bald Eagle, and serve as important stopover and nesting habitats for neotropical migrants, waterbirds, and shorebirds, including woodcock and waterfowl such as the Wood Duck and American Black Duck. This parcel lies within the designated Pocomoke River Focus Area and the Target Ecological Area (TEA) and has received an ecological ranking of 99 under the new Program Open Space Targeting System.

The State of Maryland and The Nature Conservancy (TNC) working in partnership with the US Fish and Wildlife Service (USFWS) Chesapeake Bay Field Office has secured two Federal North American Wetlands Conservation Act (NAWCA) grants in the total amount of $1,448,727.00 to protect and restore 8 properties on the Pocomoke River. These properties are Banks, Beauchamp (Item 14-RP 6/17/09 BPW), Allen, Corderey Quillen (Donation), Warren (Item 3-RP BPW 1/6/10), Damz Haven (Item 5-RP 8/5/09 BPW) and Burns (Donation). Reference is made to Item 14-RP approved by the BPW on 6/17/09, and Item 8 RP approved on 8/5/09 in which the State received $308,202.00 and $467,377.00 in federal match funds to conserve the Beauchamp and Damz Haven, LLC properties as part of this grant. This purchased easement is funded solely with POS funds as part of the State’s required match in accordance with the NAWCA Grant.

REFERENCE Approval is requested on behalf of the Department of Natural Resources Program Open Space (POS) to accept an Assignment for an Agreement of Sale to purchase a Conservation Easement on the 504.12 ac ± acre Bassett Farm property. The Bassett Farm is prominently located on Newport Bay outside of Berlin, in Worcester County. The property contains upland forest, prime agricultural fields, and extensive sensitive wetlands. Private land stewardship initiatives undertaken by the current property owner have been exemplary; including the preservation and establishment of waterfowl habitat, and have been recognized by State and Federal agencies.

This project proposes to purchase a conservation easement to safe guard wildlife habitat and protect the water quality of Maryland’s Coastal Bays that are increasingly threatened by rapid land development. The Coastal Bays located landward of Ocean City and Assateague Island, make up one of only 27 other estuaries nationwide that have received the special attention of the US Environmental Protection Agency’s acclaimed National Estuary Program, designed to protect the most economically and environmentally significant areas in the United States. These estuarine bays are complex ecosystems that provide habitat for a wide range of fish and wildlife. This project lies within the Target Ecological Area (TEA) and the designated MD Coastal Bays Focus Area and has received an ecological ranking of 97 under the Program Open Space Targeting System.

The State of Maryland and The Conservation Fund (TCF) working in partnership with the US Fish and Wildlife Service (USFWS) has secured a U.S. Fish and Wildlife Service National Coastal Wetlands Grant in the total amount of $1,000,000.00 to protect and restore the Bassett property. As outlined in the grant proposal, a total of 2 acres of palustrine emergent wetland will be restored and 26 acres of grass buffers will be planted along agricultural ditches on the property using non-match funds and in-kind services provided by the Natural Resources Conservation Service (NRCS) and the USFWS. The U.S. Fish and Wildlife Service will provide matching funds in the amount of $1,000,000.00 at settlement in accordance with the NCW Grant.

The Assignment of the Agreement of Sale has been approved by the Office of the Attorney General. Title and transfer agreements are subject to legal review.

DEPARTMENT OF NATURAL RESOURCES National Sailing Hall of Fame

Annapolis MD

DESCRIPTION Approval is requested for entry into an Agreement-to-Lease and Lease (Agreement and Lease) and temporary Interim Lease (Interim Lease) between the Department of Natural Resources (DNR) and the National Sailing Hall of Fame & Museum, Inc., a Maryland corporation (NSHOF), to lease DNR property for the development of a new National Sailing Hall of Fame (Hall of Fame) in the City of Annapolis along the downtown waterfront. The Agreement and Lease detail the respective roles of the parties and calls for NSHOF to finance and cause the design, development, and management of the Hall of Fame during the term of the Lease.

The Agreement and Lease has two stages. First, prior to commencement of the contemplated Lease, there is a two (2) year ‘preparation’ phase where NSHOF is to conduct all pre-development planning and permitting activities, demonstrate sufficient funds for completion and operation of Hall of Fame, express a desire and ability to construct the Hall of Fame, contribute to the State a portion of the land upon which the Hall of Fame will be located, and satisfy other conditions of the Agreement and Lease (Trigger Events). If the Trigger Events occur, the second, ‘lease’ phase would commence, and the Hall of Fame would be constructed, operated, and maintained on the property by NSHOF.

BACKGROUND Since May 2004, the NSHOF has sought an appropriate site to locate its new Hall of Fame and provide a place to recognize and honor the American sailing community, preserve sailing artifacts, educate in the science and spirit of sailing, and promote environmental stewardship of navigable waters. DNR’s mission includes fostering the preservation, development, use, and enjoyment of the water resources of the State and promoting the use and conservation of the waters of the State for recreational uses. As a result, in December 2005, DNR and the NSHOF signed a Memorandum of Understanding to pursue the lease of DNR property at the Annapolis City Dock as the site for the future Hall of Fame.

The DNR property is 67-71 Prince George Street which is located at the Annapolis City Dock (DNR Parcel) and consists of a waterfront parcel and certain waterfront improvements extending into the City Dock basin. The DNR Parcel contains an historic structure (the “Burtis House”) which is currently being utilized for DNR police operations.

DNR police no longer desire to use or maintain the Burtis House and anticipate relocating the city harbor operations to another site. DNR and NSHOF recognized the historic nature of the site and, in anticipation of a potential agreement and lease, entered into a Programmatic Agreement between DNR, NSHOF, and the Maryland Historic Trust that ensures NSHOF’s appropriate stewardship of the historic and archeological properties of the site should it be transformed into and operated as the Hall of Fame during the term of the Lease.

In anticipation of the project, NSHOF has acquired a portion of the former Phillips restaurant property that is adjacent to the DNR Parcel and also known as 73-79 Prince George Street (NSHOF Parcel). NSHOF desires to contribute the NSHOF Parcel to the project and anticipates transferring it to the State in partial consideration for use of the DNR Parcel and the ability to construct and operate the Hall of Fame at the site.

Clearinghouse has reviewed and recommended approval on July 16, 2008 so long as certain contingent actions were taken. The contingent actions include consulting the Maryland Historical Trust and City of Annapolis Historic Preservation Commission as well as with the Critical Area/Chesapeake and Atlantic Coastal Bays Commission, and addressing certain concerns of dock usage, traffic congestion, and pre-construction demonstration of ability to accomplish the project. All clearinghouse recommendations have been satisfied and/or incorporated in to the Agreement and Lease where applicable.

Special Conditions

1. In the event the Trigger Events do not occur within two (2) years of Board of Public Works approval, the Agreement and Lease will automatically terminate with no liability to either party.

2. The Lease is for a term of fifty (50) years and provides for one (1) renewal option for a term of 20 years subject to Board of Public Works approval.

3. After commencement and a proper survey of the property, DNR and NSHOF will amend the Lease to reflect the new legal description of the combined parcels.

4. The State will own the completed improvements but NSHOF shall bear all costs of pre-development, development, operation and maintenance of Hall of Fame during the Term of the Lease.

5. Rent for the combined parcels will be both nominal rent of $1.00 per annum and the performance rent of complying with the Lease, operating and maintaining the Hall of Fame, and establishing:

a) $2.00 per square foot per annum maintenance fund for regular operational

maintenance,

b) $250,000.00 initial, plus $.50 per square foot per annum, reserve fund for larger,

required capital improvements over the term of the Lease, and

c) $2.5 million casualty fund to cover any impact on DNR’s share of any self-insured

deductible should the site incur a casualty.

6. The Hall of Fame shall be open to the public free of charge and otherwise operate in conformity with DNR’s standard operational days and holidays.

7. DNR retains the right to use the premises for promotion and advancement of the mission and purpose of DNR including display or distribution of DNR materials and reasonable use of the pier for docking of DNR or other State vessels.

8. NSHOF shall solicit monetary contributions for the construction, maintenance, and operation of the Hall of Fame and by approving the Agreement and Lease the BPW is authorizing Lessee with DNR supervision to name the building, component improvements within the building, the pier and recognize such naming and contributions with memorial plaques, bricks, pavers or similar items, but shall not cause interference with the State’s ownership of the property.

9. The Agreement and Lease obligates NSHOF to sublease to the Annapolis Boat Show each year and hold the State harmless for such use. All rents from the Annapolis Boat Show will be payable to DNR.

10. All improvements to the property, including the Hall of Fame, shall become the property of the State upon installation but subject to the use of the NSHOF for the term of the Lease.

11. The Hall of Fame must comply with the Chesapeake and Atlantic Coastal Bays Critical Area Protection Program, aforementioned Programmatic Agreement, and other applicable environmental laws.

12. NSHOF shall provide satisfactory construction and performance bonds for completion of the Hall of Fame.

13. NSHOF shall maintain during the Term of the Lease adequate insurance coverage including: Commercial General Liability in the amount of $1,000,000.00 per occurrence and $5,000,000.00 annual aggregate. The CGL shall be $5,000,000.00 per occurrence during construction. Other insurance includes Worker’s Compensation and Employer’s Liability, Automobile Liability, and Commercial/Renter Flood Insurance.

14. NSHOF shall defend and hold harmless the State from liability as a result of its use of the site. The State will incur property casualty liability resulting from ownership of the improvements; however the Agreement and Lease provides that NSHOF shall insure for such risk and/or maintain a fund to satisfy self-insured casualty deductibles that could be incurred by DNR.

15. NSHOF will consult with and gain approval of DNR, DGS, and the Maryland Critical Area Commission throughout the design and development phases of the Hall of Fame. No further modification or alteration may be made without similar approval.

16. The Interim Lease is a two (2) year temporary lease of the premises that will allow NSHOF to occupy the DNR Parcel for NSHOF offices, perform Museum related functions and promotions, and pursue satisfaction of the Trigger Events of the full Agreement and Lease.

The income for the majority of HUI tenants is Supplemental Security Income (SSI), and the maximum SSI payment for an individual is currently $674.00 a month. In addition to these funds, Montgomery County provides $200.00 a month for each client through the Montgomery County Rental Assistance Program.

In accordance with Subtitle 6 of the Health-General Article of the Annotated Code of Maryland, the Board’s approval is further contingent upon the State’s right of recovery being included in the Deed(s) or otherwise recorded among the Land Records of Montgomery County.

No State funds will be disbursed until the grantee has presented suitable evidence to the Comptroller that it has expended the required matching funds for this project. After the grantee has met this requirement, all future invoices will be submitted to the Comptroller, who will disburse the State portion in amounts equal to the invoices submitted.
