Basic terms and definitions

Base Points -- The number of Points you will earn with each purchase

Billing Cycle -- The period of time between monthly bills or monthly billing statements, as defined in your Credit Card Agreement

Bonus Points -- The number of additional Points you can earn with each purchase, subject to the terms of certain bonus offers or enrollment-based programs

Card --A AAA Member Rewards Visa? credit card

Cardholder (also referred to as "you") -- Individual Cardholders, Joint Cardholders and authorized users, if any, with a Card account and charging privileges (excluding corporations, partnerships or other entities)

Cash Rewards --A statement credit, an electronic Automated Clearing House (ACH) System deposit into a checking or savings account with Bank of America, N.A., a contribution to an eligible Cash Management Account? with Merrill, or a check; Cash Rewards are issued in U.S. dollars

Eligible Account -- A Bank of America? checking or savings account and/or a qualifying Cash Management Account? with Merrill. Eligible Accounts are determined by Bank of America, N.A.

Joint Cardholder -- Joint owner of the Card account who shares full responsibility of account with the Primary Cardholder; does not include authorized users

Net Purchases -- The amount of purchases less any credits, returns and adjustments

Points -- Points that are earned or redeemed through the Program

Preferred Rewards/Preferred Rewards for Wealth Management Programs -- Optional benefits and rewards programs, separate from this Card Program, available to Bank of America customers/Merrill clients who have met certain deposit account and deposit/investment balance criteria. Qualification and enrollment requirements,

and other program details, are available at preferredrewards

Primary Cardholder -- First-named Cardholder on the Card account

Program -- The AAA Member Rewards program

Program Rules -- Refers to the terms and conditions in this document, which govern the Program; these Program Rules are separate from the terms of the Credit Card Agreement provided with your Card

Rewards -- Rewards that you can receive by redeeming Points

Site -- The Program website at , which includes the Bank of America? Mobile Banking application when available

Travel Center -- The website or call center where Cardholders can purchase travel or redeem Points for travel

Travel Rewards --Air travel, car rentals, hotel stays and other travel options that are paid for fully or partially by redeeming Points

We/Us/Our -- Bank of America, N.A., the administrator and issuer of the Program

How are my Points calculated?

? We will calculate your Points with each eligible transaction and award (or deduct) the resulting Points, including two decimals (for example, $1.01 x 1 = 1.01 Points).

? We calculate and round Base and Bonus Points separately.

Base Points

? We calculate the number of Base Points you will earn with each purchase or return transaction you make.

? The transaction amount (positive or negative dollars) multiplied by your base earn rate of 1 Point equals your Base Points.

? For example, a purchase of $1.01 x 1 base earn rate = 1.01 Base Points.

? Similarly, a return of -$1.01 x 1 base earn rate = -1.01 Base Points.

Bonus Points ? You may earn Bonus Points based on

meeting certain criteria or taking certain actions (such as enrolling in the Preferred Rewards program); details will accompany the offer.

? We calculate the number of Bonus Points you will earn with each purchase or return transaction you make, but separately from the calculation for your Base Points.

? The transaction amount (positive or negative dollars) multiplied by the bonus earn rate for that particular offer equals your Bonus Points.

? For example, a purchase of $1.00 x .50 bonus earn rate = 0.50 Bonus Points.

? Similarly, a return of -$1.00 x .50 bonus earn rate = -0.50 Bonus Points.

Points Rounding ? Any Points calculations resulting in more

than two decimals will be rounded up to the next hundredth of a Point (for example, 1.013 rounds up to 1.02).

How do I earn Points?

? Earn 1 Base Point for every $1 spent on Net Purchases. $1.01 x 1 earn rate = 1.01 Points.

? There is no limit on the number of Points that can be earned.

? From time to time, special promotions may feature the ability to earn Bonus Points; details will accompany the offer.

? Points are subject to verification.

Transactions not eligible for Points You won't earn Points for:

? Balance Transfers and Cash Advances, including but not limited to, travelers checks, money orders and other cash equivalents

? Fees, interest charges and credit insurance

? Fraudulent transactions

What you need to know

? For new customers, accrual of Points may begin immediately upon processing of account opening. If you are an existing credit card customer and your account is converted to the Program, you may not be issued Points until the first day of the Billing Cycle, beginning after you receive the Card(s).

How do I earn Bonus Points for eligible Net Purchases?

AAA/Travel Merchant Bonus

? Earn 3 Points (consisting of 2 Bonus Points and 1 Base Point) for every $1 spent on Net Purchases made with the Card:

? through any participating AAA Club (a "Participating AAA Club," as further qualified below);

? when AAA is the merchant of record; or,

? at eligible retail travel merchants (under specific merchant codes as described below).

? For example, if you spent $100 on Net Purchases at a Participating AAA Club, you would earn 200 Bonus Points and 100 Base Points, totaling 300 Points.

? Eligible retail travel merchants are those in which purchases are made at merchants using the following Merchant Category Codes (MCCs):

? Airlines (MCCs 3000?3350 ? representing individual major airline carriers, and 4511 ? Airlines/Air Carriers)

? Car Rental Agencies (MCCs 3351? 3500 ? representing individual major agencies, and 7512 ? Automobile Rental Agency)

? Hotels, Motels, Inns and Resorts (MCCs 3501?3999 ? representing individual major hotel/motel chains, and 7011 ? Hotels/Motels/Resorts)

? Steamship/Cruise Lines (MCC 4411)

? Travel Agencies (MCCs 4722, 4723)

? Railroad Transportation (MCC 4111 ? Commuter Rail and 4112 ? Rail Transportation)

Gas/Grocery Store/Wholesale Club/ Pharmacy Bonus

? Earn 2 Points (consisting of 1 Bonus Point and 1 Base Point) for every $1 spent on Net Purchases made with the Card at any eligible gas, grocery store, wholesale club, or pharmacy retail merchants (as designated by Us and described below). Excluded from this bonus category are superstores and smaller stores (like convenience stores) that sell groceries and a variety of other products.

? For example, if you spent $100 on Net Purchases at an eligible grocery store merchant, you would earn 100 Bonus Points and 100 Base Points, totaling 200 Points.

? Eligible gas, grocery store, wholesale club, and pharmacy retail merchants are those in which purchases are made at merchants using the following MCCs:

? Gas (MCC 5541 ? Service Stations, 5542 ? Automated Fuel Dispensers, 4468 ? Marinas, Marine Service/ Supplies, and 5983 Fuel Dealers)

? Grocery Stores (MCC 5411 ? Grocery Stores/Supermarkets, 5422 ? Freezer/Meat Lockers, 5441 ? Candy/ Nut/Confection Stores, 5451 ? Dairy Product Stores, 5462 ? Bakeries, and 5499 ? Misc. Food Stores. Please note that this list does not include codes for "Discount Stores")

? Wholesale Clubs (MCC 5300 ? Wholesale Clubs)

? Pharmacy Stores (MCC 5122 ? Drugs/Druggists/Sundries and 5912 ? Drug Stores and Pharmacies)

What you should know

? Purchases made at merchants that do not process transactions under the

specified merchant codes or purchases processed through a third-party payment account, mobile/wireless card reader, digital wallet not supported by Bank of America or similar technology where the technology does not support transmission of merchant codes will not qualify to receive the Bonus Points.

? The following types of transactions will not qualify to receive the AAA Bonus:

? insurance purchases made through any AAA Club or Club-affiliated insurance agency for policies which are not underwritten by an insurance company owned by or affiliated with a AAA Club; and

? automobile extended warranties, trip insurance or any other services that are purchased through a Participating AAA Club but are provided by a third-party merchant.

? Bonus Points for eligible Net Purchases are calculated and awarded separately from any other Bonus Points you may receive (such as the Preferred Rewards/Preferred Rewards for Wealth Management Program Bonuses described below).

If I'm a Bank of America customer or Merrill client who has qualified for and enrolled in the Preferred Rewards/ Preferred Rewards for Wealth Management Program, how do I earn the Preferred Rewards/ Preferred Rewards for Wealth Management Bonus?

What you should know

? To be qualified for enrollment in the Preferred Rewards/Preferred Rewards for Wealth Management (formerly known as Banking Rewards for Wealth Management) Programs, you must own certain Bank of America deposit

accounts and maintain specific balances in Bank of America deposit accounts and/or in Merrill investment accounts. Details are available at preferredrewards.

? After enrolling in the Preferred Rewards/ Preferred Rewards for Wealth Management Programs, or if you are already enrolled and open a new Card, it may take up to 30 days for the Preferred Rewards/Preferred Rewards for Wealth Management Bonus to become active on your Card.

? If you move to a higher (or lower) reward tier, it may take up to five days for the higher (or lower) Preferred Rewards/ Preferred Rewards for Wealth Management Bonus to become active on your existing Cards.

? For enrolled members who change their card type, as long as the new Card is an eligible credit card, it may take up to five days for the Preferred Rewards/Preferred Rewards for Wealth Management Bonus to become active on the new Card. A complete list of ineligible cards is available at preferredrewards.

? If more than one Cardholder on a Card account (Primary Cardholder and Joint Cardholder) is enrolled in the Preferred Rewards/Preferred Rewards for Wealth Management Program, the account will receive the Preferred Rewards/Preferred Rewards for Wealth Management Bonus level based on the Cardholder with the higher tier.

? If a Joint Cardholder with a higher tier is added to a Card account, it may take up to 30 days for the higher Preferred Rewards/Preferred Rewards for Wealth Management Bonus to become active on that Card.

? Your Preferred Rewards/Preferred Rewards for Wealth Management Program enrollment status and tier can change depending on the balance you maintain in your qualifying deposit/

investment account(s).

? The Preferred Rewards/Preferred Rewards for Wealth Management Bonus does apply to the AAA Club/travel merchant/gas/grocery store/wholesale club/pharmacy Bonus but may not apply to all bonus earn.

? For example, if you were enrolled in the Preferred Rewards Platinum tier (50% bonus earn rate) and your Net Purchases made at an eligible retail travel merchant totaled $1,000, you would earn 1,000 Base Points; 2,000 travel merchant Bonus Points; and 1,500 Preferred Rewards Bonus Points, totaling 4,500 Points.

? This product is not eligible for benefits under the Preferred Rewards for Business program.

How the Preferred Rewards/Preferred Rewards for Wealth Management Bonus works

? If either the Primary Cardholder or Joint Cardholder on the account is enrolled in the Preferred Rewards/Preferred Rewards for Wealth Management Programs, the Preferred Rewards/ Preferred Rewards for Wealth Management Bonus will be added as Bonus Points to the Base Points you earn with each $1 spent on Net Purchases.

? The amount of Bonus Points you earn depends on your Preferred Rewards/Preferred Rewards for Wealth Management Program enrollment status and tier at the time the purchase posts to your account as follows:

? Gold tier (25% bonus earn rate): Earn 1.25 Points (.25 Bonus Points + 1 Base Point).

? Platinum tier (50% bonus earn rate): Earn 1.50 Points (.50 Bonus Points + 1 Base Point).

? Platinum Honors tier (75% bonus earn rate): Earn 1.75 Points (.75 Bonus Points + 1 Base Point).

? Preferred Rewards for Wealth Management (75% bonus earn rate):
