This Amendment No. 08 (the “Amendment No. 08”), effective on the date when signed by the last Party ("Effective Date"), and amending Agreement No. 00012603, is by and between SBC Long Distance, Inc., formerly known as Southwestern Bell Communication Services, Inc.(“Supplier” or “SBCS”), and SBC Services, Inc., a Delaware corporation, on behalf of Nevada Bell Telephone Company, Pacific Bell Telephone Company, Southwestern Bell Telephone Company, Illinois Bell Telephone Company, Michigan Bell Telephone Company, The Ohio Bell Telephone Company, Indiana Bell Telephone Company, Incorporated, and Wisconsin Bell, Inc. (“Customers”), each of which may be referred to in the singular as “Party” or in the plural as “Parties.”

WITNESSETH

WHEREAS, Supplier and Customers entered into Agreement No. 00012603, on June 6, 2000, (the “Agreement”) as amended by Amendment No. 01 effective March 21, 2001, but then subsequently rescinded on November 26, 2002, as amended by Amendment No. 02 effective June 6, 2003, as amended by Amendment No. 03 effective January 23, 2004, as amended by Amendment No. 04 effective February 23, 2004, as amended by Amendment No.05 effective March 10, 2004, as amended by Amendment No. 06 effective June 3, 2004, and as amended by Amendment No. 07 effective July 29, 2004; and

WHEREAS, Supplier and Customers desire to further amend the Agreement as set forth herein, effective on the Amendment No. 08 Effective Date.

Now, THEREFORE, in consideration of the premises and the covenants hereinafter contained, the Parties hereto agree as follows:

1. Correct the name of Customer from “Southwestern Bell Telephone Company” to “Southwestern Bell Telephone, L.P, d/b/a Southwestern Bell Telephone Company.” All other Customers remain unchanged.

2. Correct Supplier name from “Southwestern Bell Communication Services, Inc. d/b/a “SBC Long Distance (‘SBCS’)” to “SBC Long Distance, Inc. (’Supplier’ or ‘SBCLD’)”

3. On page 4, the first paragraph of Section 3 entitled, “SERVICES,” is deleted in its entirety and replaced with the following:

An individual Customer may order from SBCLD the Services set forth below as soon as SBCLD has the ability to provide such Services. SBCLD shall keep the parties reasonably advised as to the planned schedule dates(s), if any, of its ability to provide the below Services and any other additional or new products, services, features or function thereof not listed below. All Orders for Services placed under this Agreement are subject to facilities available at the time of order. The prices stated in Schedule A shall apply until such time the new pricing takes effect in accordance with Section 4, entitled “Prices” to include all rates for all products and Services available. The Services available as of the Effective Date are set forth in Schedule A entitled, “Products, Services and Rates.” The parties shall execute an Addendum B to Schedule A as soon as additional or new products or Services are available.

4. Schedule A, page 36, entitled, “Toll Free Service Charges” is amended by adding the following definitions. Pricing for added items are listed in Addendum B to Schedule A, attached hereto and incorporated herein by reference. Such Addendum B to Schedule A pricing shall apply until such time Schedule A is updated in accordance with Section 4, entitled, “Prices.”

“Outbound Calling Party Number (‘CPN’) on Dedicated Access”

CPN Delivery is an optional feature for DVA/DOV circuits that enables delivery of calling party’s ten-digit telephone number (or pseudo CPN) to the called party. CPN cannot be blocked by the calling party and only the NPA is sent if caller is in non-equal access end office (i.e., FG/A, FG/C). Only one CPN is allowed per Switch ID/Trunk Group, but the same CPN may be used with multiple Switch ID/Trunk Groups. The CPN optional feature does not support Caller Name Delivery.

“International Toll Free Service (‘ITFS’)”

ITFS provides direct dial toll free calling from forty-five (45) foreign countries to a predetermined business number in the U.S. on an SBCLD Direct Bill. Toll free service from Canada is part of the domestic Toll Free Service product offer and is not offered as part of ITFS. ITFS calls can terminate to any dedicated access location within the forty-eight (48) contiguous U.S. states except Connecticut. ITFS calls can terminate to any switched U.S. location except Connecticut and the U.S. Territories.

ITFS provides two different dialing capabilities for international Toll Free calling –International Freephone Service (“IFS”) and Universal International Freephone Number (“UIFN”). IFS is a country-of-origin specific dial plan. Callers reach the desired U.S. location by dialing an international toll free number, unique to the country from which they are calling. IFS allows only a single foreign country as its International Area of Service (“IAOS”). UIFN provides a single international toll free number that can be used by all countries subscribing to it, and requires at least two countries within its IAOS. UIFN uses a numbering plan consisting of a fixed 11 digit number and a variable international access code (i.e., CCC-800-XXXX-XXXX). ITFS offers call routing features comparable to SBCLD’s basic domestic TFS product. Exceptions are that country of origin information is delivered instead of true ANI delivery, and access to an international directory is not available.

5. Schedule A, page 36, entitled, “Toll Free Service Charges” is amended by modifying IP Menu Routing. IP Menu Routing shall be offered in all SBC regions and no longer exclusively offered in the SBC Midwest operating companies. Pricing for modified items are listed in Addendum B to Schedule A, attached hereto and incorporated herein by reference. Such Addendum B to Schedule A pricing shall apply until such time Schedule A is updated in accordance with Section 4, entitled, “Prices.”

6. Schedule A, page 37, entitled, “Private Line and Dedicated Access Line Service Charges” is amended by adding DS0 Service to the pricing Addendum B to Schedule A, attached hereto and incorporated herein by reference. Such Addendum B to Schedule A pricing shall apply until such time Schedule A is updated in accordance with Section 4, entitled, “Prices.”

7. Page 55, Subsection C-11.1, Section C, of the Agreement is amended as follows:

C-11.1 Except as otherwise provided in this Agreement, all notices of legal nature, including, but not limited to disputes pursuant to Section C-2, all notices or other communications hereunder shall be deemed to have been duly given when made in writing and either 1) delivered in person, 2) delivered to an agent, such as an overnight or similar delivery service, or 3) deposited in the United States Mail, postage prepaid, or 4) facsimile transmission, and addressed as follows:

8. Except as expressly stated herein, the Agreement shall continue in full force and effect according to its original and amended terms. In the event of any conflict or inconsistency between the terms of this Amendment and any provision of the Agreement, this Amendment shall govern and control.

The terms and conditions of Agreement No. 00012603 in all other respects remain unmodified and in full force and effect.
