This supplementary prospectus dated 6 July 2012 (this "Supplement") constitutes a supplementary prospectus for the purposes of Section 87G of the Financial Services and Markets Act 2000 (the "FSMA") to the prospectus in respect of Defined Investments PCC: Autopilot 1 PC Preference Shares (the "Prospectus"), comprising: (i) the Registration Document of the Company dated 11 April 2012; and (ii) the Summary and Securities Note (the "SSN") in respect of the Defined Investments PCC: Autopilot 1 PC Preference Shares dated 30 April 2012.
Terms defined in the Prospectus have the same meanings when used in this Supplement.
This Supplement is supplemental to, and should be read in conjunction with the Prospectus and any other supplements to the Prospectus issued by the Company on behalf of the Cell.

The purpose of this Supplement is to incorporate by reference into the Prospectus the Annual Report and Audited Financial Statements for the year ended 31 December 2011 of the Company and each of the following Cells of the Company (together, the "Cells"):

Incorporation of Information by Reference into the Prospectus
By virtue of this Supplement the Annual Report and Audited Financial Statements of the Company and the Cells for the year ended 31 December 2011 shall be incorporated in, and form part of, the Prospectus. The Annual Report and Audited Financial Statements of the Company and the Cells for the year ended 31 December 2011 have been filed with the National Storage Mechanism on or around 6 July 2012 and the Annual Report and Audited Financial Statements of Defined Investments PCC: Navigator 1 PC and Defined Investments PCC: UK Balanced Sector 2 PC for the year ended 31 December 2011 have been filed with the Channel Islands Stock Exchange on 29 June 2012.

With effect from the date of this Supplement, the Prospectus shall be amended and supplemented in the manner described in this Supplement and each reference in the Prospectus to "Prospectus" shall be read and construed as a reference to the Prospectus as amended and supplemented by this Supplement. To the extent there is any inconsistency between (a) any statement in this Supplement and (b) any statement in or incorporated by reference into the Prospectus, the statements in this Supplement will prevail.
