The physical address of the registered office is 103 Crawford Street Winnfield LA 71483. LAP is a 501 C6 nonprofit Corporation. (Attachment A)ARTICLE IIPURPOSESThe purposes for which the Corporation is organized are:To encourage and develop professional growth among the secondary school principals.To cultivate and foster communication among the members of the organization To support and advance the cause of Pre-K - 12 education in Louisiana.To promote and maintain the important role of the principalship.To cooperate with and encourage participation in the activities of related professional organizations.To continue to affiliate and to cooperate with the National Association of Secondary School Principals and National Association of Elementary School Principals.ARTICLE III - MEMBERSHIPSection 1.The membership of the Association shall consist of the following classes: Institutional Active, Individual Active, Associate, Aspiring, and Retired.Section 2.Institutional Active Membership is open to all schools in the State of Louisiana. Memberships are considered valid upon receipt of annual dues. The membership is owned by the school and is transferable. Note: This category does not cover all administrators in the school unless Institutional Memberships are purchased for each administrator.Section 3.Individual Active membership is open to all school principals and assistant principals and other school administrators in the State of Louisiana. Memberships are considered valid upon receipt of annual dues. The membership is owned by the individual and is non-transferable.Section 4.Associate membership is open to all persons engaged in instruction or teaching, school administration and/or supervision who are not eligible for active membership. Memberships are considered valid upon receipt of annual dues. Section 5. Aspiring membership is open to all persons pursuing certification in Instructional Leadership/School administration. Memberships are considered valid upon receipt of annual dues. Section 6. Retired membership is open to all persons eligible for active or associate membership that have retired. Memberships are considered valid upon receipt of annual dues. Section 7.Annual dues for all memberships shall be set by the Board of Directors.Section 8.Only principals/assistant principals, who are active members and have served on the board for at least one year, shall have the privilege of holding office in the Association.Section 9.Active and associate members on official leave from their regular position shall enjoy the same privileges in the Association as though they were actively engaged in their regular positions.ARTICLE IVOFFICERS AND THEIR ELECTIONThe officers of the Association shall be President, President Elect, and Vice-President. The Executive Director shall serve as secretary. Officers will be elected at the annual conference. The officers shall serve for a term of one year commencing with the close of the annual conference of the Association.ARTICLE VBOARD OF DIRECTORS Section 1.The Board of Directors shall be composed of the President, President Elect, Vice President, Immediate Past President, one member from each of the eleven districts, one representative each for Assistant Principals, Retired Principals, Non-Public School Principals, Coordinator of NAESP, Coordinator of NASSP, Federal and State Relations Coordinator, Legislative Advocate, and three Trustees to include one elementary, one middle and one high school. No more than four at-large members may be appointed by the officers to ensure a balanced representation. Board of Directors terms are for 3 years. Additional terms may be served at the discretion of the Board of Directors.District 1:Bossier, Caddo, and WebsterDistrict 2:Bienville, Claiborne, Jackson, Lincoln, and UnionDistrict 3:Caldwell, Catahoula, Concordia, East Carroll, Franklin, Madison, Monroe, City Schools, Morehouse, Ouachita, Richland, Tensas, and West CarrollDistrict 4:Desoto, Natchitoches, Red River, Sabine, Vernon, and WinnDistrict 5:Avoyelles, Grant, LaSalle, and RapidesDistrict 6:Allen, Beauregard, Calcasieu, Cameron, and Jefferson DavisDistrict 7:Acadia, Evangeline, Iberia, Lafayette, St. Landry, St. Martin, St. Mary, and VermilionDistrict 8:Ascension, Assumption, Baker City Schools, Central Community Schools, East Baton Rouge, East Feliciana, Iberville, Point Coupee, West Baton Rouge, West Feliciana, and Zachary Community Schools District 9:Bogalusa City Schools, Livingston, St. Helena, St. Tammany, Tangipahoa, and WashingtonDistrict 10:Jefferson, Orleans, Plaquemine, and St. BernardDistrict 11:Lafourche, St. Charles, St. John, St. James and TerrebonneSection 2.Any member of the LAP elected to the Board of Directors of the National Association of Elementary School Principals, the National Middle School Association, or the National Association of Secondary School Principals shall serve as a non-voting member of the LAP Board of Directors. Section 3.The term Executive Committee shall refer to the officers of the Board of Directors, the NAESP Coordinator, the NASSP Coordinator, the Federal/State Relations Coordinator, Trustees, and the Past President. Section 4.Appointment of the Executive Director: It shall be the duty of the Board of Directors: To receive applications, to screen these applicants, and to select and appoint an Executive Director for the Association. The number of years of service will be determined be the Board of Directors. The Executive Director may be re-appointed by the board after serving the agreed upon number of years.To give direction to the Executive Director in all matters not definitely prescribed by the constitution and bylaws.To set the annual salary of the Executive Director.To appoint a person to complete a fiscal year as Acting Executive Director if a vacancy occurs during the term of office.Section 5.The LAP Board of Directors shall convene to address business of the organization as often as the President and Executive Director deem necessary. At least three meetings a year will be held. (Fall, Winter, and Summer) The election of officers will be held at the Annual Conference. The annual budget will be submitted at the Annual Conference.Section 6.The Board of Directors shall set the date and place for all Board meetings. All Board of Directors meetings are open to all members of the Louisiana Association of Principals.Section 7.All vacancies occurring in any office, other than that of the President, shall be filled by appointment by the President with the approval of the Board of Directors. Recommendations for these appointments shall be submitted to the President prior to the meeting by the Board of Directors when there is a vacancy in any office of LAP.Section 8.A vacancy in the office of the President shall be filled by the President Elect.ARTICLE VICOMMITTEESSection mittees for special purposes shall be appointed by the President as the need arises. Members may come from the body at large.Section 2.Annually the Board of Directors will appoint a past president to chair the Board of nominations. The board of nominators will be responsible for improving the operations of the LAP board of directors by:Reminding board members to be alert for potential new board membersMaintaining a file of potential board membersServing as the nominating authority to nominate persons for board membership and for board officersSection 3.LAP list of Committees:Executive Committee – Officers and appointees listed in Article V Section 3 Will meet as necessary to support the Executive DirectorPrepare issues to be presented to the whole boardMake emergency decisions on behalf of the board when necessaryActions taken by the executive committee in the interim between meetings of the Board of Directors shall be reported to the Board at the next regular meeting and shall, if confirmation is required, be confirmed and approved by the Board at that timeConference Planning Committees all members of the Board of Directors shall serve on at least one conference planning committeerecommend speakers , topics, conference format, and locationattend and participate in the entire conferencefulfill committee responsibilities as assigned Legislative Committee provide leadership and direction on public policy affecting the Louisiana school principalshipReact as quickly as possible to bills introduced to the Louisiana Legislature and US Congress that may have an impact on legislation and public school administrators in Louisiana.All actions of the committee shall be reported to the Board of Directors as soon as possible.Nominate to the Board of Directors a Legislator of the Year to be recognized at the annual conferenceAudit/Finance CommitteePresident will annually appoint two board members to serve with the Executive DirectorReview the annual auditAdvise on investmentsReview the monthly financial statementsARTICLE VIILAP MEETINGS AND CONFERENCESSection 1.The annual business meeting of the LAP shall be held during the annual Conference.Section 2.Only LAP members shall vote on Association business.Section 3.Annual Conferences shall be planned and facilitated by the Executive Director, Planning Committees, and members of the Board of Directors. The President shall be Chairman and member of the Board of Directors and shall call meetings of the Board whenever deemed necessary, or whenever requested to do so by a majority of the members of the Board of Directors. The President shall perform all other duties pertaining to his office and must be a member of either NASSP or NAESP.Section 2:In the absence of the President, the President-Elect shall preside. In the case of a vacancy in the office of President, the President-Elect shall at once succeed to the office of President.Section 3:The Vice-President shall perform all duties assigned by the President.Section 4:The Executive Director shall keep a complete and accurate record of the proceedings of all meetings of the Association and all meetings of the Board of Directors.ARTICLE IIDUTIES OF THE BOARD OF DIRECTORS Section 1:The Board of Director members shall attend all Board meetings or send an alternate to the meeting. In case of extenuating circumstances when the board member cannot attend the meeting, he/she shall inform the Executive Director who will inform the President.Section 2:In the event a Board of Director member is not performing his/her duties and responsibilities as listed in the job description, he/she shall be informed by certified letter and if the Board member fails to respond and/or fails to take corrective action, the President shall appoint a special committee to hear grievances and make recommendations.ARTICLE IIIDUTIES OF THE EXECUTIVE DIRECTORThe Executive Director shall:Receive and send all Louisiana Association of Principals’ correspondence.Ensure that all monies due the Association are collected and are deposited in a bank or banks approved by the Executive Committee, to the credit of the Louisiana Association of Principals.Ensure the disbursement of such monies on authority of the LAP Board of Directors.Make reports of receipts and disbursements at all Board of Directors meetings and an annual financial report at the annual business meeting of the Louisiana Association of Principals.Prepare and submit, in consultation with the officers of LAP, an annual budget to the Board of Directors.Provide for the issuance of the annual membership card upon receipt of annual dues.Act as liaison person between the Louisiana Association of Principals and the National Association of Secondary School Principals and the National Association of Elementary School Principals. The Executive Director shall attend both national conventions with funds provided by the Louisiana Association of Principals.Represent the LAP in any dealings with the State Department of Education and the State Board of Elementary and Secondary Education.Work closely with the LEA in all matters which pertains to the Louisiana Association of Principals.Coordinate representation of the interests of LAP with the LAP legislative advocate during the State Legislative Sessions.Work with District Association of Principals in membership drives and the improvement and expansion of their local organization.Supervise the preparation and distribution of a quarterly newsletter.Manage all public relations matters for the LAP.Be the Ex Officio member of all LAP committees.Disseminate a copy of the Board of Directors Handbook to all new members elected to the Board of Directors during an orientation session.Direct and supervise the work of the LAP clerical staff.Work with LAP officers and conference chairpersons on the facilitation and coordination of all conferences.ARTICLE IVCommittees of the LAP shall be representative of its membership.ARTICLE VThe Bylaws of the Louisiana Association of Principals may be amended by a simple majority vote of the Board of Directors.ARTICLE VILAP TrusteesPurpose:Provide continuity to our organization Provide leadership opportunity for former officersTerms:Three Positions: 1 – Elementary, 1 – Middle, and 1 – High SchoolTerms are for three years – Trustees may serve additional terms at the discretion of the Board of DirectorsQualifications and Selection Process:Must have been a member of the Executive CommitteeThe Executive Director would seek potential applicants:Applicants must be approved by the Executive CommitteeOnce approved by the Executive Committee, candidate must be approved by the Board of Directorsproposed Board Policies adopted _________________Job Descriptions - In order to avoid misunderstandings, disagreements, and possible legal action, all staff positions will have a well-thought-out job description signed by the employee and kept in his or her personnel file. Therefore, it is the policy of the organization to have job descriptions for all staff positions. Job descriptions will be signed by the employee, reviewed periodically, and kept in the employee's personnel file.Equal Employment Opportunity - All employment decisions and personnel actions will be administered with the purpose of promoting and ensuring equal opportunity for all persons. In the absence of qualified in-house applicants, the position may be filled from sources outside LAP. All hiring and promotional decisions will be made on the basis of valid, written job requirements set forth in the appropriate position description or vacancy posting. All LAP social and recreational programs will be administered on a nondiscriminatory basis. Sexual Harassment - Sexual-harassment undermines the integrity of the work environment and will not be tolerated within this organization. Sexual harassment may include words as well as acts, sexual advances, offensive touching and offensive or derogatory sexual comments. All such conduct is forbidden particularly when:submission to such conduct is explicitly or implicitly made a condition of Employment submission to or rejection of such conduct by an individual is used as a basis of employment decisions affecting the individual such conduct has the purpose or effect of substantially interfering with an individual's work performance, or creating an intimidating, hostile or offensive work environmentAny person who believes that he or she has been subject to sexual harassment by a fellow employee, board member, or any person calling upon the organization, should contact the Executive Director. If the person believes the Executive Director is the cause for a sexual harassment complaint, the complaint should be directed to the chairperson of the LAP board. All sexual harassment complaints will be promptly investigated. Where harassment is found to exist, immediate corrective action will be taken.Whistleblower - The Whistleblower policy of the association: (1) encourages staff and volunteers to come forward with credible information on illegal practices or serious violations of adopted policies of the association; (2) specifies that the association will protect the person from retaliation; and (3) identifies where such information can be reported.Encouragement of reporting. The association encourages complaints, reports or inquiries about illegal practices or serious violations of the association policies, including illegal or improper conduct by the association itself, by its leadership, or by others on its behalf. Appropriate subjects to raise under this policy would include financial improprieties, accounting or audit matters, ethical violations, or other similar illegal or improper practices or policies. Other subjects on which the association has existing complaint mechanisms should be addressed under those mechanisms, such as raising matters of alleged discrimination or harassment via the association's human resources channels, unless those channels are themselves implicated in the wrongdoing. This policy is not intended to provide a means of appeal from outcomes in those other mechanisms.Protection from retaliation. The association prohibits retaliation by or on behalf of the association against staff or volunteers for making good faith complaints, reports or inquiries under this policy or for participating in a review or investigation under this policy. This protection extends to those whose allegations are made in good faith but prove to be mistaken. The association reserves the right to discipline persons who make bad faith, knowingly false, or vexatious complaints, reports or inquiries or who otherwise abuse this policy.Where to report. Complaints, reports or inquiries may be made under this policy on a confidential or anonymous basis. They should describe in detail the specific facts demonstrating the bases for the complaints, reports or inquiries. They should be directed to the Executive Director-CEO or president/chair of the board of directors; if both of those persons are implicated in the complaint, report or inquiry, it should be directed to the president-elect of the association. The association will conduct a prompt, discreet, and objective review or investigation. VII, §14(A) of the Louisiana Constitution.For many years, officials and agencies of Louisiana’s state and local government have had memberships in national, regional, and state associations, and the dues to these associations and the expenses connected with participation in the work of these associations have been paid from appropriated public funds. Atty. Gen. Op. No. 75-ernors’ conferences, legislators’ conferences and judicial conferences are held annually at which officials meet and exchange ideas and information relative to the operation of their offices, many of which publish newsletters, flyers and similar publications. The National Association of Attorneys General, the National Emergency Management Association, and the Louisiana Emergency Preparedness Association “are associations created to serve the public purpose of facilitating the exchange of ideas, programs and solution of public problems common to public officials holding the same office in different states”. Atty. Gen. Op. No. 75-124.La. R.S. 29:726 (E)(12) and (13), grants the Office of Emergency Preparedness authority to “cooperate with the federal government and any public or private agency or entity in achieving any purpose of this Chapter and in implementing programs for disaster emergency mitigation, preparation, response, and recovery . . . Do other things necessary, incidental, or appropriate for the implementation of this Chapter”. By participating in these organizations, state officials are given the opportunity to exchange ideas of the best way to promote effective emergency procedures; to keep current on emergency relief developments; and to accumulative information with regard to needed emergency action plans.In addition to holding meetings, associations of these officials provide newsletters and other publications which aid their members in conducting the affairs of their public agencies. Atty. Gen. Op. No. 75-124. According to Atty. Gen. Op. No. 90-126A, public funds generally may be used for public information functions to provide citizenry with factual information about government programs. However, use of public funds to manipulate public opinion is ultra vires and unconstitutional. In addition, Atty. Gen. Op. No. 98-49 concluded that a police jury was not prohibited from using public funds to disseminate purely factual, unbiased information about governmental projects and programs in an annual newsletter to the citizens of the Parish.Courts in other jurisdictions have appropriately defined ‘public purpose’ as follows:What is a ‘public purpose’ that will justify the expenditure of public money is not capable of precise definition, but the courts generally construe it to mean such an activity as will serve as a benefit to the community as a body and which, at the same time, is directly related to full functions of government. Zimmerman, 253 Minn. 164, 91 N.W.2d 642.Likewise, Black’s Law Dictionary defines ‘public purpose’ as an activity that has for its objective the promotion of the public health, safety, morals, general welfare, security, prosperity, and contentment of all the inhabitants or residents within a given political subdivision.There was also an earlier approval of the same general element in the definition of a public purpose in Bedford County Hospital v. Browning, 189 Tenn. 227, 225 S.W.2d 41 (1949), wherein this court said (citing with approval a Kentucky case): These authorities clearly settle that the vital point in all such appropriations is whether the purpose is public; and that, if it is, it does not matter whether the agency through which it is dispensed is public or is not; that the appropriation is not made for the agency, but for the object which its serves; the test is the end, not the means. Thus, the true test of public purpose in regard to the expenditure of public funds is in the end or total result. Pack v.
