A Subgroup of the NEPOOL Markets Committee

1. Leadership of the Demand Resources Working Group

The Chair shall lead and manage the Demand Resources Working Group (“DRWG”) and shall be assisted by a Vice-Chair. ISO New England shall appoint the Chair. The Vice-Chair shall be a NEPOOL Governance Participant or Provisional Member elected by popular vote on an annual basis at a duly-noticed DRWG meeting in which each NEPOOL Governance Participant and Provisional Member in attendance has a single vote (i.e., one company, one vote). The Chair shall appoint a Secretary, who shall be an employee of ISO New England.

Should the Chair not be able to fulfill his or her functions, the Vice-Chair will temporarily assume the duties of the Chair. The Secretary shall be responsible for obtaining security clearances for meeting attendees, maintaining meeting notes, and posting meeting notices, agendas, and presentation materials on ISO New England’s website.

2. The Fundamental Missions of the DRWG

The DRWG has two distinct roles. First, it is a standing working group of the NEPOOL Markets Committee (the “Markets Committee”). As such, the DRWG will (1) discuss proposed changes to Market Rule 1 and/or the ISO New England Manuals pertaining to Demand Resources that have been initially previewed with and approved by the Markets Committee officers orally or in writing for DRWG consideration and recommendation; (2) consult with and make recommendations to the Markets Committee regarding the proposed text and priority of Market Rule or Manual changes pertaining to Demand Resources, as requested by the Markets Committee; (3) report regularly to the Markets Committee regarding the status of DRWG consideration of proposed changes; (4) report to the Markets Committee technical issues presented by language in Market Rule 1 and/or the ISO New England Manuals pertaining to Demand Resources, which are identified in the course of DRWG discussions; and (5) undertake such other responsibilities as the Markets Committee officers may from time to time direct, including but not limited to being directed to undertake by the Markets Committee officers any of the topics described below in the discussion of the second role of the DRWG, to the extent such review is appropriate under the Participants Agreement.

The second role of the DRWG is to provide a forum for stakeholders and ISO New England to discuss Demand Resource issues outside of the NEPOOL Participant Process. In this role, the DRWG will encourage the exchange of information and ideas on topics such as: (1) program implementation (e.g., reviewing program enrollment and performance statistics, answering questions on Market Rules or Manuals affecting Demand Resources); (2) business process improvements (e.g., receiving suggestions on meter data submission procedures and deadlines); (3) administrative or operational problems and issues relating to the participation of Demand Resources in the New England Wholesale Electricity Markets; (4) ISO New England filings with the FERC concerning Demand Resources; and (5) the results of Demand Resource program performance analyses.

In providing input to ISO New England or any other party pursuant to its second role, the DRWG will represent its input, advice, opinions, findings, and/or proposals as solely the input, advice, opinions, findings, and/or proposals of the members of the DRWG that support such input, advice, opinions, findings, and/or proposals and not the input, advice, opinions, findings, and/or proposals of ISO New England, NEPOOL, the NEPOOL Participants Committee, the Markets Committee, or any of the other NEPOOL Technical Committees.

3. Reporting Relationships

On a schedule determined by the Markets Committee officers, the DRWG will report to the Markets Committee as appropriate, but no more frequently than on a monthly basis, to inform the Markets Committee of the status of its deliberations on assigned issues as a standing working group of the Markets Committee (i.e., its first role) and to respond to any inquiries received from the Markets Committee.

4. Organizational Composition and Membership in the DRWG

Participation in the DRWG will be open to all Demand Resource stakeholder groups (“DR Stakeholders”), all NEPOOL Governance Participants and Provisional Members, representatives of state utility regulatory agencies or similar interested governmental officials or representatives, and ISO New England. DR Stakeholders shall include: Enrolling Participants, Demand Response Providers, Demand Designated Entities, Demand Resource Project Sponsors, consumer group representatives, metering, technology, and software providers, and engineering and consulting firms facilitating Demand Resources.

5. Organizational Procedures with Respect to Meetings, Administration, Issue Resolution Procedures, and Decision-Making Processes

Prior to the end of every meeting of the DRWG, the participating members will determine the time and place for subsequent meetings of the DRWG. The Chair will establish the meeting agenda for each DRWG meeting with input from the Vice-Chair, and from the Markets Committee as applicable. The Vice-Chair shall seek input from DRWG participants on draft meeting agendas. Meeting dates, locations, agendas, and meeting materials will be posted on ISO New England website at the Demand Resources Working Group page by the Secretary. In addition to this posting, participating members and the Markets Committee will be notified by the Secretary of meeting dates, agendas and locations by email.

The Chair will seek input and consensus from participants in the DRWG meetings with respect to issues assigned by the Markets Committee. The Chair or the Chair’s designee(s) shall report to the Markets Committee the working group’s recommendations for resolution of assigned issues, noting any majority and minority opinions expressed by DRWG meeting participants. The recommendations of the DRWG are advisory only and are intended to inform the Markets Committee and assist its efforts. The Markets Committee may accept or reject such recommendations and may request that the DRWG consider concerns raised by the Markets Committee in further meetings of the DRWG.
