BUYER¡¯S TERMS AND CONDITIONS

1) Full payment of your purchase is due on the day of the sale, May 20, 2017. Payments

must be made by cash or certified check made payable to Lynnway Auto Auction.

Vehicles will not be released until full payment is received.

2) Lynnway has to right to require a cash deposit prior to Lynnway issuing a bidder

badge. In the event that a vehicle is purchased and not paid for, Lynnway has the right

to keep the deposit to either pay for any unpaid vehicle(s), or will use the deposit to

pay the deficiency after Lynnway resells the vehicle(s).

3) A Buyer Fee will be charged for each vehicle purchased

4) Lynnway makes no representation or guarantees on any vehicle sold, nor is Lynnway

responsible for description or authenticity of any vehicle. Prior to bidding, Buyer is

responsible for inspection and examining the vehicle.

5) Upon receiving cash or certified funds, titles for vehicles will be released to purchaser

at the time of the sale.

6) Risk of loss or damage to the vehicles shall remain with Seller until such time as

payment is received for vehicles and the Buyer takes possession, at which time the

Buyer is responsible. Lynnway shall not be responsible for any damages or loss to

the vehicles.

7) All vehicles must be removed from Lynnway at his/her expense the day of the sale.

If any vehicle is not removed, Lynnway may remove and store the vehicle at Buyer¡¯s

risk and expense.

8) If Lynnway determines that a transaction is not fair to either party, the Seller and

Buyer agree the Lynnway may cancel the sale at its sole discretion.

9) Buyer hereby agrees to defend, indemnify and hold harmless Lynnway its affiliates,

their directors, officers, employees, agents, successors and assigns from and against

any claim, loss, damage, liabilities, judgements, fees, and expenses related thereto

including but not limited to attorney¡¯s fees, whatsoever arising from or relating to

(i) the auction (ii) any breach or violation by Buyer or Seller of these terms (iii) any

claims arising out of or related to the goods or services which Seller sells, sold, or

attempted to sell at Lynnway (iv) false, incorrect or inaccurate representations or

warranties, description or condition of the vehicles or (v) any claims arising out of

or related to Buyer and Seller non-performance of its obligations including but not

limited to the obligation to complete transactions.

SELLER¡¯S TERMS AND CONDITIONS

1) Vehicles must be at Lynnway and registered by Thursday May 18, 2017.

2) Registration fee must be received at the same time as the registration form.

3) A Seller Fee will be charged for each vehicle sold.

4) All paperwork including titles, previous registrations and books must be at Lynnway by

Thursday May 18, 2017. Vehicles with liens must be pre-approved by Lynnway and must

be accompanied by a letter from the lienholder stating the lien release conditions and

payoff amount.

5) Serial/VIN/ID numbers on consigned vehicles must match the serial/VIN number on the

title.

6) Run and drive vehicles only- any and all defects must be announced.

7) If the vehicle does not sell, the titles will be returned to Seller after the sale.

8) If Buyer defaults in paying for the vehicle:

- Lynnway will attempt to sell the vehicle to another buyer on the same

day or at the next auction for the same price.

- If Lynnway cannot sell the vehicle, the sale will become null and void,

and no further action is to be taken by Seller against Lynnway

9) Risk of loss or damage to the vehicles shall remain with Seller until such time as payment

is received for vehicles and the Buyer takes possession, at which time the Buyer is

responsible. Lynnway shall not be responsible for any damages or loss to the vehicles.

10) Seller guarantees that he/she has the right to sell the vehicle, and the vehicle is free and

clear of all liens, all vehicles must have a clean marketable title

11) If vehicle is sold, Lynnway will pay Seller ten (10) days following the sale.

12) Seller hereby agrees to defend, indemnify and hold harmless Lynnway its affiliates,

their directors, officers, employees, agents, successors and assigns from and against any

claim, loss, damage, liabilities, judgements, fees, and expenses related thereto including

but not limited to attorney¡¯s fees, whatsoever arising from or relating to (i) the auction (ii)

any breach or violation by Buyer or Seller of these terms (iii) any claims arising out of or

related to the goods or services which Seller sells, sold, or attempted to sell (iv) false,

incorrect or inaccurate representations or warranties, description or condition of the

vehicles or (v) any claims arising out of or related to Buyer and/or Seller nonperformance

of its obligations including but not limited to the obligation to complete

transactions.

INDEMNIFICATION OF LYNNWAY AUTO AUCTION INC. (LYNNWAY)

The Seller and Buyer hereby agrees to defend, indemnify and hold harmless Lynnway, its

affiliates, their directors, officers, employees, agents, successors and assigns from and

against any claim, loss, damage, liabilities, judgements, fees, and expenses related thereto

including but not limited to attorney¡¯s fees, whatsoever arising from or relating to (i) the auction (ii) any breach or violation by Seller of these terms (iii) any claims arising out of or related to the goods or services which Seller sells, sold, or attempted to sell (iv) false, incorrect

or inaccurate representations or warranties, description or condition of the vehicles or

(v) any claims arising out of or related to Seller¡¯s non-performance of its obligations including but not limited to the obligation to complete transactions.

Risk of loss or damage to the vehicles shall remain with Seller until such time as payment

is received for vehicles and the Buyer takes possession, at which time the Buyer is responsible. Lynnway shall not be responsible for any damages or loss to the vehicles. Lynnway

shall not be responsible for any non-payment of bidders/buyers. Checks will be sent out

10-days after sale with all paperwork reviewed and vehicle payments have been made.
