CREDIT AGREEMENT

CREDIT AGREEMENT (this "Agreement"), dated as of April 7, 2009, between the Borrower set forth on Exhibit A (the "Borrower"), and the UNITED STATES DEPARTMENT OF THE TREASURY (the "Lender").

The parties hereto hereby agree as follows:

Article 1

DEFINITIONS.

Section 1.01 Defined Terms.

The terms defined in Section 1 of Exhibit A, as used in this Agreement, have the respective meanings provided for therein. As used in this Agreement, the terms listed in this Article 1 shall have the respective meanings set forth in this Article 1.

"Account Control Agreement": as defined in the Security Agreement.

"Affiliate": as defined in the Program Terms.

"Agreement": as defined in the preamble hereto.

"Availability Period": the period from and including the Closing Date to, but excluding, the earliest of (i) the Maturity Date or (ii) the date of termination of the Commitment pursuant to Article 8; provided that the Lender may extend the Availability Period from time to time.

"Base Commitment Ceiling": as defined in Exhibit A.

"Borrower": as defined in the preamble hereto.

"Borrowing Request": a written request by the Borrower for a Loan, substantially in the form of Exhibit B.

"Business Day": as defined in the Program Terms.

"Capital Stock": any and all shares, interests, participations or other equivalents (however designated) of capital stock of a corporation, any and all equivalent ownership interests in a Person (other than a corporation) and any and all warrants, rights or options to purchase any of the foregoing.

"Citi": Citibank, N.A., a national banking association.

"Closing Date": the date on which the conditions precedent set forth in Section 5.01 shall have been satisfied (or waived in accordance with Section 9.01).

"Code": the Internal Revenue Code of 1986, as amended from time to time.
