15. Warranty provision:

Matlock Endoscopic Repairs, Sales, and Service, Inc. will be referred to below as “Matlock”. The warranties herein are in lieu of all others expressed or implied, provided the instruments are used in a careful, prudent manner, and provided they are used for the purpose intended. The herein warranties are also in lieu of all other representations to original customer and all other obligations of liability, including incidental and consequential damages on the part of “Matlock” warrants each instrument that it repairs to be free of defects in materials and workmanship for a period of one year from the date of delivery when used in accordance with the recommended normal use and service and when maintained, cleaned, and utilized in conformance with the recommended practices of the original manufacturer. It must be understood that these are delicate instruments and they must not be dropped, abused, or misused. Reasonable and normal use means using in the manner and for the purpose for which the instruments are generally intended. Excluded from warranty are abuse, misuse, cleaning, normal maintenance, and fluid invasions. Due to the fact that “Matlock” has no control over the cleaning or sterilizing of products that are used to clean or sterilize these instruments and since these products can be used incorrectly or mixed incorrectly and because “Matlock” has no control over the time limit that these instruments can be left in these products and these products may cause corrosive action and deterioration to the instruments, there are no warranties expressed or implied from puncture cuts or holes that may occur in the rubber bending sheath. There is no warranty expressed or implied to cover slices, puncture cuts, holes or kinks in the insertion tube, light guide tube, biopsy channel, suction channel, or air/ water channels. The above problems are caused by instruments, accidental breakage, abuse, misuse, or improper handling. It also means that the customer must comply with all the warning labels or instructions that may be affixed to the instrument or supplied by the original manufacturer.

“Matlock’s” sole obligation under this warranty is limited to: repairing or replacing, all products found defective within the period of this warranty the amount of which shall not exceed the amount of “Matlock” charged for such repairs or sale of any merchandise delivered under “Matlock’s” invoice. “Parts that wear out and items that require periodic adjustments because of wear are not covered under this warranty. “Matlock” requires that all instruments with alleged defective parts or repairs be returned to “Matlock” at 830 Fesslers Parkway, Suite 118, Nashville, Tennessee 37210, with the transportation charges prepaid in order that “Matlock” will be able to perform the warranty work required. Warranty work will be denied until “Matlock” is satisfied that such parts or repairs, are, in fact, defective. This warranty shall not apply to any instrument which shall have been altered or repaired by anyone other than “Matlock” unless under “Matlock’s” reasonable judgment shall disclose that such repairs are in no way responsible for the conditions complained of. Matlock” will bear shipping charges associated with a warranty repair. Under no circumstances will any product covered by this guarantee be returned without (a) advance written notice to ‘Matlock” or (b) obtaining shipping instructions from “Matlock.”

Except as otherwise provided by an express or implied warranty, “Matlock” will not be liable to the customer in a breach of warranty action for consequential damages resulting from any defect or deficiencies in accepted items. This warranty is limited to the end user and does not extend to anyone else.

Return Goods Policy:

The primary goal of Matlock’s Return Goods Policy is to provide efficient and effective service to

Our customers. Please take a moment to familiarize yourself with our Return Goods Policy and

the steps required when returning a product to Matlock. All requests for return authorization

must be reported to the Customer Service of Matlock Endoscopic Repair Sales and Service, Inc.

at 800.394.9822 in order to receive a return authorization number (RA#).

  ELIGIBLE Items for Return and/or Credit

Quality Deficiencies

If a product is received with deficiencies in design, specifications, material, manufacturing, and workmanship, Matlock shall bear return shipping cost and replacement shipping cost. No restocking fee will be applied.

Customer Ordering Error

Customer ordered wrong item and/or incorrect quantity. Customer shall bear return shipping cost. No restocking fee will be applied

Matlock Shipping error or Order Processing Error

Matlock shipped wrong item, incorrect quantity; and/or right item, incorrect

Quantity Matlock shall bear return shipping cost and replacement shipping cost.

No restocking fee will be applied.

Duplicate shipment of Product

If Matlock ships a duplicate order, This would be handled the same as a Matlock shipping error. If Customer places a duplicate order by mistake, this would be handled in the same manner as a Customer Ordering Error.

Product Received Damaged

If a product is received damaged, Matlock shall bear return shipping cost and replacement shipping cost. No restocking fee will be applied.

20a. Terms and conditions for any other service:

Loaner Equipment: Upon request MER provides comparable loaner equipment to

its customers while their instrument is being repaired. The customer maintains full

responsibility while the loaner instrument is in their possession. If the loaner is

damaged, MER will bill the facility for the amount of the repair or the full value of

the instrument, whichever is less.

(a) Loaners must be returned to MER within five (5) days after receipt of

the repaired instrument.

(b) Customers are responsible for handling and shipping charges.

(c) Loaners can be requested by calling 1 (800) 394-9822. Loaners for all

instruments are available free of charge, on a first-served basis.

at 800-394-9822. For after hours emergency please call 615-400-3101.

Additionally, MER can provide information to Biomedical Engineering Staff via

Skype or digital pictures documenting and providing visual explanations to support

findings of instrument inspections and subsequent repair quotations. Example of

these include internal damage from fluid invasion, insertion tube failure, chipped lenses

etc.

Customers are also welcome to visit our repair facility to gain a visual understanding of the repair processes and become acquainted with our technical staff.

23. Preventive maintenance: MER strongly recommends the implementation of routine on-site

inspection and evaluation of flexible and rigid endoscopes to promptly identify and correct minor

problems before they become more costly. This service is provided upon request and free of

charge to customers actively sending instruments to MER for repair. Matlock will come to

customer’s site within 250 miles from the Matlock location at no charge. Outside this radius all

travel related expenses are the responsibility of the customer and need to be prearranged in

advance. This program will help you have an ongoing awareness of the condition of your

equipment and allow you to better control your expenditures by taking a proactive role in

monitoring your inventory. This service offers the following:

• Thorough on-site inspection and evaluation of endoscopes

• Evaluation of cleaning and storage conditions

• Identifies endoscopes needing immediate attention to avoid increased damage

• Provides preventative maintenance tips to help minimize costly repairs

• Provides detailed computerized evaluation reports

Training: The following training is designed for: Biomedical Engineering,

GI/Endoscopy, SPD and OR staff. MER strongly recommends the implementation of in-services in order to help minimize unnecessary expenditures and regular equipment breakdown. This service is available upon request and free of charge to customers actively sending instruments MER for repair. Matlock will come to customer’s site within 250 miles from the Matlock location at no charge. In-services are administered by MER personnel with extensive experience in product knowledge and maintenance. This program will give a better appreciation of the value and sensitive nature of the endoscopes and should instill a greater desire to protect them. This highly advanced and practical training offers the following:

A demonstration and explanation of the endoscope’s operating functions

• A close look at the internal components

• Most common repairs and their causes

• Proper care, handling and reprocessing techniques

• Proper leak testing procedures

• Troubleshooting tips
