1. JOB PURPOSE

Describe why the job exists.

The Director, Legal, Risk and Compliance will be responsible for IPPF’s legal and contract management, risk management, fraud, and compliance and audit.

The role will advise the Director General (DG), the Directors Leadership Team (DLT) and the Board, on all legal, risk and compliance matters including relevant and timely information to enable the DG and the DLT to make informed and timely decisions. The role will be a member of the Management Team, will manage Internal Audit and function as Company Secretary.

2. KEY TASKS

Describe the main activities undertaken by the job holder. The list need not be exhaustive but should reflect the most important features of the job.

Legal and Contract Management

• To advise the DG, DLT and the Board, on all legal, risk and compliance matters that affect IPPF.

• To commission and manage external legal advice taking into consideration cost, effectiveness and appropriateness for the situation. Specific HR advice will be managed directly by the Director, People Organisation and Culture.

• To be responsible for legal and regulatory planning for IPPF’s Secretariat. To act as company secretary.

• To be responsible for contract development including commercial, donor, offices, partners and suppliers of services and to work with relevant key stakeholders on development.

• To be responsible for contract management including standardising legal agreements, contracting processes and developing a robust repository with all this information, accessible to key individuals.

• Provide counsel on regulatory and business matters, including on requirements related to registration and insurance.

Risk Management and Fraud

• To oversee risk management for IPPF including development of the risk strategy and the structure. To develop review, monitoring and mitigation methods around this.

• To report to the Audit Committee on risk and fraud issues. Liaise with the Director, Finance and Technology.

• Responsible for reporting serious incidents to the Charity Commission. Must ensure the Federation is correctly meeting its obligations under current global legislation.

• To be responsible for, review and develop the Global Fraud policies and procedure.

Compliance and Audit

• To be responsible for the systems and monitoring around Donor compliance requirements.

• To ensure effective implementation of the Data Protection Act 1984 and the GDPR regulations 2018 as it affects the Federation. Act as IPPF’s Officer for Data Protection Act purposes.

• Develop an internal audit plan and function. Responsible in reporting to the Audit Committee and DLT.

• Manages outsourced Internal Auditors and investigations as necessary.

General

• Ensure gender is effectively mainstreamed within the remit of the post and in line with IPPF’s Gender Equality Policy.

• Build and maintain positive relationships with all members of staff and contacts within and outside the Federation, in particular relationships with the Treasurer, Audit Committee and representatives of donor organisations.

• To become familiar with the Federation’s Health and Safety Programme and Guidelines for using Visual Display Units. To do everything possible to ensure a healthy and safe working environment, including following instructions and guidance.

• Take collective responsibility for safeguarding.

• To undertake any other reasonable duties as may be requested from time to time.

PERSON SPECIFICATION

3. EDUCATION & QUALIFICATIONS

Describe the likely educational/training background of the job holder.

• Qualified legal expert, auditor, or equivalent standard of education

4. PROVEN ABILITY

Describe the minimum level of professional experience required to do the job.

• Significant experience of legal risk and compliance in an international context.

• Experience in reporting to senior management teams, boards, and audit committees.

• Experience in contract management with large international donors e.g. DFID, USAID, DFAT etc.

• International experience is essential and previous charity/not-for-profit experience is desirable.

5. SKILLS

Detail the skills needed to do the job, including languages.

• Excellent communication skills (verbal and written). Knowledge of French, Spanish or Arabic advantageous.

• Excellent attention to detail in drafting and managing legal agreements.

• Strong interpersonal skills to co-coordinate and build relationships across the Federation.

• Strong project management skills.

• Excellent organisational and time management skills required to meet tight deadlines.

• Excellent financial/budgetary skills.

• Strong analytical and problem-solving skills.

• Good IT skills including Microsoft packages.

6. PERSONAL COMPETENCE

• Willing to travel internationally, approximately 30 days a year.

• Awareness of and sensitivity to the multi-cultural and diverse environment in which IPPF operates.
