To Prospective Proposers: This addendum is being issued to provide answers to questions.

Answers to Questions submitted by Vendors.

Q1. Does Exhibit 1 Scope of Work (p. 61 of 69 of RFQ) include assisting OGS with demand response?

A1. Although demand response advice is not something OGS anticipates needing, it would be covered by the energy and utilities issues portion of the Scope of Work.

Q2. Is that a typo in the last line of the only paragraph of Section 2.1, (p.7 of 69 of RFQ)? If so, what is it supposed to say? If not, what does it mean?

A2. Yes, it is a typo. It should read "Section 1.4 ? Key Events."

Q3. In Exhibit A, (p.30 of 69 of RFQ), the second to last question regarding using New York State Businesses, can we answer, "No," if there are no plans currently to use New York Businesses but may be used at some point during the term of the contract?

A3. Yes.

Q4. Are Forms A & B (p.50 & 51 of 69 of RFQ) submitted only after the contract is awarded (to us), per paragraph 22 of Exhibit B, Sample Retainer Agreement, p. 56/69?

A4. As set forth in the "Instructions for Completing Form A and B" (page 49), Form A - Contractor's Planned Employment (to be completed and submitted with bid/quote); Form B ? Contractor's Annual Employment Report (to be completed by May 1st of each year for each consultant contract in effect at any time between the preceding April 1st through March 31st fiscal year and submitted to the Department of Civil Service, Office of the State Comptroller and Office of General Services).

Q5. Does Paragraph F of Exhibit 2, OGS Outside Counsel Billing Criteria and Policy (p.63 of 69 of RFQ) refer to charges for the legal research service or the attorney's time conducting legal research?

A5. To the extent that the firm incurs costs for using Westlaw/Lexis-Nexis (or other electronic research) and these costs are billed separately, they shall be used judiciously to minimize costs billed to OGS. Additionally, billing for professional's time performing electronic research shall be at their regular hourly billing rate.
