on the provision of charitable assistance within the framework of an

International Competition to Support the Research on History and Culture of Russian Jewry in Different Historical Periods

Moscow, Russia May 15, 2019

Public International Organization SEFER Center, the Center for University Teaching of Jewish Civilization (the Center), by its Director Viktoria Valentinovna Mochalova, acting on the basis of the Charter, on the one hand, and Name (the Recipient), on the other hand, together referred to as the Parties, hereby execute the following Agreement № (the Agreement) with respect to the following:

1. Definitions and interpretation

In this Agreement,

Application means the Recipient’s written request to participate in the Competition, which forms an integral part of this Agreement, and which contains a detailed outline of the research project that the Recipient plans to undertake within the framework of the Competition (the Project), and which has been compiled in accordance with the requirements set out by the Center;

Competition means an international competition for the support of research in Jewish communities located on the former territories of the Russian Empire across historical periods, conducted on the basis of clause 2.2.7 of the Charter of the Center and within the framework of the Program, open to degree-holding academics, as well as graduate students from Russia and other countries, who are active in research and teaching within the framework of this subject;

Grant means the charitable assistance (donation) provided by the Center to the winner of the Competition for the implementation of research activities in accordance with clause 2.2.4 of the Charter of the Center, provided subsequent to the Application and under the terms of this Agreement; and

Program means the charitable program Support for Academic Judaica in the Post-Soviet Space, organized by the Center on the basis of financial support from the Genesis Philanthropy Group, and aimed at the development and strengthening of educational and educational projects in the field of academic Judaica in Russia, the Baltic States and the CIS.

2. Subject of the Agreement

Under the terms of this Agreement, in accordance with the objectives and conditions of the Competition and on the basis of the Application submitted by the Recipient, the Center provides to the Recipient a donation in the form of the Grant for the furtherance of research activities within the framework of the Project.

3. Grant conditions

3.1. The Grant is granted to the Recipient gratuitously and irrevocably (subject to the provisions of this Agreement) for the purpose of research activities related to the Project submitted by the Recipient, and shall be used in strict accordance with the terms of the Competition and the Application and subject to the terms specified in this Agreement.

3.2. All work and events of the Project carried out by the Recipient on the basis of support from the Grant must be completed during the period from 15 May 2019 until 15 May 2021 (the Project Term).

3.3. The Grant is granted to the Recipient (with PhD) subject to the availability of additional sources of financing, which shall cover not less than 50% (fifty percent) of the general costs of the Project, which shall be confirmed by Recipient’s submission of documents demonstrating such additional sources of financing within 5 (five) calendar days of the date of this Agreement.

3.4. Recipient shall conduct research in the framework of the Project for the Project Term, and submit to the Center a written report on the results of the Project within 10 (ten) calendar days of the conclusion of the Project Term no later than 25 May 2021. Recipient shall also submit to the Center an interim report on the Project’s progress upon the passage of 6 (six) months from the date of this Agreement no later than 15 October 2019.

3.5. A report on the use of the Grant shall include the following documents:

1) A meaningful summary of research and educational work carried out under the Grant during the reporting period, indicating specific kinds and the time periods during which they were conducted.

2) A list, and the full texts, of any academic works (articles, monograph chapters, dissertation sections, etc.), as well as well as field or archive materials on the subject matter of the Project published or prepared for publication with support from the Grant. If the work is not published, a draft copy shall be provided.

3) Documents proving the supplementary funding (for the grantees with academic degree).

3.6. In light of the Competition condition requiring submission by the Recipient of the primary results of its research Project at international conferences held by the Center, Recipient shall submit such a report within 1 (one) year from the end of the Project Term.

3.7. Upon the publication of academic articles, monographs and other materials prepared in the framework of the Project, Recipient agrees to include in the text of any such publication information about the Grant as follows: “This work was supported by the SEFER Center International grant for  the research on  history and culture of Russian Jewry in different historical periods. This grant is provided within the program “Academic Jewish Studies in the FSU”, which has been made possible with the support of Genesis Philanthropy Group. ” Recipient may mention the Grant in accordance with this Clause 3.7 in different wording subject to prior agreement with the Center.

4. Grant payment procedure

4.1. The Grant is given to the winner of the Competition in the form of a wire transfer payment ///// US Dollars ( ), with personal income tax to be withheld in accordance with the current law of the Russian Federation.

4.2. The Grant shall be paid to the Recipient by a non-cash transfer to the account specified by the Recipient in Appendix 1 to this Agreement. The Grant shall be transferred within 10 (ten) days of receipt by the Center of documents from the Recipient confirming the availability of additional financing.

4.3. The Center may cease or suspend payment of the Grant in the following cases:

a) cessation or suspension of financing of the Competition by its donor;

b) cessation of Recipient’s research activities within the framework of the Project;

c) the additional funding of the Recipient (with PhD) constitutes less than 50% of the sum of the Grant (as set out in Clause 5.2 below).

5. Obligations of the Recipient

5.1. By entering into this Agreement, Recipient undertakes to use all Grant funding solely for purposes related to implementation of the research Project described in the Application and in accordance with the terms and objectives of the Competition.

5.2. If Recipient (with PhD) becomes aware that he will to attract less financing for the Project from other sources than described in the Application, Recipient shall immediately notify the Center of such possible change. The Center may thereafter terminate this Agreement unilaterally and in accordance with its rights and obligations and request that the Recipient return all unused Grant funds or agree to incomplete implementation of the Project, provided that the amount of the Grant will be reduced in proportion to the reduction of the total budget of the Project.

5.3. Upon the occurrence of adverse events or insurmountable circumstances that could adversely affect the course or performance of work conducted within the framework of the Project, or the fulfillment of other conditions of the Grant described in this Agreement, Recipient shall immediately notify the Center of such events or circumstances. In the case that such events or circumstances give rise to the suspension of activity under the Project, the Grant amount granted to Recipient shall be returned to the Center in full or in part, depending on the fulfillment of Recipient’s obligations under this Agreement at the time of such occurrence.

5.4. In the event that Recipient fails to carry out its obligations under the terms of the Grant or fails to submit an interim and/or final report on work performed within the established timeframe, the Center may demand partial or full repayment of the Grant, publish information about the Recipient’s bad faith and deny Recipient the right to participate in the Center’s subsequent events and programs.

6. Governing law and dispute resolution

This Agreement is governed by the laws of the Russian Federation. Any dispute arising out of or in connection with this Agreement shall be resolved in the court located at the respondent’s place of registration.

7. Term of the Agreement

This Agreement shall take effect at the moment of signature by the Parties and shall continue in force until the Parties fully perform their obligations in accordance with the terms of the Agreement.

8. Final provisions

8.1. This Agreement is executed in 2 (two) copies, one for each Party, and each having equal legal force.

8.2. The Recipient hereby agrees to the collection, organization, storage, update and modification, use, distribution (including broadcast) and destruction of its personal data set out in Appendix 1 to this Agreement.
