NOTICE OF MEETING

HARRIS COUNTY MUNICIPAL UTILITY DISTRICT NO. 468

The Board of Directors of Harris County Municipal Utility District No. 468 will hold a regular meeting on Wednesday, March 4, 2020, at 11:30 a.m., at Mischer Investments, LP, 9 Greenway Plaza, Suite 2900, Houston, Texas, to discuss and, if appropriate, act upon the following items:

1.

Public comments.

2.

Approve minutes.

3.

District security matters.

4.

Series 2020 Unlimited Tax Refunding Bonds, including:

a.

report from financial advisor on refunding bond issue, including

authorize preparation of Preliminary Official Statement and authorize

purchase of insurance and application for rating;

b. engage rating company to perform credit rating analysis for Series 2020

Unlimited Tax Refunding Bonds; and

c.

designate Underwriter.

5.

Financial and bookkeeping matters, including payment of bills and review

investments.

6.

Discuss bookkeeping services contract and authorize appropriate action.

7.

Tax assessment and collections matters, including delinquent tax collections,

installment agreements, and payment of bills.

8.

Engineering matters, including:

a.

authorize design of facilities;

b. approve plans and specifications and authorize advertisement for bids for

District facilities, including outfall repair along Cypress Creek;

c.

review bids and award contract for construction in the service area;

d. receive update on construction of facilities to serve development in the

District and approve pay estimates, time extensions, change orders and

final acceptance as appropriate for construction of District facilities;

e.

easements, deeds, plats, consents to encroachment, requests for service or

utility commitment letters; and

f.

update on Harris County Flood Control District Pillot Gully project.

9.

Maintenance of District facilities, including:

a.

update on maintenance of Vintage Royale Detention Pond and Vintage

Royale Amenity Pond including proposals for maintenance;

b. update on maintenance of regional detention pond; and

c.

review and approve annual budgets for Lake Management Services, L.P.,

Ridgewood Landscaping, Inc., Growth Services, Inc., and Houston

Landscapes Unlimited for fiscal year end May 31, 2021.

10.

Update on park and recreation facility projects, including:

a.

construction and maintenance of landscaping and irrigation in the

District;

b. development and maintenance of regional parks in the District;

Report regarding development in the District, including sales, leases and

commercial projects.

District website matters.

Discuss America's Water Infrastructure Act of 2018.

14.

Operation of District facilities, billings, repairs and maintenance, including:

a.

water accountability;

b. hearing on termination of water and sewer service to delinquent

customers and authorize termination of service;

c.

conduct annual review of Drought Contingency Plan;

d. approve annual report on implementation of Water Conservation Plan;

e.

line valve survey report and associated repairs;

f.

manhole survey report and associated repairs;

g. amend Rate Order;

h. payment Processing Agreements, including:

i.

Resolution Approving Additional Payment Services For District

Customers;

ii.

Addendum to Operator Service Agreement between the District

and Inframark;

iii.

Merchant Processing Agreement between the District and Global

Payments Direct ("Global");

iv.

Addendum to Merchant Processing Agreement between the

District and Global;

v.

Originator Agreement between the District and Compass Bank;

vi.

Addendum to Originator Agreement between the District and

Compass Bank; and

vii.

Processing Agreement with Compass Bank.

15.

2020 Directors Election, including:

a.

accept Certificate Declaring unopposed status of candidates for Election

to the Board of Directors; and

b. adopt Order Cancelling Election and Declaring Unopposed Candidates

Election to Office.
