Minutes of the Regular Meeting of the Township Committee of the Township of Hillsborough, in the County of Somerset, State of New Jersey, held in the Municipal Complex at 7:30 p.m. on the above date.

Upon call of the roll, the following Committee members were recorded present: Committeeman Paul Drake, Committeeman Bob Wagner, Deputy Mayor Anthony Ferrera and Mayor Carl Suraci. Also in attendance were Township Attorney Albert E. Cruz, Township Administrator/Clerk Kevin P. Davis and Secretary to the Administrator/Clerk Dianne Borngesser. Committeewoman Lisa Nisivoccia was absent.

Following Roll Call and Salute to the Flag, Committeeman Wagner advised that notice of this Regular Session was made in accordance with Section 5 of the Open Public Meetings Act, Chapter 231, Public Law 1975, by posting on the bulletin board at the Municipal Building and by mailing to the Township’s official newspapers, a notice that this regular session would take place at the Hillsborough Municipal Building at 7:30 p.m. on December 27, 2006.

Mayor Suraci asked everyone present to observe a minute of silence in memory of former President Gerald Ford, who passed away on December 26th.

Deputy Mayor Ferrera

Deputy Mayor Ferrera thanked Jeff Baldwin and the Grants and Shared Services Committee for helping to secure a grant for $19,603. These funds will enhance the inclusive recreation program already in place, specifically for children between the ages of 2 and 5. He also reported on the space availability of certain Recreation programs.

Mayor Suraci

Mayor Suraci commented on the recent news story regarding the possibility that tandem trucks would be permitted on Route 206. He said that while he did not believe that any Township Committee member would support tandem trucks being allowed on Route 206, he has asked the Township’s traffic engineer to review the proposed regulations and report to the Committee prior to the Committee taking an official position. Mayor Suraci said that the period for public comment on the proposed regulations ends in February, 2007.

Mayor Suraci said that adding this type of truck to the main artery in Hillsborough would be a mistake and would create a dangerous situation for commuters. He said that he will continue to follow this issue in 2007 and that the Township Committee should have a report from the traffic engineer at the January 9th Township Committee meeting.

PUBLIC COMMENT ON NEW BUSINESS AND MATTERS NOT ON THE AGENDA

CONSIDERATIONS

Mayor Suraci offered the following resolutions:

1. Resolution authorizing public comment regarding Ordinance 2006-53, an ordinance authorizing acceptance of a deed of dedication to the Township of Hillsborough for a portion of Block 167, Lot 12.03 owned by Roycefield Properties, LLC in the Township of Hillsborough, County of Somerset, State of New Jersey

WHEREAS, the Township Committee wishes to hear public comment tonight regarding Ordinance 2006-53 because Ordinance 2006-53 is scheduled for public hearing on Thursday, December 28, 2006 at 9:00 am; this Ordinance authorizing acceptance of a deed of dedication to the Township of Hillsborough for a portion of Block 167, Lot 12.03 owned by Roycefield Properties, LLC in the Township of Hillsborough, County of Somerset, State of New Jersey.

NOW, THEREFORE, BE IT RESOLVED that the Township Committee of the Township of Hillsborough, County of Somerset, State of New Jersey hereby authorizes public comment regarding Ordinance 2006-53.

Mayor Suraci said that this Ordinance provides for the acceptance of the donation of about 15 acres on Long Hill Road from Mr. Taverner. He expressed his appreciation for this donation, as it will help to complete the trailways system in the western part of the Township.

Mayor Suraci stated that the Township Committee will hold a public hearing and consider final adoption of this Ordinance at 9 a.m. tomorrow, as it is required that there be 7 days between the published public notice and action by the Committee. However, since the hearing had originally been scheduled for this evening’s meeting and various newspaper stories covering this Ordinance reported that the hearing would be at tonight’s meeting, the Township Committee would hear public comment at this meeting and at tomorrow’s meeting as well.

Upon motion by Committeeman Wagner, seconded by Committeeman Drake, the aforesaid resolution was unanimously approved upon call of the roll.

2. Resolution approving 2006 Budget Transfers

WHEREAS, N.J.S.A. 40A:4-58 allows for appropriation transfers during the last 2 months of a budget fiscal year when there is a need for these transfers; and

WHEREAS, there is a need to do appropriation transfers between appropriations in the 2006 Municipal Budget;

NOW, THEREFORE BE IT RESOLVED by the Township Committee of the Township of Hillsborough that the Chief Finance Officer be authorized to make transfers between the following appropriations in the 2006 Budget:

Mayor Suraci reported that the end of the calendar year always brings some budget changes. These transfers enable the Township to continue the police vehicle replacement program which will be discussed later.

Mayor Suraci said that the Township continues to face serious cost increases for health benefits and that a transfer of budget funds is necessary to meet that need, as well as for unforeseen electric and gasoline cost increases. As of January 1, 2007, the Township will be using a new health network that has promised considerable cost savings in the health benefits area.

Upon motion by Committeewoman Wagner, seconded by Deputy Mayor Ferrera, the aforesaid resolution was unanimously approved upon call of the roll.

3. Resolution to appoint John Sheridan as Civilian Police Specialist effective December 28, 2006 at a starting salary of $30,910

WHEREAS, having conducted extensive interviews, Chief of Police Paul A. Kaminsky recommends that John Sheridan be appointed as Civilian Police Specialist effective December 28, 2006 at a starting salary of $30,910.

NOW, THEREFORE BE IT RESOLVED by the Township Committee of the Township of Hillsborough, County of Somerset, State of New Jersey that the recommendation of Chief of Police Paul A. Kaminsky hereby is accepted and approved, and John Sheridan is hereby hired as Civilian Police Specialist at a starting salary of $30,910.00 effective December 28, 2006.

Mayor Suraci said that this appointment is recommended by the Police Chief.

Deputy Mayor Ferrera said that this appointment will free a sworn Police Officer from performing administrative duties and will result in an increased police presence in town. He said that as Mr. Sheridan is a former Hillsborough Police Officer that minimal training will be needed.

Upon motion by Deputy Mayor Ferrera, seconded by Committeeman Drake, the aforesaid resolution was unanimously approved upon call of the roll.

4. Resolution supporting participation in the 2007 Cops in Shops Grant Program

WHEREAS, the Division of Alcoholic Beverage Control (ABC) is responsible for administering the Office of Juvenile Justice Delinquency Prevention (OJJDP) State Block Grant Program Enforcing the Underage Drinking laws; and

WHEREAS, the Township of Hillsborough wishes to apply to ABC for funds in connection with a project entitled Cops in Shops; and

WHEREAS, the Township Committee of the Township of Hillsborough has reviewed said application and finds approval thereof to be in the best interests of the municipality; and

WHEREAS, said project is a joint project between the State of New Jersey (ABC) and the Township of Hillsborough for the purposes therein described:

NOW, THEREFORE, BE IT RESOLVED by the Township Committee

1) that as a matter of public policy the Township of Hillsborough wishes to participate with the State of New Jersey (ABC) to the greatest extent possible;

2) that the Division of Alcoholic Beverage Control (ABC) be requested to accept said application on behalf of the municipality; and

3) that the appropriate fiscal officer will accept the funds in connection with said project from the ABC and make disbursements in accordance with said application.

Mayor Suraci stated that this resolution makes application to the state Alcoholic Beverage Control Board for a grant to foster cooperation between the Police Department and local merchants to prevent underage drinking.

Deputy Mayor Ferrera said that this resolution will result in the Police force becoming a greater presence in the community and helping local businesses as well.

Upon motion by Deputy Mayor Ferrera, seconded by Committeeman Wagner, the aforesaid resolution was unanimously approved upon call of the roll.

5. Resolution authorizing the purchase of two marked Police vehicles, by State Contract not to exceed $57,853.18 from Warnock Fleet in East Hanover, NJ

WHEREAS, there is a need to purchase two marked police vehicles, by state contract, for the Police Department in the Township of Hillsborough, County of Somerset, State of New Jersey; and

WHEREAS, the Chief of Police and Township Administrator/Clerk recommend purchasing this vehicle from Warnock Fleet, in an amount not to exceed $57,853.18; and

WHEREAS, funds are available as evidenced by the Chief Finance Officer’s Certification is attached to this resolution.

NOW, THEREFORE, BE IT RESOLVED by the Township Committee of the Township of Hillsborough, County of Somerset, State of New Jersey that the Township Administrator/Clerk is hereby authorized and directed to forward a Purchase Order as follows:

Mayor Suraci said that this resolution continues the Township’s vehicle replacement program which ahs been in effect since 2003. Deputy Mayor Ferrera said that this replacement program helps ensure the continued safety of Police Officers and the public.

Upon motion by Deputy Mayor Ferrera, seconded by Committeeman Drake, the aforesaid resolution was unanimously approved upon call of the roll.

6. Resolution authorizing the cancellation of Capital Account Balances

WHEREAS, certain General Capital Improvement Authorization balances remain dedicated to projects now completed; and

WHEREAS, it is necessary to formally cancel said improvement authorization balances so that the unexpended balances may be canceled and be returned to their respective accounts as summarized below;

NOW THEREFORE, BE IT RESOLVED, by the Township Committee of the Township of Hillsborough, County of Somerset, State of New Jersey that the following unexpended and dedicated balances of General Capital Ordinances be canceled in an amount totaling $1,026,984.31, with their respective balances being returned to the appropriate General Capital Accounts from which the initial authorizations were funded.

Mayor Suraci explained that this resolution cancels unexpended balances from various capital projects and returns the unused funds to the Capital Improvement Fund or developer offsite trust accounts for use for future capital infrastructure projects.

Upon motion by Committeeman Wagner, seconded by Committeeman Drake, the aforesaid resolution was unanimously approved upon call of the roll.

7. Resolution authorizing the execution of the 2007 Contract with St. Hubert’s Giralda for animal control and shelter services

WHEREAS, the Township of Hillsborough wishes to enter into an agreement with St. Hubert’s Giralda to annually provide municipal animal control services for the Township; and

WHEREAS, said contract may be awarded in accordance with N.J.S.A. 40:48-5.1 which permits a waiver of the bid requirements contained in the Local Public Contract Law; and

WHEREAS, the Chief Financial Officer has certified as to the availability of funds.

NOW, THEREFORE, BE IT RESOLVED by the Township Committee of the Township of Hillsborough as follows:

1. That the Mayor and Township Clerk are hereby authorized and directed to execute an agreement with St. Hubert’s Giralda for the services of Animal Warden in an amount not to exceed $44,438.00 with an additional fee of $100.00 per emergency call during the hours of 8pm and 8 am.

1. A notice of this action shall be printed in the official Township newspaper.

BE IT FURTHER RESOLVED that the Mayor and Township Clerk are hereby authorized to enter into concession agreements with Affinity Federal Credit Union;

BE IT FURTHER RESOLVED that this Resolution shall take effect immediately.

Upon motion by Committeeman Drake, seconded by Committeeman Wagner, the aforesaid resolution was unanimously approved upon call of the roll.

8. Resolution authorizing the Township Attorney to enter into a Stipulation of Settlement relative to the Tax Appeals captioned KD Hillsborough 441, Inc. vs. Hillsborough Township, Tax Court of New Jersey, Docket No. 002592-2006.

WHEREAS, KD Hillsborough 44A, Inc. c/o Lowes, one of the tenants of Block 182, Lot 50.01, on the Hillsborough Township Tax Assessment Maps, filed an Appeal of the 2006 tax assessment in the Tax Court of New Jersey, Docket No.002592-2006; and

WHEREAS, the Township Committee of Hillsborough Township met and discussed the aforesaid tax appeal and the recommendations of its Township Tax Assessor and Township Attorney; and

WHEREAS, the Township Tax Assessor has reviewed and analyzed the subject property’s lease and rent rolls, as well as the retail rental market pertaining to the subject property; and

WHEREAS, an acceptable settlement of the aforesaid tax appeal has been negotiated which dismisses the Tax Appeal and thereby affirms the total tax assessment

of $43,597,400 on the said property located at of Block 182, Lot 50.01 for the tax year 2006; and

WHEREAS, the average ratio of assessed to true value has continued to decline and the ratio applicable for the 2007 tax year is 64.06% as compared with 70.09% in 2006; and

WHEREAS, the 2007 total tax assessment, based upon said settlement, will be set by the Township Tax Assessor at $39,800,000.00 for Block 182, Lot 50.01; and

WHEREAS, pursuant to the settlement, the owner of the property, its successors and assigns, and any other parties in interest, including tenants, agree to waive any rights they may have to file an Appeal or Appeals of the 2007 tax assessment, if they are set, as agreed, by the Tax Assessor in this Resolution; and

WHEREAS, the Township Committee has agreed to enter into a Stipulation of Settlement in part and consideration for this waiver of taxpayer’s right to file a tax appeal or tax appeals in 2007; and

WHEREAS, the Township Committee of the Township of Hillsborough leaves the allocation between land and improvements of the 2007 tax assessment to the Hillsborough Township Tax Assessor’s discretion; and

WHEREAS, the aforesaid reductions have no general application to other properties within the Township of Hillsborough as a result of the aforesaid specific fact situation; and

WHEREAS, the Township Committee of the Township of Hillsborough will make this settlement without prejudice to its dealings with any other Hillsborough Township taxpayers request for tax assessment reduction;

NOW, THEREFORE, BE IT RESOLVED by the Township Committee of the Township of Hillsborough, County of Somerset, State of New Jersey, as follows:

1. The Township Attorney is hereby authorized to execute a Stipulation of Settlement relative to the tax appeal of KD Hillsborough 44A, Inc., c/o Lowes, Docket No. 002592-2006 which withdraws and dismisses the tax appeal; which further reflects that the 2007 total tax assessment on Block 182, Lot 50.01 will be $39,800,000.00; as allocated between land and improvements by the Township Tax Assessor; which further provides that the owner, the taxpayer, its successors and assigns, and any other parties in interest, including tenants, agree to waive any rights they may have to file an Appeal or Appeals of the 2007 assessment; and further provides that the taxpayer acknowledges that the Township has entered into the Stipulation of Settlement in part and consideration for this waiver of 2007 Tax Appeals.

2. The form of Stipulation of Settlement is annexed hereto, having been reviewed by the Township Committee of the Township of Hillsborough.

3. The settlement outlined above shall be without prejudice to Hillsborough Township's dealings with any other Township taxpayers' request for tax assessment reductions.

Mayor Suraci said that the tax appeal settlement with the promenade is recommended by the Township’s Tax Appeal Attorney, Mr. Allen, and by the Tax Assessor, Ms. Blaney. With this resolution, the Township avoided a protracted and costly legal battle, the Promenade owners agreed to maintain their assessment for 2006, with a change in assessment for 2007 to slightly less than $40 million.

Upon motion by Committeeman Wagner, seconded by Deputy Mayor Ferrera, the aforesaid resolution was unanimously approved upon call of the roll.

9. Resolution amending a professional services contract through the Fair & Open Purchasing process for “Tax Map Maintenance Services from October 1, 2006 through May, 2008” to Remmington & Vernick Engineers, in an amount not to exceed $23,500

WHEREAS, sealed proposals were opened and read on May 18, 2006 at 10:00 AM which was the time and place as provided for in the Fair & Open Purchasing Process; and

WHEREAS, the Administrator and Personnel Committee reviewed the proposals in accordance with evaluation criteria established in the Request for Proposal and recommend Remmington & Vernick Engineers.

WHEREAS, Thomas Belanger, Assistant Township Engineer, has recommended that Remington & Vernick Engineers’ proposal to complete tax map maintenance services through May, 2008 not to exceed of $23,500 be accepted which were not included in the original contract; and

WHEREAS, funds are available and have been certified as such by the Chief Financial Officer; and

NOW, THEREFORE BE IT RESOLVED by the Township Committee of the Township of Hillsborough, County of Somerset, State of New Jersey hereby authorized to accept Remington & Vernick Engineers’ proposal to complete tax map maintenance from October 1, 2006 through May 2008.

Mayor Suraci said that Remmington & Vernick Engineers were awarded a contract to prepare the Township’s tax maps through the Fair and Open process. The firm has been asked to do additional work that was not included in the original proposal, to update the map to its most current form through the beginning of 2008.

The Mayor said that this is an amendment to the original contract with the cost still below the second lowest proposal that was made at the time of original contract award.

Township Administrator said that the word “awarding” should be changed to “amending” in this resolution.

Upon motion by Deputy Mayor Ferrera, seconded by Committeeman Wagner, the aforesaid resolution, as amended, was unanimously approved upon call of the roll.

10. Resolution authorizing the execution of a Non Fair and Open contract with Binsky & Snyder Service, LLC for Municipal Building duct cleaning not to exceed $18,950.00

WHEREAS, there exists a need for additional duct cleaning in the Municipal Building; and

WHEREAS, Binsky & Snyder Service, LLC. has been providing HVAC services to the Municipal Building; and

WHEREAS, the Township Committee has decided to award a “Non Fair and Open” contract to Binsky & Snyder Service, LLC., to perform the additional duct cleaning services indicated above in an amount not to exceed $18,950.00 pursuant to their proposal dated December 27, 2006; and

WHEREAS, the amount of the contract is below Hillsborough Township’s bid threshold of $29,000 and therefore does not require public bidding (N.J.S.A. 40A:11-3 and 11-9); and

WHEREAS, funds are available and have been certified as such by the Chief Financial Officer said certification is attached to this resolution; and

WHEREAS, Binsky & Snyder Service, LLC is required to submit a Political Contribution Disclosure form; and

NOW THEREFORE BE IT RESOLVED by the Township Committee of the Township of Hillsborough, County of Somerset, State of New Jersey as follows:

1. The action of the Township Administrator/Clerk to authorize and execute the agreement with Binsky & Snyder Service, LLC. for additional duct cleaning services for the Hillsborough Township Municipal Building.

2. This contract is awarded without competitive bidding as a “Non Fair & Open Contract”.

3. The Mayor and Township Administrator/Clerk are hereby authorized to execute the Township’s standard form of agreement for “Professional Services” and any modifications thereto and related constituent documents as may be found acceptable by the Township Committee.

Mayor Suraci said that Binsky and Snyder already provide HVAC maintenance services for the Township and that logically they are the firm to use to clean the ducts. While the bid threshold for Hillsborough is $29,000 and the cost of the cleaning is $18,950, the new state pay to play law requires the Township to award this contract as non fair and open.

A discussion followed regarding the fair and open vs. non fair and open process.

Upon motion by Deputy Mayor Ferrera, seconded by Committeeman Wagner, the aforesaid resolution was unanimously approved upon call of the roll.

CONSENTS

Mayor Suraci offered the following consent agenda:

1. Resolution authorizing the non-profit charitable organization, Resolutions for Others Foundation, to use the Municipal Building parking lot located by the Board of Education entrance on January 1, 2007 for the Resolution Run and Walk 5K

WHEREAS, the non-profit organization Resolutions for Others Foundation is having their annual Resolution Run & Walk 5K on Sunday, January 1, 2007; and

WHEREAS, the organization has requested the use of the Municipal Building parking lot located by the Board of Education entrance for use by race participants; and

NOW, THEREFORE, be it resolved by the Township Committee of the Township of Hillsborough, County of Somerset, State of New Jersey that the organization Resolutions for Others Foundation is hereby authorized to use the Municipal Building parking lot located by Board of Education entrance on Sunday, January 1, 2007.

Upon motion by Committeeman Drake, seconded by Committeeman Wagner, the consent item was unanimously approved upon call of the roll.

CLAIMS LIST

Mayor Suraci presented Claims List 2006-23

Upon motion by Committeeman Wagner, seconded by Deputy Mayor Ferrera, Claims List 2006-23 was unanimously approved upon call of the roll.

Mayor Suraci said that as this is the final regular meeting for 2006, he wanted to thank his colleagues on the Township Committee for their support of him as Mayor and their tireless efforts on behalf of the citizens of Hillsborough during the past year.

Mayor Suraci said that he has enjoyed his tenure as Mayor and felt that a great deal had been accomplished during 2006. He thanked Township Administrator Kevin Davis and Township Attorney Albert Cruz for their work, as well as Ms. Borngesser, who was present that evening, and all staff members in the Administration Office for their help and support during 2006.

Mayor Suraci also thanked all of the employees of the Township who help to make Hillsborough a great place to live.

Mayor Suraci wished everyone a happy and healthy new year.

ADJOURNMENT

Upon motion by Committeeman Wagner, seconded by Deputy Mayor Ferrera, the meeting duly adjourned at 8:00 p.m. Said motion carried unanimously upon voice vote.
