| |ISRO Telemedicine (TM) project was started in Year 2001. ISRO Telemedicine | | |

| |program bridges the gap between Super Specialty services available in urban | | |

| |areas and remote/under-served areas by connecting them through an Indian | | |

| |National Satellite. These also include hilly regions like Jammu & Kashmir, | | |

| |North East, Uttarakhand etc. and offshore islands of Andaman & Nicobar, | | |

| |Lakshadweep. | | |

| |A typical ISRO's satellite-based Telemedicine network uses Client/Server | | |

| |network configuration, which consists of TM server, Patient Node and Super | | |

| |Specialty (SS) Doctor node hereinafter called Doctor Node. A TM node typically | | |

| |consists of Tele-medicine software integrated with computer hardware along with| | |

| |medical diagnostic instruments (at Patient node only) connected through VSAT | | |

| |network in star configuration. | | |

| |The objective of this RFP is to get the quotations from vendors for AMC of TM | | |

| |nodes located across the country. | | |

|2.0 |List of items at TM nodes | | |

|2.1 |The Tele-medicine nodes are basically VSAT based systems with TM Hardware / | | |

| |Software including diagnostic equipment/peripherals. | | |

|2.2 |ISRO TM network is having three types of TM nodes, as mentioned below: | | |

| |Super Specialist Doctor Node (Here in after called Doctor Node) | | |

| |Patient Node (Fixed) | | |

| |Patient Node (Mobile) | | |

|3.0 |Scope of Work | | |

|3.1 |Vendor to undertake AMC of around 140 TM nodes. These 140 TM nodes comprise of | | |

| |around 40 Doctor nodes, 98 Fixed Patient nodes & 02 Mobile Patient nodes | | |

| |located across country. | | |

| |These numbers are tentative and the final numbers along with list of TM nodes | | |

| |will be given at the time of release of Purchase Order. | | |

| |The details of TM nodes items is given in Section-A, Section-B & Section-C of | | |

| |Annexure-1 | | |

|3.2 |Following spares to support the AMC shall be arranged by DECU, ISRO | | |

| |VSAT Modem DVB-S/S2 or DVB-S2A | | |

| |Ext. C-Band 2W BUC | | |

| |Ext. C-Band PLL type LNBC | | |

| |Vendor to collect spares mentioned as above, from DECU/ISRO in lots of 10 | | |

| |quantities of each item, with their own transport arrangement. | | |

| |Vendor to ensure safety and transportation of material/spares provided by DECU,| | |

| |ISRO. | | |

|3.3 |After the acceptance of the Purchase Order, Vendor to visit sites and verify | | |

| |that the node is fully functional. | | |

| |Vendor shall also test TM node with TM software/CME software, by carrying out | | |

| |functional test with DECU, ISRO or TM Hub. | | |

| |Vendor to install new CME software and test and train the Users if specifically| | |

| |given go ahead by DECU/ISRO. | | |

| |However, in case TM node has problem, vendor to rectify & make the TM node | | |

| |operational as per the approach described in Sr. No. 3.4, of this table and | | |

| |then take the TM node under AMC. | | |

|3.4 |If any of the items of the TM node are found faulty at the time of taking the | | |

| |node under AMC, following approach shall be adopted: | | |

| |Attempt on-site minor repairs. | | |

| |If items for which DECU ISRO is providing spares, the faulty items to be | | |

| |replaced. | | |

| |For faulty items listed in the table 1.0 under Section-D of Annexure-I, these | | |

| |should be replaced as detailed in the same table. | | |

| |For other faulty items vendor should replace them with new items, as listed in | | |

| |table 2.0 under Section-D of Annexure-I. | | |

| | | | |

| |For activities in c) and d) above, vendor should obtain specific go ahead from | | |

| |DECU prior to replacement. Further, after replacement, vendor should obtain | | |

| |item replacement certificate signed by the User and must submit the same to | | |

| |DECU, along with the AMC invoice. | | |

|3.5 |Vendor may be required to provide remote technical support to | | |

| |configure/re-configure TM nodes, as and when required. | | |

|3.6 |Vendor shall carry out Preventive Maintenance Inspection (PMI) twice in a year | | |

| |(total 4 PMI visit in two years). Activities during PMI to be carried out are | | |

| |as per the section 3.12 of the RFP. Vendor to carryout second PMI during 2nd | | |

| |or 3rd quarter of the AMC. | | |

|3.7 |Vendor shall carry out Breakdown maintenance as and when required. Activities | | |

| |to be carried out during breakdown maintenance are as per the section 3.13 of | | |

| |the RFP. | | |

|3.8 |Vendor should take care of maintenance of minor civil work (if any) and other | | |

| |activities like Channeling, cable dressing, etc. during PMI/Breakdown visit. | | |

|3.9 |Vendor to record each maintenance activity in the maintenance report clearly | | |

| |mentioning the replaced item if any. Maintenance report shall be submitted to | | |

| |in-charge TM node with copy to DECU, ISRO on quarterly basis. | | |

|3.10 |Vendor shall coordinate with TM node in-charge as well as DECU, ISRO for | | |

| |activities related to AMC. | | |

|3.11 |After maintenance activity, vendor to submit certificate of satisfactory | | |

| |performance of systems, duly signed by the TM node in-charge to DECU, ISRO. | | |

| |Format of certificate is given in Annexure-IV. | | |

|3.12 |Preventive Maintenance Activities | | |

|3.12.1 |Vendor shall carry out Preventive maintenance twice in a year | | |

|3.12.2 |The first visit of the Vendor for taking a TM node under AMC shall be accounted| | |

| |as first PMI visit. | | |

|3.12.3 |Vendor to carryout second PMI visit during 2nd or 3rd Qtr. of AMC. | | |

|3.12.4 |Equipment cleaning by using blower, cleaning fluids (external surfaces). | | |

|3.12.5 |Checking of all cables and connections & repair/replace damaged/ loose cables. | | |

|3.12.6 |Checking of all parameters for good connectivity & if required, reorient | | |

| |Antenna System for optimum signal reception. | | |

|3.12.7 |Note all important technical parameters. | | |

|3.12.8 |Check all the screws and fasteners of the VSAT systems. Apply grease on moving | | |

| |parts, wherever required. | | |

|3.12.9 |Functional test of Patient End TM Node to be carried out with Doctor Node or | | |

| |DECU, ISRO or TM Hub. Vendor to submit the snap shot (print screen) of | | |

| |functional test of each TM node along with PMI report. | | |

|3.12.10 |Hardware and software including OS (Including Tele-medicine software and | | |

| |diagnostic equipment) should be checked and software patches to be installed, | | |

| |if required. | | |

|3.12.11 |Vendor should ensure that the Virus protection is enabled and updated. | | |

|3.12.12 |Vendor shall carry out maintenance of UPS along with batteries . | | |

|3.12.13 |PMI maintenance records to be recorded and should be submitted to DECU, ISRO on| | |

| |Quarterly basis. | | |

|3.13 |Breakdown Maintenance Activities | | |

|3.13.1 |Breakdown maintenance to be carried out as and when required after the formal | | |

| |complaint is registered with the vendor. | | |

|3.13.2 |Vendor shall carry out repairs/replacement of faulty items, after obtaining go | | |

| |ahead from DECU, ISRO. | | |

| |On carrying out satisfactory breakdown maintenance and after ensuring that the | | |

| |items/systems are functional, vendor will have to obtain certification from the| | |

| |TM node in-charge. Vendor to log details of such repairs/replacements in the | | |

| |maintenance report. | | |

|4.0 |Terms & Conditions | | |

|4.1 |Guidelines for bid preparation and submission | | |

|4.1.1 |It is a two-part tender. Bidder should submit these through EGPS. | | |

|4.1.2 |Part 1 is techno-commercial and should mention compliance/ not compliance/ | | |

| |Noted, with remarks if any against each clause of this RFP. This part should | | |

| |not contain prices. | | |

|4.1.3 |Part-2 is the price bid, to be submitted as per format in Annexure-II | | |

|4.1.4 |Though TM nodes have minor variations in terms of antenna sizes & few | | |

| |peripherals, vendor should quote as indicated in price bid format only. | | |

|4.1.5 |Vendor should also quote for the optional items, which may or may not be | | |

| |ordered. | | |

| |The bid shall still be considered even though vendor is not able to quote for | | |

| |any of the optional items. | | |

|4.1.6 |Validity of bids should be minimum 120 days from the date of submission of | | |

| |bids. | | |

|4.1.7 |Vendor may attend Pre-Bid meeting, as per the time and date intimated by | | |

| |purchaser. | | |

|4.1.8 |The RFP may be modified through a corrigendum, consequent to the Pre-Bid | | |

| |meeting. | | |

|4.2 |Price bids of the technically compliant vendors shall only be opened and PO | | |

| |shall be placed on the lowest (L1) bidder. The evaluation of L1 shall be done | | |

| |as per the price bid submitted in Section-A & Section-B of Annexure-II. | | |

|4.3 |Vendor to provide the compliance to each clause, section and annexures of the | | |

| |RFP and should provide the data sheets, make and model of spare items. | | |

| |Technical specifications of major spares are mentioned in Annexure-VI. | | |

|4.4 |Period of the PO: Initially the PO shall be placed for two years with effect | | |

| |from the date of acceptance of P.O. and extendable for one more year, if both | | |

| |parties mutually agree. | | |

|4.5 |Vendor eligibility Criterion | | |

|4.5.1 |It is mandatory that the Vendor must have field experience in maintenance/ | | |

| |establishment of ISRO Telemedicine/ Tele-Education networks of M/s Viasat OEM. | | |

| |Vendor to submit documentary proof of experience. | | |

|4.5.2 |Vendor to submit letter of support from M/s Televital Pvt. Ltd. for back to | | |

| |back technical support during currency of AMC. Address is mentioned in | | |

| |Annexure-V. | | |

|4.6 |Other Terms and conditions | | |

|4.6.1 |Vendor to submit Performance Security equivalent to 10% of PO value along | | |

| |with the order acknowledgement. Besides performance of the contract, this shall| | |

| |also cover the requirement of Security deposit for the items collected from | | |

| |DECU, ISRO. | | |

|4.6.2 |The Performance Security shall be returned to the vendor after two months from | | |

| |date of successful completion of contract and depositing of unused/faulty | | |

| |spares to DECU, ISRO if any. | | |

|4.6.3 |Wherever necessary DECU, ISRO may arrange “To whom so ever concern certificate”| | |

| |on DECU, ISRO authorization letter for smooth movement of | | |

| |materials/spares/items related to AMC activities | | |

|4.6.4 |Vendor should take all TM nodes under AMC within two months of acceptance of | | |

| |PO. | | |

|4.6.5 |If any TM node is not made functional due to reason attributed to the User or | | |

| |the Purchaser, Vendor shall be entitled for a visit charge. This shall only be | | |

| |claimed, once there is clarity that the said TM node shall not be taken under | | |

| |AMC. | | |

|4.6.6 |The AMC completion date will be same for all the TM nodes.If there is a delay | | |

| |in taking any TM nodes under AMC beyond two months of PO, the AMC period of | | |

| |that TM node will be reduced accordingly. The start of AMC of such nodes shall | | |

| |be first day of the month in which it is taken under AMC. Payment for such | | |

| |nodes shall be reduced on pro-rata monthly basis. | | |

|4.6.7 |Fault reported is to be attended and TM node to be made operational within | | |

| |following duration from the date of complaint registration: | | |

| |Within 10 working days for accessible sites | | |

| |Within 15 working days for inaccessible sites | | |

| |Within 20 working days for Island sites | | |

|4.6.8 |TM nodes may be added or deleted at the time of placing of P.O., or during | | |

| |execution of the P.O. on pro-rata monthly basis. | | |

|4.6.9 |Vendor to submit Preventive Maintenance certificate of each node along with | | |

| |the AMC invoice to DECU, ISRO. | | |

|4.6.10 |Vendor to take all the TM nodes under AMC irrespective of region/area. Without | | |

| |which offers will not be considered. | | |

|4.6.11 |On completion of AMC contract, vendor shall be required to give the status | | |

| |report of all the TM nodes clearly mentioning the following: | | |

| |Number of operational TM nodes | | |

| |Number of complaints not resolved & reasons. | | |

| |Number of non-operational TM nodes & reasons. | | |

|4.6.12 |After completion of AMC contract, vendor to deliver remaining spare items (if | | |

| |any) to DECU through SAC, stores, by raising the separate invoice. Last quarter| | |

| |payment will be released only after successfully deposit of spares, faulty | | |

| |items and status report. | | |

| |Vendors are advised to procure spare items judiciously in lots as, on | | |

| |completion of AMC, DECU/ISRO shall not take back spare items more than 50% of | | |

| |quantities indicated in Section-B of Annexure-II. | | |

|4.6.13 |Vendor to make own arrangement for tools & testing instruments required for | | |

| |carrying out of AMC. | | |

|4.6.14 |Vendors shall arrange movement of manpower and transportation of spare items or| | |

| |faulty items at their own cost. | | |

|4.7 |Downtime compensation: In the event of any system or TM node found to be | | |

| |non-operational after the formal complaint is registered with the vendor and if| | |

| |TM node remain unattended and fault not rectified beyond; | | |

| |10 working days for accessible sites | | |

| |15 working days for inaccessible sites | | |

| |20 working days for Island sites | | |

| | | | |

| |penalty shall be charged at the rate as follows: | | |

| | | | |

| |1.0 % of the quarterly value of AMC of respective faulty nodes/day. | | |

|4.8 |Vendor to provide Helpdesk with toll free helpline number/fax/email address, so| | |

| |that user/DECU, ISRO at each Telemedicine node will be able to register their | | |

| |complaints. | | |

|4.9 |Bills certification: Contract manager identified by DECU, ISRO will be the | | |

| |focal person for all coordination activities related to AMC. All the AMC bills | | |

| |shall be certified by TM node nodal officer/in-charge, which will then be duly | | |

| |endorsed by DECU, ISRO. The format of the certification is as per the | | |

| |Annexure-III & IV. | | |

|4.10 |Payments: Payments will be made quarterly on pro-rata basis after completion of| | |

| |service satisfactorily of each quarter. The bill in duplicate duly certified by| | |

| |the TM node nodal officer/in-charge and approved by DECU, ISRO, shall be | | |

| |submitted to Accounts Officer (Bills) SAC, Ahmedabad for payment. | | |

| | | | |

| |Last quarter payment: will be made only after successful submission of final | | |

| |report on the status of all the TM nodes under AMC. | | |

| |Payment of spares shall be paid to the vendor only after submission of “New | | |

| |items replacement certificates” from users along with the invoice and endorsed | | |

| |by DECU, ISRO to Accounts Officer (Bills) SAC, Ahmedabad for payment. | | |

| | | | |

| |GST charges: As applicable | | |

|4.11 |Fall Clause: The charges for above work shall in no event exceed the lowest | | |

| |charges at which vendor services the systems/TM node of identical description | | |

| |to any other party during the currency of contract. If, at any time during the | | |

| |said period, vendor reduces the charges for similar work to any other customer,| | |

| |vendor shall forthwith notify the same to DECU,ISRO and the charges payable | | |

| |under the contract for the service shall stand correspondingly reduced. | | |

|4.12 |Termination of Contract: DECU, ISRO reserves the right to terminate the | | |

| |purchase order if the performance of the Contractor/vendor is found to be | | |

| |unsatisfactory or due to change in technology/Policy during currency of the | | |

| |contract by giving three-months’ notice in writing without any financial | | |

| |implications. | | |

|4.13 |In the unlikely event of Hub or satellite becoming non-functional, which makes | | |

| |the overall network dis-functional with no clarity of revival, the PO can be | | |

| |short closed by giving one-month notice in writing. Payment shall be made on | | |

| |pro-rata monthly basis. | | |

|4.14 |In the event of the damages to TM node property or personal injury to user due | | |

| |to the negligence of vendor’s employee/ person, responsibility shall solely | | |

| |rest on vendor. | | |

|4.15 |Indemnity Clause: DECU, ISRO is indemnified against any action, claim or | | |

| |proceedings relating to infringement of all or any of the prevailing laws like | | |

| |workman’s Compensation Act 1923, Contract Labour (Regulation and Abolition) Act| | |

| |1938, Industrial Disputes Act 1947, Employee’s State Insurance Act 1952 during | | |

| |the currency of the order or any other Act specifically not mentioned. | | |

| |DECU, ISRO shall not be responsible and is indemnified against any claim for | | |

| |any injury or loss of life to Vendor’s personnel deployed for the work under | | |

| |this Purchase Order. DECU, ISRO shall also be indemnified against any claim due| | |

| |to loss/breakdown of Vendors equipment, deployed during the currency of the | | |

| |contract. | | |

|4.16 |Non-Disclosure Agreement (NDA) | | |

| |Vendor & Personnel deputed by the vendor shall maintain absolute secrecy and | | |

| |security of the information for the purpose of operation of this Contract given| | |

| |by Purchaser. Vendor shall return the original and copies of the same to | | |

| |Purchaser after completion of the work. The technical information / papers / | | |

| |drawings etc. provided by Purchaser from time to time, will be for the | | |

| |execution of this Contract only; and should not be used / copied / reproduced /| | |

| |published in any form or disclosed to third party, by the vendor or his | | |

| |personnel. Vendor will be responsible for any violation or infringement of NDA | | |

| |by him or his personnel. Such violation shall be treated as breach of Contract | | |

| |and vendor shall be liable for penalties for breach as provided for in the | | |

| |Contract in addition to any other legal implications w.r.t. the laws of the | | |

| |land. | | |
