Project Summary

Assessment, Installation and Training

Fees for services detailed below are included in the cost of this sales contract, unless specifically noted otherwise.

Assessment: A system specialist from ACME POS will assess the current cabling, power sources and condition of the Restaurant Manager POS System currently installed at the Chat ‘n Chew Restaurant to determine the optimal hardware configuration for upgrading the Restaurant Manager software installed on your server integrating it with the Online Ordering Service. (1 hour)

System Configuration: A system specialist from ACME POS will install a static IP address on the dedicated file server and update key settings in the Windows LogMeIn Central software installed on the server. (1 hour)

NOTE: The installation of new equipment to meet basic system configuration requirements for Online Ordering is outside the scope of this proposal and must be addressed in a separate document.

Software Upgrade & Programming: Your current Restaurant Manager user license will be upgraded with the Online Ordering interface. Additional database adjustments will be made to ensure your system is optimized for Online Ordering Services. (2 hours)

Online Ordering Service Enrollment: ACME POS will work with Action Systems, Inc. (ASI), to establish an Online Ordering Service account for Chat ‘n Chew Restaurant and will schedule a time for an online ordering specialist from ASI to speak with you about your Online Ordering Service Agreement and the introductory offer of 90 DAYS FREE SERVICE (1 hour)

Menu Optimization & Scheduling: Once a representative of Chat ‘n Chew Restaurant has accepted the terms of the Online Ordering Service Agreement, service provider, ASI, will optimize your menu for integrated Online Ordering and train you to upload photos and descriptions. They will also schedule your hours of operation and test the payment interface. Once basic functionality is established, you and select restaurant staff will be invited to review your online menu and request adjustments. If the scope of the requested changes require more than four hours programming time there will be no added fees but the “Go Live” date may need to be pushed back. (6 hours)

Online Ordering Training & Support: Live training in the basic operation of your Online Ordering Service will be offered by service provider, ASI. Chat ‘n Chew Restaurant will also be provided with a test link to your Online Ordering Service and may contact the service provider directly with any additional questions you may have about features & functionality. If you choose to enroll in ASI’s Enhanced Service Plan, you will also be trained to implement the marketing ideas covered in this document: (4+ hours)

NOTE: While your Online Ordering Menu is being optimized and for the first fourteen (14) days after “Go Live”, Online Ordering Support will be offered by the service provider, ASI. ACME POS will step in to provide an additional THREE MONTHS FREE SUPPORT after ASI’s support service ends. Once your coverage with ACME POS expires, you may elect to enroll in one of our annual support plans or seek support on an “as needed” basis, as detailed on our website at support.

Payment Terms

A payment of $995 shall be made to ACME POS when this proposal is signed using the credit card account detailed in Addendum A.

This proposal does not cover the monthly service fees for the Online Ordering Service. Buyer is required to enter into a direct Online Ordering Service Agreement with Action Systems, Inc that stipulates the regular payment of a monthly service fee directly to Action Systems, Inc. Details regarding the monthly fee are detailed in Addendum A at the end of this proposal.

Warranty Specifications

The software warranty is detailed in the in the terms of the Online Ordering Service Agreement that Chat ‘n Chew Restaurant enters into directly with service provider, Action Systems, Inc.

If necessary, ACME POS will make minor configuration adjustments in your Restaurant Manager software at no charge for a period of 90 days after the Online Ordering upgrade is installed.

ACME POS will provide software support and equipment repair services according to the terms of our Standard Support Plan detailed on the attached page unless Chat ‘n Chew Restaurant chooses to upgrade to our Premium Support Plan.

We are firmly convinced that our service and support is the best in our market place. We will provide references upon request. Our goal is to supply our customers not only with an upgraded point of sale system, but to build a relationship as your total solutions provider.

Disclaimer

The Restaurant Manager POS software is certified to be PCI Compliant on the date the Online Ordering upgrade is installed. However, the standards for determining PCI Compliance are set by the Payment Card Industry (PCI) and are not under the control of ACME POS. It is possible that these standards could change and/or that additional software updates or upgrades could be required to maintain PCI Compliance. The installation of such updates or upgrades is not covered under the warranty.

ACME POS is prepared to suggest corrective measures to upgrade or repair faulty equipment or wiring but this proposal does not include any costs associated with these recommendations.

NOTE 1: Monthly Service Fees detailed on attached Addendum to Online Ordering Service Agreement. These fees will be discounted by 40% for users that enroll in an Enhanced Service Plan with ACME POS.

NOTE 2: Restaurant Manager users with integrated Online Ordering are required to enroll in some sort of Annual Service Plan with ACME POS that covers, at a minimum, a monthly fee of $99/month for processing online orders as well as a monthly fee of $60/month for phone support during standard business hours. ACME’s Premium Plan, as detailed on our website, covers both these services (and more) at a cost of $300 per month

Addendum A

USER agrees that this page constitutes an Addendum to ASI’s Online Ordering Service Agreement which came into effect upon submission of the Online Ordering Confirmation Worksheet. USER agrees that the description of the Service Plan initialed below matches the description of the service selected on the Online Ordering Service Worksheet. USER agrees to pay the specified Monthly Fee for the service plan initialed below.

ASI agrees to waive this Monthly Fee for an Introductory Period of 90 days after submission of the Online Ordering Service Worksheet. Once this Introductory Period expires USER agrees to pay the stipulated Monthly Fee using the company credit card detailed below:
