ASSIGNMENT OF HUNTING LEASE

This Assignment of Hunting Lease (the “Assignment”) is entered between Dave Michael McCullar, acting in his capacities as Trustee of Wulff Family Trust, Trustee of Wulff Marital Trust No. 1, and Trustee of Wulff Marital Trust No. 2 (the “Assignor”) and Wulff Cedar Creek Ranch, L.L.C., a Texas limited liability company (the “Assignee”).

Recitals:

WHEREAS, on _____________________, 2006, a Hunting Lease (the “Heifer Pasture Lease”) was entered into between Dave Michael McCullar, acting in his capacities as Trustee of Wulff Family Trust, Trustee of Wulff Marital Trust No. 1, and Trustee of Wulff Marital Trust No. 2 (hereinafter collectively called “Lessor”) and John C. Sofyanos (hereinafter called “Sofyanos”); and

WHEREAS, the Heifer Pasture Lease granted Sofyanos certain hunting, camping and fishing rights for the Heifer Pasture, consisting of 1,500 acres, more or less, out of the Wulff Bluff Creek Ranch (“Ranch”) which is further described in a Deed of Trust from F. R. Wulff, Jr. and wife, Emily M. Wulff, to Herbert H. Decker, Trustee for the Federal Lank Bank of Houston, filed of record in the Deed of Trust Records of McCulloch County, Texas, beginning at page 253 of volume 39; and

WHEREAS, the Heifer Pasture Lease is for a term of three (3) years, ending May 31, 2009; and

WHEREAS, Assignor has leased the Ranch, including the Heifer Pasture, the West Cedar and Lodge Pastures, the Flat Rock and High Lonesome Pastures, and the Well Pasture, to Assignee, effective as of June 1, 2007, which lease was made subject to the Heifer Pasture Lease; and

WHEREAS, Assignor hereby desires to assign all of its right, title, interest and obligations in the Heifer Pasture Lease unto Assignee, effective as of June 1, 2007; and

WHEREAS, Assignee desires to assume all of Assignor’s right, title, interest and obligations in the Heifer Pasture Lease, effective as of June 1, 2007.

Assignment

NOW THEREFORE, in consideration of the foregoing, Assignor hereby assigns all of its right, title, interest and obligations in the Heifer Pasture Lease unto Assignee, and Assignee hereby assumes all of Assignor’s’ right, title, interest and obligations in the Heifer Pasture Lease, effective as of June 1, 2007.

Assignor and Assignee have executed this Assignment as of the dates set forth in the acknowledgements hereto, but it shall be effective as of June 1, 2007.
