Thank you for your interest in submitting an idea to Harley-Davidson Motor Company. Attached is a form entitled “Submitting Ideas to Harley-Davidson Motor Company.” As the form states, no technical idea will be considered by Harley-Davidson unless it is accompanied by a “Submitting Ideas to Harley-Davidson Motor Company” form. We cannot consider any technical idea not accompanied by this form.

The following are additional considerations we would like you to be aware of which may impact on whether you decide to submit your idea to us:

• Any technical idea that you submit for consideration should be proprietary to you, and preferably, should be the subject of a patent, copyright or an application for either. By submitting something to us without identifying a patent number, patent application number, copyright registration number, or copyright application number, you are acknowledging that your idea is not proprietary. Do not send any material which you consider Confidential or Trade Secret Information as Harley-Davidson will not and does not agree to maintain the confidentiality or secrecy of any idea submissions. By sending your material, you acknowledge that it contains no such confidential trade secret material.

• Any decision regarding compensation for a nonproprietary idea will be strictly in the discretion of Harley-Davidson, even if we use the Idea. Therefore, if you want to assert proprietary rights in the idea, we suggest you obtain a patent or copyright registration or file a patent or copyright application on it. Any decision regarding whether to negotiate for rights to a proprietary idea will also be strictly in the discretion of Harley-Davidson Motor Company, and allowing you to submit your idea does not constitute a promise of such future negotiations.

• Under no circumstances will Harley-Davidson compensate anyone for mere suggestions as to how to improve its products or for ideas which are not proprietary; for example:

Harley-Davidson should do a Harley® Barbie® doll.

Harley-Davidson should offer a sidecar.

• The idea submission form is not to be used to obtain a license from Harley-Davidson for you to market products bearing Harley-Davidson’s trademarks. If you wish information on licensing, please refer to the Licensing section of the “Contact Us” page at harley-.

• Any materials submitted with your idea WILL NOT BE RETURNED. You also recognize that Harley-Davidson Motor Company has the right to and will make as many copies of the materials in such manner and format as it deems necessary or desirable with respect to the submission.

• You may not use any materials bearing the name and trademark HARLEY-DAVIDSON or the trademarks HARLEY, HARLEY-DAVIDSON, the Bar & Shield, or any other trademarks of Harley-Davidson. If your idea includes usage of such marks, be advised that no such usage is permitted by this document or otherwise.

|To avoid any misunderstanding as to your rights and the obligations of Harley-Davidson Motor Company, your submission can be considered only if you accept and |

|acknowledge the following conditions and provisions by signing this Agreement in the space indicated below. Your name inserted on this document constitutes an |

|acknowledgement by you that you have read all of the terms and conditions stated below and fully understand them. Furthermore, by inserting your name and |

|emailing this Agreement and sending it electronically to Harley-Davidson, your name is accepted as your signature, and you acknowledge that this document and all|

|of its terms and conditions are legally binding on you, and you waive any right to challenge them on any grounds. |

|Harley-Davidson Motor Company does not solicit suggestions, and providing this form on H-D’s website does not constitute an invitation or request to disclose an |

|idea. This form is being provided to you because you requested it or because you sent unsolicited materials to Harley-Davidson Motor Company or one of its |

|affiliates. If you sent unsolicited material, Harley-Davidson has returned to you the letter and other materials, if any, you may have sent. Any such letter |

|and other materials have not been reviewed or considered, and their return to you with this form does not constitute any expression of interest in or a request |

|to resubmit them. |

|No technical idea will be considered unless submitted electronically in writing and accompanied by this document. Material submitted with this document will not|

|be returned, so retain duplicates. |

|No idea will be accepted by Harley-Davidson Motor Company on the basis of a confidential relationship or under a guarantee that the idea shall be kept secret. |

|By signing this document either by hand or electronically, you agree that no confidential relationship exists between you and Harley-Davidson Motor Company and |

|that no confidential or trade secret material is being disclosed by you to Harley-Davidson Motor Company. |

|Harley-Davidson Motor Company does not pay any compensation to anyone, and does not agree to any terms of compensation, before it knows an idea in full, and it |

|does not promise that any compensation will be paid once it knows an idea. Your electronic or handwritten signature to this agreement constitutes an |

|acknowledgement by you that no promise of compensation of any kind has been made to you. |

|An idea which is the subject of a valid, existing U.S. patent or an idea on which a patent application has been filed will be considered only on the basis that |

|the submitter rely exclusively on the rights granted under the patent statutes, if any, and only if a copy of the patent application or patent is submitted with |

|this form. (In the case of a patentable idea, it is suggested that the submitter file a patent application before submitting an idea). |

|An idea in which you claim copyright will be considered only on the basis that you, by signing this document, agree to rely exclusively on the rights granted |

|under the federal copyright statutes, if any, with respect to such idea and that you include with your submission a copy of a copyright application or |

|registration on such idea. |

| |

|You acknowledge that you own no proprietary rights in the idea and materials you are submitting other than those patent rights and copyrights identified in |

|writing in this document and evidenced by patent application, patent, copyright application, or copyright registration identified below. |

| |

|Absent the identification by you of patent rights or copyrights in your submission, any decision regarding compensation for your submission, even if it is used, |

|shall be in Harley-Davidson’s sole and exclusive discretion. Your submission of materials, which are not the subject of valid patent rights or copyrights, to |

|Harley-Davidson constitutes your dedication of such materials to Harley-Davidson Motor Company for its use in any manner without compensation to you except as |

|volunteered by Harley-Davidson Motor Company in its sole and exclusive discretion. Under no circumstances will Harley-Davidson Motor Company compensate anyone |

|for mere suggestions as to how to improve its products or for ideas which are not proprietary, for example, “Harley-Davidson should do a Harley® Barbie® doll,” |

|or “Harley-Davidson should offer a sidecar.” Any decision whether to negotiate with you with respect to any idea which is the subject of a patent, patent |

|application, copyright registration, or copyright application lies in Harley-Davidson Motor Company’s sole and exclusive discretion, and its consideration of |

|such an idea does not constitute a promise of any kind to use it or compensate you for it in any manner. |

|You may not use any materials bearing any names or trademarks owned by Harley-Davidson Motor Company and its affiliates such as, but not limited to, |

|HARLEY-DAVIDSON, HD, HARLEY, and the BAR & SHIELD Design on any goods or in connection with any services sold or offered by you. If your idea includes any such |

|names or marks, you acknowledge and agree that no such usage is allowed by this document or otherwise and that you will make no such usage of any such names or |

|marks. |

|Harley-Davidson Motor Company shall not be obligated to give any reasons for its decision concerning the idea you submit, nor shall it be obligated to reveal its|

|past or present activities related to the idea submitted or any similar idea that it has worked |

|on in the past or on which it is presently working. Negotiating with respect to offering to purchase an idea which is proprietary or voluntarily offering |

|compensation for an idea which is not proprietary shall be without prejudice to Harley-Davidson Motor Company and shall not be an admission of the novelty, |

|priority, or originality of the idea or of any obligation to pay for its use. |

|You agree that Harley-Davidson Motor Company may make copies of all of your materials as it deems necessary or desirable, in its sole and exclusive discretion, |

|in connection with this submission. This paragraph does not constitute an admission by Harley-Davidson Motor Company that any permission is necessary to make |

|such copies or that your materials are proprietary or protectable. |

|OR PRODUCED THE MATERIALS I AM SUBMITTING, AND I DID NOT COPY ANY PORTION OF SUCH MATERIALS FROM ANOTHER SOURCE. |
