INTERNATIONAL BUSINESS LAW – MGMT 109 COURSE SYLLABUS (Summer 2017) INSTRUCTOR GONZALO FREIXES, Adjunct Professor (310) 794-6640 - Anderson D417 Course Web Site: CCLE Site TEXT International Business Law and Its Environment 9th Edition (Schaffer, Earle & Agusti) COURSE CONTENT This course will examine the international business legal environment, including an overview of international laws and organizations, international regulation of business transactions, and special studies regarding the European Union. Each session is 3 hours. The first session will focus on general principles of public and private international law, and highlight international organizations affecting business (e.g. United Nations, GATT, WTO and the International Court of Justice). The next session will focus on the European Union, including an analysis of its structure and a review of how it regulates business. Both of these will be at UCLA and Online. The third session will highlight issues related to international litigation and enforcement of judgments. The fourth session will concentrate on International Sales and Contracts. The fifth session will focus on international regulation of intellectual property and the final session will look at global labor and employment laws. These sessions will be in Paris, France. READINGS Chapters in the class textbook will be assigned, along with special articles from the selected course materials. ASSIGNMENTS AND GRADING Grades will be based on the following: Midterm Examination: 30% Final Examination: 40% Class Participation: 30% Class Participation will be based on early online quizzes, case briefs presented by students in class and analysis provided by students in response to hypothetical situations presented during class discussion. SESSION ONE (Monday, July 17) - Chapters 1 & 2 [Live at UCLA or view online] Introduction to International Business Law; development of public and private international law; overview of international organizations including the United Nations, International Court of Justice, WTO and World Intellectual Property Organization. SESSION TWO (Week of July 24) - Chapter 15 [View online by July 30, 2017] History of the European Common Market and European Union; structure of European Union; harmonization principles of EU; regulation of business under the EU; monetary principles under the EU. SESSION THREE (Monday, July 31) - Chapter 3 [In Paris] Jurisdiction in international disputes; collection of evidence in international litigation; enforcement of foreign judgments in United States courts; enforcement of United States judgments in foreign nations; alternative dispute resolution in international conflicts (arbitration and mediation). MIDTERM EXAMINATION DISTRIBUTED (Due on August 7th) SESSION FOUR – (Wednesday, August 2) - Chapter 4 [In Paris] A study of U.S. and International law regarding contracts and the sale of goods, with special emphasis on the Convention for the International Sale of Goods. SESSION FIVE – (Monday, August 7) - Chapter 17 [In Paris] An analysis of United States laws regulating trademarks, patents and copyrights; licensing Intellectual Property Rights (IPR's) in other nations; issues related to gray market goods; treaties affecting IPR's; grant back of IPR's. SESSION SIX – (Wednesday, August 9) – Chapter 19 [In Paris] Labor and Employment issues including discrimination, working conditions, employee termination, employee participation and extra-territoriality of U.S. labor laws.
