Herman Losely and Son, Inc. had its current beginnings in 1949 when Herman Losely, a Swiss trained gardener, re-entered the landscape industry following World War II.

He did this by re-establishing contacts in the landscape industry that dated from the late 1920's to the onset of World War II in 1941. These contacts, the trunk of the family car, a wheelbarrow, assorted hand tools, enthusiasm, hard work, a commitment to quality, and good value comprised the modest start-up.

In 1951, the business became a partnership with the inclusion of son Edward. In 1976, the business was reorganized as a family owned operation.

Third generation Karl became a full time participant in the business upon his graduation from Ohio State University in 1977.

The propagation and growing of woody ornamental nursery stock was added to the landscape contracting business in 1952 at a location about thirty miles south of here in Geauga County. The nursery was relocated to a twenty acre abandoned vegetable farm in Perry in 1958 and the landscape contracting business followed several years later. The nursery is currently growing on 1000 acres. In addition to field growing, 450,000 container grown plants are in production and 20 acres are in liner production.

Having discontinued the landscape business in 1975, the nursery now provides, at wholesale, over 1000 varieties of mostly woody ornamentals (USDA Zone 5) to landscape contractors, garden centers, rewholesale yards and other growers. Our shipping corridor extends from New England to Virginia in the East, Missouri to Minnesota in the West, Ontario and Quebec in the North, and Kentucky and West Virginia in the South. Geographically we are located within a 500 radius of seventy-five percent of the North American market. In addition, Cleveland, "The Best Location In The Nation", is a major transportation hub offering many transportation options.

Our business has obviously been blessed. We are thankful for our many loyal customers. We owe much to a dedicated, conscientious, and hardworking current and retired staff. This combination enables The Losely Nursery Team to produce a high value product and good service for our customers.

ALL NURSERY STOCK AND/OR ANY OTHER MATERIAL IS SOLD "AS IS". WE HEREBY DISCLAIM AND EXCLUDE ALL WARRANTIES EXPRESS OR IMPLIED, IN FACT OR BY LAW, INCLUDING WITHOUT LIMITATION ANY WARRANTIES OF MERCHANTABILITY OR FITNESS FOR INTENDED USE OR PARTICULAR USE.

CHOICE OF LAW, FORUM

The Buyer & Seller hereto agree that this contract is made in Ohio and shall be governed under Ohio Law. Further, venue for any action pertaining to a sale made under this contract shall be venued in Lake County, Ohio.

CONTINGENCIES

We reserve the right to prorate, cancel, accept or refuse any order in whole or in part for any reason or for no reason.

Acceptance: Conflict of Terms

Acceptance of delivery of the products shall constitute Buyer's agreement to the terms and conditions set forth in our document. Notwithstanding, any provisions therein to the contrary, no terms and conditions in Buyer's purchase order, acknowledgment form, confirmation, or other document issued by Buyer which conflict with the conditions herein, or increase Seller's obligation hereunder, shall be binding on Seller unless specifically identified and accepted in writing by an executive officer of Seller and until such acceptance is granted. All such terms and conditions are hereby rejected.

Claims

All claims must be made in writing within 10 days after receipt of stock. Failure to present such claim within said 10 days shall constitute a waiver of such claim. All quotations are for immediate acceptance and subject to stock being unsold on receipt of order and to final inventory in the late fall.

Prices listed herein are per each and balled and burlapped unless noted otherwise, F.O.B. our nursery, Perry, Ohio. For quantities of less than five of one kind add 20% to catalog price.

Credit

To those with established satisfactory credit records, we shall be pleased to extend terms of 30 days from date of invoice. One and one-half percent (1 1/2%) per month (annual rate 18%) service charge will be charged on all accounts due over 30 days, unless arrangements are made in advance of sale. New accounts and C.O.D. orders must be accompanied by one-third (1/3) of the amount of the order with balance to be paid at time of pick-up or delivery.

If order is not picked up within 7 days of notification, all future orders will require payment before digging.

We do not acknowledge new season orders until prior season account balances are paid in full.

Payment

All freight invoices are due in 10 days. Unpaid freight invoices will result in no new orders being shipped.

2% Discount for payments received within ten days of shipment. MasterCard, Visa and Discover accepted up to $7500. Credit cards may not be used for 2% cash discount option.

Cancellations

Spring B&B Orders After receipt of confirmation, all B&B order cancellations must be made in

writing and received by Herman Losely & Son, Inc. no later than February 15th. Cancellations made after February 15th are subject to a 15% restocking/ handling fee. No cancellations are accepted for orders that have been personally tagged by the customer, orders that have already been dug, or orders placed after February 15th. Fall B&B Orders

Once confirmed, fall orders are non-cancelable. Cancellation of container stock material must be made in writing and received by Herman Losely & Son, Inc. no later than seven days prior to the order ship date. Our policy is not to acknowledge Spring orders until Fall shipping is completed. This includes customer tagged material in the field.
