Application FormIntroductionMLB-MLBPA Youth Development Foundation (the “Foundation”) is a joint initiative between Major League Baseball and the Major League Baseball Players Association. It was created to increase participation in and expand access to youth baseball and softball. The Foundation makes grants to organizations in the United States and internationally. The Foundation accepts applications throughout the year, and grant decisions are made by its Board of Directors on a quarterly basis. Due to the high volume of applications, the Foundation cannot guarantee that all applications will be considered at the first meeting of the Board of Directors after an application is received. If your organization submitted an application, but was denied funding in the past, please wait one year before reapplying.The Foundation will undertake certain efforts to ensure it is making a good investment to support its charitable purpose, which may include site visits, interviews, analyzing leadership, reviewing financial data, checking references and analyzing past programming results.Eligibility CriteriaApplicants are evaluated to determine their effectiveness at increasing participation in and expanding access to youth baseball and softball. The Foundation seeks to fund organizations with the following characteristics:Bold, innovative and creative ideas to increase opportunities for youth (20 and under), in particular youth who are minorities, girls and/or located in underserved communities.Strong sense of mission and ability to accomplish that mission.Related experience and/or a proven track mitted leadership and a dedicated staff. Understanding and knowledge of the community and population served.Financial stability for sustainability. Business plan to attract other funders and proven co-funding from other sources.Belief in community development through the games of youth baseball and softball.Use of youth baseball and softball to help underserved youth succeed beyond the field.What do we support?The Foundation considers requests for a variety of purposes including funding capital projects (e.g., field renovations), baseball/softball programs, and education initiatives. Capital projects include: building and renovating fields and practice facilities and installing lighting.Baseball/Softball programs include: in-school/after-school baseball/softball programming, equipment and uniforms, umpire fees, player registration fees and practice facility rental fees.Education initiatives include: programs, exhibits and other learning opportunities that use baseball and softball as its primary focus to promote interest and engagement in the game.What we do not support? The Foundation does not support annual operating expenses including, but not limited to, fundraising costs, salaries, insurance costs, administrative expenses, membership dues, advertising and promotional expenses, bank charges, audit expenses, and other third-party overhead costs. Briefly explain why your organization is requesting this grant, what outcomes you hope to achieve, and how you will spend the funds if a grant is made.II. NARRATIVE—Five pages maximum.A. Date: Click here to enter text.Select Terms and ConditionsApplicant Organization will not expend Foundation grant funds for any purpose other than that identified in the grant application and the approved grant during the grant term without the prior written approval of the Foundation, and it will immediately return to the Foundation any unused funds; Applicant Organization will provide quarterly reports to the Foundation concerning the use of the grant funds, and a final report no later than one month following the end of the grant term. Each report will include a narrative account of what was accomplished by the expenditure of grant funds (including a description of progress made toward achieving the goals of the grant). The final report will also include a detailed financial statement attested by the responsible financial officer of Applicant Organization or a certified public accountant. The Foundation may withhold further grant payments from Applicant Organization in the event that a report is not received in a timely manner, and may terminate the grant if a report is not received within thirty (30) days following the date on which it is due;Applicant Organization will show grant funds separately on its books for ease of reference and verification and, if Applicant Organization is not a 501(c)(3) tax exempt nonprofit, it will keep funds physically segregated;Applicant Organization will keep records of receipts, vouchers, bills, canceled checks and expenditures under the grant, as well as copies of reports submitted to the Foundation, for at least four years following completion of the grant term;Applicant Organization will make books and records available for inspection by authorized representatives of the Foundation at reasonable times for the purpose of making such financial audits, verifications, or program evaluations as the Foundation deems necessary concerning the grant;Applicant Organization will notify the Foundation in writing of any proposed changes in its operations or funding sources that could affect its tax status under U.S. law. If Applicant Organization is a 501(c)(3) tax exempt nonprofit, it will notify the Foundation of any change in its qualification as such occurs;Applicant Organization will provide the Foundation with progress and expenditure reports, as and when they become due, for the total grant amount paid to grantee (the Foundation will list only the grantee’s name as the recipient of the grant); If Applicant Organization is a public charity as described in Section 509(a)(1) or (2) of the Internal Revenue Code, Applicant Organization will represent that the grant will not cause it to lose its status as a public charity as described in Section 509(a)(1) or (2) of the Internal Revenue Code, and that the determination letter from the Internal Revenue Service stating that it is a public charity is still valid and has not been revoked;Applicant Organization will not use the names, logos or trademarks of the Foundation, the Office of the Commissioner of Baseball, the Major League Baseball Players Association, or any of their present or future affiliated entities without the prior written approval of the Foundation, including, without limitation, in the titles of programs or other grant-related activities or materials;Applicant Organization will acknowledge the Foundation grant support on printed and visual materials (including, without limitation, websites) produced as a result of the grant, on all public documents, press materials and public statements, in connection with any events held related to the grant and, if requested by the Foundation, through the display of the Foundation logo on fields or other facilities, in each case a manner approved in advance in writing by the Foundation;Applicant Organization will defend, indemnify and hold harmless the Foundation, the Office of the Commissioner of Baseball, the Major League Baseball Players Association and their present and future affiliates, and their respective owners (direct and indirect), shareholders, directors, officers, employees, agents, representatives, members, heirs, successors and assigns from and against any and all demands, suits, claims, obligations, liabilities, actions, proceedings, judgments, decrees, damages, costs and expenses (including reasonable attorneys’ fees and disbursements) arising out of, resulting from or in any way related, directly or indirectly, to the purpose for which the grant is being made or the use of the grant funds by the Applicant Organization;Any violation of the foregoing conditions will require the refund to the Foundation of any and all amounts subject to the violation and may render the Applicant Organization ineligible for future grant funds; The Foundation may discontinue, modify or withhold any payments due under the grant award or require a refund of any unexpended grant funds if, in its sole judgment, such action is necessary to comply with the requirements of any law or regulation affecting its responsibilities under the grant award;Changes in federal or state law, or in regulations interpreting same, may require the Foundation to require that more detailed reports be submitted or that other steps be taken. The Foundation will promptly inform the grantee of any such changes; andThe laws of the State of New York shall govern the interpretation of the terms of the grant. Any controversy or claim arising out of or relating to the terms of the grant, or the breach thereof, shall be settled by arbitration administered by the American Arbitration Association in accordance with its Commercial Arbitration Rules and judgment on the award rendered by the arbitrator(s) may be entered in any court having jurisdiction thereof. The place of arbitration shall be New York County, New York State. Except as may be required by law, neither a party nor an arbitrator may disclose the existence, content, or results of any such arbitration without the prior written consent of both parties. The arbitration shall be conducted by one (1) arbitrator in accordance with the AAA Rules for Expedited Procedures, which arbitrator shall be selected in accordance with the AAA Rules for Expedited Procedures, and which arbitrator shall have had at least twenty (20) years’ experience in general commercial transactions and contract disputes. In connection with any arbitration proceeding: (a) no arbitrator shall have been employed by either party and its consultants within the previous five (5) year period; (b) the arbitrator shall be neutral and independent of the parties; (c) no arbitrator shall be affiliated with any party’s auditors; and (d) no arbitrator shall have a conflict of interest with (including, without limitation, any bias towards or against) a party thereto. The award of the arbitrator shall be accompanied by a reasoned opinion. Either party also may, without waiving any remedy under this Agreement, seek from any court of competent jurisdiction located in New York County, New York State, any interim or provisional relief that is necessary to protect the rights or property of that party, pending the establishment of the arbitral tribunal. Non-compliance with any of the terms and conditions included in the Foundation letter of agreement may result in the suspension or revocation of Foundation grant funds and may render the Applicant Organization ineligible for future grants. ................
