COULD HAVE IMPACT ON A MAJOR DONE DEAL Could parts of Nexstar's blockbuster purchase of Tribune Broadcasting be upended by the recent Third Circuit Court ruling that invalidated some media ownership rule changes made by the FCC nearly two years ago? That's the question being posed following last week's deregulation setback, Inside Radio reports. The court said Sept. 23 that the changes adopted by the agency in November 2017 ? which included abolishing the newspaper-broadcast and TV-radio cross-ownership bans, and relaxing several television ownership restrictions ? weren't adequately justified in the rulemaking process that spanned two administrations. Judge Thomas Ambro said the agency's analysis that led to the regulatory rollback was "so insubstantial" that it failed to provide to the Philadelphia court a "reliable foundation" supporting the conclusions. While the Nexstar-Tribune merger, valued at $7.2 billion, closed four days before the court's decision, it included some elements that were only permissible under the relaxed rules that have now been overturned, according to Multichannel News. And a 30-day window to file petitions to reconsider the acquisition remains open. The mega deal creates the nation's largest pure-play local broadcast television and digital media company, reaching roughly 39 percent of U.S. television households when the FCC's UHF discount is factored in. Common Cause, one of the groups that in March filed a petition with the FCC to deny the merger, told Multichannel News it was examining "all the implications it opens up for potential action on past mergers," which could include the Nexstar-Tribune deal. But Free Press, an outspoken opponent of media deregulation, said it doesn't plan to challenge the deal. The federal appeals court decision has likely thrown the brakes on any advancement being made at the FCC as part of the current quadrennial ownership review process. In its ruling, the court expressed frustration with the Commission for not having adequately considered the effect its sweeping rule changes will have on ownership of broadcast media by women and racial minorities. FCC Chairman Ajit Pai has vowed to appeal the ruling, blaming the court for refusing to let the FCC modernize regulations to meet the marketplace. "It's become quite clear that there is no evidence or reasoning -- newspapers going out of business, broadcast radio struggling, broadcast TV facing stiffer competition than ever -- that will persuade them to change their minds," Pai said.
