The Educational Services Commission of New Jersey, Piscataway New Jersey, hereby advertises for competitive bids in accordance with N.J.S.A. 18A:18A-21(a, b).

Note that Respondents must be able to provide products and services to the designated counties within or the entire state of New Jersey as required by the bid. Anyone downloading bid specifications from our website shall notify the Commission so that we can send any possible addenda to you. Vendors will be charged $50.00 for hard copy specifications. The Educational Services Commission of New Jersey reserves the right to reject any or all bids in whole or in part; to waive any formalities or irregularities in any bids, and to accept the bids, which in its discretion, within state law, are for the best interest of the Educational Services Commission of New Jersey. Bids will be opened and publicly read immediately following the deadline.

The duration of the bid will be for up to 24 months with an option to extend for 24 additional months when in agreement to do so by both the awarded vendor and the ESCNJ.

Respondents are required to comply with the requirements of N.J.S.A. 10:5-31 et seq. and N.J.A.C. 17:27

The ESCNJ’S mission is to cooperatively serve our members through a continuous effort to explore and solve present and future purchasing needs. Our goals include working to secure multi-member agency volume purchasing contracts with benefits that are measurable, cost-effective and continuously exceed our members’ expectations. The ESCNJ is committed to accomplish this mission lawfully and ethically, using leading edge technology and futuristic business practices.

The great benefit to the respondent is that one response may be awarded by the ESCNJ for multiple members located throughout the state. Respondents responding to this RFB will prepare one original paper response, one paper copy and one computer/electronic CD or Flash Drive copy. Respondents selected in response to this single RFB have the potential to provide products and services to public educational institutions, public colleges or universities, community colleges, vocational or technical schools, municipal governments, and other governmental and quasi-governmental organizations serving current and future members of the ESCNJ Cooperative Pricing System.

The ESCNJ will publish notice of the RFB. Respondents will send responses to the ESCNJ receiving point for all Co-op Members. Responses will be evaluated by the ESCNJ, and after Board approval, bids will be awarded to the selected respondents.

Contracts awarded through cooperative pricing must meet the procurement laws of the State of New Jersey. When these laws are satisfied, an individual entity using these contracts is deemed in compliance with bidding regulations. As allowed by New Jersey statutes, they can issue purchase orders for any amount without the necessity to prepare their own RFB, or gather necessary quotations. This saves the entity time and allows for economical and efficient purchasing.

State laws permit and encourage cooperative purchasing contracts in the belief that lower prices will be the result. A contract issued by a cooperative can be used by hundreds of separate political units; but if it has the same or higher prices than what a single agency can get through its own bid, a cooperatively bid contract makes no sense. ESCNJ requests that respondents only respond if they are able to offer prices lower than what they ordinarily offer on separate, public educational institution, public college or university, community college, vocational or technical school, municipal government, and other governmental and quasi-governmental organization contracts.

“ESCNJ” may be used as an interchangeably with “Educational Services Commission of New Jersey”, “Co-op member”, “ESCNJ Cooperative member” and “Member”.

An essential part of the bid evaluation process is an evaluation to qualify the company being considered. All bids must contain answers or responses to the information requested in the Bid Forms. Any respondent failing to provide the required documentation may be considered non-responsive.

Respondents must be able to provide products and services to all ESCNJ members located in the counties they are submitting bids. The ESCNJ and/or Co-op Members reserve the right to accept or reject companies solely based on information provided in the bid and/or its own investigation of the company.

Please note that individual ESCNJ Co-op Members identified below may participate in any contract awarded under this solicitation. However, this does not guarantee or mean that the individual ESCNJ Co-op Members will enter into a contract with any ESCNJ approved vendor. Each ESCNJ Co-op Member will make that determination after reviewing vendor responses and ESCNJ recommendation for acceptance and bid award. The ESCNJ Co-op Members contracting decision shall be final as any award made by the ESCNJ Co-op is not binding on its members. All operating school districts and Charter Schools in New Jersey are eligible for membership in the ESCNJ Cooperative Pricing System along with other public educational institutions, public colleges or universities, community colleges, vocational or technical schools, municipal governments, and other governmental, quasi-governmental, or non-profit organizations. A response to this bid acknowledges that new members to the ESCNJ CPS will be offered the same terms and conditions as well as the pricing current Co-op Members receive.

ESCNJ requests that respondents only respond if they are able to offer prices lower than what they ordinarily offer on separate, public educational institution, public college or university, community college, vocational or technical school, municipal government, and other governmental and quasi-governmental organization contracts.

It is the intent of the ESCNJ on behalf of the various Co-op Member locations to award a single contract to one vendor for all of the gas required by all of the Co-op Member locations. Co-op Members will be billed directly on a monthly basis and are solely responsible for payment of invoices each month with the period covered by each invoice the same as the period of the Local Distribution Companies (LDC's) monthly bill to the Buyer where possible as coordinated with the Local Distribution Companies (LDC's).

Only marketers and brokers that have been approved by the State of New Jersey, Public Service Electric and Gas, as of the bid opening date are eligible to submit a bid. Information regarding certification may be obtained from each Local Distribution Company (LDC).

Bidders must currently be supplying transportation for natural gas and have access to more than one interstate transportation pipeline on which to deliver, and must currently be supplying in the state of New Jersey to customers a minimum of one million mmbtu per year.

Attached is a list of Premises (locations) by Co-op location that require gas, as well as historical consumption information (Billing Dekatherms).

The only acceptable manner of bidding is on a fixed delivery charge (basis) for 12 and 24 months. The 12 and 24 month NYMEX weighted average is to be determined after the award of contract.

While invoices to participating district/municipality locations must include all charges imposed by the Local Distribution Companies (LDC), bids must be submitted that reflect all costs of the natural gas required including transportation to the buyer's location and other fees and penalties. The winning bidder shall be required to invoice all participants based on their monthly actual volumes as opposed to any DCQ systems. Each district/municipality location is to receive a single monthly invoice for all gas charges, including Local Distribution Companies (LDC) charges, for additional expense over and above the bid price. ESCNJ Co-op Members shall only be responsible for the vendors bid price for commodity and up-charge plus any appropriate state tax. All ESCNJ Co-op Members shall be responsible for all utility charge local transportation costs.

The contractor will deliver pipeline quality natural gas to the Local Distribution Companies (LDC). The contractor will provide all balancing and interstate transport services. During transportation, all of the Co-op Members locations shall be "liability and loss free". It is understood that all quantities of gas indicated in these specifications are estimates only.

The Bidder shall purchase and maintain insurance of the types and in the amounts shown below. The Bidder shall furnish insurance certificates to the Buyer and the Educational Services Commission of New Jersey showing the Buyer as an additional named insured and providing for prompt notice to the Buyer upon any change in coverage.

The Commission reserves the right to reject any and all bids, award bids in whole or in part, renew at end of contract upon mutual agreement with ESCNJ and vendor and waive immaterial informalities if deemed to be to the Commission's advantage to do so.

The contractor will be required to maintain a full-time office staffed between 9 a.m. and 5 p.m. Eastern time at which any of the Co-op Members may call and provide at least two telephone numbers at which responsible employees of the contractor may be reached at all times.

The resulting contract may not be assigned or subcontracted, with the exception of transportation.

The vendor will be required to submit all documents required by Local Distribution Companies (LDC) to achieve conversion to brokered service for the Co-op Members.

In the event of a force majeure occurrence, the Contractor's obligation to deliver gas shall be suspended for the actual period of the force majeure occurrence, but only for that period. The term of the contract shall not be lengthened as the result of any force majeure occurrence. Contractor's obligation to deliver gas shall be suspended as the result of any force majeure occurrence if, and only if, Contractor notifies the ESCNJ and each Co-op Member within 24 hours of the occurrence with respect to the occurrence itself and, if known, the anticipated period of interruption.

GENERAL INFORMATION ON FURNISHING OF NATURAL GAS

1. Bidders are required to comply with the requirements of P.L. 1975, C.127 (Affirmative Action Employment Law) and P.L. 1977, C.33 and C.114.

2. All bids must be submitted on the bid sheet provided. Bidders are required to complete the Declaration of Ownership, indicating all persons owning ten (10%)

percent or more of the stock or equity of the corporation.

3. The bid must be sealed and clearly marked, "NATURAL GAS BID ENCLOSED" along with the bid #. The Commission will not be responsible for bids that are inadvertently opened due to the bidder's failure to clearly mark the envelope as indicated.

4. The successful vendor must submit within seven (7) days of notice of intent to award a contract one of the following: a copy of the Federal Letter of Affirmative Action Plan Approval or a copy of the current Certificate of Employee Information Report or a completed Affirmative Action Employee Information Report (Form AA 302, available from the ESCNJ or New Jersey Department of Treasury).

5. The winning Bidder must be capable of liquidating all or a portion of any market position held for, or contracted to the Collaborative, (BASIS or NYMEX), if so directed by the Collaborative. All proceeds generated by this action, less marketer expenses, shall be identified and forwarded to the Collaborative in a timely manner that shall be agreed to by both parties.

6. The cost of providing automatic electronic metering devices should be listed per location as required and should be separate from natural gas pricing. Cost of telephone lines and monthly service should not be included in bid prices.

7. All ESCNJ participants shall be subject to NJ Energy Reform tax.

8. "Premises" shall mean one or more of Buyer's facilities or portions of facilities receiving

Gas under one or more LDC accounts for which Gas is purchased from Seller under this Agreement. Each individual Premise is described within these bid specifications.

9. "Transportation Gas" shall mean Gas purchased from a third party seller after transportation and delivery by the third party to an LDC which gas is then further transported to and metered at a Buyer's Premises by the LDC.

10. The successful Bidder must also provide the Educational Services Commission of New Jersey with an actual Cost Savings Analysis by district/municipality location upon request from the ESCNJ.

11. The successful bidder shall be available for scheduled meetings to ensure contracts

are completed between each Co-op Members location and the successful vendor.

12. Educational Services Commission of New Jersey reserves the right to authorize supplier to blend and extend the pricing agreement should it be deemed to be in the best interest of the ESCNJ and its participants.

13. All bids shall be on the forms provided, or on forms that duplicate the information in the exact order presented. Telegraphic, electronic mail, links to on-line information or fax machine bids cannot be considered.

14. The bid documents must be submitted with original ink signatures, by the person authorized to sign the bid. The person signing the bid shall initial erasures, interlineations or other modifications in the bid document. Failure to properly sign the bid documents or to make other notations as indicated may result in rejection of bid.

15. Mistakes may be corrected prior to bid opening, but shall be initialed by the person signing the bid documents. Corrections and/or modifications received after the opening time will not be accepted, except as authorized by applicable rule, regulation or statute and the ESCNJ.

16. In case of an error in extension of prices in the bid, unit prices shall govern.

Periods of time, stated as a number of days, shall be in calendar days, not business days unless noted otherwise.

17. It is the responsibility of all respondents to examine the entire RFB package, to seek clarification of any item or requirement that may not be clear, and to check all responses for accuracy before submitting a bid. Negligence in preparing a bid confers no right of withdrawal after due time and date.

18. The respondents’ ability to follow the bid preparation instructions set forth in this solicitation will also be considered to be an indicator of the respondents’ ability to follow instructions should they receive an award as a result of this solicitation. Any contract between the ESCNJ and a respondent requires the delivery of information and data. The quality of organization and writing reflected in the bid will be considered to be an indication of the quality of organization and writing which would be prevalent if a contract was awarded. As a result, the bid will be evaluated as a sample of data submission.

The Excel sheet entitled “ESCNJ Participants” lists the premises (locations) by school district/municipality location and historical usage should be downloaded with the bid specifications.

1. Project Background and Scope

ESCNJ is in the process of reviewing power supply options for its facilities located in the Public Service Electric supply territory.

ESCNJ will sign the Letter of Authorization for any supplier so that detailed usage information may be obtained directly from the utility.

2. Project Objectives and Approach

This request for bid (RFB) is being issued to select a natural gas supplier. This Bid is structured to ensure an approach that maximizes the value delivered to ESCNJ.

Please ensure that your responses to the Bid requirements are answered completely. Any proposals for additional service offerings are welcomed.

The primary objectives of this bid are to:

▪ Determine viable suppliers and their respective products.

▪ Receive proposal with competitive pricing.

▪ Receive flexible contract terms.

This Bid and the subsequent evaluation process are designed to ensure that ESCNJ achieves the objectives listed above.

Our goal is to complete this process by 5/05/2020 with the implementation of the supply contract commencing on the December meter reads.

Please follow the instructions in the next section to ensure that your submitted response is eligible for evaluation.

2.2. Bid Instructions & Event Calendar

Suppliers are required to submit their bid response to ESCNJ by the date and time specified in Table 2.3, the ‘Event Calendar’ below. One hard copy and one electronic copy of all required documents must be submitted to the ESCNJ prior to opening of bids. Pricing will be submitted by e-mail to bids@ESCNJ.k12.nj.us between 11:45 a.m. & 12:00 p.m.

response to this Bid constitute an acceptance of an offer, nor does any response to this RFB bind ESCNJ in any way. Additionally, any costs incurred in responding to this Bid are the responsibility of the bidder.

B) Right of Rejection / Consideration – ESCNJ reserves the right to reject or consider any or all responses. ESCNJ reserves the right to waive any irregularity contained in any response.

C) Award of Contract - To the extent that ESCNJ awards contracts, they will be awarded to Suppliers deemed best suited by ESCNJ, in its sole discretion, to meet ESCNJ’s requirements.

AGREEMENT BETWEEN BUYER AND SELLER FOR

FIRM TRANSPORTATION GAS DELIVERIES

THIS AGREEMENT, is dated as of the __________________ day of _____________________ in the year 2020 by

and between_________________________________________________________________ (hereinafter

called BUYER) and_______________________________________________________ (hereinafter called SELLER).

BUYER and SELLER, in consideration of the mutual covenants hereinafter set forth, agree as follows:

1. DELIVERIES AND SERVICES

SELLER shall complete all Deliveries and Services as specified or indicated in the Contract Documents.

The Deliveries and Services are generally described as follows:

delivery and sale of Transportation Gas to the BUYER including transporting and delivery to the Local Distribution Company's Point of Delivery and nominating, scheduling, and balancing such deliveries for Transportation Gas that is to be consumed at BUYER's Premises.

2. COORDINATING AGENCY

The Educational Services Commission of New Jersey (ESCNJ) is serving as the lead agency for the purchase of natural gas under Bid No. 20/21-11 All financial responsibilities for payment of invoices rest with the individual Co-op Member. ESCNJ assumes no responsibility for payment of invoices for other members of the cooperative.

3. CONTRACT TERM

For the Public Service Electric and Gas territory, the contract term will commence on December 1, 2020.

The Educational Services Commission of New Jersey reserves the right to negotiate a renewal of this bid for up to an additional 24 months and blend and extend when deemed beneficial to the districts/municipalities with the concurrence of the vendor.

4. CONTRACT PRICE

BUYER shall pay SELLER monthly for Deliveries and Services an amount in current funds equal to $_______________ per Decatherm.

5. PAYMENT PROCEDURES

Invoices and payments shall be made monthly with the period covered by each invoice the same as the period of the LDC's monthly bill to the BUYER.

6. LIQUIDATED DAMAGES

BUYER and SELLER agree that activities at BUYER's Premises are important services which should not be interrupted and therefore that finding another supplier if SELLER can not delivery will require substantial and urgent effort by the BUYER. BUYER and SELLER recognize the expense and difficulty in proving actual loss by BUYER if SELLER can not deliver. Accordingly, BUYER and SELLER agree that, if BUYER, where permitted under the terms of service and delivery requirements, selects another supplier of Gas or an alternate fuel upon failure of SELLER to deliver, SELLER within thirty days after the interruption of SELLER's deliveries shall pay BUYER an amount equal to $1,000 times the number of Premises named on forms attached as liquidated damages but not as penalty. This provision is not intended to waive or release buyer's claim for actual damages where they are capable of reasonable calculations at Buyer's option.

7. SELLER'S REPRESENTATIONS

In order to induce BUYER to enter into this AGREEMENT SELLER makes the following representations:

SELLER has examined and carefully studied the Contract Documents and other related

data in the Bid Specifications and that they have the present ability to perform in accordance with the terms and conditions of the specifications.

8. INSURANCE

The successful bidder will carry insurance to indemnify the Educational Services Commission of New Jersey for loss, damage or injury to property or persons arising out of the performance of the contractor or his/her employees and agents or the services covered by the contract and the use, misuse or failure of any equipment used by the contract or his employees or agents and shall provide certificates of such insurance to the Commission.

The contractor expressly understands and agrees that any insurance protection or other liability guarantees required or requested by this contract shall in no way limit the contractor’s obligations assumed in the contract, and shall not be construed to relieve the contractor from liability in excess of such coverage or guarantees, nor shall it preclude the Commission from taking such other actions as are available to it under any provision of this contract or otherwise in law.

Within ten (10) days after receipt of the notification that the contract agreement is ready for signature, the successful bidder shall furnish the Commission with Certificates of Insurance evidencing that he/she has obtained insurance coverage in the following amounts:

A. Workmen’s Compensation – in satisfaction of New Jersey Statute.

B. Contractor’s Public Liability – the Contractor shall procure and shall maintain during the life of the contract, Public Liability Insurance and Property Damage Insurance including Independent Contractor’s Completed Operations and Contractual Liability Insurance in the amount of $1,000,000.00 Combined Single Limit.

All Certificates shall stipulate that the insurance will not be changed or canceled without giving thirty (30) days prior written notice to the Commission by registered mail.

INDEMNITY

The Contractor shall hold and save harmless, the Commission, the Co-op Members and the Commission’s employees, from liability of any nature or kind for or on account of the use of any copyrighted or uncopyrighted composition, secret process, patented or unpatented invention, article or appliance furnished or used in the performance of this contract.

If it becomes necessary for the contractor or its’ agent(s) or other contractor to, as principal or as agent or employee, to enter upon the premises or property of the Commission in order to construct, erect, inspect, make delivery or remove property hereunder, the vendor hereby covenants and agrees to take, use, provide and make all proper, necessary and sufficient precaution, safeguards and protection against the occurrence of happenings of any accidents, injuries, damages or hurt to any person or property during the progress of the work herein covered, and to be responsible for, and to indemnify and save harmless the Commission from the payment of all sums of money by reason of all, or any such accidents, injuries, damages or hurt that may happen or occur upon or about such work and all fines, penalties and loss incurred for or by reason of the violation of any local entity regulation, or the laws of the state, or the United States, while the said work is in progress.

9. MISCELLANEOUS

No assignment by a party hereto of any rights under or interests in the Contract Documents will be binding on another party hereto without the written consent of the party sought to be bound; and, specifically but without limitation, moneys that may become due and moneys that are due may not be assigned without such consent (except to the extent that the effect of this restriction may be limited by law), and unless specifically stated to the contrary in any written consent to an assignment no assignment will release or discharge the assignor from any duty or responsibility under the Contract Documents. Consent will not be unreasonably withheld.

BUYER and SELLER each binds itself, its partners, successors, assigns and legal representatives to the other party hereto, its partners, successors, assigns and legal representatives in respect to all covenants, agreements and obligations contained in the Contract Documents.

Any provision or part of the Contract Documents held to be void or unenforceable under any Law or Regulation shall be deemed stricken, and all remaining provisions shall continue to be valid and binding upon BUYER and SELLER, who agree that the Contract Documents shall be reformed to replace such stricken provision or part thereof with a valid and enforceable provision that comes as close as possible to expressing the intention of the stricken provision.

Except as otherwise provided in this Agreement, failure of either Party to require performance of any provision shall not affect the right to thereafter require full performance of that provision. The waiver by either Party of a breach of any provision shall not constitute a waiver of any subsequent breach or nullify the effectiveness of such provision.

This Agreement shall be governed by and construed in accordance with the internal laws of the State of New Jersey, excluding, however, any such law which would direct the application of the law of a different jurisdiction. The Parties hereby submit to the jurisdiction of the state and federal courts in the State of New Jersey and waive any right to which they may be entitled to submit a dispute under the laws or courts of another jurisdiction.

AN ACT authorizing units of local government to impose limits on political contributions by contractors and supplementing Title 40A of the New Jersey Statutes and Title 19 of the Revised Statutes.

BE IT ENACTED by the Senate and General Assembly of the State of New Jersey:

40A:11-51 1. a. A county, municipality, independent authority, board of education, or fire district is hereby authorized to establish by ordinance, resolution or regulation, as may be appropriate, measures limiting the awarding of public contracts therefrom to business entities that have made a contribution pursuant to P.L.1973, c.83 (C.19:44A-l et seq.) and limiting the contributions that the holders of a contract can make during the term of a contract, notwithstanding the provisions and parameters of sections 1 through 12 of P.L.2004, c.19 (C. 19:44A-20.2 et al.) and section 22 of P.L.1973, c.83 (C.19:44A-22).

b. The provisions of P.L.2004, c.19 shall not be construed to supersede or preempt any ordinance, resolution or regulation of a unit of local government that limits political contributions by business entities performing or seeking to perform government contracts. Any ordinance, resolution or regulation in effect on the effective date of P.L.2004, c.19 shall remain in effect and those adopted after that effective date shall be valid and enforceable.

c. An ordinance, resolution or regulation adopted or promulgated as provided in this section shall be filed with the Secretary of State.

52:34-25 2. a. Not later than 10 days prior to entering into any contract having an anticipated value in excess of $17,500, except for a contract that is required by law to be publicly advertised for bids, a State agency, county, municipality, independent authority, board of education, or fire district shall require any business entity bidding thereon or negotiating therefor, to submit along with its bid or price quote, a list of political contributions as set forth in this subsection that are reportable by the recipient pursuant to the provisions of P.L.1973, c.83 (C.19:44A-l et seq.) and that were made by the business entity during the preceding 12 month period, along with the date and amount of each contribution and the name of the recipient of each contribution. A business entity contracting with a State agency shall disclose contributions to any State, county, or municipal committee of a political party, legislative leadership committee, candidate committee of a candidate for, or holder of, a State elective office, or any continuing political committee. A business entity contracting with a county, municipality, independent authority, other than an independent authority that is a State agency, board of education, or fire district shall disclose contributions to: any State, county, or municipal committee of a political party; any legislative leadership committee; or any candidate committee of a candidate for, or holder of, an elective office of that public entity, of that county in which that public entity is located, of another public entity within that county, or of a legislative district in which that public entity is located or, when the public entity is a county, of any legislative district which includes all or part of the county, or any continuing political committee.

The provisions of this section shall not apply to a contract when a public emergency requires the immediate delivery of goods or services.

b. When a business entity is a natural person, a contribution by that person's spouse or child, residing therewith, shall be deemed to be a contribution by the business entity. When a business entity is other than a natural person, a contribution by any person or other business entity having an interest therein shall be deemed to be a contribution by the business entity. When a business entity is other than a natural person, a contribution by: all principals, partners, officers, or directors of the business entity or their spouses; any subsidiaries directly or indirectly controlled by the business entity; or any political organization organized under section 527 of the

P.L. 2005, c271

Internal Revenue Code that is directly or indirectly controlled by the business entity, other than a candidate committee, election fund, or political party committee, shall be deemed to be a contribution by the business entity.

c. As used in this section:

"business entity" means a natural or legal person, business corporation, professional services corporation, limited liability company, partnership, limited partnership, business trust, association or any other legal commercial entity organized under the laws of this State or of any other state or foreign jurisdiction;

"interest" means the ownership or control of more than 10% of the profits or assets of a business entity or 10% of the stock in the case of a business entity that is a corporation for profit, as appropriate; and

"State agency" means any of the principal departments in the Executive Branch of the State Government, and any division, board, bureau, office, commission or other instrumentality within or created by such department, the Legislature of the State and any office, board, bureau or commission within or created by the Legislative Branch, and any independent State authority, commission, instrumentality or agency.

d. Any business entity that fails to comply with the provisions of this section shall be subject to a fine imposed by the New Jersey Election Law Enforcement Commission in an amount to be determined by the commission which may be based upon the amount that the business entity failed to report.

19:44A-20.13 3. a. Any business entity making a contribution of money or any other thing of value, including an in-kind contribution, or pledge to make a contribution of any kind to a candidate for or the holder of any public office having ultimate responsibility for the awarding of public contracts, or to a political party committee, legislative leadership committee, political committee or continuing political committee, which has received in any calendar year $50,000 or more in the aggregate through agreements or contracts with a public entity, shall file an annual disclosure statement with the New Jersey Election Law Enforcement Commission, established pursuant to section 5 of P.L.1973, c.83 (C.19:44A-5), setting forth all such contributions made by the business entity during the 12 months prior to the reporting deadline.

b. The commission shall prescribe forms and procedures for the reporting required in subsection a. of this section which shall include, but not be limited to:

(1) the name and mailing address of the business entity making the contribution, and the amount contributed during the 12 months prior to the reporting deadline;

(2) the name of the candidate for or the holder of any public office having ultimate responsibility for the awarding of public contracts, candidate committee, joint candidates committee, political party committee, legislative leadership committee, political committee or continuing political committee receiving the contribution; and

(3) the amount of money the business entity received from the public entity through contract or agreement, the dates, and information identifying each contract or agreement and describing the goods, services or equipment provided or property sold.

c. The commission shall maintain a list of such reports for public inspection both at its office and through its Internet site.

d. When a business entity is a natural person, a contribution by that person's spouse or child, residing therewith, shall be deemed to be a contribution by the business entity. When a business entity is other than a natural person, a contribution by any person or other business entity having an interest therein shall be deemed to be a contribution by the business entity. When a business entity is other than a natural person, a contribution by: all principals, partners, officers, or directors of the business entity, or their spouses; any subsidiaries directly or indirectly controlled by the business entity; or any political organization organized under section 527 of the Internal Revenue Code that is directly or indirectly controlled by the business entity, other than a candidate committee, election fund, or political party committee, shall be deemed to be a contribution by the business entity.

As used in this section:

"business entity" means a natural or legal person, business corporation, professional services corporation, limited liability company, partnership, limited partnership, business trust, association or any other legal commercial entity organized under the laws of this State or of any other state or foreign jurisdiction; and

"interest" means the ownership or control of more than 10% of the profits or assets of a business entity or 10% of the stock in the case of a business entity that is a corporation for profit, as appropriate.

4. This act shall take effect immediately.

AMERICANS WITH DISABILITIES ACT OF 1990

The contractor and the Educational Services Commission of New Jersey (hereafter “owner”) do hereby agree that the provisions of Title 11 of the Americans With Disabilities Act of 1990 (the "Act") (42 U.S.C. S121 01 et seq.), which prohibits discrimination on the basis of disability by public entities in all services, programs, and activities provided or made available by public entities, and the rules and regulations promulgated pursuant there unto, are made a part of this contract. In providing any aid, benefit, or service on behalf of the owner pursuant to this contract, the contractor agrees that the performance shall be in strict compliance with the Act. The owner shall, as soon as practicable after a claim has been made against it, give written notice thereof to the contractor along with full and complete particulars of the claim, If any action or administrative proceeding is brought against the owner or any of its agents, servants, and employees, the owner shall expeditiously forward or have forwarded to the contractor every demand, complaint, notice, summons, pleading, or other process received by the owner or its representatives.

It is expressly agreed and understood that any approval by the owner of the services provided by the contractor pursuant to this contract will not relieve the contractor of the obligation to comply with the Act and to defend, indemnify, protect, and save harmless the owner pursuant to this paragraph.

It is further agreed and understood that the owner assumes no obligation to indemnify or save harmless the contractor, its agents, servants, employees and subcontractors for any claim which may arise out of their performance of this Agreement. Furthermore, the contractor expressly understands and agrees that the provisions of this indemnification clause shall in no way limit the contractor’s obligations assumed in this Agreement, nor shall they be construed to relieve the contractor from any liability, nor preclude the owner from taking any other actions available to it under any other provisions of the Agreement or otherwise at law.

It is the responsibility of the bidder to ensure that their bid is presented at the Educational Services Commission of New Jersey Business Office located at 1660 Stelton Road in Piscataway on the second floor of the Bright Beginnings Learning Center before the date and time fixed for closure of the bid period. with the New Jersey Right to Know Law (N.J.S.A. 34:5A-1 et. seq.)

A. The label must list the 5 predominant ingredients and any hazardous chemicals in

the product.

B. Next to each chemical name will be the CAS number of that chemical.

C. The label must be attached to each container (bottle, box, can, bucket, etc.)

2. Material Safety Data Sheets (MSDSs) must accompany the first shipment of the product.

3. The ESCNJ reserves the right to reject any shipment not in compliance with

the above specifications.
