Washington Healthcare Access Alliance Trustee Job Descriptions

Board Trustee (5.1-6.10)

Requirements: (5.5)

You must be the Designated Representative of a free clinic member.

Responsibilities: (5.1)

As a Trustee for the Washington Healthcare Access Alliance, it is your duty to:

• Act as part of the governing body of the WHAA.

• Become knowledgeable about the bylaws and structure of the WHAA and comply with the Articles of Incorporation, Bylaws, and WA Nonprofit Corporation Act.

• Participate in supervision, control and direction of the management, affairs, operations and property of the WHAA.

• Determine policies for the WHAA.

• Supervise disbursement of WHAA funds.

Expectations: (5.4)

It is anticipated that all persons elected as a Trustee:

• Will serve a term of three years (except founding trustees, as stated in bylaws).

• Participate in Board conference calls once per month (at minimum).

• Chair or serve on a Standing Committee (Conference, Finance/Development and Membership Resources).

• Acknowledge that this is an unpaid position.

• Will attend the annual networking conference and up to two Board retreats annually.

• Help plan and carry out the programs of the WHAA.

• Will develop and nurture relationships with the staff and volunteers of member clinics and organizations within their region and across the state.

WHAA Officer (7.1-7.10)

The offices of the WHAA consist of Chair, Vice Chair, Treasurer, and Secretary.

Requirements: (5.5, 7.2)

You must be the Designated Representative of a free clinic member and a Trustee of the WHAA.

Offices are limited to two successive terms of office but individuals may be re-elected after an absence from the Board of at least one year. Except for initial officers, executive officers serve terms of 2 years.

Chair (7.6)

Responsibilities:

As the Trustee Chair of the Washington Healthcare Access Alliance, it is your duty to:

• Provide leadership to the Board of Trustees.

• Preside over meetings of the board after developing the agenda with the Executive Director.

• Serve ex officio as a member of all committees and attends their meetings when invited.

• Help guide and mediate Board actions with respect to organizational priorities and governance concerns.

Expectations:

It is anticipated that all persons elected as Trustee Chair:

• Will discuss issues confronting the organization with the Executive Director.

• Plays a lead role in fundraising activities.

• Will monitors financial planning and financial reports.

• Generally supervises and controls all business of the Association.

• Formally evaluate the Executive Director and informally evaluate the effectiveness of the Board annually.

Vice Chair (7.7)

Responsibilities:

As the Vice Chair of the Washington Healthcare Access Alliance, it is your duty to:

• Perform the duties and absorb the responsibilities of the board chair when the chair cannot be available.

• Assist the Chair with duties and responsibilities as delegated by the Board Chair.

• Report to the Board’s Chair

Expectations:

It is anticipated that all persons elected as Vice Chair:

• Work closely with the Chair and Executive Director

Treasurer (7.9)

Responsibilities:

As the Treasurer of the Washington Healthcare Access Alliance, it is your duty to:

• Be custodian of the corporate funds and securities.

• Keep full and accurate accounts of the Association.

• Manage the finances of the organization.

• Administrate fiscal matters of the organization.

Expectations:

It is anticipated that all persons elected as Treasurer will:

• Provide a report to the Board at all regular meetings.

• Provide an annual budget to the Board for trustee’s approval, based on recommendations from the financial development committee.

• Ensure the development and board review of financial policies and procedures.

Secretary (7.8)

Responsibilities:

As the Secretary of the Washington Healthcare Access Alliance, it is your duty to:

• Record all votes, actions and minutes, or approve the record of votes, actions and minutes as taken by Secretary’s designee.

• Keep in safe custody the seal of the corporation.

• Maintains records of the board and ensures effective management of organization's records

• Ensures minutes are distributed to members shortly after each meeting

Expectations:

It is anticipated that all persons elected as Secretary will:

• Be sufficiently familiar with legal documents (articles, by-laws, IRS letters, etc.) to note applicability during meetings.

Executive Committee Member (8.1)

Requirements:

Must be a current officer of the Association or an immediate past-Chair.

Responsibilities:

As a member of the Executive Committee of the Washington Healthcare Access Alliance, it is your duty to:

• Carry out necessary and appropriate operation of the Association between regular meetings.

• Report to Board about any meeting held.

Expectations:

It is anticipated that all persons serving on the Executive Committee will:

• Be available when such meetings need to be held.

Non-voting Trustee (5.2)

Requirements:

All non-voting trustees must be elected by the Board of Trustees.

Responsibilities:

As a non-voting trustee of the Washington Healthcare Access Alliance, it is your duty to:

• Participate as a member of the Board of Trustees in a non-voting capacity. (See Board Trustee Responsibilities, page 1)

Expectations:

It is anticipated that all persons elected as non-voting trustees will:

• Serve on committees and attend all regular board meetings

Termination of Office or Trustee Seat

If at any time you desire to leave the board or your office within the board, you:

• May resign (5.6) by giving written notice to Board Chair and/or Vice Chair.

• May be removed (5.7) with cause by the vote of a majority of Trustees present at a meeting which is called for the purpose of removing a Trustee.
