AGREEMENT

CRAVEN COUNTY

This Agreement, made and entered into this _______day of

___________, 200_, by and between the COUNTY OF CRAVEN,

herein referred to as ‘the County’ or ‘County’ and _____________ ____________________________________ or as an individual and

Independent contractor with his principal place of business in Craven

County, hereinafter referred to as ‘the Veterinarian’ or ‘Veterinarian’;

WITNESSETH:

That whereas, the County requires certain professional services from

A licensed Veterinarian at the Craven-Pamlico Animal Services

Center, hereinafter referred to as ‘the Shelter’ and ‘Shelter’;

That whereas, the Veterinarian is duly licensed as a Doctor of

Veterinary Medicine by the State of North Carolina, and

That whereas, the Veterinarian has agreed to provide certain

Services as mutually agreed upon by the parties to this Agreement, and

That whereas, the parties to this Agreement wish to reduce the terms

Of their agreement to writing:

Now, Therefore, the County and the Veterinarian, for and in

Consideration of the mutual covenant hereinafter expressed, do

Mutually agree and contract as follows:

1. The Veterinarian shall provide consultation services regarding methods and administration of certain controlled drugs used at the Shelter and, upon request, regarding other operations of the Shelter.

2. The Veterinarian shall provide oversight of certain drugs and

Drug records at the Shelter to the extent necessary to meet the requirements of the Federal Drug Enforcement Administration and North Carolina Department of Human Resources, Division of Mental Health, Developmental Disabilities and Substance Abuse Service ( the NC State licensing agency).

3. Assist in developing policies the Shelter can adopt for

Humane treatment of animals that need euthanasia, including policies and procedures for the field handling and administration of drugs to animals that need euthanasia or tranquilization to permit safe and humane handling of the animal and protection to the public.

4. Supervise the following: The administration (verbal or

Written orders) of controlled substances and the maintenance of records for those substances.

5. Provide assistance on record handling, storage,

Maintenance and inspection of such records.

If this Agreement is terminated for any reason, by either party, then the County shall continue to maintain, safeguard and dispense any remaining controlled drugs prescribed by the Veterinarian according to NC and USDA policy and applicable laws. Notification will be made to the NC Controlled Substances Regulatory Branch and possession or use of said substances will be at the discretion of the NC Controlled Substances Regulatory Branch.

The Veterinarian shall carry professional liability insurance coverage, which shall provide that thirty (30) day advance notice shall be given to the County in event of cancellation, and shall furnish a certificate evidencing such insurance to the County and shall indemnify and hold the County harmless from any claims, demands, or damage arising out of acts including misfeasance, malfeasance or nonfeasance on the part of the Veterinarian.

The Veterinarian shall make periodic walk through examination of the Shelter and the animals that are in control of the Shelter and provide technical assistance and advice as it pertains to the health and well being of the animals, as well as the operations of the Shelter.

Said walk through shall be performed no less than once in every three (3) months, or as mutually agreed upon by the Drug Administrator and the Veterinarian, or as requested by the County Drug Administrator or other County Supervisory personnel.

In the event the Veterinarian named in this Agreement is unavailable for service, it shall be the responsibility of the Veterinarian to supply another Veterinarian mutually agreeable to the Drug Administrator and the contracted Veterinarian.

The maximum financial obligation to the County during the time of this Agreement shall be __$650.00__ per year in accordance to the fiscal year of the county.

This Agreement shall be in effect upon signing of this Agreement and shall terminate on June 30, 200__ and renewable upon mutual agreement and signing.

Either party may terminate this Agreement at any time by giving written notice to the other party of such termination and specifying the effective date of such termination. Such termination notice shall be no less than 60 days prior to effective date.

This Agreement may be modified only by mutual written agreement of the parties.

The Veterinarian agrees that he or she is an independent contractor and this Agreement does not constitute an employment agreement for the purpose of the Veterinarian obtaining or receiving any County employee fringe benefits, and as such, the Veterinarian is responsible for the payment of all State and Federal withholding taxes, self-employment taxes, and any and all other applicable taxes.

This Agreement represents the entire agreement between the parties, and no prior written or oral agreements shall be of any force or effect.
