This agreement is being made with the vendor stated above and the NYC Mayor's Office of Film, Theatre and Broadcasting (MOFTB) for participation in the "Made in NY" Discount Card Program.

To preserve the integrity of this discount program, Vendor agrees to:

1. Provide the "Made in NY" Card Holder with the Exclusive Offer(s) stated above for an open-ended period of time.

2. Ensure that all employees who come in contact with customers have full knowledge of the program and what the business will offer to card holders.

Furthermore, Vendor warrants and represents that: 1. Vendor has been in business for a period of at least one year prior to the date of

submission of this form. 2. Vendor is based in at least one of the five (5) NYC boroughs. 3. Vendor is currently a business in good standing (e.g., no liens or claims, current on

tax filings, etc.). 4. Vendor has submitted a completed profile which includes at least the following data:

Contact Name, Address, Website URL and Description of Resource (any additional profile information can be submitted on a separate sheet with this form). 5. The information submitted herein is true, accurate and complete.

Vendor retains the right to change the Exclusive Offer(s) at any time upon 30- days' prior written notice to the MOFTB.

In addition, the MOFTB may cancel this agreement at any time.

By signing this form, the vendor signifies agreement and compliance with the terms and conditions identified in the form.
