Dear Members:

It is time to start thinking about and planning for the Annual Meeting of the Complex Community Federal Credit Union ("Credit Union"), which includes the election of directors to the Board of Directors. The By-Laws prescribe procedures for electing directors to the Board. These By-Laws and procedures are the exact model By-Laws and procedures provided by the National Credit Union Administration. Please take note of the following information and required notices pertaining to the Annual Meeting and the election of directors. NOTICE OF ANNUAL MEETING

Annual Meeting Time and Place. The 2020 Annual Meeting of the Membership of the Credit Union will take place on Tuesday, August 31, 2021 at 6:00 PM at our Training Room, 4519 E. 51st Street, Odessa, Texas.

PLEASE NOTE: There will be no meal and no door prizes or other prizes at this year's meeting.

Election of Directors. The election of directors starts with a Nominating Committee which was duly appointed by the Chairman of the Board. The Committee has done its job and filed its Report with the Secretary of the Board of Directors on May 24, 2021. The Report is as follows:

REPORT OF THE NOMINATING COMMITTEE PRESENTED TO THE 2020 ANNUAL MEETING

The Nominating Committee was appointed by the Chairman of the Board of Directors of Complex Community Federal Credit Union. The Nominating Committee consists of Troy Chesnut, Gary Douglas and Wade Hudman as Chairman.

There are three (3) positions on the Board of Directors which terms have expired and are up for election this year. Each director position is for the regular term of two (2) years. The Nominating Committee received and considered the following candidates who applied for these seats. The Nominating Committee submits to this assembly, the following candidates for the director positions open for 2021:

Douglas D. Mackey

All of the nominees have agreed to serve if elected.

Candidate Information. A brief statement of qualifications and biographical data for each nominee submitted to the Nominating Committee is as follows:

R. DALE COLE Dale has lived in West Texas since 1950 and graduated from Midland High School. After high school he attended College of The Southwest in Hobbs, NM, followed by 39 months in the U.S. Army. During that term of service he spent a year in South Korea and other military bases around the country. Dale retired from Vinson Supply Co, here in Odessa, in 1995 after 25 years of service where he spent time in sales and materials buyer for two of Vinson's locations. He has been a member of CCFCU for the last 48 years and served on the Supervisory Committee for 11 years before joining the Board of Directors in 2012.

GENE FISHER Gene is a native West Texan, born in Sterling City, growing up on ranches throughout West Texas. Except for a couple of years he attended public school in the ECISD system, graduating from OHS in "The Class of 57". Gene worked for Phillips Petroleum Company for 38 years where he served in various positions, retiring as manager of "Measurement, Instrumentation and Automation" for the West Texas Region in 1997. Prior to joining CCFCU in 2006, Gene served on the Board of another Odessa credit union for 28 years where he was Chairman for 10 years. Gene served as Chairman of the Supervisory Committee for 11 years and was appointed to the Board of Directors in 2017. Some of Gene's favorite pastimes are his grandkids, traveling and playing golf.

DOUGLAS D. MACKEY, LUTCF Independent agent and owner of Mackey & Associates Insurance Agency, Doug has been in the insurance industry for 42 years. An Odessan since 1960, he graduated from Permian High School and has a BBA in Management from the University of Texas of the Permian Basin. Doug is very active with various organizations such as the National Association of Life Underwriters and the Boy Scouts of America. He has been a member of Complex Community Federal Credit Union for 46 years and has served on the Board of Directors since 1997.

Nominations by Petition. Members may also nominate candidates for director by submitting the name of the candidate with a petition as follows. Nominations by petition require signatures from one percent (1%) or more of the Credit Union members, which equals to 397 signatures. The petition must be filed with the Secretary of the Credit Union at the Credit Union office located at 4900 E. 52nd Street, Odessa, Texas 79762. The closing date for filing petitions is July 22, 2021. Each petition must include a statement of qualifications and biographical data along with a signed certificate that the nominee has agreed to the nomination and will serve if elected. No nominations will be taken from the floor at the annual meeting if there is at least one nominee (from the Committee or by petition) for each position to be filled.

Posting of Nominations. At least thirty-five (35) days before the annual meeting, the Secretary will post all of the nominations in a conspicuous place in each Credit Union office.

Voting Procedures. Voting will take place at the annual meeting. If the number of nominees equals the number of positions to be filled, then there will be no election by ballot and no nominations will be taken from the floor. The Chairman may take a voice vote or declare each nominee elected by general consent or acclamation. If there are any contested races, then the Chairman shall appoint tellers and shall distribute ballots. All elections are determined by a plurality of vote. Members cannot vote by proxy. Only one (1) vote per Member is allowed and the Member must be at least eighteen (18) years of age to vote.
