1. Call to Order

Chairman Betsy Head called the meeting to order at 12:00 PM with a quorum present for the transaction of business.

B. Treasurer’s Report

1) Finances – Stephanie Larson gave the Directors a brief lesson in how to read the GMAR financials. Mike Ruzicka reviewed the GMAR’s November 2014 finances.

Statement of Financial Position – As of November 30, 2014, the GMAR had $1,782,291 in Cash & Investment Balances, up $953 from November 2013.

Accounts receivable were up $25,976 compared to 2013, primarily because of contracts for 2015 Home and Garden Show exhibitors. Prepaid expenses were up $52,988 compared to 2013 due to a higher facility deposit for the 2015 Home and Garden Show.

Total Assets were $3,547,239 which was up $67,172 compared to 2013.

On the Liability side, accounts payable were down $3,251. This account is mainly dues payable to NAR. Unearned revenue is up $97,816 because of the payment from the Kettle Moraine REALTORS® Association for 2015 dues for former Kettle Moraine members and 2015 Home and Garden Show income. Accrued expenses were up $32. The long-term mortgage liability was down $30,268, which was the amount of principal to be paid on the mortgage in 2014. Overall, Total Liabilities were up $67,172 compared to 2013.

For the month ending November 30, 2014, GMAR had Net Income of $115,430, up $34,745 from 2013. Overall, Total Net Assets were $2,009,667; $2,844 higher than the same point in 2013.

Statement of Activities – Membership: For 2014, GMAR budgeted a 90% renewal rate (3,220 members), 3,202 members renew which equates to an 89% renewal rate. Through November 2014 new members were way ahead of last year’s numbers, with 557 new Rs/DRs. The 2013 total was 466 new R/DR members.

Promotions: Home and Garden Show: Through October, $874,594 of income and $615,857 of expenses have been recorded for a net income of $258,737. The budgeted net income for the Home and Garden Show was $260,854.

Public Policy expenses were mostly comprised of a contribution to the NAR Political Advocacy Fund, news subscriptions, event sponsorships, and memberships, with the remaining expenses primarily being personnel costs.

Professional Standards were basically all personnel costs, incurring expenditures primarily in Labor and Overhead.

Products (Wisconsin Real Estate Supply): Product sales through November 2014 were around $5,000 lower than the sales through November 2013.

The Leadership section includes expenditures for meetings, committees, officer expenses, strategic planning, NAR Home Buyer and Seller survey, NAR meetings and WRA convention.

The Administrative section includes investment and rental income and expenses for professional fees, salaries, fringe benefits, building, insurance, occupancy, property taxes, general office expenses and depreciation.

The bottom line shows Excess Receipts Over Expenditures of $115,430. Last year our net income was $80,685 for the same time period. The budgeted net income (loss) is ($5,385) which includes $2,000 for capital outlay.

M/S/C to approve the unaudited Statement of Financial Position (Balance Sheet) and Statement of Activities as of November 30, 2014, and recommend placing on file for audit.

C. President’s Report

Mike Ruzicka reported the following in addition to his written memorandum to the Board of Directors:

1) Public Awareness Campaign – As I mentioned at previous Director meetings, the GMAR is proceeding with the MLS/GMAR public awareness campaign that will make consumers aware of the inaccuracies in many “recreational” real estate portals (i.e. Zillow & Trulia), and direct them to WI .

The GMAR budgeted $50,000 for this effort for 2015. Mr. Carrillo and Mr. Ruzicka have met with Eichenbaum & Associates - which the GMAR used for its past campaigns - to look at campaign options. The radio and online campaign is expected to begin at the end of February and go until mid-June.

2) GMAR Public Relations – The GMAR has been working with Monica Baer, with Baer-Carlson Communications, for the last two years to highlight the real estate market and solicit area media outlets with real estate-related stories.

Mrs. Baer helped promote the GMAR Economic Summit (attended by approximately 75 members) which garnered a segment on FOX 6 TV, a valuable amount of exposure that would be extremely expensive to try and duplicate through an ad purchase.

3) Integrity of Real Estate Contracts – Betsy Head received an email from a member concerned about the indifferent and casual attitude clients have toward contracts that they sign. The member gave instances of a buyer and seller backing out of a signed contracts and one asked her, “is it really worth it to go after them?”

Mr. Ruzicka asked for the Directors thoughts on how the GMAR can help members prevent and deal with these types of situations.

Conducting educational programs (i.e. articles, videos) explaining that a contract does mean something and that parties on the other side of the transaction, and the agent(s), have legal recourse was an idea floated during the Executive Committee meeting. Also, prompting agents that they should remind clients that they are signing a contract which is legally enforceable, and to seek legal counsel if they want to violate any of the contract’s terms.

Mr. Ruzicka suggested that the GMAR fund a member who wishes to sue a client for non-performance. He will pursue the possibility of that option with the WRA.

4) GMAR/North Shore Bank Index – The North Shore Bank Housing Index will be published on the front page of the Journal Sentinel Home section in January, April, July, and October of this year. NSB did a great job negotiating the arrangement with the newspaper.

5) Ozaukee Name Change – The OAR’s petition to change its name to North Suburban REALTORS® Association was opposed by the GMAR, and the OAR has requested that both parties go to mediation; which the GMAR has agreed to. The mediation is set for Wednesday, February 18th. If that fails, a hearing is likely to be held in May at the Midyear meeting.

6) Board of Director Roster – Mr. Ruzicka reviewed how the terms of the Directors work as well as explained the role of the Executive Roundtable (Top 10) on the BOD.

7) GMAR Staff Org Chart – Mr. Ruzicka provided the BOD a staff flow chart so the Directors could see how the staff is organized.

8) NAR Home Buyers/Sellers Oversample – Mr. Ruzicka provided a summary of the 2014 NAR Profile of Home Buyers and Sellers that the GMAR purchased an oversample of. He said it would be made available to members in the next few days.

9) NAR Insurance – Mr. Ruzicka informed the BOD of the comprehensive NAR insurance policy that covers many of the GMAR’s activities.

10) NAR Grant Applications – Marne Stuck and Scott Bush provided a summary and the status of the NAR grants the GMAR has applied for.

11) GMAR Communications – Caitlin McCrory provided a summary of the communications efforts of the GMAR over the last 2 months.

D. Departments

1) Government Affairs

Marne Stuck reported:

Paul Farrow – Ms. Stuck inquired about the possibility of an endorsement for Senator Farrow’s bid to Waukesha County Executive. She will reach out to the CRPAC for their approval and will then ask the BOD for their vote. Some points given to consider were:

• Before Sen. Farrow ran for the Assembly in 2010 he was an owner of a local home inspection company and member of the GMAR.

• Since Sen. Farrow was elected to the State Assembly in 2010 and then to the State Senate in a special election in 2012, his voting record with WRA has been an impeccable 100%. 

• Sen. Farrow will continue to vote on the state budget and matters important to WRA in the upcoming weeks/months.

• This is a non-partisan race.  The primary election will be held on February 17 and the top two vote getters will be on the April 7 general election ballot. 

Realtor and Government Day 2015 – Ms. Stuck reported that registration is open for the 2015 R & G Day on March 11. Once again this year, registration is free and a sponsored bus allows for members to ride for free to and from Madison.

Code compliance/Time-of-Sale requirements – Ms. Stuck reported that GMAR and WRA are in the process of working with NAR’s polling firm to gauge the public “interest” in the matters relating to code compliance and time-of-sale requirements. The plan is for NAR to be in the field the week of Jan. 26.

2) Promotions

Mr. Ruzicka provided the following report:

2015 Home & Garden Show – As of 12/31/2014 The GMAR sold 196 booths, with sales of $449,370 for the 2015 HGS. A year ago, on 12/30/2013, 193 booths were sold for $438,905 in sales. The $10,000 in extra revenue is due to sales of end-cap and high-traffic booths to past exhibitors.

Downtown Diggs – Mr. Ruzicka noted that the promotion would probably be moved to June to coincide with the Milwaukee Downtown BID’s Downtown Dining promotion.

3) Professional Standards

Scott Bush provided the following report:

Professional Standards Procedures Manual – Mr. Bush reminded the Directors that the Professional Standards Procedures Manual would need to be adopted at the next meeting.

Professional Standards Committee – The Professional Standards Committee is seeking new members. Mr. Bush asked the Directors for recommendations.

Professional Standards & Ethics Decisions

E. MLS

Chris Carrillo, MLS CEO, discussed the following:

1) WIREX update – MLS is working on technical changes between Milwaukee and Madison.

2) Off-Market Listings – MLS is aggressively pursuing members who violate MLS policy.

3) purchase – The News Corp. purchase of , parent of .

4. Old Business

No Old Business was discussed.

5. New Business

Tom Sykora updated the BOD on current and future discussions that will be occurring regarding the state’s forms committee. He stated that the changes being addressed in recent meetings will be beneficial for agents, reducing the number of addenda that are currently used.

Public Awareness Campaign P 14

The GMAR/MLS effort to educate the public about the poor accuracy of recreational real estate websites is being well received by members. Both the GMAR and MLS have received positive comments from members about the radio commercials and web advertising directing the public to WI .

Core Standards

The GMAR is in the process of complying with NAR’s recently enacted Core Standards program, which is designed to ensure that all associations in the country are operating at a very basic level of competency. WRA has offered to evaluate participating associations’ Core Standards applications, analyzing a section a week.

Apartment/Rental Summit

We are exploring hosting an event this fall for REALTORS® who are landlords, own rental property and/or help rental property investors. Milwaukee’s Dept. of City Development has offered to make several presentations. We will solicit sponsors and speaker topics in the next few months.

This event will take the place of the RE Bar Camp, we had planned to hold this spring, however, we could not generate enough sponsor interest in that event. We may hold a Bar Camp next year.

City of Milwaukee

We met with the City of Milwaukee to discuss eliminating the city’s exclusive Offer to Purchase, and use state approved forms. However, the city attorney’s office said the items in their OTP are too numerous and important to not be in that document.

We also discussed a city counter offer on a property that required it to be owner-occupied in perpetuity. The city indicated that it was a one-off case. The condo was a tax foreclosure that the city put several thousands of dollars of improvements, in a troubled condo complex of the north side.
