AMENDED AND RESTATED ARTICLES OF INCORPORATION OF

ST. PATRICK HOSPITAL AND HEAL111 SCIENCES CENTER

We, the undersigned, natural persons of the age of eighteen (18) years or more, acting as incorporators of a corporation under the Montana Nonprofit Corporation Act, adopt the following Amended and Restated Articles for such Corporation:

FIRST:

The name of the corporation is ST. PATRICK HOSPITAL AND

HEALTH SCIENCES CENTER.

SECOND: The period of duration is perpetual.

TIIIRD: The Corporation is a religious corporation with members and is organized exclusively for charitable, educational, religious or scientific purposes within the meaning of Section 501(c)(3) ofthe Internal Revenue Code and the purpose or purposes for which the corporation is organized are: To provide medical care and related services in accordance with the philosophy and objectives ofProvidence Health & Services and guided by the tradition and charism of the Sisters of Providence and consistent with the Roman Catholic moral tradition, as articulated in documents such as the Ethical and Religious Directives for Catholic Health Care Services,

FOURTII: No part ofthe net earnings ofthe Corporation shall inure to the

benefit of any member, director, officer of the Corporation or any private individual

(except that reasonable compensation may be paid for services rendered to or for the

Corporation), and no member, director, officer of the Corporation or any private

individual shall be entitled to share in the distribution of any of the corporate assets upon

dissolution of the Corporation. No substantial part ofthe activities shall be the carrying

on of propaganda, or otherwise attempting to influence legislation, and the Corporation

shall not participate in, or intervene in (including the publication or distribution of

statements) any political campaign on behalf of any candidate for public office.

FIFTH:

The sole Member ofthe Corporation is Providence Health &

Services C'Providence"), a Washington nonprofit corporation.

SIXTH:

Upon dissolution of the Corporation, the Board of Directors shall,

after paying or making provision for the payment of all of the liabilities of the

Corporation, dispose of all of the assets of the Corporation to Providence, its sole

corporate Member, or to its designee, provided that such recipient entity is organized and

operated exclusively for charitable, educational, religious or scientific purposes, and

qualifies as an exempt organization under Section 50l(c)(3) of the Internal Revenue Code

("Code")(or the corresponding provision of any future United States Internal Revenue

Law). If, at the time of dissolution, Providence is not in existence, is not an exempt

organization under the Code, or makes no such designation, the Board of Directors shall

dispose of all the corporate assets to Providence Ministries or its designee, provided that

such recipient entity is still in existence and organized and operated exclusively for

charitable, educational, religious or scientific purposes, and qualifies as an exempt

organization under the Code If, at the time of dissolution, Providence Ministries is not

in existence, is not an exempt organization under the Code, or makes no such

designation, the Board of Directors shall dispose of all the corporate assets to any other

organization(s) selected by the Sisters of Providence, General Administration, Montreai,

provided that each such recipient entity is organized and operated exclusively for

charitable, educational, religious or scientific purposes and qualifies as an exempt

organization under the Code.

SEVENTH: No director of d1e corporation shall be personally Hable to the corporation for monetary damages for breach of fiduciary duty as a Director, except for liability (a) for any breach of the Director's duty of loyalty to the corporation, (b) for acts or omissions which involve willful misconduct, recklessness or a knowing violation of law, or (c) for any transaction from which the Director derived any improper personal benefit.
