BY-LAWS
OF
The LAKEFRONT DEVELOPMENT ADVISORY COMMISSION
ARTICLE I. PURPOSE
Applying the criteria approved by the County and City of Milwaukee, Wisconsin, the Lakefront Development Advisory Commissions ("LDAC") will make nonbinding recommendations to the County, City and/or State respecting whether a development proposal should be approved.
ARTICLE II. MEMBERS
SECTION 2.01. Members. LDAC shall have as its members those invidividuals appointed pursuant to Milwaukee County Board Resolution File No. 03-360(a)(a) and City of Milwaukee Common Counsel Resolution File No. 040670.
SECTION 2.02. Tenure. Members shall be appointed for two-year, staggered terms and shall hold their appointment until their resignation or removal, death or incapacity, or until the appointment of a qualified successor.
SECTION 2.03. Meetings. LDAC meetings shall occur on an as needed basis, but at a minimum quarterly. All meetings are open to the public. Meetings shall be held in the late afternoon and evening, to the extent possible, in order to facilitate public attendance.
SECTION 2.04. Notice. Written notice of the date, time and place of all meetings shall be provided to each member via e-mail, and to the public via publication on the Milwaukee County website, not less than 72 hours before said meeting. Such notice shall contain the purpose or purposes for which the meeting is called.
SECTION 2.05. Quorum. A majority of the number of members shall constitute a quorum for the transaction of business at any meeting of the members, but a majority of the members present (though less than such quorum) may adjourn the meeting from time to time without further notice. Elected officials shall have the power to designate an alternate to participate in LDAC meetings and vote on their behalf. These designated alternates shall be counted for quorum purposes.
SECTION 2.06. Manner of Acting. The act of the majority of members present at a meeting at which a quorum is present shall be the act of the members.
ARTICLE III. COMMITTEES
SECTION 3.01. General Powers and Number. The affairs of LDAC shall be managed by its Members. The number of Members of LDAC shall be nineteen (19). The Chairperson, Vice Chairperson and Secretary of LDAC, shall be elected from amongst LDAC's members.
SECTION 3.02. Committees. LDAC may, from time to time, create subcommittees to review various issues and to make recommendations to all LDAC members on those issues. Only actions taken by a quorum of all Members, however, shall contitute actions of LDAC.
ARTICLE IV. OFFICERS
SECTION 4.01. Number. The principal officers of LDAC shall be a Chairperson, a Vice Chairpersons and a Secretary, each of whom shall be elected by LDAC’s members.
SECTION 4.02. Election and Term of Office. The officers of LDAC to be elected by the Members shall be elected annually by and from the Members. Each officer shall hold office until his successor shall have been duly elected or until his prior death, incapacity, resignation or removal.
SECTION 4.03. Chairperson. The Chairperson shall in general supervise and control all of the business and affairs of LDAC. He or she shall, when present, preside at all LDAC meetings. He or she shall have authority, subject to such rules as may be prescribed by the Members of LDAC, to appoint such agents of LDAC as he or she shall deem necessary, to prescribe their powers, and duties, and to delegate authority to them.
SECTION 4.04. Vice Chairperson. In the absence of the Chairperson or in the event of his or her death, inability or refusal to act, the Vice Chairperson shall perform the duties of the Chairperson and when so acting shall have all the powers and duties of the Chairperson. He or she shall perform such other duties as from time to time may be assigned to him or her by the Members or the Chairperson.
SECTION 4.05. Secretary. The Secretary shall: (a) keep the minutes of the meetings of LDAC; (b) see that all notices are duly given in accordance with the provisions of these By-Laws or as required by law; and (c) in general, perform all duties and exercise such authority as from time to time may be delegated or assigned to him or her by the Chairperson or by the Members.
ARTICLE V. AMENDMENTS
SECTION 5.01. By Members. These By-Laws may be altered, amended or repealed and new By-Laws may be adopted by the voting Members by affirmative vote of not less than a quarom of Members.
SECTION 5.02. By Statute, Regulation or Resolution. These By-Laws may also be altered, amended or repealed and new By-Laws may be adopted by the enactment or adoption of any applicable statute, regulation or resolution.
