Draft Terms of Reference

Consultant Short List Investigation

Background

The Government of Indonesia (GoI) has commenced a program of broad reaching institutional reforms to strengthen integrity and efficiency in public financial management and revenue administration. Supporting the GoI reform agenda, the World Bank is funding the Ministry of Finance in issuing a Request for Proposal (RFP) for the identification of a modernized Treasury system. The RFP will identify a suitable team of Consultants to :

i) Determine and describe the User and Technical Requirements for the new system;

ii) Support the Government in the preparation of a future RFP for the supply of a solution; and

iii) Support the Government through the procurement stage for the solution.

The GoI has since proposed a short-list of six (6) teams to be invited to submit a formal proposal for the required consultancy services. The RFP is addressed to the following Consultants:

1. Consortium (Leading Associates, LLC; PT. ; PT Optima Infocitra Universal)

2. T5 Inc & Policy Development and Planning (PDP) Australia Pty Ltd

3. P.A. Services Conseils Inc.

4. Ashby Bachmann Pty Ltd

5. PT. Sysinfo Graha Widya

6. BCEOM

In order to ensure absolute integrity, high quality, efficiency and transparency in procurement issues for the project, the World Bank proposes to engage professional consultancy services to conduct a thorough investigation of the capabilities and integrity of the Short-listed Consultants. The consultancy activities will be conducted on an experimental basis, as a learning experience for the World Bank’s task team, with the intention of mainstreaming if warranted. Integrating issues of weak governance and corruption into projects is a key component of the Bank’s current Country Assistance Strategy for Indonesia (FY04-07).

Scope of the Assignment

The objective of the assignment is to support the efforts of both the GoI and the World Bank in their efforts to verify the capability and integrity of the Shot-listed Consultants through conducting comprehensive background searches and checks.

In doing so, the Consultant will raise the awareness of the World Bank’s task team and Government Counterparts of best practice in conducting consultant investigations and of publicly available information necessary to ensure the absolute integrity, high quality, efficiency and transparency in procurement issues.

More specifically, the Consultant will utilize both public and private information including, but not limited to, databases, media and web searches, necessary site visits and telephone checks to provide the World Bank with comprehensive and accurate information on all Short-listed Consultants.

These investigations should :

i. Verify the current legal and ownership status;

ii. Confirm registered and operational addresses, telephone and fax numbers, and any internet sites;

iii. Provide lists of names of partners, main shareholders and other principle officers;

iv. List partner companies, parent companies and subsidiaries;

v. Check the sanction status;

vi. Identify prior international organization experience and other relevant information pertaining to business specialization;

vii. Provide any other relevant information available from the public domain.

Reporting

The Consultant will report directly to the World Bank Task Team Leader for the GFMRAP.

Deliverables

The deliverables for the assignment will be the following:

Preliminary Report within XX days of the start of the assignment. The preliminary report will be based on initial local database, media and web searches, telephone checks discussing the outputs outlined in this Terms of Reference.

Awareness Raising Session to be held on Thursday Feb 26 at World Bank Office Jakarta. The Consultant will present preliminary investigation results together with information as to how and where data was obtained to Task Team Members.

Final Report within XX weeks of the start of the assignment. The final report will take into account any necessary site visits undertaken in Indonesia together with information on various sources and techniques for obtaining company information.

Duration of Contract

The contract will be for an initial period of XX working days starting on or about February 1, 2003. Other terms and conditions of the assignment will be specified in the contract.

The contract may be extended beyond the period specified in these terms of reference, depending on performance and necessity.

These terms of reference will form part of the contract.

Qualifications

The Consultant to be appointed to provide the Short-list Investigation must have the following minimum qualification:

i. Not less than 10 (ten) years of experience conducting company investigations;

ii. Developed knowledge of business verification methods and investigative skills;

iii. Analytical skills with the capabilities to identify and analyze information relevant to the investigation;

iv. Excellent communication skills with the capacity to prepare articulate written reports, as well as for conducting interviews and presentations to small to medium audiences.
