Regency Contractual Liability

Précis: We find our industry being asked every day, and in some cases required, to enter into a contract for their services with their client. Request for Proposals are becoming a challenge for many firms to bid, as there are so many variables that could impact their business. This seminar will provide topics on how to identify your risks, along with tips on how to protect yourself. Some of the topics we will cover are: (1) Why are you being asked to enter into contracts? (2) What is happening in the industry that is driving this? (3) Key clauses in special client contracts to pay attention to (indemnification, right vs. duty to perform service, venue, choice of law, etc.) (4) Discussion of the issue of liability assumed by contract that cannot subsequently be transferred to another or insured. (5) How to prepare a "cost benefit analysis" to assess the cost of the risk in addition to risk transfer costs. (6) Yes, you can negotiate a contract and the tools to do so. (7) When do you say "no thank you"?

Combined with record-breaking export value and energized by the National Export Initiative, the goal of creating an “export nation” is in view. Précis: Every day throughout the US, indirect air carriers, customs brokers, freight forwarders, and NVOCCs arrange for goods to move by truck. While these moves are often thought of as incidental to the overall international transaction, the world of domestic transportation is changing. The greatest liability you face could be in the relatively short distance between your client’s door and the seaport or airport. 8:30 to 9:45 a.m. Enforcement on a Budget

Regency

Précis: Statutory imperatives in recent enactments have created new authority in the FDA and CPSC with respect to imported merchandise. Federal Register notices and website postings have kept the trade abreast of implementing rules, regulations, guidelines and processes. The greater challenge for both the agencies and NCBFAA members is how to implement new programs, enforce new requirements and accomplish the statutory mandate while facilitating legitimate commerce. This panel will explore the new ground rules and agency strategies for effective and efficient management in a time of scarce resources.

Panelists:

• Domenic Veneziano, Director, Division of Import Operations and Policy, FDA

10:15 to 11:15 a.m. Evasion, Infringement and Smuggling

Regency

Précis: With trade playing an ever-growing role in the U.S. and global economy, it is no surprise that the criminal element has found fertile ground and easy victims for exploitation within our community. Compounded by the lack of understanding regarding what role customs brokers play in the supply chain, a highly litigious environment, and increasing agency focus on filers as a fulcrum to better leverage their enforcement authority, customs brokers have an immediate interest in defining our role in solutions. How can we better protect against revenue evasion, rights infringement and smuggling activities and avoid entanglement in the remedial downside?

Panelists:

• Daniel Gluck, Simon Gluck & Kane LLP

• Charles Bennett, International Trade Specialist Lead AD/CVD

• J. Scott Ballman, Deputy Assistant Director, ICE/DHS

Moderator: Dan Meylor, NCBFAA Customs Committee Vice-Chairman

11:15 a.m. to 12:15 p.m. Broker Regulations – Looking Forward

Regency

Précis: For most of 2011 the NCBFAA Customs Committee, through its Part 111 Rewrite Core Committee, engaged with CBP in reviewing, analyzing and revising the Broker Regulations and exploring means for expanding the role of the customs broker. This panel will report on that work, its product and future opportunities opening up to our industry. The panel will also take a longer view at what remains to be done and what lies just over the horizon.

Panelists:

• Brenda Smith, Exec. Dir., Trade and Policy Programs, OIT

• Alan Klestadt, NCBFAA Customs Counsel

• Amy Magnus, NCBFAA Secretary

Moderator: Darrell Sekin, NCBFAA Vice President

Crystal Terrace Sponsored by: Roanoke Trade

12:15 to 1:30 p.m. Keynote Luncheon: CBP Headquarters Update

Grand East Sponsored by: Grunfeld, Desiderio, Lebowitz, Silverman & Klestadt LLP

Speaker: CBP Acting Commissioner David V. Aguilar is a seasoned leader whose understanding of how CBP works will serve him well in his new role. He is well versed in, and has been supportive of, former Commissioner Bersin’s trade facilitation policies. Like the former Commissioner, Acting Commissioner Aguilar always welcomes an opportunity to share his perspective on CBP’s role in partnering with the trade.

Introduced by: Alan Klestadt, NCBFAA Customs Counsel

1:30 to 2:45 p.m. CBP Reintegration of Policy and Practice

Regency

Précis: It was not long ago that the CBP Commissioner determined that the agency could better focus on its dual missions of homeland security and trade facilitation by creating a new Office of International Trade. Former Commissioner Bersin found that the proper functioning of the Office of Field Operations and the Office of International Trade required cross-pollination and better coordination. Is the experiment working; or does more need to be done? Going forward, what challenges and solutions does the agency see for delivery of policy and programs in the interaction of these two offices?

Panelists:

• Allen Gina, Assistant Commissioner, OIT

• Daniel Baldwin, Executive Director, Cargo and Conveyance Security, OFO

• Alan Klestadt, NCBFAA Customs Counsel

Moderator: Ken Bargteil, NCBFAA Customs Committee Chairman

2:45 to 3:15 p.m. Afternoon Session Break

Regency Foyer

3:15 to 4:45 p.m. ACE Delivers- M1, ITDS, SE and PSC

Regency

Précis: Now is the time to transition from ACS to ACE. With the implementation of major system functionality and the promise of cargo release on the horizon, the business case for filing in ACE is clear and present. The danger is in delay. What is the new functionality? Are recent deployments relatively pain-free? Has the development timetable become more reliable? Is CBP committed to problem resolution? … and the big question – What is the business case for transition now? Members must attend this session for answers to these business critical questions.

Panelists:

• Cindy Allen, Executive Director, ACE Business Office, OIT

• Vincent Annunziato, Acting Director, Cargo Control & Release

• Bob Berczik, USDA, FSIS, OPPD

• Fred Klemashevich, NCBFAA Automation Committee Chairman

Room 5

8:15 to 9:45 a.m. CCS & CES Session: Supervision of the Workplace Through

Diplomat 3 Documented Policies and Procedures

Précis: As the complexity of our jobs steadily grows, demands from traders for quicker processing becomes more insistent, and government agency enforcement falls more heavily on us, with effective supervision and control by management becoming ever more critical to the bottom line. A comprehensive manual covering policy and procedures for your business will not only yield peace of mind, it will assure satisfied customers, good reputation and profitability. This workshop will introduce the fundamentals for creating and implementing the documentation.

Presenters:

• Daniel Meylor, NCBFAA Customs Committee Vice-Chairman

• Kelly Raia, American River International

• Keith Sanchez, Avalon Risk Management

10 to 11:30 a.m. CCS & CES Session: C-TPAT & Other Government Programs:

Diplomat 3 Internal Benefits and External Possibilities

Précis: The Customs and Trade Partnership Against Terrorism (C-TPAT), like many other government programs, should not be just a loss leader, and coming changes may even allow for parlaying lessons learned into a new business opportunity. Learn how to leverage C-TPAT for internal security, a safer workplace, supply chain visibility, stronger customer relationships, and perhaps most important of all, a new revenue stream. We will also explore other government programs that require our knowledge to understand and explain to our clients, creating an additional revenue stream for consultations. Don’t miss the boat; all of your questions - and more - will be answered in this workshop.

Presenters:

• Mary Jo Muoio, NCBFAA Chair

• Lenny Feldman, Sandler, Travis & Rosenberg, P. A.

Concurrent Sessions

11:45 a.m. to 1 p.m. CCS Session: Navigating the ACE Portals

Diplomat 3

Précis: NCBFAA believes that the time to transition to ACE is now. The principal argument for this is both obvious and inescapable - ACE is coming and we need to get on board. Learn first hand from CBP’s ACE Ambassadors and our own users what the system can already do, and what is coming in the near future. Get ahead of the curve and stay competitive by learning what you need to know about the ACE secure portal.

Presenters:

• Amy Magnus, NCBFAA Secretary

• Cindy Allen, Executive Director, ACE Business Office, CBP

Diplomat 4 CES Session: Using System Tools to Verify Export Transaction Compliance

Précis: Arguably, the greatest challenge facing our members is the changing environment and growing importance of export compliance. The pitfalls for exporting are very real, and most traders are unaware of the large number of restrictions placed on products being exported from the United States. Whether it is the product itself, the destination, or the parties to the transaction, the export landscape has become a minefield. Even so, there are tools available to help verify compliance on exports, and while it should go without saying, we are saying that these tools are only good if properly used. In this workshop, learn how to verify compliance prior to generating a violation.

Presenters:

• Paulette Kolba, NCBFAA Transportation Committee Member

• Peter Quinter, Gray Robinson, P.A.

12 to 3 p.m. NCBFAA Cyber Cafè

Diplomat 5 Sponsored by: iTrade Risk & Insurance Services:

Concurrent Sessions

Diplomat 3 at the Section 111 Rewrite

Précis: The Customs Committee of the NCBFAA is in continual dialogue with CBP on the rewrite of section 111. Learn what some of their changes mean to the brokerage community with regard to additional responsibilities, and learn what new revenue streams may come from these changes.

Presenters:

• Ken Bargteil, NCBFAA Customs Committee Chairman

• Leman G. "Chip" Bown, Jr., NCBFAA Large Broker & Forwarder Committee Chairman

• Alan Klestadt, NCBFAA Customs Counsel

Diplomat 4 CES Session: How to Establish Foreign Agents when Conducting Freight Forwarding Business Overseas

Précis: With the onset of enhanced US government scrutiny of intermediaries due to concerns about possible bribery of foreign officials, as well as the myriad of security programs by our Government such as ISF, CIS, CTPAT, and Advanced screening, it is more important than ever to establish contacts with foreign agents to help both in the transportation and clearance of goods being sent to foreign countries, and in the processing of goods destined to the United States. How can this be done? What measures should be taken to decrease the significant risks associated with using agents that are normally more difficult to control?

Presenters:

• David Powell, C.H. Powell Co.

• Ed Greenberg, NCBFAA General Counsel
