|Manitoba | |

|Corporations Canada | |

|Alabama | |

|Alaska | |

|Arizona | |

|Arkansas | |

|California | |

|Colorado | |

|Connecticut | We charge $50 to create an “Agent Search” report that lists all of the entities for which the service company serves as agent. Then we offer graduated rates to |

| |accomplish mass Agent Address Changes. We are not a MORAA state, so service companies cannot log in and accomplish the mass change themselves. We do have a suite of tools|

| |available to frequent filers for account maintenance, but mass agent address change is not one of them. We need to do the mass address change in-house. If the company |

| |serves as agent for fewer than 50 entities, there is no discount and they must pay $50 per agent address change filing. If the company serves as agent for between 50 and |

| |99 entities, they pay $10 per agent address change filing. If the company serves as agent for 100 or more entities, they pay only $3 per agent address change filing. Our |

| |mass agent address change filing consists of a public record entry that declares the agent and then lists all of the entities for which that agent serves as agent, on a |

| |single list posted to the public record. The Filing Histories of each affected entity are updated online to reflect that an agent address change was filed on that date, |

| |and the Filing History entries all point to the same Volume & Page location for the posted list. |

| | |

| |We cannot do mass Agent Change filings; we can only do mass Agent ADDRESS Change filings in this manner. This is because CT is a state that requires that the agent sign a|

| |document, accepting the agency appointment. The agent signature is not required for an agent address change filing, while it IS required to change the agent. Also, the |

| |Change of Agent filing is required to be filed by the entity, whereas the agent address change may be filed by the agent. |

|Delaware | |

|District of Columbia |In DC we charge $10 per entity for commercial registered agent change of address. We suggest for agents to check all represented entities and once confirmed we will |

| |calculate the total based on the number of entities in our system. |

| | |

| |Our system will allow address change to propagate across all represented entities in one move. |

|Florida |See additional comments below |

|Georgia | |

|Hawaii |Hawaii is similar to Utah, where the commercial registered agent can file one form to update their information on all the entities that they are an agent for. |

| |The filing fee is $25 each for 200 or less affected entities. 201 or more affected entities, the filing fee is $1 each. |

| |A business entity can change their registered agent on the annual report, without an additional fee. |

|Idaho | |

|Illinois | |

|Indiana | |

|Iowa | |

|Kansas | |

|Kentucky | |

|Louisiana |Louisiana does not offer a self-service feature as you describe. |

| | |

| |Our process is similar to Florida. We provide service company (for example) with a list of all entities they are registered agent for on our records. Service company |

| |sends us a letter of address change which is added to their file and then shared with every entity they represent. The service company pays $25.00 to file the change on |

| |their behalf then an additional $25 for each company record we must change it on. We do offer a bulk discount in that if they have over 500 companies they represent they |

| |will pay $5.00 per record change vs. $25.00. |

|Maine |Maine adopted the Model Registered Agents Act - This is very similar to Utah. |

| | |

| |Information regarding how a RA becomes a commercial registered agent and other additional information can be found on our webpage at |

|Maryland |Maryland is the same as Minnesota, but the bulk filing cap is $30,000. |

|Massachusetts | |

| |In Massachusetts the registered/resident agent may file a “bulk” statement of change agent office address for all entities it is currently listed as the agent for on our |

| |system. The filing fee is $25.00 per entity type. This is applicable for entities filed pursuant to the following statutes, with the relevant entity types listed in the |

| |parenthesis: |

| | |

| |1. Massachusetts General Law c. 156D (Domestic Profit, Professional, Foreign, Domestic Benefit, and Professional Benefit Corporations); |

| |2. Massachusetts General Law c. 156C (Domestic and Foreign LLCs); and |

| |3. Massachusetts General Law c. 109 (Domestic and Foreign LPs). |

| | |

| |Most major service companies will contact our office prior to one of these bulk changes to receive a list of all the entities they are listed as the agent. The cost for |

| |each query is $50.00. |

|Michigan | |

|Minnesota |Minnesota have a similar process to Florida’s bulk registered agent change. This is considered a separate transaction, so a separate filing fee is charged; however, there|

| |is a cap provided of $35,000 per |

|Mississippi | |

|Missouri | |

|Montana | |

|Nebraska | |

|Nevada | |

|New Hampshire | |

|New Jersey | |

|New Mexico | |

|New York | |

|North Carolina | |

|North Dakota | |

|Ohio |. |

|Oklahoma | |

|Oregon | |

|Pennsylvania | |

|Rhode Island | |

|South Carolina | |

|South Dakota | |

|Tennessee | |

|Texas | |

|Utah |Our commercial registered agents under the model registration act have precisely those benefits. They have a particular registration with login and password, they pay and|

| |annual fee and if they update their info once it updates for all entities they serve. They can also manage their clients in that website |

|Vermont | |

|Virginia | |

|Washington | |

|West Virginia | |

|Wisconsin | |

|Wyoming | |

Additional comments:

FLORIDA:

Florida allows a bulk registered agent change but not quite as sophisticated as the one you describe.

It is as follows:

• The registered agent must submit in writing their request to change the name or address of all the entities they are agent for.

• Our IT staff generate a list of all entities on our records that reflect the agent in question.

• The list is sent to said agent for confirmation of each entity.

• Once the confirmed listed is submitted to our office, our IT staff programmatically make the requested change.

The fees associated with this bulk change are $1000 for the IT and computer time to generate the list and the $1 per record that is being changed.

Part One:

Hello All,

Do you have a self-service Registered Agent component within your business entity filing system ? If so, please explain.

Looking forward to seeing you in June.

Thank you for any assistance you may offer,

Part Two:

Hello All,

I should have clarified “self-service” but left it open to interpretation hoping each state might give us some ideas to look at add efficiencies for our customers and to our system to keep contact records up to date.

What our team had in mind was a component where Registered Agents (RA) could actually sign-in to our website with a secure password and make updates to their addresses, both physical and email, without having to file individual forms. One update could change all entity records tied to that registered agent. This might take place for a flat fee paid by the RA each year and the addresses could be updated as many times as needed in efforts to keep records and contact information more current.

Do you charge for an entity to update its’ registered agent address?

Is the entity able to change the registered agent address on their annual or biennial occupational tax report, and if so is that with or without an additional fee above the tax report fee?
