This is a review of the principle Seller Documents we employ to market our direct Gottesman Seller opportunities to the Buyer community. Briefly they are the Executive Summary and the Seller Profile.

Executive Summary

The Executive Summary includes enough information about the business for a Buyer to make a decision on whether or not they want meet with your Seller. The Executive Summary has the following main sections:

? Summary ? Company Description ? Financials ? Management

Below is a synopsis of how each section should be presented and what a Buyer is looking for:

Summary

The Summary is no more than one page in length. After reading the Summary, a Buyer should be able to understand what the business is, its products or solutions, the market for the products or solutions and how the Seller is pursuing the market to bring in revenue. You may want to include a financial brief within this section to quickly help a Buyer understand the size of the company.

Company Description

The Company Description helps the Buyer understand the business. Include an overview, the market opportunity for your business, the products or solutions you are selling, and your company strategy for the future at a minimum. Information on customers, partners and the competitive environment is also important.

Financials

The Income Statement and Balance Sheet should be included in the Financial Section. Buyers usually like to see historical income statement data from the previous three years and projections going out at least one year. Two to three years projections are better, but should include statements to support the assumptions employed in these projections. In today's difficult economic environment, Buyers will not give you credit for huge increases in sales ten years from now. Buyers also focus on the Quarter that just ended and the Quarter you are in. Buyers want to

know if the business met its projections last quarter and if the business is going to hit its projections in the coming Quarter. Obviously, you lose credibility if you project overly optimistic results for the coming quarter and you fall far short of those projections.

Management

The management section should demonstrate the industry experience, leadership skills and business acumen that the owner and his team have. However, Buyers are looking for a CEO that has the vision for the company's future as well as the management skills to run day-to-day operations. Buyers also want to see someone on the management team that is responsible for selling the product or solution to drive revenue.

Seller Profile

The Seller Profile is an anonymous summary of the Executive Summary and is best prepared after the Executive Summary is completed. It should be factual and highlight the most important items that would interest prospective Buyers. It should tell:

? What the business is in terms of its products or services, and NACIS or SIC classification.

? How the business differentiates itself from its competition. ? Who its customer are ? names of prominent companies or other descriptive text. ? Where it is located, in a general sense. ? The owner's reason for selling. ? Financial highlights for recent years and current year-to-date. ? Any unique item to catch a Buyer's interest.

The prospects that see these profiles are busy people so you must write your profile to grab the readers attention at his first glance. Imbedded pictures can help if they are truly interesting and tell a small story by themselves.

WARNING: This is the age of "google". Specifics or exact phrases lifted from the Seller's website may make it possible for a wise-ass Buyer with no scruples to figure out who the Seller is and make an effort to contact the Seller directly, conceivably costing you the Seller's fee, if not an "exclusive", as well as the Buyer's fee.

Manufacturer of Trailer Chassis and Transportation Products

Business Description: The Company manufactures products for moving materials. They produce trailer chasses, roll-on-roll-off containers, and specialty seagoing modular containers. Four of these modules snap together to form one standard size 40-foot ISO shipping container. They also have a substantial trailer remanufacturing business. Re-manufactured units are produced in such a way as to be comparable to

new ones with the added benefit to the customer of being free of Federal Excise Tax.

The Company has a full complement of manufacturing equipment, jigs and fixtures used to support their manufacturing processes. They are located close to several major highways, near major port facilities and have a 22 acre parcel allowing them to offer storage services to clients. They operate from a single facility of close to 200,000 square feet.

The Transaction: The owner has spent several years in building up the business and is interested in securing some personal liquidity. He and his management team desire to remain on, to take the business to the next level of growth.
